hereinafter called the “SELLER” (which expression shall mean and


include her legal heirs, successors, successors-in-interest,
executors, administrators, legal representatives, attorneys and

hereinafter called the “PURCHASER” ( which expression shall mean and
include his heirs, successors, executors, administrators, legal
representatives, attorneys and assigns) of the OTHER PART.

WHEREAS THE SELLER is the absolute owner in possession and enjoyment


of SCHEDULE ‘B’ property (which is the undivided interest in the land) and
SCHEDULE ‘C’ flat (which is the 2BHK flat with exclusive parking and rights
over common areas) constructed in the land which is referred to as
SCHEDULE ‘A’. The schedules are better described below:

SCHEDULE 'A' PROPERTY

All that piece and parcel of converted immovable property bearing Survey
No.108/1B, situated at Jakkur Village, Yelahanka Hobli, Bangalore North
Taluk, measuring 1 acre 28 guntas (duly converted for non-agricultural
residential purposes vide Conversion Order No.BDS/ALN/SR (ANA)
195/02-03, dated 27/01/2003) along with 4.5+ 4.5= 9 guntas (totally
measuring 1 acres 37 guntas), presently within the jurisdiction of
Byatarayanapura City Municipal Council and bearing CMC Khatha
No.9/108/1B, 162/108/1B and 1001/108/1B which is bounded by:

On the East : 40' Common access road and property bearing Survey No.108/2

On the West : Private Property;

On the North : Private Property;

On the South : Private Property;


SCHEDULE ‘B’ PROPERTY

568 square feet out of total extent of 83,853 square foot of undivided
interest in the Schedule A Property equivalent to 568 square feet of land
with a right to construct and own Schedule ‘C’ Flat is the subject matter of
sale under the sale deeds and agreements between the builder.

SCHEDULE ‘C’ FLAT

Flat No.A-103 on the First Floor, A Block of the building known as MS


PALAZZO constructed on the above Schedule A Property in terms of the
sanctioned plan vide LP No.216/06-07 dated 29/05/2006, issued by the
Byatarayanapura City Municipal Council, consisting of hall cum dining
room, two bed rooms, kitchen, bathrooms and toilets, balconies etc., along
with common areas and facilities attributable thereto with a super built up
area of 1341 square feet and an exclusive car parking space in the
basement marked as A-103 for exclusive use of the Purchaser. The Flat is
of RCC roofing, vitrified tiles flooring with jungle wood doors and steel
windows.

hereafter called the “SCHEDULE PROPERTY”.

WHEREAS the schedule property is the self acquired property of Smt.


AARTHI KANNAN (previously AARTHI RAMKUMAR) and Sri. B
RAMKUMAR son of Mr. T BALASUBRAMANIAN by virtue of agreement
of sale and construction agreement 04/06/2007 with Arun Shelters
Pvt Ltd represented by its Managing Director Shri M Arun Kumar vide
registered Sale deed bearing No. 3566/2007-2008 Book-1, CD No.
BYPD 13, dated 21/01/2008 Pages 1 to 15 dated 21/01/2008
registered at Sub-Registrar’s Office, Byatarayanapura, Bangalore.
WHEREAS Sri. B RAMKUMAR executed a RELEASE DEED in favour of
Smt. AARTHI KANNAN (previously AARTHI RAMKUMAR) to release his
entire rights in the schedule property vide registered Release deed
bearing No. 2700/2010-2011 Pages 1 to 8 dated 16/09/2010
registered at Sub-Registrar’s Office, Byatarayanapura, Bangalore AND
thus Smt. AARTHI KANNAN hereby the SELLER is the absolute owner
of the entire schedule property.

WHEREAS the SELLER herein previously known as AARTHI RAMKUMAR


has changed her name as AARTHI KANNAN vide TAMIL NADU GOVERNMENT
GAZETTE Number 13 dated 13/04/2011, PART VI SECTION 4 page number
680.

WHEREAS there are no encumbrances, liens, charges, Government dues,


attachments, acquisition, or requisition, proceedings and no outstanding
loans on the Schedule Property, whereas the SELLER has clear and
marketable title to the Schedule Property and she has absolute power to
convey the same.
WHEREAS the SELLER being in need of funds for the
purpose of personal expenses and to clear hand loans has decided to
sell the schedule property and The SELLER hereby confirms that the
Purchaser has paid the entire sale consideration as under:

Subject to the provisions of Section 194-IA of the Income-Tax Act, it is


hereby agreed that from the total sale consideration amount of Rs.
65,00,000/- (Rupees Sixty five Lakhs only) for the schedule property, a
sum equal to 1% of the said total consideration amount RS.65,000/-
(Rupees Sixty five thousand only) shall be deducted and remitted to the
appropriate tax authorities as required by the aforementioned section.
WHEREAS the SELLER herein being desirous of selling the Schedule
Property, offered the same to the Purchaser and the Purchaser has
agreed to purchase the Schedule Property.

NOW THEREFORE THIS DEED OF ABSOLUTE SALE WITNESSETH AS


HEREUNDER:

IN CONSIDERATION of the Purchaser having paid the entire sale


consideration of Rs. 65,00,000/- (Rupees Sixty Five Lakhs only) as
aforesaid, the receipt of which has been duly acknowledged by the
SELLER, who acquits the Purchaser from making any further payments
towards sale consideration, the SELLER, as the beneficial owner, DOES
HEREBY GRANT, CONVEY, TRANSFER BY WAY OF SALE AND ASSIGN
unto and in favour of the Purchaser the Schedule Property and every
part thereof together with the right, title and interest therein, with all the
benefits, advantages, concessions, licenses, hereditaments, easementary
rights, equities, claims, demands etc, to the Schedule Property TO
HAVE AND HOLD, TO POSSESS AND ENJOY the same for ever free from
all encumbrances, subject to common rights of owners of remaining
shares of undivided interest in the land and schedule property
attributable thereto.

The SELLER hereby declares and covenants with the Purchaser that she
is the sole and absolute owner of the Schedule property and has a clear,
legally valid and marketable title thereto and therefore an absolute
right to sell and convey the same to the Purchaser in terms of this
Deed. The SELLER further declares that she has not done any acts,
deeds or things so as to curtail, restrict or prejudice her right to convey
or prevent her from selling the Schedule property in terms of this
Deed.

The SELLER hereby further declares that the Schedule Property is free
from all encumbrances, lien, charge, mortgage, lease, court or other
attachments, lis-pendens, acquisition and requisition proceedings, minor’s
claims or any other adverse proceedings or claims from third parties which
are in any way detrimental to the interest of the Purchaser.

The SELLER hereby assures the Purchaser that all taxes, levies and dues
towards Electricity, Water, Apartment maintenance, Property Taxes etc, on
the Schedule Property have been paid up to date and arrears if any, till the
date of the Sale Deed shall be duly paid by her and future taxes in respect of
the Schedule Property shall be paid by the Purchaser.

The SELLER hereby declares and covenants with the Purchaser that she
shall do or cause to be done all acts, deeds/Rectification deeds and things
which are legally and reasonably required to be done at the instance of the
Purchaser for morefully and perfectly assuring the right title and interest of
the Purchaser in the Schedule Property herein conveyed and the SELLER
shall bear such expenses.

The SELLER hereby indemnifies and shall keep the Purchaser or his successors-
in-title fully indemnified against any loss or liability, cost or claims, action or
proceedings, if any should arise, at any time in future against him owing to
any defect in or for want of clear and marketable title or due to any default,
violation or non-compliance of any of the declarations or covenants herein.

The Purchaser shall be the sole and absolute owner of the Schedule Property
by virtue of this sale deed with attendant rights of ownership, possession,
enjoyment and shall be entitled to deal with or dispose off the Schedule Property
as he deems fit without any interference, obstruction or hindrance from the
SELLER or anyone claiming under, through or in trust from him.

The Stamp duty, Registration charges and other incidentals have been borne
by the PURCHASER.

The SELLER has this day delivered the vacant possession of the Schedule
Property to the Purchaser along with all the original title deeds and
relavant documents which are in her possession pertaining to or
relating to the Schedule Property.

The SELLER confirms with the PURCHASER that she has not entered
into any agreement for sale, mortgage or exchange whatsoever with any
other person relating to the Schedule Property of this Agreement.

The SELLER covenant to obtain at her cost necessary permission from


the competent Authority, Income Tax Clearance Certificate and such
other Certificate / Document as may be required at the time of
Registration of Sale Deed in pursuance of this Agreement.

The Purchaser shall also, upon becoming a Member of the "MS PALLAZO
OWNERS WELFARE ASSOCIATION" (Reg No- SOR/BLU/DR/343/2010-11)
through the transfer of membership from the SELLER by virtue of this sale
deed, automatically become a valued member of the apartment club, and
no additional amount shall be required for this exclusive membership
privilege. The PURCHASER shall duly observe the apartment rules, bye-
laws, and majority decisions of the aforementioned Association, while
enjoying all the benefits of the apartment club without any extra financial
obligation.

Market Value of the schedule property is Rs. 65,00,000/- (Rupees


Sixty Five Lakhs only)

The Stamp duty is paid on the market value as computed above.


IN WITNESS WHEREOF the parties herein have affixed their respective
