This catalogue shows the standard product range of Van Mechelen Lifting Gear and includes the General Sales and Delivery Conditions. The companys price list is a separate document with limited period of validity. Although our enormous range of standard products, it will never fully meet all specific needs. Van Mechelen Lifting Gear has the knowledge and capability to supply special products very fast. Thanks to sophisticated logistics we are able to deliver the most unusual specials to destinations all over the world. We reserve the right to make amendments on specifications mentioned in the catalogue without any notice. Specifications show a general compliance with the various standards and should not be taken to meet all terms of the contract or purchase order.
Raison d tre / Nature of prime business Van Mechelen Lifting Gear designs, manufactures and sells lifting and hoisting gear including Crane Blocks, Wire Rope Blocks, Sheaves, Swivels, Turnbuckles, Sockets, Hooks etc. Both from stock as well as custom built. Distribution of products is mainly through wire rope distribution companies and ship yards as well to large companies directly.

Early last century the company started manufacturing hoisting and rigging gear including manila rope and steel wire rope blocks, crane blocks, hooks and turnbuckles. Due to trade isolation during the First World War and intensive shipping in the area (West-Brabant, sugar industry and foundries) the sale of hoisting and rigging equipment flourished. The label Glymes was also used as a trade mark on wire rope blocks. Around 1920, the manufacture of bicycles came to an end. In 1922, an iron foundry in Bergen op Zoom was acquired (Hagenaars, Bol & Co.). In 1940, the shares were transferred to the children of Johan and his sons Piet, Jacques and Louis took over the management of the company. After World War II the company focused on 3 main activities; a forging company, an iron foundry and a machine shop. The machine shop mainly concentrated on hoisting gear. In 1951, the company changed into a holding company and at the same time founded a public limited company (P.J. van Mechelen Holding N.V.). Its first subsidiaries included a forging company (Stoomsmederij P.J. van Mechelen), a foundry (IJzergieterij P.J. van Mechelen) and machine works (Machinefabriek P.J. van Mechelen). Later a trading company was added (Handelmaatschappij in Metaalproducten Mepro).

Definitions
General Definitions Van Mechelen Lifting Gear gives the following definitions to the items hereunder. - The Safe Working Load (SWL) is the maximum load on the head fitting determined by a competent person which an item of lifting equipment may raise, lower or suspend under particular (operational / dynamic) service conditions ). - The Allowable Line Pull (ALP) is the operational maximum line pull, determined by a competent person, which an item of lifting equipment can be subjected to. Could for a single sheave block also be referred to as SWL (in this case not on the head fitting). - The Working Load Limit (WLL) is the maximum load on the head fitting, determined by the manufacturer, which an item of lifting equipment is designed to raise, lower or suspend under ideal (static) service conditions with a given safety factor calculated against the MBL ). - The Minimum Breaking Load (MBL) is the load checked by the manufacturer against the minimum theoretical tensile strength (Rm) of the material at which an item of lifting equipment is designed to fail or break (or alternatively as new established in a laboratory breaking load test). ) - The Factor of Safety (FoS) is the factor determined as the ratio between MBL and WLL, also referred to as safety factor (SF) or design safety factor (DSF). ) - The Dynamic Amplification Factor (DAF) is the factor by which the SWL is multiplied to account for accelerations and impacts during the lifting operation as specified in the applicable design rules. Alternatively referred to as the dynamic factor (DF) or dynamic coefficient. - The Proof Load (PL) is the predetermined test load, greater than the SWL or WLL to which an item of lifting or pulling equipment is subjected before acceptance for use. - A Competent person is defined in ISO 9927-1. To determine fit-for-use, the level Expert Engineer ) is required. Alternatively a person nominated as such by his/her employer. When referring to SWL we, as the manufacturer, shall act as the competent person under the given and agreed particular service conditions with the client. Particular service conditions are defined in combination with the applicable and agreed design rules. When referring to WLL the client shall act as the competent person to establish fit-for-use under the given particular service conditions against the factor of safety from the item of lifting equipment. When referring to MBL the client shall act as the competent person to establish the SWL in conjunction with the given particular service conditions, or to establish WLL and factor of safety, to determine the fit-for-use for the item of lifting equipment. ) )
Partly in conjunction with the UK Health and Safety Executive regulations LOLER : 1998 (lifting operations and lifting equipment regulations) An expert engineer is an engineer with experience in the design, construction or maintenance of cranes, sufficient knowledge of the relevant regulations and standards and the equipment necessary for carrying out the inspection. Furthermore, an expert engineer is an engineer who is in a position to judge the safe condition of the crane and to decide which measures shall be taken in order to ensure continued safe operation.

Incorrect use of hoisting and lifting equipment may cause accidents with serious damage, injury or even death. In case of incorrect use leads to failure resulting in damage, injuries or death, Van Mechelen Lifting gear does not accept any responsibility or liability. Avoid shock loads or use a safety factor in combination with material characteristics that allow computed shock loads. Our products generally are intended for tension or straight in-line pull. Side or pressure loading must be avoided since this exerts additional force or load which the product is not designed to accommodate. Welding on load supporting parts or products can be hazardous. Knowledge of materials, heat treatment and welding procedures is necessary for proper welding. Never weld on, drill or deform otherwise load supporting parts of lifting gear unless permission by Van Mechelen Lifting Gear in writing. Critical parts include sockets, turnbuckles, cheek plates, hooks, sheaves, pins, eyes, beckets etc. The Working Load Limit (WLL) or Safe Working Load (SWL) of each product may be effected by wear, misuse, overloading, corrosion, deformation, intentional alteration and other operational and environmental conditions. Regular inspection must be conducted to determine whether use can be continued at the catalogue or certificate shown WLL/SWL, or whether the product must be withdrawn from service. If you do not use Van Mechelen Lifting Gear products yourselves but resell them or use these as components in an item manufactured by yourself, please adhere to our cautions and warnings and make these known to your customers. Van Mechelen Lifting Gear does not accept any responsibility or liability if cautions and warnings are not respected.

Certification
Certification Almost all products that can be proof load tested, will be supplied including a manufacturers test certificate. If products are quoted and / or supplied without specification of proof load, proof load is accord-ing test loads shown in Chapter Testing, Page 0.60. In addition and on demand, Van Mechelen Lifting Gear may work in conjunction with class bureaus like American bureau of Shipping (ABS), American Petroleum Institute (API), Bureau Veritas (BV), China Classification Society (CCS), Det Norske Veritas (DNV), Germanischer Lloyd (GL), Lloyds Register of Shipping (LRS), Registro Italiano Navale (RINA),

Testing
Every item of loose gear is to be tested and thoroughly examined before being put into use for the first time and after any substantial alteration or repair to any part liable to affect its safety. The standard test loads Van Mechelen Lifting Gear applies are in accordance with the table (hereunder). Classification Bureaus like Lloyds Register of Shipping, Det Norske Veritas, American Bureau of Shipping, Germanischer Lloyd, Bureau Veritas, RINA etc. may use other standards. Van Mechelen Lifting Gear, however, is not bound to certain standards and applies any specified test load or proof load as required by Class Bureau or individual customer. Calculation of test load according is as follows (WLL being Working Load Limit at head fitting in metric tons*): For single-sheave blocks (without and with becket), swivels, hooks, turnbuckles and similar gear: Up to and including 25 tons PL = 2 x WLL 26 tons and over PL = (1.22 x WLL) + 20 For multi-sheave blocks: Up to and including 25 tons 26 tons to 160 tons 161 tons and over PL = 2 x WLL PL = (0.933 x WLL) + 27 PL = 1.1 x WLL
For lifting beams, lifting frames and similar gear: Up to and including 10 tons PL = 2 x WLL 11 tons to 160 tons PL = (1.04 x WLL) + 9.6 161 tons and over PL = 1.1 x WLL

CHAPTER 1
Crane blocks
General Standard crane blocks consist of 3 ranges, (1) the single sheave block with non swinging, but swiveling Alloy hook, (2) the 1, 2, 3, 4, 5 and 6 sheaves block with dual action (swinging and swiveling) DIN-hook and (3) the 1, 2, 3, 4, 5 and 6 sheave fast reeve block with dual action DIN-hook. Standard blocks are supplied with becket. These standard series are shown on the next pages. Apart from these standard ranges, we can supply crane blocks in any design and size to meet your demands. Crane blocks are supplied including a test certificate. Inspection, testing and maintenance - Check the blocks daily visually for damages and dirt. - Blocks should be inspected at least once a year by a surveyor for proper functioning and damages; - Blocks should be taken apart at least every 4 years by a specialist for inspection of wear, hidden damages or beginning cracks and have the blocks tested by an authorized testing body; - After repair, blocks have to be tested by an authorized testing body; - If blocks are supplied with grease nipples, preferably grease every 24 hours at continuous use and every fortnight at discontinuous use; - Parts should be replaced if wear is 5% or more (e.g. hook, eye and becket). Different grease frequencies apply in the next circumstances: - bronze bearings: every 8 hours at continuous use or at least after 2 weeks; - main pin ball bearings: every 24 hours at continuous use or at least after 2 weeks; - tapered roller bearings: every 40 hours at continuous use or at least after 4 weeks; - cylindrical roller bearings: every month at continuous use or once every year in clean operating circumstances.

- If the wire rope end termination (dead end) is to be connected to the block, it should be mounted to the becket only. - For mounting a crane block, the maximum fleet angle is 2 from the centre of the sheave. - For connections, only use components (like sockets or shackles) that are suitable for the indicated working load limit (WLL). - Never use wire rope with a diameter larger than the groove of the sheave is made for. - A hook has to be supplied and used including a safety latch. - The hook must always support the load. The load must never be supported by the latch.

- Never use a hook whose throat opening has been increased or whose tip has been bent more than 10 out of the plane from the hook body or is in any other way distorted or bent. - The latch will not work properly on a hook with a bent or worn tip. - Never repair, alter rework or reshape a hook by welding, heating, burning or bending. - When placing 2 sling legs in a hook, make sure that the angle between the legs does not exceed 90.

Blocks
General Van Mechelen Lifting Gear wire rope blocks exist in a great many variations in order to meet your needs. In the tables on the next pages, our standard wire rope blocks are shown. Apart from this standard range of wire rope blocks, we can supply blocks in any design and size to meet your demands / requirements. Wire rope blocks till a Working Load Limit (WLL) of 100 tons, apart for American Pattern Cargo Blocks and Lashing Blocks, are supplied with a manufacturers test certificate without additional costs. Testing and certification of wire rope blocks with a Working Load Limit of over 100 tons at extra charge. Inspection, testing and maintenance - Check Blocks daily for damages and dirt. - Blocks should be inspected at least once a year by a surveyor for proper functioning and damages; - Blocks should be taken apart at least every 4 years by a specialist, for inspection of wear, hidden damages or beginning cracks and have the blocks tested by an authorized testing body; - After repair, blocks have to be tested by an authorized testing body; - If blocks are supplied with grease nipples, preferably grease every 24 hours at continuous use and every fortnight at discontinuous use; - Parts should be replaced if wear is 5% or more (e.g. hooks and eyes). Different grease frequencies apply in the next circumstances: - bronze bearings: every 8 hours at continuous use or at least after 2 weeks; - main pin ball bearings: every 24 hours at continuous use or at least after 2 weeks; - tapered roller bearings: every 40 hours at continuous use or at least after 4 weeks; - cylindrical roller bearings: every month at continuous use or once every year in clean operating circumstances.

Directions for use For use of wire rope blocks, the bearing loads should be taken into account (see diagram below).
P= Load generated by object to be moved. Q= Maximum load allowed on connection during operation. T= Forces in cable at load Q.
- If the wire rope end termination (dead end) is to be connected to the block, it should only be mounted to the becket. - For mounting a wire rope block, the maximum fleet angle is 2 from the center of the sheave. - Snatch blocks are only to be used closed. - For connections, only use components that are suitable for the indicated working load limit (WLL). - Never use wire rope with a diameter larger than the groove of the sheave is made for. Design, specifications - Standard all wire rope blocks are painted blue (RAL 5017), apart from American Pattern Cargo Blocks and Lashing Blocks (painted gray) and those blocks that are standard galvanized. - Diverging sizes and designs are possible.

Sheaves
General Sheaves come in a variety of models, different in material, size, bearings and sealings, in order to meet your specific requirements. In the next tables only the standard sheaves are shown. Apart from these standard sheaves we manufacture a great many sheaves of different sizes and bearings. We are able to supply almost any thinkable sheave. Our sheaves are suitable for applications like: - ship cranes - dredging - pipe laying - davits - harbour and shipyard cranes - mobile cranes - overhead and portal cranes - bridges and - other machines and equipment using steel wire rope Technical information and warnings - For selecting a sheave, the rule of thumb to use is that the centre-to-centre diameter of the steel wire over the sheave is 14, 17 or 20 times the wire diameter, depending on its application. - Avoid a fleet angle of over 2. - In most of the sheaves, the groove and rim profile are contoured according DIN 15061 NEN 3508 (see scheme next page).

Swivels
General The swivels shown in this chapter illustrate just a small part of the swivels we manufacture. The swivels shown however are the ones that are most asked so far. The standard range of swivels include: - Ball swivels with DIN hooks, - Ball swivels with round eyes, - Swivels in all combinations of hooks, bows, round eyes and jaws. Inspection, testing and maintenance - Daily check swivels for damages and dirt. - Swivels should be inspected at least once a year by a surveyor for proper functioning and damages. - Swivels should be taken apart at least every 4 years by a specialist for inspection of wear, hidden damages or beginning cracks and have the swivels tested by an authorized testing body. - After repair, swivels have to be tested by an authorized testing body. - If swivels are supplied with grease nipples, preferably grease every 24 hours at continuous use and every fortnight at discontinuous use. - Parts should be replaced if wear is 5% or more (e.g. hooks, jaws, bolts and eyes). Directions for use - For connections, only use components (sockets, shackles) which are suitable for the indicated working load limit (WLL). - If the swivel is furnished with a trust bearing, then the swivel is designed to swivel under load. If the swivel is not furnished with a trust bearing, swiveling is allowed only without load. - Alloy and DIN hooks are supplied with safety latch. Cargo hooks are not, but on request. - The hook must always support the load. The load must never be supported by the latch. - Never use a hook whose throat opening has been increased or whose tip has been bent more than 10 out of the plane from the hook body or is in any other way distorted or bent. The latch will not work properly on a hook with a bent or worn tip. - Never repair, alter, rework or reshape a hook by welding, heating, burning or bending. - When placing 2 sling legs in a hook, make sure that the angle between the legs does not exceed 90.

Sockets
Materials Our standard socket range is available in cast alloy steel with high mechanical properties. The short bow range is made of high alloy steel with extremely high mechanical properties. All of our sockets are suitable for usage in a low temperature environment. All materials meet the requirements of a Charpy-V impact value of >42 Joule/-20C. Testing Sockets can be proof loaded in accordance with our test program. Witnessing of non-destructive examinations by independent inspection agencies can be offered as an option. With our 300 tons tensile testing equipment, certified and approved by all major classification societies such as ABS, BV, DNV, LRS, RINA etc., we may offer additional proof load testing facilities. In case of a proof load test, we normally test at 30% of the Minimum Breaking Load (MBL). Other test criteria are possible. Manufacturers certificate - Sockets are supplied with a manufacturers certificate showing: - Certificate number - Wire rope diameter - Minimum breaking load (MBL) - Quantity - Order number Material certificates Additional material inspection and testing by authorized agencies is possible. If ordered a 3.2-EN 10204/DIN 50049 certificate can be supplied. Finish Our standard sockets are delivered painted in blue (RAL 5017) or hot dip galvanized. Warning and application instructions General information - Always take care of visual inspection before using a socket and pin. - Never use a part showing cracks. - Do not side load a socket. - Repair is not allowed. For repair contact your supplier. - Never shock load a socket. Wedge Sockets - Always mount the loaded part of the wire in the centre line of the pin (see figures next page). - Secure the dead end with a wire rope clip. - Do not attach the loaded wire to the dead end. - The dead end should have a length of 6 times the wire diameter with a minimum of 150 mm. - After the first load, inspect that the wire rope and wedge are fully seated. - Load may slip if the connection is not properly installed. - Inspect the connection regularly. - The efficiency of a wire rope/wedge socket connection is 80% of the minimum breaking load of the wire but limited to the minimum breaking load of the socket (MBL).

- Be sure that the wire-socket connection is in the centre line of the socket. - Proper spelter socket termination have an efficiency of 100% of the breaking load of the wire. This can be limited by the minimum breaking load of the socket (MBL), as mentioned in the tables. For socketing please read the general socketing instructions. Swage sockets are recommended for use on 6x19 and 6x37 IWRC regular lay ropes and also satisfactory on galvanized bridge rope. They are not recommended for use on fiber core ropes. CHAPTER 6
Turnbuckles
General Standard turnbuckles allow a working load range varying from 1 to 160 tons in all possible combinations of jaws, round eyes and oval eyes. In standard design, the dimensions of the trapezoid thread turnbuckles are according NEN 3305, but for take-up because of lock nuts. However we can make any design or size you demand. Turnbuckles up to and including a Working Load Limit (WLL) of 100 tons are supplied with a test certificate without additional costs. Testing and certification of turnbuckles with a Working Load Limit of over 100 tons at extra charge. Inspection, testing and maintenance - Daily check the turnbuckle visually for damages, dirt and load direction. - Turnbuckles should be inspected at least once a year by a surveyor for proper functioning and damages. - Turnbuckles should be taken apart at least every 4 years by a specialist, for inspection of wear, hidden damages or beginning cracks and have the turnbuckles tested (if possible) by an authorized testing body. - After repair, turnbuckles have to be tested by an authorized testing body. - Have thread greased to prevent from rusting. - Parts should be replaced if wear is 5% or more (e.g. jaws, bolts, oval eyes and round eyes). Directions for use - Turnbuckles should be used for straight or in-line pulls only. - For connections, use components (like sockets or shackles) that are suitable for the indicated working load limit (WLL). - If the turnbuckle is supplied with locking nuts, locking plates or other locking devices, they should be used. - Bolts in jaws must be secured with the security pin. - During the use, end fittings must be turned into the body at least one time the outer diameter of the thread. For example, for a turnbuckle with thread 65 x 10 mm, the length of the end fitting in the body must be at least 65 mm. Design, specifications - Standard all turnbuckles are painted blue (RAL 5017) (apart from the closed body metrical and UNC series, hot dip galvanized), but can be supplied zinc electroplated or hot dip galvanized as well. - Turnbuckles can be supplied in all combinations of jaws, oval eyes, round eyes and stub ends. - Standard all turnbuckles are supplied with locking nuts, but can also supplied with locking plates, locking bolts and other locking devices. - Turnbuckles can be supplied with turning wheel or ratchet. - Sizes other than standard are possible.

Accessories
General The items mentioned in this chapter illustrate just a small part of all lifting gear accessories that we make or have made. The accessories shown, however, are the ones that are most asked for so far. The accessories shown include: - Cargo hooks (DIN and NEN), - Ball weights (split Overhaul Balls), - Triangle plates, - Pad eyes, - Riggers screw
Inspection, testing and maintenance - Check the components daily visually for damages and dirt. - Have items be inspected at least once a year by a surveyor for proper functioning and damages. - The items should be disassembled at least every 4 years by a specialist, for inspection of wear, hidden damages or beginning cracks and have the swivels tested by an authorized testing body. - After repair, items have to be tested by an authorized testing body. - If the item is equipped with grease nipples, preferably grease every 24 hours at continuous use and every fortnight at discontinuous use. - Parts should be replaced if wear is 5% or more (e.g. hooks, jaws, bolts and eyes). Directions for use - For connections, only use components (sockets, shackles) that are suitable for the indicated Working Load Limit (WLL). - Alloy and DIN hooks are supplied with safety latch. Cargo hooks are not. - The hook must always support the load. The load must never be supported by the latch.

- Never use a hook whose throat opening has been increased or whose tip has been bent more than 10 out of the plane from the hook body or is in any other way distorted or bent. The latch will not work properly on a hook with a bent or worn tip. - Never repair, alter, rework or reshape a hook by welding, heating, burning or bending. - When placing 2 sling legs in a hook, make sure that the angle between the legs does not exceed 90.

Preamble 1. These General Terms and Conditions of sale and delivery shall apply to all offers, quotations and contracts made by Van Mechelen Lifting Gear B.V. (hereinafter 'Van Mechelen') in which Van Mechelen undertakes to deliver products (hereinafter the 'Product') to the Purchaser. 2. The applicability of general conditions of the Purchaser or any other general conditions is expressly rejected. 3. Departures from these General Terms and Conditions will only be valid if expressly agreed to in writing by Van Mechelen. 4. Insofar as these General Terms and Conditions are also drawn up in a language other than English, in the event of any conflict the English text shall always prevail. 5. Wherever these General Terms and Conditions use the term in writing, this shall mean by document signed by parties, or by letter, fax, electronic mail and by such other means as are agreed by the parties. Offers and conclusion of contract 6. All offers made by Van Mechelen shall be free of obligation. 7. An agreement contract shall come into effect once Van Mechelen has confirmed the order in writing. 8. In the event that agreement is reached to effect payment by means of a letter of credit, the contract concerned shall only come into effect once Van Mechelen accepts the relevant irrevocable (confirmed) letter of credit in writing according to UCP 600. This letter of credit will be opened by a bank subject to the acceptance in advance by Van Mechelen and will be opened at the latest five (5) working days after Van Mechelen has sent the order confirmation unless otherwise agreed in writing. 9. Any offer made or undertaking given by a representative of Van Mechelen shall only be binding insofar as the latter confirms this in writing. Product information 10. All information and data contained in general product documentation and price lists, whether in electronic or any other form, are binding only to the extent that they are by reference expressly included in the contract. Drawings and descriptions 11. All drawings and technical documents relating to the product or its manufacture submitted by one party to the other, prior or subsequent to the formation of the contract, shall remain the property of the submitting party. 12. Drawings, technical documents or other technical information received by one party shall not, without the consent of the other party, be used for any other purpose than that for which they were provided. They may not, without the consent of the submitting party, otherwise be used or copied, reproduced, transmitted or communicated to a third party. 13. Van Mechelen shall, upon request, not later than at the date of delivery, provide information and drawings which are necessary to permit the Purchaser to operate and maintain the Product.Such information and drawings shall be supplied in the number of copies agreed upon or at least one copy of each. Van Mechelen shall not be obliged to provide manufacturing drawings for the Product or for spare parts. Acceptance tests 14. Acceptance tests provided for in the contract shall, unless otherwise agreed, be carried out at the place of manufacture during normal working hours. If the contract does not specify the technical requirements, the tests shall be carried out in accordance with general practice in the appropriate branch of industry concerned in the country of manufacture. 15. Van Mechelen shall notify the Purchaser in writing of the acceptance tests in sufficient time to permit the Purchaser to be represented at the tests if agreed with the Purchaser or requested with the Purchaser. If the Purchaser is not represented, the test report shall be sent to the Purchaser and shall be accepted as accurate. 16. If the acceptance tests show the Product not to be in accordance with the contract, Van Mechelen shall remedy any deficiencies in order to ensure that the Product complies with the contract. New tests shall then be carried out at the Purchaser's request, unless deficiency was insignificant. 17. Costs for expenses (including all travelling and living expenses) for Purchasers representatives and any third party in connection with acceptance tests will be born by the Purchaser. Delivery 18. For orders with a total net goods amount of the maximum or over the amount mentioned in the current pricelist and to be delivered within the Benelux countries, delivery will take place Carriage Paid To, agreed port of destination (CPT, according to the Incoterms version in force at the moment of conclusion of the contract). For orders less than this amount mentioned and to be delivered within the Benelux, delivery will take place Free Carrier, Halsteren, The Netherlands (FCA, according to the Incoterms version in force at the moment of conclusion of the contract). For orders to be delivered outside the Benelux, delivery will take place Free Carrier, Halsteren, The Netherlands (FCA, according to the Incoterms version in force at the moment of conclusion of the contract). 19. For orders with a net value of less than the minimum order amount mentioned in the current pricelist small order costs are applicable, as mentioned in the current price list. 20. Partial shipments shall be permitted. Each partial shipment shall be deemed to represent a separate contract. Van Mechelen shall be entitled to demand payment for each partial delivery before proceeding with any other. 21. The Purchasers failure to comply with the Purchasers duty to effect payment (or to do so on time), shall have the effect of suspending Van Mechelens duty to effect a delivery. Time for delivery. Delay 22. If the parties, instead of specifying the date for delivery, have specified a period of time on the expiry of which delivery shall take place, such period shall start to run as soon as the contract is entered into, all official formalities have been completed, payments due at the formation of the contract have been made, any agreed securities have been given and any other preconditions have been fulfilled. 23. If Van Mechelen anticipates that Van Mechelen will not be able to deliver the Product at the time for delivery, Van Mechelen shall forthwith notify the purchaser thereof, stating the reason, and, if possible, the time the delivery can be expected. 24. If the Product is not delivered at the time for delivery (as defined in Clause 22), the Purchaser is entitled to liquidated damages from the date on which delivery should have taken place unless the delay in delivery is caused by force majeure (as described in Clause 68) or by an act or omission on the part of the Purchaser. 25. If the Product is not delivered at the time for delivery, The Purchaser is entitled to liquidated damages from the date on which delivery should have taken place, only if entitlement to these liquidated damages is expressly agreed upon in writing and included in the contract. The liquidated damages shall be payable at a rate of 0.3 per cent of the purchase price for each completed week of delay. 26. The liquidated damages shall not exceed 3.0 per cent of the purchase price. If only part of the Product is delayed, the liquidated damages shall be calculated on the part of the purchase price which is attributable to such part of the Product as cannot in consequence of the delay be used as intended by the parties. 27. The liquidated damages become due at the Purchaser's demand in writing but not before delivery has been completed or the contract is terminated under Clause 29. 28. The Purchaser shall forfeit the Purchasers right to the liquidated damages if the Purchaser has not lodged a claim in writing for such damages within six months after the time when delivery should have taken place. 29. If the delay in delivery is such that the Purchaser is entitled to maximum liquidated damages under Clause 26 and if the Product is still not delivered, the Purchaser may in writing demand delivery within a final reasonable period which shall not be less than one week. If Van Mechelen does not deliver within such final period and this is not due to any circumstance for which the Purchaser is responsible, then the Purchaser may by notice in writing to Van Mechelen terminate the contract in respect of such part of the Product as cannot in consequence of Van Mechelen's failure to deliver be used as intended by the parties.If the Purchaser terminates the contract the Purchaser shall be entitled to compensation for the loss the Purchaser has suffered as a result of Van Mechelen's delay. The total compensation, including the liquidated damages which are payable under Clause 26, shall not exceed 7.5 per cent of that part of the purchase price which is attributable to the part of the Product in respect of which the contract is terminated. 30. Liquidated damages under Clauses 24, 25 and 26 and termination of the contract with limited compensation under Clause 29 are the only remedies available to the Purchaser in case of delay on the part of Van Mechelen. All other claims against Van Mechelen based on such delay shall be excluded, except where Van Mechelen has been guilty of gross negligence. In these General Conditions gross negligence shall mean an act or omission implying either failure to pay due regard to serious consequences, which conscientious supplier would normally foresee as likely to ensue, or deliberate disregard of the consequences of such act or omission. 31. If the Purchaser anticipates that the Purchaser will be unable to accept delivery of the Product at the delivery time, the Purchaser shall forthwith notify Van Mechelen in writing thereof stating the reason, and, if possible, the time when he will be able to accept delivery. If the Purchaser fails to accept delivery at the delivery time he shall nevertheless pay any part of the purchase price which becomes due on delivery, as if delivery had taken place. Van Mechelen shall arrange for storage of the Product at the risk and expense of the Purchaser. Van Mechelen shall also, if the Purchaser so requires, insure the Product at the Purchaser's expense. 32. Unless the Purchaser's failure to accept delivery is due to any such circumstance as mentioned in Clause 68, Van Mechelen may by notice in writing require the Purchaser to accept delivery within a final reasonable period. If, for any reason for which Van Mechelen is not responsible, the Purchaser fails to accept delivery within such period, Van Mechelen may by notice in writing terminate the contract in whole or in part. Van Mechelen shall then be entitled to compensation for all losses he has suffered by reason of the Purchaser's default. Prices 33. Unless otherwise agreed in writing, prices shall be stated in Euro and are exclusive of VAT. 34. Any price cited by Van Mechelen shall be based on the existing monetary conditions, labour costs, procurement prices, duties, taxes and other levies,

subsidies and the like prevailing at the time the contract concerned is concluded. In the event that one or more of this cost price components increase after conclusion of the contract but before the relevant Product has been delivered, Van Mechelen shall be entitled to pass on any reasonable price increase to the Purchaser. 35. Where Van Mechelen and the Purchaser agree to a price in US dollar and the US dollar exchange rate at the date of order confirmation deviate with 10% or more from the US dollar exchange rate current at the date of delivery, supplementary payment to resp. restitution by Van Mechelen shall have to be effected. Payment 36. Van Mechelen shall at all times have the right to demand full of partial payment in advance. As to all other sales, payment must be made by the Purchaser within 30 days after the relevant invoice date, unless otherwise agreed in writing, without any discount, suspension or claim of compensation. 37. Whatever the means of payment used, payment shall not be deemed to have been effected before Van Mechelen's account has been fully and irrevocably credited. 38. Payments shall be made in the currency of the Van Mechelen order confirmation. 39. If the Purchaser fails to pay by the stipulated date the Purchaser shall be deemed in default without the need for any notice of default or judicial intervention. From the day on which the payment was due the Purchaser shall be charged an interest of 8 percentage points above the rate of the main refinancing facility of the European Central Bank in force on the due date of payment as well as all of the expenses involved in collecting his debt, both judicial and extrajudicial . The extrajudicial costs owed will never be less than 15% of the sum to be collected subject to a minimum of EUR 300.--. 40. In case of late payment Van Mechelen may, after having notified the Purchaser, suspend her performance of the contract until Van Mechelen receives payment. If the Purchaser has not paid the amount due within two months Van Mechelen shall be entitled to terminate the contract by notice in writing to the Purchaser and claim compensation for all losses van Mechelen has incurred. 41. The entire purchase price shall fall due with immediate effect in the event that the Purchaser fails to effect timely payment or if the Purchaser goes bankrupt, is granted a suspension of payments, is placed in the care of a guardian, the Purchasers possessions are attached or in the event that the Purchasers business is liquidated or dissolved. 42. Upon or after entering into the contract and before its implementation, Van Mechelen will be entitled to demand a guarantee from the Purchaser that both the payment obligations and any other obligations arising from this contract will be fulfilled. Refusal by the Purchaser to provide the required security gives Van Mechelen the right to suspend Van Mechelens obligations and ultimately, without any notice of default or legal intervention, the right to dissolve the contract wholly or partially, without prejudice to the Purchasers right to compensation for any damages suffered by the Purchaser. Retention of Title (to German customers a different regulation applies, see Clauses 77-83) 43. Where delivery occurs before payment of the entire amount owed pursuant to the contract, the Product supplied shall remain the property of Van Mechelen until all that is owed for the supply of those Product, including any collection costs and interest, as well as any amount payable due to the Purchasers failure to comply with his obligations pursuant to this contract or any other, is paid in full. Purchaser receives the right of use from the date of receipt of the Product at the agreed Place of Delivery.
44. Until title to the Product passes to the Purchaser, the Purchaser shall not be entitled to transfer title to them to a third party, to tender them by way of security, to encumber or to pledge them, or to place them at the disposal of a third party in any other way. Nevertheless, the Purchaser shall be entitled to sell the Product in the normal conduct of his business. The Purchaser shall at all times help Van Mechelen exercise Van Mechelens right of ownership. As long as retention of title applies, the Purchaser shall have a duty to grant Van Mechelen access to the Purchasers buildings and premises. 45. When first so requested by Van Mechelen, the Purchaser shall be obliged to pledge to Van Mechelen any accounts receivable Van Mechelen acquires in respect of Product supplied by Van Mechelen which are subject to retention of title and have been sold to Van Mechelens buyers. Warranty and complaints 46. Pursuant to the provisions of Clauses 47-57 inclusive, Van Mechelen shall remedy any defect or nonconformity (hereinafter termed defect(s)) resulting from faulty design, materials or workmanship. 47. Van Mechelen's liability is limited to defects which appear within a period of one year after delivery unless otherwise agreed in writing. If the daily use of the Product exceeds that which is agreed, this period shall be reduced proportionately. 48. When a defect in a part of the Product has been remedied, Van Mechelen shall be liable for defects in the repaired or replaced part only, under the same terms and conditions as those applicable to the original Product as described in Clause 47. Term of liability will therefore not be extended for any other item or component than the repaired or replaced item. 49. The Purchaser shall within eight working days after the date of receipt of the Product report to Van Mechelen any visible and/or immediately observable defects. The Purchaser shall immediately after detection notify Van Mechelen in writing of any defects which appear in a later stage. Such notice shall under no circumstances be given later than within the time-limits set forth in clause 47. The notice shall contain a description of the defect and Van Mechelen must upon first request be given the opportunity to investigate the complaint. If the Purchaser fails to notify Van Mechelen in writing of a defect within the above mentioned time-limits, the Purchaser loses the Purchasers right to have the defect remedied. 50. In case the complaint is justified according to Van Mechelen, Van Mechelen shall, acting at Van Mechelens own discretion, either repair or replace the concerned Product or shall take back the defective Product according to the extent of the faulty delivery and credit the Purchaser (partially) for the purchase price. This credit note will be settled with any future deliveries. Repair shall be carried out, at Van Mechelen's own discretion, either at the premises of Van Mechelen or at the place where the Product is located. 51. If the Purchaser has given such notice as mentioned in Clause 49, and no defect is found for which Van Mechelen is liable, Van Mechelen shall be entitled to compensation of the costs Van Mechelen has incurred as a result of the notice. 52. The Purchaser shall at the Purchasers own expense arrange for any dismantling and reassembly of equipment other than the Product, to extent that this is necessary to remedy the defect. 53. Unless otherwise agreed in writing the transport costs arising out of the remedying of defects for which Van Mechelen is liable shall be borne by Van Mechelen only from and to the original place of delivery according to the applicable Incoterm. 54. Defective parts which have been replaced shall be made available to Van Mechelen and shall be Van Mechelens property. 55. Van Mechelen is not liable for defects arising out of materials provided by, or a design stipulated by the Purchaser. 56. Van Mechelen is liable only for defects which
appear under conditions of operation provided for in the contract and under proper use of the Product. Van Mechelen's liability does not cover defects which are caused by faulty maintenance or faulty repair by the Purchaser, or by alterations carried out without Van Mechelen's consent in writing. Finally Van Mechelen's liability does not cover normal wear and tear or deterioration. 57. Total expenses payable by Van Mechelen with regard to remedying any complaint by Van Mechelen shall at all-time be confined to the net invoice value of the Product concerned. In no event these expenses will exceed an amount of EUR 10,000.-- per complaint, whereby a series of related complaints will be considered as a single complaint. Returning the Product 58. The Product can only be returned to Van Mechelen after prior written permission has been obtained from Van Mechelen. 59. Taking back the Product by Van Mechelen will only be an option if it concerns a standard Product which is unused, undamaged and in new condition. In such case the Purchaser will be charged restocking costs of 25% of the contract price. Liability 60. Van Mechelen's liability is restricted to the fulfillment of the obligations under Clause 50. 61. Except in the case of legal liability pursuant to provisions of mandatory law and a deliberate act or omission, or gross negligence on the part of Van Mechelen, any liability of Van Mechelen for any damage, among which any direct or indirect damage, consequential damage or lost profits, is excluded. 62. Van Mechelen shall not be liable for any damage to property caused by the Product after it has been delivered and whilst it is in the possession of the Purchaser. Nor shall Van Mechelen be liable for any damage to products manufactured by the Purchaser, or to products of which the Purchaser's products form a part. This limitation of Van Mechelen's liability shall not apply where Van Mechelen has been guilty of gross negligence as defined in Clause 30. 63. The aggregate liability of Van Mechelen to the Purchaser under any theory or ground shall at all times be confined to the net invoice value of the Product concerned or to that part of the net invoice value to which a claim for compensation is directly or indirectly related. Total compensation for damage payable by Van Mechelen shall in no event exceed EUR 1,250,000.-- per event, whereby a series of related events will be considered as a single event. 64. The Purchaser shall indemnify Van Mechelen against any claim made by a third party in respect of which Van Mechelen is not liable under these terms and conditions. Intellectual property 65. Van Mechelen retains all rights related to the intellectual property of his Product, irrespective of whether costs for their design have been charged to the Purchaser. 66. The Purchaser is not permitted to modify all or part of any Product supplied, unless it concerns a private label delivery, the Purchaser shall not affix any other trademark to the Product, to use the relevant mark in any other way, or to register it in his own name. 67. The Purchaser shall indemnify Van Mechelen on infringement of intellectual property rights of third parties in case the Purchaser furnished itself any information, drawings or specifications to Van Mechelen in connection with the manufacture and delivery of the Product. Force Majeure 68. Either party shall be entitled to suspend performance of their obligations under the contract to the extent that such performance is impeded or made unreasonable onerous by any of the following

circumstances: industrial disputes and any other circumstance beyond the control of the parties such as fire, war, natural disaster, labour strike, extensive military mobilization, insurrection, requisition, seizure, embargo, restrictions in the use or no use of power and defects or delays in delivery by sub-contractors caused by any such circumstances referred to in this Clause. 69. The party claiming to be effected by Force Majeure shall notify the other party in writing without delay on the intervention and on the cessation of such circumstance. If Force Majeure prevents the Purchaser from fulfilling his obligations, the Purchaser shall compensate Van Mechelen for all expenses incurred in securing and protecting the Product. 70. Regardless of what might otherwise follow from these General Conditions, either party shall be entitled to terminate the contract by notice in writing to the other party if performance of the contract is suspended under Clause 68 for more than six months. Suspension and termination 71. In the event that the Purchaser fails to comply with his obligations pursuant to a contract into which the Purchaser has entered, or fails to do so properly or on time, if there are grounds to fear that this will occur, or in the event that the Purchaser applies for a suspension of payments, files for bankruptcy or liquidates his business, Van Mechelen shall be entitled to suspend or terminate the contract concerned without the need to give notice of default or for judicial intervention, and Van Mechelen shall not have a duty to provide any form of compensation. 72. Any claim on the part of Van Mechelen pertaining to a part of the contract which has already been executed, or harm suffered as a result of its suspension or termination, which shall be deemed to include loss of profit, shall fall due with immediate effect. 73. In case the Purchaser annuls delivery of Stock To Order Product after three days following Purchaser's order, Van Mechelen is entitled to charge 25% of the contract price. In case the Purchaser annuls delivery of Engineer To Order Product after eight days following Purchaser's order and no specific materials has been purchased, Van Mechelen is entitled to charge 10% of the contract price. In case the Purchaser annuls delivery of Engineer To Order
Product after eight days following Purchaser's order and any specific materials have already been purchased but the Product has not yet been assembled, 80% of the contract price shall be charged. In case the Purchaser annuls delivery of Engineer To Order Product after eight days following Purchaser's order and any specific materials have already been purchased and the Product has been assembled, Van Mechelen is entitled to charge 100% of the contract price. Applicable law and Disputes 74. These General Terms and Conditions and any contracts entered into by Van Mechelen shall be solely governed by and construed in accordance with the law of the Netherlands. The clauses 77-83 shall be solely governed and construed in accordance with German law. 75. In case of any dispute the competent court in 's-Hertogenbosch, the Netherlands, will be entitled to deal with the dispute unless Van Mechelen would elect to submit the dispute to competent courts elsewhere. 76. The provisions of Clause 75 leave intact the right of Van Mechelen to obtain a settlement by means of arbitration of the International Chamber of Commerce under the Rules of Conciliation and Arbitration of the International Chamber of Commerce by one arbitrator. The place of arbitration will be Amsterdam, the Netherlands. The arbitral procedure shall be conducted in the Dutch or English language. As a deviation from Clauses 43, 44 and 45 the following applies to German customers: Eigentumsvorbehalt 77. Das Eigentum an den gelieferten Waren bleibt zur Sicherung aller Ansprche vorbehalten, die uns aus der gegenwrtigen und knftigen Geschftsverbindung bis zum Ausgleich aller Salden gegen den Abnehmer und seine Konzerngesellschaften zustehen. Unser Eigentum erstreckt sich auf die durch Verarbeitung der Vorbehaltsware entstehende neue Sache. Der Abnehmer stellt die neue Sache unter Ausschluss des eigenen Eigentumserwerbs fr uns her und verwahrt sie fr uns. Hieraus erwachsen ihm keine Ansprche gegen uns.
78. Vorbehaltsware mit Ware anderer Lieferanten, deren Eigentumsrechte sich ebenfalls an der neuen Sache fortsetzen, erwerben wir zusammen mit diesen Lieferanten unter Ausschluss eines Miteigentumserwerbs des Abnehmers Miteigentum an der neue Sache, wobei unser Miteigentumsanteil dem Verhltnis des Rechnungswertes unserer Vorbehaltsware zu dem Gesamtrechnungswert aller mitverarbeiteten Vorbehaltswaren. 79. Der Abnehmer tritt bereits jetzt seine Forderungen aus der Verausserung von Vorbehaltsware aus unseren gegenwrtigen und knftigen Warenlieferungen mit smtlichen Nebenrechten im Umfang unseres Eigentumsanteils zur Sicherung an uns ab. 80. Bei Verarbeitung im Rahmen eines Werksvertrages wird die Werklohnforderung in hohe des anteiligen Betrages unserer Rechnung fr die mitverarbeitete Vorbehaltsware schon jetzt an uns abgetreten. Solange der Abnehmer seinen Verpflichtungen aus der Geschftsverbindung an uns ordnungsgem nachkommt, darf er ber die in unserem Eigentum stehende Ware im ordentlichen Geschftsgang verfgen und die an uns abgetretenen Forderungen selbst einziehen. 81. Bei Zahlungsverzug oder begrndeten Zweifeln an der Zahlungsfhigkeit oder Kreditwrdigkeit des Abnehmers sind wir berechtigt, die abgetretenen Forderungen einzuziehen und die Vorbehaltsware zurckzunehmen. 82. Scheck-/ Wechselzahlungen gelten erst nach Einlsung der Wechsel durch den Abnehmer als Erfllung. 83. Hinsichtlich der Vereinbarung von Eigentumsvorbehaltsrechten gilt ausschlielich deutsches Recht.

Inleiding 1. Deze algemene verkoop- en leveringsvoorwaarden zijn van toepassing op alle aanbiedingen en offertes gedaan, en alle overeenkomsten gesloten, door Van Mechelen Lifting Gear B.V. Van Mechelen stelt de Koper schriftelijk op de hoogte van de acceptatietesten, zulks voldoende tijdig dat de Koper zich bij de testen kan laten vertegenwoordigen, indien dit met de Koper is overeengekomen of van de Koper wordt gevraagd. 2. De toepasselijkheid van de algemene voorwaarden van de Koper of enige andere algemene voorwaarden is uitdrukkelijk uitgesloten. 3. Van deze algemene voorwaarden kan uitsluitend worden afgeweken met de uitdrukkelijke schriftelijke toestemming van Van Mechelen. 4. Voor zover deze Algemene voorwaarden tevens zijn opgesteld in een taal anders dan de Engelse, prevaleert, in geval van strijdigheid, de Engelse tekst altijd. 5. Waar in deze Algemene voorwaarden sprake is van de term 'schriftelijk' wordt hieronder verstaan bij door de partijen ondertekend document, of per brief, fax of elektronische brief, en op iedere andere wijze als door de partijen is overeengekomen. Aanbiedingen en het tot stand komen van een overeenkomst 6. Alle door Van Mechelen gedane aanbiedingen zijn vrijblijvend. 7. Een overeenkomst wordt van kracht wanneer Van Mechelen de opdracht schriftelijk heeft bevestigd. 8. Indien overeengekomen is dat betaling zal geschieden bij documentair accreditief, wordt de overeenkomst pas van kracht wanneer Van Mechelen het betreffende onherroepelijke (geconfirmeerde) documentair accreditief in overeenstemming met de UPC 600-regels schriftelijk heeft aanvaard. Het documentair accreditief zal door een door Van Mechelen vooraf goedgekeurde bank worden geopend, ten laatste vijf (5) werkdagen nadat Van Mechelen de bevestiging van de opdracht heeft verzonden, tenzij schriftelijk anders is overeengekomen. 9. Enige door een vertegenwoordiger van Van Mechelen gedane aanbieding of gemaakte belofte wordt pas bindend wanneer zij door Van Mechelen schriftelijk wordt bevestigd. Productinformatie 10. Alle in de algemene productinformatie en prijslijsten, elektronisch of anderszins, opgenomen informatie en gegevens zijn uitsluitend bindend voor zover zij uitdrukkelijk in de overeenkomst zijn opgenomen. Tekeningen en ontwerpen 11. Alle tekeningen en technische documentatie behorende bij een product of de fabricatie daarvan welke door een der partijen zijn geleverd aan de andere, zij het voor of na het sluiten van de overeenkomst, blijven het eigendom van de leverende partij. 12. De door een partij ontvangen tekeningen, technische documentatie en andere technische informatie zullen niet zonder toestemming van de leverende partij worden gebruikt voor enige andere toepassing dan die waarvoor zij waren geleverd. Het op een andere wijze gebruiken, kopiren, verveelvoudigen, of verzenden of communiceren aan een derde partij hiervan is slechts na toestemming van de leverende partij toegestaan. 13. Van Mechelen verschaft op verzoek en ten laatste op de dag van levering de informatie en tekeningen welke Koper benodigd om het Product te kunnen onderhouden. Van deze informatie en tekeningen worden het afgesproken aantal exemplaren ter beschikking gesteld, met een minimum van n exemplaar van elk. Van Mechelen is niet verplicht fabricagetekeningen van het Product of vervangende onderdelen te leveren. Acceptatietesten 14. Enige in de overeenkomst afgesproken acceptatietesten worden, tenzij anders overeengekomen, gedurende normale werktijden uitgevoerd op de plaats van fabricage. Indien de technische vereisten niet in de overeenkomst zijn gedetailleerd worden de testen uitgevoerd in overeenstemming met de gebruikelijke bedrijfspraktijk van de relevante sector in het land van fabricage. 15. Van Mechelen stelt de Koper schriftelijk op de hoogte van de acceptatietesten, zulks voldoende tijdig dat de Koper zich bij de testen kan laten vertegenwoordigen, indien dit met de Koper is overeengekomen of van de Koper wordt gevraagd. Indien de Koper niet vertegenwoordigd is, zal het testrapport aan Koper worden toegezonden en door de laatste als zijnde accuraat worden aanvaard. 16. Indien uit de acceptatietest blijkt dat het Product niet in overeenstemming is met de vereisten in de overeenkomst, verhelpt Van Mechelen alle gebreken om het Product alsnog in overeenstemming te brengen met de vereisten in de overeenkomst. Op Kopers verzoek worden daaropvolgend nieuwe testen uitgevoerd, tenzij het gebrek van weinig belang was. 17. Alle kosten (inclusief reiskosten en levensonderhoud) gemaakt door zijn vertegenwoordigers of enige derde partijen in het kader van dergelijke testen worden gedragen door de Koper. Levering 18. Opdrachten met een totale nettowaarde van de goederen die gelijk is aan of hoger is dan de maximumbedragen genoemd in de prijslijst en die geleverd dienen te worden in de Benelux worden geleverd Carriage Paid To, agreed port of destination (CPT, in overeenstemming met de versie van de Incoterms van kracht ten tijde van het aangaan van de overeenkomst). Opdrachten met een lagere waarde dan genoemde bedragen en die geleverd dienen te worden in de Benelux worden geleverd Free Carrier, Halsteren, Nederland (FCA, in overeenstemming met de versie van de Incoterms van kracht ten tijde van het aangaan van de overeenkomst). Opdrachten die geleverd dienen te worden buiten de Benelux worden geleverd Free Carrier, Halsteren, Nederland (FCA, in overeenstemming met de versie van de Incoterms van kracht ten tijde van het aangaan van de overeenkomst). 19. Voor opdrachten met een nettowaarde die lager is dan het minimumbedrag voor bestellingen zoals aangegeven in de meest recente prijslijst worden kleine orderkosten gerekend, zoals aangegeven in de meest recente prijslijst. 20. Het doen van deelleveringen is toegestaan. Iedere deellevering zal worden beschouwd als een aparte overeenkomst. Van Mechelen is gerechtigd betaling te eisen voor iedere deellevering alvorens over te gaan tot verdere levering. 21. Het door de Koper niet of niet tijdig voldoen aan zijn betalingsverplichting heeft tot gevolg dat de leveringsverplichting van Van Mechelen wordt opgeschort. Leveringstermijn Vertraging 22. Indien partijen geen leveringsdatum hebben vastgesteld maar een termijn aan het einde waarvan levering plaats dient te vinden, vangt deze termijn aan nadat de overeenkomst is afgesloten, alle formaliteiten zijn afgehandeld, betalingen te verrichten bij tijde van het afsluiten van de overeenkomst zijn gedaan, alle overeengekomen waarborgen zijn gegeven en aan alle overige voorwaarden is voldaan. 23. Indien Van Mechelen verwacht niet in staat te zijn het Product op de leveringsdatum te leveren stelt Van Mechelen de Koper hiervan onverwijld schriftelijk op de hoogte en vermeldt hierbij de oorzaak en, indien mogelijk, de verwachte levertijd. 24. Indien het Product niet is geleverd op de leverdatum (als genoemd in artikel 22) heeft de Koper recht op vooraf gefixeerde schadevergoeding met ingang van de datum waarop de levering had moeten zijn gedaan, tenzij de vertraging in de levering het gevolg is van overmacht (als genoemd in artikel 68) of van een handelen of nalaten van de zijde van de Koper. 25. Indien het Product niet is geleverd op de leverdatum heeft de Koper recht op vooraf gefixeerde schadevergoeding met ingang van de datum waarop de levering had moeten zijn gedaan, echter slechts dan wanneer het recht op dergelijke schadevergoeding uitdrukkelijk schriftelijk is overeengekomen en is opgenomen in deze overeenkomst. De schadevergoeding bedraagt 0,3 procent van de aankoopprijs voor iedere week waarin levering is vertraagd. 26. De te betalen schadevergoeding bedraagt maximaal 3,0 procent van de aankoopprijs. Indien slechts een deel van de levering is vertraagd, wordt de schadevergoeding berekend over dat deel van de aankoopprijs in overeenstemming met dat deel van het Product dat, als gevolg van de vertraging, niet voor het door de partijen beoogde doel kan worden gebruikt. 27. De schadevergoeding wordt betaalbaar nadat Koper haar schriftelijk heeft gevorderd, maar niet voordat volledige levering is gedaan of de overeenkomst is ontbonden in overeenstemming met artikel 29. 28. De Koper verspeelt zijn recht op schadevergoeding indien hij deze niet binnen zes maanden na de datum waarop levering had moeten worden gedaan, schriftelijk heeft gevorderd. 29. Indien de vertraging in levering dusdanig lang heeft aangehouden dat de Koper gerechtigd is de maximale schadevergoeding, als bepaald in artikel 26, te vorderen en het Product nog altijd niet geleverd is, is de Koper gerechtigd schriftelijk alsnog levering te vorderen binnen een fatale redelijke termijn, welke termijn tenminste een week zal bedragen. Indien Van Mechelen niet binnen deze fatale termijn levert en de niet-levering het gevolg is van enige oorzaak buiten de verantwoordelijkheid van de Koper, is de Koper gerechtigd bij schriftelijke aanzegging de overeenkomst te ontbinden voor dat deel van het Product dat als gevolg van de nietlevering door Van Mechelen niet voor het door de partijen beoogde doel kan worden gebruikt. Indien de Koper de overeenkomst ontbindt is hij gerechtigd tot vordering van schadeloosstelling voor de verliezen geleden als gevolg van de vertraging van de zijde van Van Mechelen. De totale schadeloosstelling, inclusief de vooraf gefixeerde schadevergoeding als bepaald in artikel 26, bedraagt ten hoogste 7,5 procent van dat deel van de aankoopprijs in overeenstemming met dat deel van het Product ten aanzien waarvan de overeenkomst is ontbonden. 30. Vooraf gefixeerde schadevergoeding als bepaald in artikelen 24, 25 en 26 en ontbinding van de overeenkomst met beperkte schadeloosstelling onder artikel 29 vormen de uitsluitende vormen van genoegdoening waarop de Koper aanspraak kan maken in geval van vertraging van levering van de zijde van Van Mechelen. Eventuele andere vorderingen op Van Mechelen als gevolg van dergelijke vertraging worden uitgesloten, tenzij Van Mechelen zich schuldig heeft gemaakt aan grove nalatigheid. Binnen deze Algemene voorwaarden wordt onder grove nalatigheid verstaan ieder handelen of nalaten strekkende tot het nalaten te achten op ernstige gevolgen die een zorgvuldig leverancier in de regel zou verwachten te ontstaan,

dan wel bewuste veronachtzaming van de gevolgen van een dergelijk handelen of nalaten. 31. Indien de Koper verwacht niet in staat te zijn het Product op de leveringsdatum in ontvangst te kunnen nemen stelt hij Van Mechelen hiervan onverwijld schriftelijk op de hoogte en vermeldt hierbij de oorzaak en, indien mogelijk, de verwachte datum waarop de levering kan worden ontvangen. Indien de Koper nalaat de levering op de leverdatum in ontvangst te nemen is hij desalniettemin gehouden tot betaling van dat deel van de aankoopprijs dat betaalbaar wordt bij de tijd van levering als had levering plaatsgevonden. Van Mechelen zal zorg dragen voor de opslag van het Product, zulks voor het risico en op kosten van de Koper. Indien de Koper hierom verzoekt, zal Van Mechelen tevens het Product op kosten van de Koper verzekeren. 32. Tenzij het onvermogen van de Koper om de levering in ontvangst te nemen het gevolg is van enige in artikel 68 genoemde omstandigheid is Van Mechelen gerechtigd bij schriftelijke aanzegging van de Koper te eisen de levering binnen een redelijke termijn in ontvangst te nemen. Indien de Koper nalaat de levering binnen die termijn in ontvangst te nemen als gevolg van enige oorzaak buiten de verantwoordelijkheid van Van Mechelen, is Van Mechelen gerechtigd middels schriftelijke aanzegging de overeenkomst geheel of gedeeltelijk te ontbinden. In dat geval is Van Mechelen gerechtigd schadeloosstelling te vorderen voor alle verliezen geleden als gevolg van het nalaten van de Koper. Prijzen 33. Tenzij schriftelijk anders is overeengekomen worden prijzen opgegeven in euro en zijn exclusief BTW. 34. Iedere door Van Mechelen opgegeven prijs is gebaseerd op het monetair beleid, de arbeidskosten, de inkoopprijs, accijnzen, belastingen en andere heffingen, subsidies en dergelijke zoals zij waren ten tijde van het afsluiten van de betreffende overeenkomst. Indien, volgend op het afsluiten van de overeenkomst, maar voordat het betreffende Product is geleverd, n of meer van deze kostprijscomponenten toeneemt/toenemen, is Van Mechelen gerechtigd een redelijke prijsverhoging door te berekenen naar de Koper. 35. Indien Van Mechelen en de Koper een prijs overeenkomen in Amerikaanse dollar en de wisselkoers van de Amerikaanse dollar bij tijde van de bevestiging van de opdracht met 10% of meer afwijkt van de wisselkoers op de leverdatum, zal Van Mechelen aanvullend uitbetaald worden dan wel restitutie verlenen. Betaling 36. Van Mechelen zal te allen tijde gerechtigd zijn gehele of gedeeltelijke betaling vooraf te eisen. Voor wat betreft alle andere verkoop dient betaling door de Koper plaats te hebben gevonden binnen 30 dagen na de desbetreffende factuurdatum, tenzij schriftelijk anders overeen is gekomen, zonder aftrek, opschorting of verrekening van schadeloosstelling. 37. Ongeacht de wijze van betalen wordt betaling pas geacht te zijn voldaan indien het bedrag volledig en onherroepelijk op de rekening van Van Mechelen is bijgeschreven. 38. Betalingen worden gedaan in de valuta gesteld in Van Mechelens opdrachtbevestiging. 39. Indien betaling niet is geschied bij de vastgestelde datum, wordt de Koper, zonder dat nadere ingebrekestelling of rechterlijke tussenkomst vereist is, geacht in verzuim te zijn. Met ingang van de datum waarop betaling geschied diende te zijn is de Koper een rente verschuldigd ter hoogte van de basisherfinancieringsrente gesteld door de Europese Centrale Bank van kracht op de datum waarop betaling geschied diende te zijn plus 8 procentpunten, alsmede vergoeding van alle gerechtelijke en buitengerechtelijke incassokosten.
De verschuldigde vergoeding voor de buitengerechtelijke kosten bedraagt tenminste 15% van de uitstaande som, en bedraagt minimaal 300,-. 40. In geval van niet-tijdige betaling is Van Mechelen, na de Koper overeenkomstig genformeerd te hebben, gerechtigd nakoming van de overeenkomst op te schorten tot betaling verkregen is. Indien de Koper het uitstaande bedrag na twee maanden niet heeft betaald, is Van Mechelen gerechtigd middels schriftelijke aanzegging aan de Koper de overeenkomst te ontbinden en schadeloosstelling voor alle geleden verliezen te vorderen. 41. Indien de Koper niet tijdig betaalt, in staat van faillissement komt te verkeren, hem surseance van betaling wordt gegund, hij onder curatele wordt gesteld, beslag wordt gelegd op zijn eigendommen of indien zijn bedrijf wordt geliquideerd of ontbonden, wordt de volledige aankoopsom ineens opeisbaar. 42. Bij tijde van of volgend op het sluiten van de overeenkomst, maar voordat zij wordt uitgevoerd, is Van Mechelen gerechtigd van de Koper een zekerheid te eisen dat de Koper zijn betalings- en andere verplichtingen uit hoofde van de overeenkomst na zal komen. Weigering van de Koper om de gevraagde zekerheid te verstrekken geeft Van Mechelen het recht om nakoming van zijn verplichtingen op te schorten en, uiteindelijk, om de overeenkomst geheel of gedeeltelijk te ontbinden, zonder dat ingebrekestelling of rechterlijke tussenkomst vereist is, en zulks onverminderd het recht van de Koper om schadeloosstelling voor geleden schade te vorderen. Eigendomsvoorbehoud (voor Duits klanten gelden regels, zie artikelen 77-83) 43. Indien levering plaatsvindt voordat het volledige krachtens de overeenkomst verschuldigde bedrag betaald is, blijft het geleverde Product het eigendom van Van Mechelen tot het volledige bedrag verschuldigd voor levering van het Product, inclusief incassokosten en rente, alsmede eventuele bedragen verschuldigd als gevolg van het niet-nakomen van de Koper met zijn verplichtingen uit hoofde van deze of enige andere overeenkomst, is betaald. De Koper behoudt het recht het Product te gebruiken met ingang van de datum van ontvangst van het Product op de overeengekomen plaats van levering. 44. Tot het moment dat het recht van eigendom over het Product overgaat op de Koper is de Koper niet gerechtigd dit recht van eigendom over te dragen aan een derde, het Product af te geven als zekerheid, het te bezwaren of verpanden of het op enige andere wijze beschikbaar te stellen aan een derde. De Koper is desalniettemin gerechtigd het Product in het kader van zijn normale bedrijfsuitoefening te verkopen. De Koper zal te allen tijde Van Mechelen bijstaan in het uitoefenen van zijn eigendomsrechten. Zolang het recht van retentie aanhoudt is de Koper verplicht Van Mechelen toegang te verschaffen tot zijn panden en terreinen. 45. Koper is verplicht om op eerste verzoek van Van Mechelen alle vorderingen op door Van Mechelen geleverd Product waar het recht van retentie op rust en die aan klanten van Van Mechelen zijn verkocht, te verpanden. Garantie en klachten 46. Krachtens het bepaalde in artikelen 47-57 verplicht Van Mechelen zich alle gebreken of nonconformiteiten (hierna te noemen: de gebreken) die het gevolg zijn van ontwerp-, materiaal- of constructiefouten te verhelpen. 47. De aansprakelijkheid van Van Mechelen is beperkt tot gebreken die zich voordoen binnen de periode van n jaar na levering, tenzij schriftelijk anders is overeengekomen. Indien het dagelijks gebruik van het Product meer is dan was overeengekomen, wordt de periode van aansprakelijkheid naar rato verminderd.
48. Indien een gebrek in een deel van het Product is verholpen is Van Mechelen uitsluitend voor gebreken in het gerepareerde of vervangen deel onder dezelfde voorwaarden als die krachtens artikel 47 opgaan voor het originele Product aansprakelijk. De aansprakelijkheidstermijn wordt dus niet dan voor het gerepareerde of vervangen onderdeel of component verlengd. 49. De Koper dient Van Mechelen binnen acht werkdagen na de datum van ontvangst van het Product alle zichtbare en/of onmiddellijk waarneembare gebreken te melden. De Koper dient enig gebrek dat in een later stadium bemerkt wordt onverwijld na de ontdekking schriftelijk aan Van Mechelen te melden. In alle gevallen zal deze melding gedaan worden binnen de termijnen vastgesteld in artikel 47. De melding dient een omschrijving van het gebrek te bevatten en Van Mechelen dient op eerste verzoek in de gelegenheid worden gesteld de klacht te onderzoeken. Indien de Koper nalaat Van Mechelen binnen de gestelde termijn schriftelijk op de hoogte te stellen van een gebrek verbeurt hij zijn recht de gebreken te doen herstellen. 50. Indien naar het oordeel van Van Mechelen de klacht gegrond is, zal Van Mechelen, naar eigen inzicht, ofwel het Product repareren of vervangen, ofwel dat deel van het Product dat niet in goede staat geleverd is terugnemen en de Koper de aankoopprijs (gedeeltelijk) terugbetalen. Deze terugbetaling wordt verrekend met enige toekomstige leveringen. Naar eigen inzicht van Van Mechelen worden reparaties ofwel op het terrein van Van Mechelen uitgevoerd, ofwel op de plaats waar het Product zich bevindt. 51. Indien de Koper een melding als bedoeld in artikel 49 heeft gedaan en geen gebrek waarvoor Van Mechelen aansprakelijk is wordt aangetroffen heeft Van Mechelen het recht vergoeding te vorderen voor de als gevolg van de melding gemaakte kosten. 52. De Koper draagt voor eigen kosten zorg voor de ontmanteling of wederopbouw van alle apparatuur niet zijnde het Product, voor zover dit nodig is om het gebrek te verhelpen. 53. Tenzij anders is overeengekomen worden de transportkosten verbonden aan het verhelpen van gebreken waarvoor Van Mechelen aansprakelijk is uitsluitend door Van Mechelen gedragen voor zover het transport van en naar de oorspronkelijke plaats van levering, in overeenstemming met de toepasselijke Incoterm, betreft. 54. Vervangen gebrekkige onderdelen worden ter beschikking gesteld aan Van Mechelen en zijn het eigendom van Van Mechelen. 55. Van Mechelen is niet aansprakelijk voor gebreken die het gevolg zijn van door de Koper geleverde materialen of ontwerpen. 56. Van Mechelen is slechts aansprakelijk voor gebreken die optreden bij correct gebruik van het Product en het gebruik ervan volgens de gebruiksvoorwaarden vastgesteld in de overeenkomst. De aansprakelijkheid van Van Mechelen strekt niet tot gebreken die het gevolg zijn van gebrekkig onderhoud of gebrekkige reparatie uitgevoerd door de Koper, of van ingrepen uitgevoerd zonder hiervoor Van Mechelens schriftelijke toestemming te hebben verkregen. Noch strekt de aansprakelijkheid van Van Mechelen tot gebreken als gevolg van normale slijtage. 57. De totale door Van Mechelen te maken kosten voor het verhelpen van een gebrek zullen in alle gevallen beperkt blijven tot de netto factuurwaarde van het Product. In geen geval zullen de kosten 10.000,00 per klacht overstijgen. Een reeks verwante klachten zal als n klacht worden aangemerkt. Retourneren van het Product 58. Het Product kan uitsluitend worden geretourneerd naar Van Mechelen nadat schriftelijke toestemming hiertoe is verkregen van Van Mechelen. 59. Het Van Mechelen doen terugnemen van een

Product is uitsluitend mogelijk wanneer het een standaard Product betreft, dat ongebruikt en onbeschadigd is en in nieuwstaat verkeert. In een dergelijk geval wordt de Koper een vergoeding voor heropname in de voorraad gerekend van 25% van de in de overeenkomst vastgestelde prijs. Aansprakelijkheid 60. De aansprakelijkheid van Van Mechelen strekt uitsluitend tot het voldoen aan de verplichtingen uit hoofde van artikel 50. 61. Anders dan in geval van wettelijke aansprakelijkheid bij of krachtens bepalingen van dwingend recht, of van opzet of grove nalatigheid aan de zijde van Van Mechelen, wordt iedere aansprakelijkheid van Van Mechelen voor enige geleden schade, waaronder mede begrepen alle direct of indirecte schade, gevolgschade en bedrijfsschade, uitgesloten. 62. Van Mechelen is niet aansprakelijk voor enige schade toegebracht aan enig eigendom door het Product nadat het is geleverd en zich in het bezit van de Koper bevindt. Noch is Van Mechelen aansprakelijk voor schade aan door de Koper gefabriceerde producten of aan producten waarvan de producten van Koper een onderdeel vormen. Indien Van Mechelen zich schuldig heeft gemaakt aan grove nalatigheid zoals benoemd in artikel 30, is deze beperking van de aansprakelijkheid van Van Mechelen niet van toepassing. 63. De totale aansprakelijkheid van Van Mechelen op de Koper zal in ieder geval beperkt zijn tot de netto factuurwaarde van het betreffende Product of dat deel van de netto factuurwaarde waarop een vordering tot schadevergoeding direct of indirect betrekking heeft. De totale waarde van de door Van Mechelen te betalen schadevergoeding zal in geen geval 1.250.000,00 per incident overschrijden, waarbij een reeks samenhangende incidenten als n incident zal worden beschouwd. 64. De Koper vrijwaart Van Mechelen jegens alle vorderingen van derden waarvoor Van Mechelen uit hoofde van deze voorwaarden niet aansprakelijk is. Intellectueel eigendom 65. Van Mechelen behoudt alle intellectuele eigendomsrechten op zijn Product, ongeacht of enige kosten bij de Koper in rekening zijn gebracht voor hun ontwerp. 66. Het is de Koper niet toegestaan het Product volledig of gedeeltelijk aan te passen. Tenzij er sprake is van een levering van een eigen merk is het de Koper niet toegestaan enig ander handelsmerk op het Product aan te brengen, het betreffende merk op enige andere wijze te gebruiken, of het onder zijn eigen naam te registreren. 67. Indien de Koper zelf in verband met de fabricage en levering van het Product Van Mechelen van informatie, tekeningen of instructies heeft voorzien, vrijwaart de Koper Van Mechelen van aansprakelijkheid ten aanzien van enige inbreuk op de intellectuele eigendomsrechten van derden. Overmacht 68. Elk der partijen is gerechtigd nakoming van hun verplichtingen uit hoofde van deze overeenkomst op te schorten indien nakoming wordt verhinderd of onredelijk wordt bezwaard door enig van de volgende omstandigheden: Arbeidsgeschillen en andere omstandigheden die buiten de macht van de partijen om gelegen zijn, zoals brand, oorlog, natuurrampen, werkstakingen, uitgebreide militaire mobilisatie, opstand, rekwisitie, beslag, embargo, beperkingen in het gebruik van elektriciteit of het wegvallen van elektriciteit, en gebreken of leveringsvertragingen door onderaannemers als gevolg van enig in dit artikel genoemde omstandigheid. 69. De partij die stelt in een situatie van overmacht te zijn doet onverwijld de andere partij schriftelijk melding van het optreden en tot einde komen van een dergelijke omstandigheid.
Indien een overmacht situatie de Koper verhindert zijn verplichtingen na te komen vergoedt hij Van Mechelen voor alle onkosten die Van Mechelen maakt ter bewaring en veiligstelling van het Product. 70. De overige bepalingen van deze Algemene voorwaarden niettegenstaande is elk der partijen gerechtigd de overeenkomst te beindigen middels schriftelijke melding aan de andere partij indien uitvoering van de overeenkomst langer dan zes maanden op grond van artikel 68 is opgeschort. Opschorting en beindiging 71. Indien de Koper zijn verplichtingen voortkomend uit een door hem aangegane overeenkomst niet, niet juist of niet tijdig nakomt, indien er gegronde reden is zulks te vermoeden, of indien the Koper een verzoek indient tot surseance van betaling, faillissement aanvraagt of zijn onderneming liquideert, is Van Mechelen gerechtigd zonder ingebrekestelling of rechterlijke tussenkomst de desbetreffende overeenkomst op te schorten of te beindigen, en zal op hem geen verplichting rusten enige schadevergoeding te betalen 72. Enige vordering van Van Mechelen met betrekking tot een deel van de overeenkomst dat reeds is uitgevoerd of tot schade geleden als gevolg van de opschorting of beindiging, waaronder mede wordt begrepen winstderving, is terstond opeisbaar. 73. Indien de Koper een levering van Stock To Order Product later dan drie dagen volgend op zijn opdracht annuleert, is Van Mechelen gerechtigd 25% van de overeengekomen prijs te vorderen. Indien de Koper een levering van Engineer To Order Product later dan acht dagen volgend op zijn opdracht annuleert en geen specifieke materialen zijn ingekocht, is Van Mechelen gerechtigd 10% van de overeengekomen prijs te vorderen. Indien de Koper een levering van Assemble To Order Product later dan acht dagen volgend op zijn opdracht annuleert en Van Mechelen reeds materialen heeft ingekocht maar het Product nog niet heeft gemonteerd, is Van Mechelen gerechtigd 80% van de overeengekomen prijs te vorderen. Indien de Koper een levering van Engineer To Order Product later dan acht dagen volgend op zijn opdracht annuleert en Van Mechelen reeds materialen heeft ingekocht en het Product reeds heeft gemonteerd, is Van Mechelen gerechtigd 100% van de overeengekomen prijs te vorderen. Toepasselijk recht en Geschillen 74. Op deze Algemene voorwaarden en enige overeenkomsten aangegaan door Van Mechelen, en de uitleg hiervan, is uitsluitend Nederlands recht van toepassing. Op artikelen 77-83 en de uitleg hiervan is uitsluitend Duits recht van toepassing. 75. In geval van enig geschil is de Rechtbank in 'sHertogenbosch, Nederland, bevoegd recht te spreken, tenzij Van Mechelen ervoor kiest het geschil aan een bevoegde rechtbank elders voor te leggen. 76. Het in artikel 75 bepaalde laat onverlet het recht van Van Mechelen om tot een schikking te komen middels arbitrage door de Internationale Kamer van Koophandel, onder de Arbitrageregels van de Internationale Kamer van Koophandel, door n arbiter. De plaats van arbitrage zal zijn gelegen in Amsterdam, Nederland. De arbitrageprocedure zal worden gevoerd in de Nederlandse of Engelse taal. Voor Duitse klanten is in afwijking van artikelen 43, 44 en 45 het volgende van toepassing: Eigentumsvorbehalt: 77. Das Eigentum an den gelieferten Waren bleibt zur Sicherung aller Ansprche vorbehalten, die uns aus der gegenwrtigen und knftigen Geschftsverbindung bis zum Ausgleich aller Salden gegen den Abnehmer und seine Konzerngesellschaften zustehen. Unser Eigentum erstreckt sich auf die durch verarbeitung der Vorbehaltsware entstehende neue Sache. Der Abnehmer stellt die neue Sache unter Ausschluss des Eigenen Eigentumserwerbs fr uns her und verwahrt sie fr uns. Hieraus erwachsen
ihm keine Ansprche gegen uns. 78. Vorbehaltsware mit Ware anderer Lieferangen, deren Eigentumsrechte sich ebenfalls an der neuen Sache fortsetzen, erwerben wir zusammen mit diesen Lieferanten unter Ausschluss eines Miteigentumserwerbs des Abnehmers Miteigentum an der neue Sache, wobei under Miteigentumsanteil dem Verhltnis des Rechnungswertes unserer Vorbehaltsware zu dem Gesamtrechnungswert aller mitverarbeiteten Vorbehaltswaren. 79. Der Abnehmer tritt bereits jetzt seine Forderungen aus der Verausserung von Vorbehaltsware aus unseren gegenwrtigen und knftigen Warenlieferungen mit smtlichen Nebenrechten im Umfang underer Eigentumsanteils zur Sichering an uns ab. 80. Bei Verarbeitung im rahmen eines Werksvertrages wird die Werklohnforderung in Hohe des anteiligen Betrages unserer Rechnung fr Geschftsverbindung an uns ordnungsgem nachkommt, darfer ber die in unserem Eigentum stehende Ware im ordentlichen Geschftgang verfgen und ie ans uns abgetretenen Forderungen selbst einziehen. 81. Bei Zahlungsverzug oder begrndeten Zweifeln an der Zahlungsfhigkeit oder Kreditwrdigkeit des Abnehmers sind wir berichtigt, die abgetretenen Forderungen einzuziehen und die Vorbehaltsware zurckzunehmen. 82. Scheck-/ Wechselzahlungen gelten erst nach Einlsung der Wechsel durch den Abnehmer als Erfllung. 83. Hinsichtlich der Vereinbarung von Eigentumsvorbehaltsrechten gilt ausschlielich Deutsches Recht.
