    TERMS & CONDITIONS

    1. Prices : The Total is Inclusive of All taxes (If the taxes are revised, the
    taxes will be applicable as per the rate at the time of billing).

    2. Payment : 100% advance payment with order. Purchase Order to be raised on


    “Carmel Infotech Solutions, Chennai”.

    Bank of Baroda, Mogappair Branch, Chennai.

    3. Delivery : 1 week from the date of receipt of purchase order with payment.

    4. Freight : To our account.

    5. Validity : Till this Month.

    6. Disputes : All disputes will be subject to Chennai jurisdiction.

    7. Delivery : Delivery of the software licenses will be in electronic form only. No


    physical certificate or media will be provided. The quoted prices are only
    product transfer prices, and do not include installation, training, and
    deployment or troubleshooting.
    8. Cancellation : The right to use the software licenses is solely based on prompt
    payment as per the payment terms defined above. Failure to meet the
    payment terms will result in the vendor/distributor automatically
    cancelling/terminating the electronic licenses, along with
    cancellation/termination charges of 15% of the order value.
    9. TDS : TDS (Tax Deduction at Source) is exempted for computer software
    as per the Income Tax NOTIFICATION NO. 21/2012 [F.No.142/10/2012-
    SO (TPL)] S.O. 1323(E), DATED 13-6- 2012 .We will give the declaration in
    the original invoice itself while delivering the license.
