ARBITRATION CLAUSE
In case of any dispute or breach of contract between the parties, the dispute shall be referred
to an arbitrator.

1. In the event of a dispute, each party shall within (seven) days from the date of the
dispute, appoint one arbitrator. The two arbitrators shall with mutual consent appoint
a third arbitrator within 15 (fifteen) days from the date of their appointment. The
arbitrator appointed by the parties shall possess the characteristics as described in
schedule-1 of the Agreement.

2. The parties agree to submit their dispute, controversy, claim or difference to


arbitration for resolution.

3. The seat of Arbitration shall be in New Delhi, India.

4. The Arbitrator shall be appointed from the panel of arbitrators of India Dispute
Resolution Centre, DIAC.

5. Indian Dispute Resolution Centre shall administer the arbitration in accordance with
its rules.

6. The award rendered shall be final and binding upon both the parties.

7. The arbitration proceedings shall be conducted in English
