NPA Deployment – Bronze Package

This Service Description Document sets forth the implementation services (the “Services”) and related
terms for purchase of the NPA Deployment - Bronze Package (SKU NK-PS-NPA-BNZ) that Netskope Inc.,
or one of its certified services providers, delivers to the customer for initial activation of the Netskope Private
Access (NPA) subscription service.

Specific task responsibilities, dependencies, and timelines in line with this Services Description Document
will be set out in a project plan mutually agreed between Customer and Netskope upon project kickoff.

Package Summary
Netskope Private Access (NPA), a Zero Trust Network Access (ZTNA) solution connects authenticated
users to private resources in data centers and public cloud environments. The NPA Deployment - Bronze
Package provides services to support the customer’s NPA deployment project including assistance with
the following:
1. Solution deployment for Windows and Apple Macintosh endpoint platforms.
2. Up to 10 Private Application and Private Application-based policies operational using up to 4
Netskope Publishers spread in multiple locations with a highly performant and redundancy
approach.
3. Activation designed for up to 5,000 users, providing support for up to 3 production pilot groups.

4. Deployment deliverables (HLD and As-Built document).
5. Ongoing customer knowledge transfer.

Package Activities
Netskope will provide assistance for the customer activities listed below. For all activities, the customer is
responsible for all aspects of its network and environment, and for configuration of the Netskope tenant,
including access controls.

1. Conduct technical design workshops to understand and confirm customer's requirements, and to
discuss the deployment of the Netskope solution in accordance with best practices.
2. Project technical documentation:
a. New customers only: create an HLD document that becomes an As-Built document at the
end of the project.
b. Existing customers only: update an existing As-Built document with the NPA design
information that will become the new As-Built document at the end of the project.
3. Assist customer to deploy appropriate steering methods in a phased approach:
a. Netskope Client to Test and Pilot Windows devices (excluding Windows phone), Apple
Macintosh devices (new customers only).
4. Assist customer to steer Private Applications traffic from users to their destination through
Netskope’s NewEdge cloud.
5. Assist customer to deploy and configure the Netskope NPA solution:
a. Up to 4 Netskope Publishers.
b. Up to 10 Private Applications
c. Up to 10 Private Application-related access policies, including Private Application
discovery applications.
6. Validate the NPA solution for up to 5,000 users and up to 3 production pilot groups.
7. Provide ongoing knowledge transfer to the teams designated by the customer.

Package Outcomes
Expected outcomes resulting from collaboration between the customer and Netskope are listed below.

1. Netskope NPA solution deployed, validated and functional for up to 3,000 users.
2. As-Built document available to the customer.
3. Customer ready for the Adoption and Operationalization of the Netskope NPA solution.

Package Exclusions
The following limitations and constraints should also be noted regarding delivery of the Services:
● Remote work will occur between Monday – Friday, 9am – 5pm customer’s local time, excluding
public holidays.

● Onsite work (if applicable and agreed) will be performed Monday – Friday, 9am – 5pm
Customer’s local time, excluding public holidays, unless otherwise specified by Customer.
● Work performed outside these hours as requested or required by the Customer may incur
additional Service charges.
● Services kickoff and scheduling will be planned within 2 weeks of Netskope receiving the
purchase order to allow resourcing of Netskope project resources.
● Netskope will use commercially reasonable efforts to ensure continuity of consulting resources
throughout the duration of this project. Where this is not practical Netskope will ensure
appropriate technical handover is carried out in conjunction with Customer.

Duties and Responsibilities

Netskope Duties and Responsibilities


1. Host Discovery and Design sessions.
2. Project technical documentation:
a. New customers only: Create an HLD document using Netskope's template that becomes
the As-Built document at the end of the project.
b. Existing customers only: Update the existing As-Built document using Netskope's template
with the NPA design information. The document will become the new As-Built document at
the end of the project.
3. Provide guidance for deployment and configuration of:
a. Netskope Client for Windows devices (excluding Windows phone), Apple Macintosh
devices using supported software distribution tools or email invitations (new customers
only).
b. Up to 3 Steering Configurations in the Netskope administration interface to steer Private
applications to Netskope using customer directory groups/OUs.
c. Up to 4 Netskope Publishers.
d. Up to 10 Private Applications, including Private Application discovery applications.
e. Up to 10 Private Application-related access policies.
4. Contribute to the NPA solution Activation validation for up to 5,000 users and up to 3 production
pilot groups.
5. Provide ongoing knowledge transfer to the customer teams designated by the customer.

Customer Duties and Responsibilities

Customer General Duties and Responsibilities

Customer acknowledges that Netskope’s ability to perform the Services is dependent upon the customer’s
timely provision of information, access, resources and personnel in accordance with the agreed schedule,
including the following customer responsibilities:

1. Before the engagement begins


a. Preparation work which may be necessary
b. Teams / people time aligned for the project
2. Customer will designate technical resource(s) with whom the Netskope Services engineer can
coordinate technical activities and address progress and change associated with this effort.
3. Customer technical resource(s) are scheduled and available for the duration of the project.
4. While onsite delivery of Services is not typically necessary, should it be required, Customer will
provide suitable workspace and necessary access for Netskope staff and equipment. Customer
may incur additional service charges for onsite delivery services unless onsite delivery is reflected
in the Services purchase order.
5. Customer supports Netskope’s access, typically via remote screen sharing, to Customer computer
systems, devices, and network as necessary to perform the Services.
6. Replies to all document requests and other information are timely.
7. Customer will identify and inform, as needed, a group of users and devices for a pilot. These
devices should represent a diverse subset of Customer’s business functions.

Customer Technical Duties and Responsibilities

1. Attend and contribute to the Discovery and Design sessions.


2. Review, provide feedback and approve Netskope’s HLD and As-Built documents.
3. Deploy NPA steering methods:
a. Netskope Client for Windows devices (excluding Windows phone), Apple Macintosh
devices using supported software distribution tools or email invitations (new customers
only).
4. Configure NPA, including:
a. Up to 3 Steering Configurations to steer Private applications to Netskope using customer
directory groups/OUs.
b. Up to 4 Netskope Publishers.
c. Up to 10 Private Applications, including Private Application discovery applications.
d. Up to 10 Private Applications related access policies.
5. Validate the NPA solution Activation.
6. Designate the teams that need to get the Netskope knowledge transferred during the deployment
of the solution.

Terms and Conditions
● The Services are subject to the terms and conditions of the Netskope Master Subscription
Agreement available at https://www.netskope.com/subscription-terms/. If Netskope and the
customer have executed a master services agreement or other agreement applicable to the
performance of implementation services by Netskope, then the terms of such agreement shall
apply. In the event of a conflict, the terms and conditions herein shall control.
● Netskope must receive a purchase order prior to scheduling or initiating the Services. The Services
will be invoiced upon receipt of purchase order for the Services. Payments are not subject to refund,
cancelation or acceptance.
● Services are performed remotely unless otherwise agreed by the customer and Netskope. Any
associated travel and expenses for on-site work will be billed to the customer. Onsite workshop
associated with the Services may be purchased as a separate SKU.
● The term of the Services under this package shall commence on Netskope’s receipt of purchase
order and terminates on the earlier to occur of (i) the completion of the Services or (ii) the date
which is 150 days after Netskope’s receipt of the purchase order for Services (the “Package Term”).
Customer will be notified by email when Netskope believes the Services have been completed.
Netskope is not obligated to provide any Services after termination of the Package Term; Services
not completed within the Package Term are considered expired and forfeited. A new purchase
order may be required for any services provided after the Package Term.
