Dear Director, RE: Supply of EFB (Empty Fruit Bunch.) Pursuant to our discussions and the information we have exchanged, we are entering into this Letter Agreement under which Sdn Bhd shall supply EFB (Empty Fruit Bunch) to Sdn Bhd. The purpose of this letter agreement is to confirm certain agreements and understandings of the principal terms and conditions we have reached with respect to the supply of EFB (Empty Fruit Bunch). The parties acknowledge and agree that, except as otherwise expressly set forth herein, the terms and conditions of this Letter Agreement shall govern Sdn Bhds supply of EFB (Empty Fruit Bunch) to Sdn Bhd (on an interim basis pending the registration of the purpose-meant company.) TERMS AND CONDITIONS

1. The Purchase Price of RM8.00 per metric ton.


2. The Supply Period for Ten (10) years.

3. The Purchase Volume of 3,000 - 3,500 metric ton per month. 4. The Purchase Volume shall include a Buffer Amount of 20% of the Purchase
Volume at the expense of solely Sdn Bhd; due to moisture, dust and stones hidden in EFB ex-mill.

5. The fresh EFB shall be pressed for a Second (2nd) round to reach moisture
content levels at or below 50%. 6. Sdn Bhd shall provide a shaded area for storage of processed fresh EFB; in order to avoid exposure to sun and rain. 7. Sdn Bhd shall accept Sdn Bhd as the appointed agent to supply and sell the processed fresh EFB to Sdn Bhd at the agreed purchase volume and purchase price.

8. Sdn Bhd shall grant permission to Sdn Bhd to station two (2) manual workers in the mills EFB area for loading purposes as and when deliveries are to be made.

9. The tentative commencement date of purchase shall be July 2012. The


effective commencement date of purchase shall be subject to adjustment based upon agreement between Sdn Bhd and Sdn Bhd; which may be reached after this letter agreement has been concluded and signed. 10. Sdn Bhd and Sdn Bhd accept that market dynamics, which may arise, may lead to changes in the purchase price and the amount purchased. 11. The standard default and termination provisions contained in a commercial contract shall constitute a default under the letter agreement; hence entitling the injured party to terminate the agreement, and to seek appropriate damages. 12. Any modification, amendment or waiver of any provision of this letter agreement shall be valid and effective only if in writing and signed by both parties. Please sign where indicated below to indicate your acceptance of and agreement to the terms and conditions set forth above on behalf of Sdn Bhd.
