POLICY ON ACCELERATION
OF TOLL ROAD DEVELOPMENT

1. To prepare financial feasibility analysis, feasibility


study and environmental impact analysis study for
toll road tender investment
2. To conduct an open and transparent toll road tender
investment
3. To provide draft Concession Agreement which is
more “bankable” and “investor friendly”
4. To assist and facilitate land acquisition process with
Revolving Fund mechanism conducted by Public
Service Agency (Badan Layanan Umum), which is
being discussed with Ministry of Finance.

Indonesia Toll Road Authority
(Badan Pengatur Jalan Tol)
On 28 June 2005, according to Ministry of
Public Works Regulation no. 295/PRT/M/2005,
the Indonesia Toll Road Authority was set up as a
non structural agency under the Minister and be
responsible to the Minister

BPJT Tasks (1)
• To recommend initial tariff and tariff adjustment to the Minister;

• To takeover toll road development rights following the expiry of the


concession period, and to recommend further operation thereof to the
Minister;

• To takeover of temporary toll road development right that has failed


starting with the concession, for re-tendering of the development;

• To make preparations for the toll road development right which include
analysis of financial feasibility, feasibility study, and preparation of
environment impact assesment;

• To seek investment in toll roads through transparent and open tenders;

BPJT Tasks (2)
• To assist in the land acquisition process if there is
guarantee of availibility of fund from the Enterprise
and to prepare the mechanism of the use thereof;

• To monitor the activities of planning and execution


of construction works as well as the operation and
maintenance of toll roads by the Enterprise; and

• To supervise the Enterprise of the fulfillment of all the


obligations under the toll road development
agreements and to report the results thereof
periodically to the Minister.

™ 133 investor companies/association/embassy representative have taken the prequalification document
™ Nationality of the candidates : Indonesia, China, Australia, Korea, Malaysia, Sweden, Germany and India
™ Prequalification of tender investment Batch II is followed by 16 Consortiums from Indonesia, Malaysia, India,
Korea and Australia, while the PQ result has been announced on 20 January 2006
™ Medan – Binjai and Cileunyi – Sumedang toll road have no bidder on tender Batch 1 and 2
™ Tender process is planned to start in February 2006, however it is being suspended due to the draft Concession
Agreement has not been approved by the Committee of Risk Management, MoF (Tender Document is ready
to deliver)

Subsequent Action (from Tender Batch 1)

• Programs for Medan–Binjai and Cileunyi–Sumedang, which


has no Bidder on Tender Batch 1 and 2:
– Review on technical and financial feasibility. The result
will be taken into consideration on the next plan.
– If the result is not feasible, the following actions can be
considered:
• Government subsidize on part of investment cost
• Construction by Government, Operation and Maintenance will
be tendered for Business Entity
• Review on other funding scheme; bundling with other
investment to increase feasibility
• Suspension of construction until the project feasible.

Concession Agreement (Previous)
• CA was not ‘bankable’ from the investor point of view due to:
– Risk sharing between Government and Investor was unbalance
– Government default was not adequately addressed
– Not based on international best practice
– High risk on the Lenders

Concession Agreement (New)


– Optimal Risk sharing
– Default by Private Sector will be severely penalized
– Default by Government will be adequately compensated
– Lenders protected based on actual ‘value of work’
– Based on international best practice
– It requires endorsement of Ministry of Finance

Bankable Offer vs Bankable Project
BANKABLE OFFER
– The offer must meet international best practice
– The offer must meet market’s expectation
– The must be procured correctly

BANKABLE PROJECT
– The project’ feasibility must be clear and correct
– The project must have benefit cost analysis

Summary of Risk Allocation in New CA:
– Liabilities can arise at different stage
– Overall exposure to Government not base on simple
aggregation of liabilities
– Many of the liabilities are mutually exclusive
– Some liabilities are a consequence of Government wish
to retain control over outcomes – e.q. toll tariff
adjustment

New Concession Agreement; Conclusion:

– Risk allocation is consistent with international best


practice
– Fair trade offs between avoidance of risk and
commercially viable and bankable CA
– Except for Government default, liabilities can be limited
or managed
– MoF should endorse the new CA but control its usage
bay being selective on the project that it can be used for
