EMPLOYMENT AGREEMENT

October 14, 2020

Dear Jenerose Conejo Suson,

We are pleased to offer you employment with TeleTech Customer Care Management Philippines Inc.
(“TeleTech”) for the position of 26008.CSR II. Information about your position is contained in Schedule
“1”.

This offer is made to you on the following terms and conditions subject to you being certified as medically
fit for employment by our medical practitioner and the completion of satisfactory reference and
background or police checks and submission of pre-employment requirements as required under Section
7 of this Agreement. You consent to allow TeleTech to use any information you provide to conduct
reference check and any other background checks.

1. COMMENCEMENT AND STATUS OF EMPLOYMENT

Your appointment to the position shall commence on October 22, 2020.

For At Home employees, TeleTech reserves the right to conduct technical assessment before or
immediately after the above start date. The Parties agree that the said technical assessment shall not be
considered as compensable time.

Should you fail to commence work on October 22, 2020 (or for At Home employees, you cannot
commence work due to failure to satisfy or complete or meet minimum logistical or technical requirements
for a Work From Home Arrangement), this offer shall be of no force and effect and your employment will
not take effect without any further notice.

You will be on probation for a period of 180 days. During the probationary period, the normal workweek
will consist of 40 hours as determined by the Company spread over four, five or six days per week and
may vary from time to time depending on the needs of the Company. Regular rest days are expected not
to always fall on a Saturday or Sunday.

During this probationary period, you will be working with the Company on a trial basis and your
conversion to permanent status will be determined on the basis of such standards as: satisfactory work
performance, product training, and other training program requirements, acceptable attendance records
and reliability metrics, your work attitude, ability to work harmoniously with others, compliance with
Company rules and regulations, Code of Conduct, Code of Discipline, Ethics Code and Company values
and the terms of this employment, among others as well as professional and operational requirements of
the position and the Company made known to you on or at the time of employment.

At any time during this probationary period, your services can be terminated for just or authorized causes
provided by law or your failure to meet the program-related or job specific training requirements
discussed with you at the time of your employment.

2. TRAINING

As part of your employment, you may be required by the Company to secure training outside of the
Philippines. The terms and conditions of your training shall be in a Training Services Agreement. You
agree to be bound by the terms of the Training Services Agreement.

3. SALARY AND BENEFITS

Information about your salary and benefits are contained in Schedule “2”

4. AGREED HOURS OF WORK

Your hours of work will be forty hours a week as determined by the Company, within Monday to Sunday.
Given the expectations of hours of operation of the work in the Philippine Service Delivery Center, your
workday may not necessarily be during core business hours. It is also expected that, due to the nature of
our business, from time to time you may be required to work occasional additional hours. Moreover, for
business reasons, the Company may direct you to take authorized time-off by giving you prior notice
within a reasonable period, and you agree to comply with such directive. The duration of the time-off may
vary, from less than one hour to more than one day.

5. ASSIGNMENT AND TRANSFER OF EMPLOYMENT AGREEMENT

In the event that TeleTech may undergo corporate restructuring, your employment contract may be
assigned and transferred to the new office. The terms and conditions of your employment prevailing at
the time of your transfer and the length of service that you have accrued under this agreement, however,
will not be affected by the transfer and, as such, you consent to the assignment and transfer. Likewise,
you agree that the Company shall have the right to assign unilaterally its rights, interests and privileges in
this agreement to another party. You consent to any future or subsequent transfer of your employment to
another party. TeleTech also reserves the right to assign you to related companies.

6. RESTRICTIVE COVENANTS

a. You agree to abide by all Company rules and regulations. You agree to devote all working hours to
the Company and to refrain, during your employment with the Company, from working for another
employer or engaging in other business, whether within or outside of your working hours, without the prior
written consent of the Company.

b. You agree and understand that all records and documents of the Company and all information,
including salary details, whether electronic or otherwise, pertaining to its business or affairs shall be kept
in the strictest confidence, and that no unauthorized disclosure or reproduction of the same shall be made
by you at any time during or after your employment with the Company, unless with prior authority.
Furthermore, you agree that all Company records, documents and property in your custody or control
shall be immediately surrendered to the Company upon cessation of your employment.

c. All systems, computer programs, disks or other storage media, operating instructions and all other
documentation whether in electronic form or otherwise developed, relating to the business of the
Company are strictly Company property and may not be removed from Company premises, reproduced
or otherwise copied without prior authority from the Company.

d. You expressly agree that after the cessation of your employment with the Company for whatever
reason, you will not for a period of ONE YEAR thereafter, be engaged or interested, directly or indirectly,
either as a principal, agent, employee, consultant, contractor or in any other capacity, in any business or
undertaking in the same line of business as the Company or which may compete in any manner with the
Company in the Philippines in the same province or region as the Company. You shall likewise not
canvass or solicit business from any person who was a client of the Company, unless that person is
already an existing client of your new employer prior to your assumption of employment. It is likewise
prohibited to employ or attempt to employ or engage in any discussion or negotiation or assist in the
employment of any person who was employed by the Company at the date of the cessation of your

employment or who was so employed at any time during the three (3) months preceding your
employment in order to engage in any business that directly or indirectly competes with the Company’s
business.

e. You expressly agree that, after reasonable notice, your employment may be converted from part-time
employment to full-time employment or from full-time employment to part-time employment based on
business needs.

f. The Company shall have the maximum and sole discretion permitted by law to modify, amend or
otherwise change all company policies, plans and benefit programs, including, but not limited to, the
Company's medical plan and provider. You agree to be bound by all such modifications, amendments
and/or changes.

7. TERMINATION

a. Any breach of the foregoing covenants, direct or indirect, shall constitute sufficient grounds for
termination for cause. In addition, you will be liable for liquidated damages in the amount of P500,000.00
for any and all such breach of the confidentiality and competition clauses of this agreement without
prejudice to other reliefs, penal or otherwise, available in accordance with law.

b. You may be terminated for any of the sufficient causes as provided for by law or for violation of
Company Rules and Regulations including the Code of Conduct, Code of Discipline, Ethics Code and
Company values. In case of resignation, one-month advanced notice in writing must be submitted to the
Company which one month period shall counted from written acknowledgment from the Company of the
resignation notice.

c. As a condition of continued employment, all newly hired employees must present to TeleTech Talent
Acquisition (TA) within five (5) working days from date of hire, or from the period prescribed in a notice of
submission of the below requirements including undergoing Pre-Employment Medical Exams (whichever
is applicable) the following requirements:

SSS Number Birth Certificate


Taxpayer Identification Number Marriage Certificate (if Married)
PhilHealth number NBI Clearance
HDMF/Pag Ibig Number Police Clearance

In addition, your failure to present or submit any of the requirements within the given period constitutes a
breach of the employment contract and may result in the termination of this employment agreement or
may subject you to disciplinary action for non-compliance with pre-employment requirements.

Should your employment be terminated for cause or should you resign from the Company prior to the
expiration of 180 days from date of employment, you shall be held liable for the processing fees/costs
incurred by the Company in securing your reference background checks to the amount of at least Php
500.00. You expressly agree that: (a) such processing fees/costs incurred by the Company in securing
your pre-employment reference background checks to the amount of at least Php 500.00 and (b) any
other unpaid or pending obligations you have to the Company, monetary or otherwise (e.g., value of
unreturned company property that may have been assigned or entrusted to your care or custody), at the
time of the termination of your employment for any reason or cause, will become due and demandable
after three (3) days from your last day of employment without need of demand from the Company. Your
failure to satisfy any of your accountability after it has become due and demandable may result to
compensation by operation of law, and you expressly authorize the Company to make the necessary
deductions from the salary, bonuses and any other amounts or benefits that may be due to you, to effect
settlement or payment of your unpaid or pending obligations. This is without prejudice to the right of the
Company to effect settlement or payment of your obligations through other legal means should the salary,
bonuses and any other amounts or benefits due to you be insufficient to cover your unpaid or pending
obligations.

d. Prior to termination, you agree to hand over to TeleTech all materials belonging to the Company,
including, but not limited to notes, correspondence, documents, client lists, records, databases, programs,
and program-related data which relate to the Company or the work done in the course of your
employment.

TeleTech prides itself on the advanced technologies and equipment that we are able to provide our
employees for their daily work. In order to protect these systems from viruses or accidental corruption, we
require that every employee agree to be bound and comply with the relevant policies and guidelines on
technology and information security.

You further agree to assign to TeleTech the entire right, title and interest in and to any copyright and other
intellectual property rights which you develop in the course of your employment with the Company.

You will also be provided access to TeleTech's policies, procedures and guidelines. It is a condition of
your employment that you become familiar with and comply with these policies, procedures and
guidelines.

Please confirm your acceptance of this offer of employment by signing in the appropriate space below
and returning the duplicate copy of this letter within 14 days from the above-mentioned date after which
time this offer expires.

SCHEDULE 1 – Details of Position and Working Arrangement
This schedule forms part of your Employment Agreement with TeleTech

Position Title and Account / Line of Business

You will be employed as Customer Service Representative II for T-Mobile GenCare.

Classification

Your Position is classified as NON-EXEMPT and with job code 26008.

Reporting Arrangements

You will report to the TEAM LEAD during your employment with TeleTech.

Work Location

Your work location shall be:

At the Pampanga Delivery Site with address at Building 4, SM City Pampanga, Lagundi, Mexico City,
Pampanga 2021.

or

[At Home work location].

TeleTech also reserves the right or may assign you to transfer you to a Delivery Sites or require you to
work from home or vice versa with reasonable notice as business exigencies may require. The terms and
conditions of your transfer shall be in a Transfer Agreement or an At Home Agreement, as applicable.
However, regardless of your designated work location, TeleTech may from time to time, require you to
report to a different Delivery Site in accordance with the business requirements.

SCHEDULE 2 – Salary and Benefits
This schedule forms part of your Employment Agreement with TeleTech

Salary

Your compensation package, which will be deposited directly into a payroll bank account with the
Company's nominated bank, shall be a monthly base salary amounting to PHP 10,000.00.

After completion of one month of service, you will also be entitled to receive the legally mandated 13th
month pay computed on a pro-rata basis.

You shall be entitled to a night differential pay equivalent to 20% of your hourly rate if you work between
10:00 p.m. and 6:00 a.m.

You will be eligible for overtime pay and holiday pay in accordance with the law.

Account-Based Premiums

Client Premium of PHP 0 per month (taxable)


Skills Premium of PHP 2,000 per month (taxable)

It is understood that your entitlement to the above account-based premium is a grant from the T-
Mobile Program and not from Teletech. As such, notwithstanding its inclusion above, it is agreed that
the Account Based Premiums do not form part of your salary that you are contractually entitled to
but shall be considered as a Program gratuity. As such, the said account based premium may be
discontinued or revised should the Program discontinue or revise the grant thereto. In addition, the grant
of the Account Based Premium shall not be considered an established practice or precedent and shall not
form part of those due and demandable under this Agreement.

It is also understood that the entitlement of the account based premium is subject to the condition
that you are exclusively assigned to the T-Mobile Program. Should you transfer to another
account for any reason, your entitlement to the account-based premium shall immediately cease
upon your first day in the new account without need for further notice.

Incentives

TeleTech may grant a Transportation incentive (primarily working onsite) or Telecommuting incentive
(primarily working At Home) depending on the assigned location of the employee as stated in Schedule 1
of this Agreement or as stated in a Transfer Agreement.

It is also understood that the entitlement to the:


1. Transportation Incentive is subject to the condition that you are exclusively assigned to an Onsite
Facility; or
2. Telecommuting Incentive is subject to the condition that you are on a documented At Home work
arrangement.

Should you transfer to another work location upon Management’s initiative or upon your written request,
your entitlement to the incentives shall be converted or shall immediately correspond to the above
described incentive type.

Variable Benefits

Medical insurance and group life insurance coverage after 3 months of consecutive service

Notwithstanding the above salary and allowances, it is agreed that any variable benefit under this
section does not form part of your salary that you are contractually entitled to but shall be
considered as a gratuity. TeleTech reserves the right to discontinue or revise at any time and at its
sole discretion any variable benefit. In addition, the grant of the variable benefits shall not be
considered an established practice or precedent and shall not form part of those due and
demandable under this Agreement.

Payment Schedule

Your compensation is payable every 10th and 25th of each month, which shall commence upon your
effective date of employment.

Paid Time Off

Upon completion of 3 months of employment you will be eligible to use your accrued Paid Time Off in
accordance with the following schedule:
