Dear Mr. Umair Riaz,

1. Objective

The objective of this Agreement is to establish clear guidelines and expectations for the
employee to ensure a smooth transition and maintain the integrity of the Company's
relationships, both internal and external when needed.

This Agreement ("Agreement") is entered into on November 12, 2024, between Digital
Genei, hereinafter referred to as the "Company," and Umair Riaz, hereinafter referred to as
the "Employee."

2. Terms

1. No Contact with Employees:

The Employee agrees not to initiate contact with any current employees of the Company for
any official matters following the termination of employment.

2. No Interference with Clients:

The Employee agrees not to interfere with any client relationships established by the
Company. This includes, but is not limited to, refraining from contacting, soliciting, or engaging
in any activities that may adversely affect the Company's client relationships following the
termination of employment.

3. No Interference in Social Media, Emails, and Work:

The Employee agrees not to interfere with the Company's operations, including but not limited
to, refraining from engaging in any activities on social media, emails, or any other platforms
related to the Company's business following the termination of employment.
4. No Negative Communication:

The Employee agrees not to engage in any form of negative communication, including but not
limited to, making any form of derogatory statements, backbiting, or spreading false
information about the Company, its employees, or clients.

5. Confidentiality Obligations:

The Employee acknowledges and reaffirms their obligation to maintain the confidentiality of
any proprietary or confidential information obtained during their employment with the
Company.

6. Return of Company Property:

The Employee agrees to promptly return all company property, including but not limited to,
electronic devices, documents, and any other materials, upon the termination of employment.

7. Acknowledgment of Understanding:

By signing this Agreement, the Employee acknowledges that they have read, understood, and
agree to abide by the terms and conditions outlined herein.

8. Governing Law:

This Agreement shall be governed by and construed by the laws of Pakistan.

IN WITNESS WHEREOF, the parties hereto have executed this agreement on the _12th_
