Neural Web Internship Agreement

Welcome to Neural web! We are excited and grateful for you to join us!
This Internship Agreement ("Agreement") is effective as of Ap 1 2024 ("Effective Date"), by and between Neural
Web LLC, located at 205 Bob O Link Dr, Southlake TX – 76092 ("Company"), and Dhwani Bhandari, located in
India ("Independent Contractor - Intern"). This contract will prevail until Sep 30, 2024, with an option for renewal
upon mutual agreement and may be terminated by either party with a one-week notice at any time. Based upon
the performance of the intern, this agreement could be converted into a full-time professional role.
1. Title and Services. The Independent Contractor - Intern will perform the role of a Data Engineer &
Scientist, reporting to Sai Teja Macharla. The role might include the following activities:
a. Analyze high-level problem statements and refine them into detailed requirements.
b. Conduct the necessary data analysis (EDA, etc.), determine appropriate algorithms/techniques
based on the problem statement, and build, train, test & deploy models in dev/test/production.
c. Follow instructions from team lead and program leadership
d. Collaborate with the team and other data scientists, data engineers and data analysts towards the
goal, including performing assigned tasks, seeking and incorporating feedback
e. Attend necessary team and client meetings to discuss and present work.
2. Internship Expectations:
a. The Company adopts an Agile methodology, with expectations for:
i. Weekly planning sessions and daily brief stand-ups to discuss questions and progress.
ii. Regular problem-solving discussions.
iii. Bi-weekly sprint reviews for demonstrating work and receiving feedback, with a separate
process for bug reporting and tracking.
b. The Independent Contractor - Intern will use Company-owned accounts for all external tools and
submit developed code weekly, with an agreement not to reuse the code for any other clients.
c. The Independent Contractor - Intern is expected to work remotely for approximately 40 hours each
week.
3. Compensation. The Independent Contractor - Intern will receive $150 per month for approximately 40
hours of work.
4. Expenses. All costs and expenses incurred by Independent Contractor - Intern in connection with the
performance of the Services including but not limited to internet bills, premium plugins, and computer
devices shall be the sole responsibility of and paid by Independent Contractor - Intern.
5. Term and Termination. This Agreement allows for termination by either party with a one-week written
notice. Upon termination, the Independent Contractor - Intern is obliged to hand over all project-related
materials.
6. Independent Contractor - Intern. It is agreed that the Independent Contractor - Intern is engaged as an
independent entity and not as an employee, without authority to bind the Company or entitlement to
employee benefits. The Company is exempt from paying taxes or withholdings on behalf of the
Independent Contractor - Intern.Nothing contained in this Agreement shall be deemed or construed by
the Parties to create the relationship of a partnership, a joint venture or any other fiduciary relationship.
7. Confidential and Non-Disclosure. In the course of performing the Services, Independent Contractor -
Intern will be exposed to confidential and proprietary information of Company. “Confidential Information”
shall mean any data, documents, tools and conversations written or verbal & shall not disclose or use in
any manner, directly or indirectly, any Confidential Information either during the term of this Agreement or

at any time thereafter, except as required to perform the Services or with Company’s prior written
consent.
8. Non-Compete. Independent Contractor - Intern agrees and covenants that during the term of this
Agreement, and for a period of 24 months following the termination of this Agreement, Independent
Contractor - Intern will not, directly or indirectly, perform or engage in the same or similar activities as
were performed for Company for any business that is directly or indirectly in competition with Company.
9. Governing Law. The terms of this Agreement and the rights of the Parties hereto shall be governed
exclusively by the laws of the State of Texas, without regarding its conflicts of law provisions.
10. Disputes. Disputes arising from this Agreement shall first seek resolution through mediation, followed by
binding arbitration in accordance with the American Arbitration Association, if necessary.
