DEED OF SALE
- IN FAVOUR OF -
AND WHEREAS, the LAND OWNERS are the absolutes and lawful owners of ALL
THAT piece and parcel of a plot of land measuring 3(rhree) Kathas - to.o3(Ten Point
Zero Three) Lechas (9.37 Are) Approx, out of total land measuring t(One) Bigha -
z(Two) Kathas - o.o6(Zero Point Zero Six) Lechas (t8.75 Are) covered by Dag No. z156 of
K.P. Patta No. 813, Class of Land : 3'o Class Trade Placel situated at Revenue Village - z
No. Japorigog, under Mouza - Beltola, under Dispur Revenue Circte, in the district -
Kamrup (Metro) Assam and land is fully and specifically described in the ,SCHEDULE -
Att hereunder and for the sake of brevity hereafter called and referred to as the

AND WHEREAS, by virtue of the aforesaid DEVELOPMENT AGREEMENT and
POWER OF ATTORNEI the LANDOWNEB-S have allotted their aforesaid lands to the
VENDOR / SELLER for the development of the SCHEDULE - A PROPERTY to carry the
construction of new R.C.C. Building(s) thereon and also sellitransfer the constructed
UNITS with parking and proportionate share in land and common area to sell the
constructed flat/unit to the intending PURCHASER(S).
AND WHEREAS, the PURCHASER(S), having learnt the intention of the VENi-rr-rR,

requirement, approached and on being satisfied about the right, title and interest of the
VENDOR in the SCHEDULE - A PROPERTY and the permissions for construction, maps
and plans, other needed documents approved by the authority and understood the
limitations and obligations in respect thereof, knowing fully well every aspect, entered
into a registered AGREEMENT FOR SALE bearing Serial No. , Deed No.
Dated- - , registered at Sub-Registrar Office (Metro) Kamrup at
Guwahati with the VENDOR to purchase the SCHEDULE - C PROPERW with full
knowledge and subject of all bye laws / notification and rules applicableito be applicable
in the area in general and the VENDOR agreed to sell/transfer and convey the SCHEDULE
- C PROPERTY herein at a fair and reasonable price of Rs. /- (Rupees
only offered and
accepted by the parties herein as consideration against the SCHEDULE - C PROPERTY
for construction of the flat / unit / shop / office / constructed space through the vendor
with undivided indivisible proportionate share / right in the portion of the SCHEDULE -
'Ar PROPERTY TOCETH ER WITH parking space and with right of entitlement to enjoy the
common areas and amenities by the PURCHASER(S) against payment with other
PURCHASER(S) and VENDOR. The consideration however does not include local or
central taxes as applicable, GST or any other charges/duties which may be levied by the
Covt. or any other competent authority at any time hereafter.
AND WHEREAS, the PURCHASER(S) undertook to get the flat i unit / shop /
office I constructed space mentioned in the SCHEDULE - C PROPERTY constructed
through the VENDOR as per agreed specifications and terms of his/hey'their aforesaid
Agreement and from time to time made payments towards reimbursement of the cost

of materials, labour charges etc, required to get the flat / unit / shop / office /
constructed space built up and duly completed same to the satisfaction of the
PURCHASER(S) and the aforesaid flat / unit / shop / office / constructed space was
constructed within due time and the PURCHASER(S) have visited aforesaid flat / unit 1
shop / office / constructed space hereby sold in this Deed of Sale and the PURCHASER(S)
have gone through with all the construction quality and material as constructed by the
VENDOR and the PURCHASER(S) upon becoming fully satisfied about the construction
work and its quality and specification which has been constructed as per sanctioned
plan of the concerned authority and also handed over all the keys of the flat / unit / shop
/ office i constructed space to the PURCHASER(S), further the PURCHASER(S) have
accepted the possession of flat(s) without any objection claims whatsoever without any
undue influence and coercion and the Vendor had received the total consideration of
Rs. /- (Rupees
) only from the PURCHASER(S).
AND WHEREAS, now the PURCHASER(S) want to get the DEED OF SALE
executed in his/her/their favour as he/she/they have paid the total agreed consideration
towards THE SCHEDULE - C PROPERTY. The PURCHASER(S) have got SCHEDULED - C
PROPERTY constructed by the VENDOR at his/her/their cost and expenses and the
PURCHASER(S) have reimbursed said cost to the VENDOR, receipt of which he/sheithey
acknowledge. Upon payment of full and final consideration amount this DEED OF SALE
is being executed by the VENDOR in favour ofthe PURCHASER(S).
AND WHEREAS, in these present the pronoun "He', "She','' His', I'Her', and "it',
shall mean and be construed to have been used to mean any person (male/female),
lirr rt, Conrpanv or-any otlrcr lcgal cntity capablc of holding propcrty. "!ingular "shall
include the "Plural" and vice versa, if content so admits.
3. That the vENDoR hereby further covenant with the PURCHASER(s) that the
vENDoR shall extend full support to execute, perform or cause to be done,
executed and performed all such further acts, deeds and things and writings
whatsoever for further and more perfectly conveying and assuring the said
ScHEDULE - c PROPERTY unto and to the use of the pURCHASER(s), as shall or

That the PURCHASER(S) shall have the absolute and exclusive right, title and
interest over the SCHEDULE - c PROPERTY and shall be entitled to sell,
mortgage, transfer, exchange, gift, let out, alienate for valuable consideration
or otherwise the same and other construction related therewith along with the
rights and obligations mentioned in this DEED oF sALE as well as in the
aforesaid registered agreement and the PURCHASER(S) shall be entitled to
convey the same right, title and interest to any person(s), before taking prior
permission from the Association / scciety and subject to the terms and
conditions of this Deed of Sale and the referred Agreement.
6. That the right of. use of the PURCHASER(S) over the matters described herein
shalt be commori 'M'tfi the vENDoR and/or dther person deriving title from the
vENDoR and/or owners or occupiers of other flats / units / thops / offices i
constructed spaces in the said building mentioned in the S(HEDULE - c
PROPERTY such as comn:lon entrances and lift, water reservoirs, Drains,
Sewerage;'sanitaryrtanks, joining of pipelines, electric lines, other common
passages pertainihI thereto and such other facilities as may be installed / started
in due course by sharing the proportionate cost with other co-pURCHASER(S).

papers, document as might be necessary for the formation and registration of
the Association / Society. lt is made clear that upon the formation of Association
/ Society and assuming charges, the builder will be absolved of all the
responsibilities of overseeing the management of the common areas and
facilities. However, the Vendor will be an ex-officio member of the governing
board of the Association / 5ociety for all time to come. Till the Association /
Society is not formed or if formed, not working, the Vendor or its authorised
agent shall take charge, control and supervision of the maintenance of common
areas and amenities.
9. That all the maintenance shall be looked after by the flat / unit / shop / office /
constructed space owners jointly or by forming a flat / unit / shop / office /
constructed space owner's Association / Society and the PURCHASER(S) will
share all ,suih expenses in proportion to the super-built-up area/built-up
area/carpet area purchased by him/her/them.

That for all intent and purposes the PURCHASER(5) shall have the right to use

the last roof/terrace jointly with the other PURCHASERS/OWNERS/OCCUPIERS.
12. That the PURCHASER(S) shall never be allowed to dismantle demolish, and/or
destroy andior part with any portion or roof, floor of the SCHEDULE - C
PROPERTY, beams, pillars etc and/or cause any type of damage to the main
structure of the Blocks of the buildine.
13. That the PURCHASER(S) shall use the SCHEDULE - C PROPERTY ONLY for
RESIDENTIAL PURPOSE.
That saves and except the flat / unit / shop / office / constructed space hereby
purchased by the PURCHASER(S) from the VENDOR, the PURCHASER(S) shall
have no claim on all or any open space, lobbies, staircases, terraces, common
areas, which shall remain within the control of the VENDOR/ Association /
Society.
15. The Municipal Tax, urban tax, etc livable an^{ payable for the PURCHASER's flat /
uttit/ shop I office / constructed space togetherwith electric billshall be payable
by the PURCHASER(S) from the date of hisiher/their occupation together rvith
electric charges. The PURCHASER(S) shall have to pay the land revenue for
his/her/their undivided proportionate share in the land over which the
SCHEDULED - C PROPERTY is constructed to the revenue authority/ies thror-rgh
the VENDOR or ag€nts or through the Association/Society to be formed for the
p urpose.
17. That in case of any dispute, the Association / Society formed by all the occupants
of the buiJding including the VENDOR will have the right to decide the dispute
and the decision of the Association / Society will be final and binding on all the
owners/occupants of each flats / units / shops / offices / constructed spaces.
18. The PURCHASER(S) agrees to pay regularly every month to the VENDOR until
the respective flats i units / shops / offices / constructed spaces are not
separately assessed, an amount equivalent to the proportionate share of ground
rent, municipal taxes etc, for remittance by the VENDOR on account of the said
M ulti-Storied Building complex to CMC/CM DA and also proportionate amount of
outgoing expenses and maintenan(e charges in respect of the said Block
mentioned in the SCHEDULE - C PROPERTY from the date of transfer to the
PURCHASER(s) by the VENDOR.

19. The PURCHASER(S) agrees that, in case any security or other deposit is
demanded either by the CMC / CMDA or A.P.D.C.L. for the purpose of giving
water and electric connection to the said Block mentioned in the SCHEDULE - C
PROPERTY and other deposits as may be demand lawfully by any other local
body or authority, the PURCHASER(s) shall contribute proportionately to meet
such demand on receipt of notice from the VENDOR calling upon the
PURCHASER(S) to contribute such proportionate arnounts towards such
purPose.
20. The PURCHASER(S) hereby agrees that in the event of any amount by way of
premium or betterment charges or development taxes or any other tax or any
amount of similar nature, become payable by the VENDOR on account of the
said Block mentioned in the SCHEDULE - C PROPERTY of Multi-Storied
Building(s), the same shall be reimbursed'by PURCHASER(S) to the VENDOR in
proportion to the area of the constructed flats / units / shops I olfices I I
