Legal Executive or Senior Legal Execitive for Indian Operations

Job Title / Designation: Legal Executive


Grade: As per the organization’s hierarchy / To be filled in Later Department: Legal Department
Reports To: Counsel- Legal - India Operations
Date: 30 March 2022.

JOB PURPOSE

AstorMueller seeks to find the best and the brightest people – those who understand what it
takes to deliver top quality solutions for the Organisation. We are currently Legal Executive or
Senior Legal Executive to support in house legal departments to manage corporate legal
activites.

RESPONSIBILITES

1. Drafting, reviewing, negotiating and closing commercial agreements such as IT services


agreements, hardware and software licensing agreements, SAAS agreements, service
agreements relating to corporate, commercial, non-disclosure agreement, finance/bank related
agreements such as loan agreements, hypothecation, indemnity letter, sanction letter etc;
contracts relating to wholesale/B2B as well as retail/B2C business like brand licensing
agreements, supply agreements, manufacturing agreements, Lease agreements and other
related or ancillary legal documents.
2. Work with Senior Counsel to structure complex transactions, legal opinions, ensuring
adherence to legal and regulatory compliances and also offer advisory on general corporate,
3. Manage and direct all day-to-day legal activities including contracts, corporate governance,
annual maintenance, regulatory compliance, intellectual property, privacy, and internal support
for sales, client success, operations, talent, and finance teams.
4. Contribute in all the legal activities and assist Senior Counsel and other stakeholders in the
required projects involving drafting of agreements, guidelines, internal and external policies,
streamlining processes, risk identification and mitigation, etc;
5. Manage corporate legal activities like Mergers Acquisitions, Due Diligence, Investment-related
transactions, Corporate Restructuring.
6. Researching recent and applicable laws and regulations applicable to the Company and
advising on appropriate legal action; periodically update Senior Counsel, other stakeholders,
and senior management on the progress of all critical issues and applicable recent laws.
7. Handling Litigation with respect to court cases-Civil Suits, OMPs, Criminal Complaints,

1. LLB/LLM from reputed institution


Relevant Experience

PQE of 2 to 5 years of experience, preferably from Tier I and Tier II law firms.
Skills

1. Ability to work independently with little or no supervision.


2. To be an Individual contributor.
3. Should be able to manage high turnaround time.
4. Should be able to handle fast paced environment.
5. Should have hands on experience in drafting and negotiation of complex contracts.
6. undertaking regulatory research on Corporate matters like FEMA, FDI other regulatory
guidelines.
7. Self driven and motivated with strong ethical values, high level of integrity, good follow-
through skills.
8. Ability to work as a team player and interact with managers, co-workers, stake holders in a
professional, courteous manner.
9. Good written and verbal communication skills.
10. Good Understanding of Statutory Compliance.
11. Fluent with state language .
