using valid Digital Signature Certificates. The instructions given below are meant to assist
the bidders in registering on the CPP Portal, prepare their bids in accordance with the
requirements and submitting their bids online on the CPP Portal. More information useful

SECTION I: INVITATION FOR BIDS (IFB)
1. Centre for Development of Advanced Computing (C-DAC) - is a scientific society of

Ministry of Electronics & Information Technology, Government of India. C-DAC invites
ÒN-LINE’ bids from eligible bidders for carrying the Annual Maintenance Contract on
Comprehensive, onsite basis for its eSign laboratory devices viz. 1. Radware Alteon 5208
WAF, 2. Dell EMC Atmos Worm Storage & 3. Luna (SafeNet-Gemalto) Hardware Secure
Module Devices etc. at C-DAC, Pune and DR Site at C-DAC, Chennai, as per schedule of
requirements, terms and conditions stipulated in this document.

The two ‘e-bids’ system will be followed for this tender. In this system, bidder must
submit their offer - online in separate e-packets as explained below:
 Online - Envelope No. 1: "Technical e-Bid" shall contain: (PDF format only)
a. Covering letter as per Annexure – A
b. Authority letter as per Annexure – B
c. Scanned copy of Demand Draft towards tender fee of Rs. 1000/- (Rupees One
Thousand Only) drawn in favour of C-DAC payable at Pune. (The original DD
must be submitted physically on or before the Due Date & Time of the
Tender)
d. Scanned copy of Demand draft towards Earnest Money Deposit of 1) Rs.
5000/- (Radware-Chennai), Rs. 10,000/- (Radware-Pune) 2) Rs. 30,000/- each
for Dell-Pune & Chennai, 3) Rs. 4,000/- (Luna-Chennai), Rs. 12000/- (Luna-
Pune) respectively; drawn in favour of C-DAC payable at Pune. (The Demand
Draft must be submitted physically on or before the Due Date & Time of the
Tender Submission).
e. If in the view of bidder, any EMD exemption is applicable to them, under any
Rules / process of Government of India, bidder must submit necessary and
sufficient documents along with the technical bid, in support of his claim;
valid for the supply required by C-DAC against this Tender Document.
Alternately, the bidder may choose to submit an EMD / bid security
declaration, as given in Annexure - E, subject to the conditions stipulated
therein.
f. Only the principal manufacturers or their authorised system integrators are
allowed to bid for the AMC of these devices respectively as mentioned in the
tender document. In case of bid from authorised system integrator, the
specific authorisation letter from Principal/s, clearly indicating that the bidder
is competent to provide AMC services for the items mentioned in this tender
document. The undertaking on the letterhead of Principal Manufacturer as
per format given in Annexure – D must be submitted.
g. The detailed technical specification & compliance of AMC for respective
items offered supported by the Principal Manufacturer.
h. A photo copy of the commercial bid without prices (prices blocked) and copy
of commercial terms & conditions (in details) as included in the commercial
bid. C-DAC reserves the right to reject the bid in case of discrepancy observed
in the un-priced commercial bid and the actual commercial bid.
i. Other documents necessary in support of eligibility criteria, product
catalogues, brochures etc.
Note: C-DAC reserves the right to reject the bid if any of the above listed document/s
is not submitted.
 Online - Envelope 2: “Commercial e-Bid “ shall contain: (BOQ.xls format only)
The Commercial Bid along with detailed terms and conditions, complete in all
respects with proper seal and signature of authorised person with name,
designation, email id and contact no.
4. Date of submission/Due Date of bids and opening of the Technical bids – Online through
https://eprocure.gov.in/eprocure/app as per the `TENDER SCHEDULE on Page1’
5. Technical ebids will be opened - online as per the `TENDER SCHEDULE on Page 1’.
The bids must be submitted on-line. The original financial instruments towards tender
Fees & EMD/NSIC etc. must be submitted in person or through post/ courier (C-DAC
shall not be responsible for any postal delays or any other reason for not submitting the
tender fees/ EMD etc. in the specified time and resulting in disqualification / rejection of
any bid) so as to reach on or before the due date and time. The representatives
(maximum two) of bidders are welcome to attend the opening of the ònline’ technical
e-bids.
In case bidder requires any clarifications / information, they may contact C-DAC address.
Note: Please do not put "Commercial Bid" (prices quoted) in the technical bid envelope.
If the price quoted is submitted / leaked with technical bid, the bid will be rejected at
the sole discretion of C-DAC.
6. Opening of commercial ebids – online
Commercial ebids of the qualified bidders only will be opened, in the presence of the
bidders or their authorized representative of the bidders, who choose to attend, at the
time place and date to be informed later. The authorized representative of bidders,
present at the time of opening of the bids shall be required to sign an attendance
register as a proof of having attended the commercial bid opening.
The bidder‘s name, bid prices, discounts and other appropriate details will be displayed
at the time of opening of the commercial bids.

SECTION II: INSTRUCTIONS TO BIDDERS (ITB)
1. Locations for the Supply, Installation & Warranty Services

The entire AMC on Comprehensive basis described in Schedule of Requirements
must be carried out at C-DAC, Pune & Chennai respectively.
2. AMC Period:
The AMC on comprehensive basis of all the items as per the Schedule of
Requirements (Section–IV) are to be covered for a period of Minimum one year,
from the date of placement of order.
3. Eligibility Criteria:
3.1. Bidder should either be a principal manufacturer or authorised system
integrator for the items mentioned in the tender document.
3.2. The Indian agent and the Principal / OEM cannot bid simultaneously.
3.3. Bidder should have annual sales turnover of minimum Rs. 70 Lakhs for each
of the last three financial years.
3.4. The bidders should upload the required documents / financial instruments as
stipulated in Section – I.
3.5. The bidder may quote for AMC of ANY or ALL the Devices AND for ANY or
BOTH Cities given in Schedule of Requirements (Section-IV) of this document
including the entire scope of work involved for respective device(s).
3.6. The bidder must submit the technical compliance sheet/report as per the
technical requirements/features; stating deviations if any.
3.7. The bidder must not be blacklisted by C-DAC or any other Educational / R&D /
Govt. Organizations, as on date of submission of bids. A certificate or
undertaking to this effect must be submitted.
3.8. The bidder must submit the applicable documents as stipulated at para 3,
Section – I.
Note: The bidders should provide sufficient documentary evidence to support the
eligibility criteria. C-DAC reserves the right to reject any bid not fulfilling the
eligibility criteria.
4. Amendment to Bidding Documents
4.1 At any time prior to the deadline for submission of bids, C-DAC may, for any
reason, whether on its own initiative or in response to the clarification request
by a prospective bidder, modify the bid document.
4.2 The amendments to the tender documents, if any, will be notified by release
of Corrigendum Notice on www.eprocure.gov.in/eprocure/app /
www.cdac.in/tender against this tender. The amendments/ modifications will be
binding on the bidders.
4.3 C-DAC at its discretion may extend the deadline for the submission of bids if
it thinks necessary to do so or if the bid document undergoes changes during the
bidding period, in order to give prospective bidders time to take into
consideration the amendments while preparing their bids.
5. Preparation of Bids
Bidder should avoid, as far as possible, corrections, overwriting, erasures or
postscripts in the bid documents. In case however, any corrections, overwriting,
erasures or postscripts have to be made in the bids, they should be supported by
dated signatures of the same authorized person signing the bid documents.
However, bidder shall not be entitled to amend/ add/ delete/ correct the clauses
mentioned in the entire tender document.
6. Earnest Money Deposit (EMD)
6.1. The Earnest Money Deposit (EMD) must be submitted prior to the DUE
DATE & TIME of submission of the online technical bid. The EMD is required
to be in the form of Demand Draft/BG in favour of C-DAC payable at Pune.
6.2. If in the view of bidder, any EMD exemption is applicable to them, under
any Rules / process of Government of India, bidder may submit their claim
for the applicable EMD exemption, quoting the valid Rule/ process. In this
case the bidder must submit necessary and sufficient documents along with
the technical bid, in support of his claim against services as required by C-
DAC in this Tender. The bid evaluation committee is empowered to take
appropriate decision about the EMD exemption claim of the bidder. The bid
submitted without EMD/valid exemption documents, shall stand rejected.
No interest shall be payable on EMD. Alternately, the bidder may choose to
submit a EMD / bid security declaration, as given in Annexure - E, subject to
the conditions stipulated therein
6.3. The EMD will be returned to the bidder(s) whose offer is not accepted,
within 30 days from the date of opening of commercial bid(s). In case of the
bidder whose offer is accepted, the EMD will be returned on submission of
Security Deposit (Refer Clause 5 of Section III). However if the return of EMD
is delayed for any reason, no interest/ penalty shall be payable to the
bidder.
6.4. The successful bidder, on award of contract / order, must send the contract/
order acceptance in writing, within 7 days of award of contract/ order,
failing which the EMD will be forfeited and the order will be cancelled.
6.5. The EMD may be forfeited:
o If the bidder withdraws the bid during the period of bid validity
specified in the tender.
o If the bidder fails to furnish the acceptance in writing, within 7 days of
award of contract/ order.
7. Period of validity of bids
7.1 Bids shall be valid for minimum 120 days from the date of submission. A bid
valid for a shorter period shall stand rejected.
7.2 C-DAC may ask for the bidder’s consent to extend the period of validity. Such
request and the response shall be made in writing only. The bidder is free not to
accept such request without forfeiting the EMD/BG. A bidder agreeing to the
request for extension will not be permitted to modify his bid.
8. Submission of Bids- Online PDF format only
The Bid documents shall be neatly arranged. They should not contain any terms
and conditions, printed or otherwise, which are not applicable to the Bid. The
conditional bid will be summarily rejected. Insertions, postscripts, additions and
alterations shall not be recognized, unless confirmed by bidder’s signature.
9. Deadline for Submission of Bids – Online Only.
Bids must be uploaded by bidders and received by C-DAC before the due date
and time at the address specified in the tender document.
C-DAC may extend this deadline for submission of bids by amending the bid
documents and the same shall be suitably notified on the CPPPortal and C-DAC
website.
10. Late Bids
C-DAC shall not be responsible and liable for the delay in receiving the bid for
whatsoever reason.
C-DAC will not be responsible for any issues arising/pertaining with the
www.eprocure.gov.in/eprocure/app portal for non-submission, failure in
submission of ebids online.
11. Bid Opening & Evaluation of Bids
The technical bids will be evaluated in two steps.
11.1. The bids will be examined based on eligibility criteria stipulated at
Para 4 of Section – II to shortlist the eligible bidders.
11.2. The technical bids of only the eligible bidders shall be evaluated based
on technical specifications stipulated at Section – IV.
11.3. The bidders whose technical bid is found to meet both the requirements as
specified above will qualify for opening of the commercial bid and will be
informed about the date and time of the opening of the commercial bid.
11.4. The duly constituted Tender Evaluation Committee (TEC) shall
evaluate the bids. The TEC shall be empowered to take appropriate decisions
on minor deviations, if any.
11.5. The bidder’s name, bid prices etc. as appropriate by C-DAC, will be
displayed at the time of opening of the commercial bids.
12. Comparison of Bids
Only the short-listed bids from the technical evaluation shall be considered for
commercial comparison.
13. Award of Contract
13.1. C-DAC shall award the contract to the eligible bidder whose technical
bid has been accepted and determined as the lowest evaluated commercial
bid based on the Individual devices total calculated + GST etc. of the
Commercial Bids. However, C-DAC reserves the right and has sole discretion
to reject the lowest evaluated bid.
13.2. If more than one bidder happens to quote the same lowest price, C-
DAC reserves the right to decide the criteria and further process for
awarding the contract, decision of C-DAC shall be final for awarding the
contract.
13.3. C-DAC, reserves the right to split the orders as per responsive L1 bids
received
14. Purchaser’s Right to amend / cancel
14.1. C-DAC reserves the right to amend the eligibility criteria, commercial
terms & conditions, Scope of Supply, technical specifications etc.
14.2. C-DAC reserves the right to cancel the entire tender without assigning
any reasons thereof.
15. Corrupt or Fraudulent Practices
15.1. It is expected that the bidders who wish to bid for this project have
highest standards of ethics.
15.2. C-DAC will reject bid if it determines that the bidder recommended
for award has engaged in corrupt or fraudulent practices while competing
for this contract.
15.3. C-DAC may declare a vendor ineligible, either indefinitely or for a
stated duration, to be awarded a contract if it at any time determines that
the vendor has engaged in corrupt and fraudulent practices during the
award / execution of contract.
16. Interpretation of the clauses in the Tender Document / Contract Document
In case of any ambiguity/ dispute in the interpretation of any of the clauses in
this Tender Document, the interpretation of the clauses by Director General, C-
DAC shall be final and binding on all parties.

SECTION III: SPECIAL CONDITIONS OF CONTRACT (SCC)
1. Prices
1.1. The price quoted shall be considered firm and no price escalation will be
permitted (except Govt. Statutory Levies).
1.2. Bidder must quote in INR only.
1.3. The prices quoted must be on “all inclusive till destination” basis – F.O.R. C-
DAC, Pune. / C-DAC Chennai (GST applicable extra).
1.4. The exact rate of taxes, charges currently applicable must be mentioned in
the `commercial bid format’. The statutory taxes and duties applicable at
the time of invoicing shall be applicable.
1.5. The responsibility, cost and risk of the devices under AMC shall rest with the
bidder till completion of the AMC period at C-DAC, Pune. / C-DAC, Chennai.
2. Software Licenses: (if applicable)
The software licenses, if any, shall be required in the name of user. The licenses
shall contain paper licenses and at least one set of media (CDs) – wherever
applicable.
3. Security Deposit (SD):
The successful bidder will be required to furnish the Security Deposit in INR
equivalent to 5% of the order value within 7 days of receipt of Supply Order. The
Security Deposit should be submitted in the form of Bank Guarantee in favour of
C-DAC Pune. The Security Deposit will be returned upon completion of AMC
Period.
4. Completeness Responsibility:
Notwithstanding the scope of work, engineering, supply and services stated in
bid document, any equipment or material, engineering or technical services
which might not be even specifically mentioned under the scope of supply of the
bidder and which are not expressly excluded there from but which – in view of
the bidder - are necessary for the performance of the equipment in accordance
with the specifications are treated to be included in the bid and has to be
performed by bidder. The items which are over & above the scope of supply
specified in the Schedule of Requirements may be marked as “Optional Items”.
5. Warranty:
All the equipments and components under the AMC must have 1 year onsite
comprehensive warranty with 24x7 supports along with 4 hours response time
and resolution time of 48 Hrs. covering all parts & labor starting from the date of
the Order by C-DAC, Pune. During the warranty period, vendor will have to
undertake comprehensive maintenance of the entire hardware components,
support and accessories at the place of installation of the equipment.
The defects, if any, during the AMC period are to be rectified free of charge by
arranging free replacement wherever necessary. It should be completed within
48 Hrs. resolutions for entire solutions after the intimation of fault.
Spares/parts requiring replacements must be replaced on free of cost basis.
6. Payments:
The contractor shall submit the AMC bill on quarterly basis after the end of each
quarter. C-DAC may deduct any other statutory levies as imposed by the
Government from time to time, along with the list of details of preventive /
service calls report, Penalty for delayed Delivery /Services etc.
C-DAC will review the status of pending complaints from time to time, if too
many complaints are found pending for long, C-DAC reserves the right to
withhold the payment till all pending complaints are resolved
7. C-DAC reserves the right to levy penalty @ of 0.5 % of order value per week of
delay beyond the scheduled execution of the order successfully, subject to
maximum of 5 % of the order value.
8. The delay in delivery or services and/or installation not attributed to supplier viz.
delay in site preparation, delay in submission of required documents (by C-DAC)
etc. and the conditions arising out of Force Majeure will not be considered for
the purpose of calculating penalties.
9. Jurisdiction:
The disputes, legal matters, court matters, if any shall be subject to Pune
jurisdiction only.
10. Force Majeure:
C-DAC may consider relaxing the penalty and delivery requirements, as specified
in this document, if and to the extent that, the delay in performance or other
failure to perform its obligations under the contract is the result of an Force
Majeure. Force Majeure is defined as an event of effect that cannot reasonably
be anticipated such as acts of God (like earthquakes, floods, storms etc.), acts of
states / state agencies, the direct and indirect consequences of wars (declared or
undeclared), hostilities, national emergencies, civil commotion and strikes at
successful Bidder’s premises or any other act beyond control of the bidder.
11. Arbitration:
All disputes/clams of any kind arising out of supply, commissioning, acceptance,
warranty maintenance etc under this Contract, shall be referred by either party
(C-DAC or the bidder) after issuance of 30 days notice in writing to the other
party clearly mentioning the nature of dispute to the Arbitrator appointed With
mutual consent of both the parties. The venue for arbitration shall be specified
in the purchase order/agreement. The arbitration proceedings shall be
conducting in English and as per the provisions of Indian Arbitration and
Conciliation Act, 1996. The decision of the Arbitrator shall be final and binding on
both the parties.
12. Indemnity:
Selected bidder shall save, indemnify and hold harmless C-DAC from any third
party Govt. Claims, losses penalties, if any, arising in connection with this
Contract.
13. Assignment:
Selected bidder/ Party shall not assign, delegate or otherwise deal with any of its
rights or obligation under this Contract without prior written permission of C-
DAC.
14. Severability:
If any provision of this Contract is determined to be invalid or unenforceable, it
will be deemed to be modified to the minimum extent necessary to be valid and
enforceable. If it cannot be so modified, it will be deleted and the deletion will
not affect the validity or enforceability of any other provision.

Terms and condition and method of calculation of AMC Cost:
 AMC will be awarded initially for one year with effect from date of issue of C-DAC
Purchase order (PO)
 Only (OEM) authorized vendor are applicable

Contract Termination term:
 C-DAC reserves the right to terminate the AMC without giving any reason by giving
90 days’ Notice.
Service Level Agreement:
 The purpose of this Service Level Agreement (hereinafter referred to as SLA) is to
clearly define the levels of service which shall be provided by the Bidder to C-DAC for
the duration of this contract.
Response Time
 The device down time should not exceed 24 hours from the time at which the
complaint was made. If the down time is more than 24 hours, the bidder shall
provide a standby device with similarly configuration. In case the device is not
repaired or an alternative device not supplied within the period 24 hours from the
time failure report then the C-DAC may choose to get the same repaired by or
replaced from any other agency and the cost and expenditure incurred therein shall
be recoverable from the bidder by way of deducted from payment
System Uptime
 The selected bidder shall ensure 95% uptime for all equipment’s failing which a
penalty 10% of the purchase value will be imposed starting from 24 Hrs after service
call was made.

You (C-DAC’s) shall full liberty without reference to us and without affecting this guarantee,
postpone for any time or from time to time the exercise of any of the powers and rights

of eligibility requirement stipulated in said tender document, we hereby submit a
declaration in lieu of Earnest Money Deposit (EMD), as given below:
1. Our bid shall remain valid for 120 days from the date of submission and that we will
not withdraw or modify our bid during the validity period,
2. In case, we are declared as successful bidder and an order is placed on us, we will
submit the acceptance in writing within 7 days of placement of order on us.
