SCK-Overseas Agreement

Purpose:SCK has documented this MOU for the approval and monitoring of all
bodies thatprovide outsourced services used for certification activities like

marketing and Auditing services on behalf of SCKCERTIFICATIONS Pvt Ltd., in
accordance with requirements of the standard.
Scope:This agreement is made between the parties where first party hire the
services of the second party to market its services in the specified territory and
shall be validated again after successfully registering the company in the territory
of other Country as per the rule of the state of Country. This procedure is applicable
to all activities performed by the SCK, in matters related to CERTIFICATIONS and
certification of client’s management system.
Authority:. This Agreement is authorized by the MD can be amended only by him.

For managing the marketing and auditing for ISO 9001, ISO 14001, ISO 45001,
ISO 22000, ISO 27001 and all other standards under SCK scope in geographical
location of India.
Notwithstanding anything contained herein, this Agreement does not carry any
right, title or interest in respect to the SCKCERTIFICATIONS brand & accreditation
taken by SCKCERTIFICATIONS.
It is hereby discussed and agreed between both the parties as under:
1. That this Agreement shall be valid for the period of three years SCK and shall
be renewed thereafter by the mutual consent of both the parties. However,
there is a lock in period of three years SCK for both the parties unless as
agreed upon otherwise by both the parties in writing.
2. That you will be appointed exclusively in geographical location of India. The

company shall not appoint any other representative and all the queries
related to certification shall be transferred to the Country Official
Representative.
3. That the country official representative shall take the local approval (if
required by local accreditation body) and the expenses will be paid by the
country official representative
4. The Company shall issue the accredited certificate within the specified scope
in management system. In other scope/standard the company shall issue the
non-accredited certificates.
5. That the Country Official Representative shall take the professional indemnity
insurance, office insurance and auditors insurance.
6. That the Country Official Representative shall use the formats which are
provided by company for marketing and auditing purpose.
7. That before start will do one witness audit of your auditor. All the expenses
for witness audit will be covered at cost by the Country Official
Representative. We will provide one day training in your office and one day
for witness.
8. That you will provide us the list of your auditors, technical experts along with
resume, educational qualification papers and log sheet of all schemes and
codes.
9. That the Country Official Representative name & address shall be listed in the
contact list in the web-site of SCKCERTIFICATIONS.
10. That you will mail us the application form in advance for the application
review and selection of the auditor and technical experts.
11. That the technical department in head office will select the auditor, technical
expert is as per the back ground & skills & competence of the person
12. That the Country Official Representative will provide all the filled forms such
as Application, Certification audit contract with the client, Confidentiality
agreement, Audit Plan, Stage1 audit report NC’s, Stage 2 audit report, Logo
art work signed by client and objective evidences for the certification decision
in head office in INDIA.
13. The surveillance audit is mandatory, the surveillance audit & fee shall be
transferred by eleven months otherwise the certificate shall be cancelled &
the name of the client company will be listed suspended/withdrawn in
SCKCERTIFICATIONS web-site.
14. That the fee for certification & surveillance shall be transferred in bank
account of SCKCERTIFICATIONS the detail of account number and swift code
shall be provided.
15. That the certificate shall be signed & send electronically by the head office of
SCKCERTIFICATIONS (INDIA). You will print the certificate out for saving the
mail copy of hard copy. You are not authorizing to sign the certificate.
16. That the advertisement and sales promotional activities to be carried out by
the Country Official Representative at their cost.
17. That the salaries of all the staff such as marketing, auditing, back office shall
be paid by Country Official Representative, the company is not responsible
for any disputes between the management & staff of your company.
18. That the Country Official Representative shall be free to appoint staff for
smooth and profitable running of the business.
19. In the event of any dispute or difference arising out of, or in relation to this
agreement between the parties hereto, the same shall be subject to the
decision of the court of the competent jurisdiction at LUCKNOW only.
20. The parties here to reserve the right to amend, alter, delete, and add any
terms/ clauses of this agreement with mutual consent in writing.
