term shall mean and include, wherever the context so require or permit, their
heirs, successors, executors, administrators and assigns];

District and 2. R Lakshmy, [Aadhaar Card No.2796 7205 1322], [PAN: ALYPR
3666 C], aged 66 [Sixty Six] years, wife of G P Muraleedharan, Housewife,
residing at C-42, Naval Apartments, 14, Vasundhara Enclave P. O., Pin – 110 096,
East Delhi, Delhi [hereinafter called ‘Purchasers’ which term shall mean and
include, wherever the context so require or permit, their heirs, successors,
executors, administrators and assigns];

WHEREAS the Sellers obtained title and possession over 1/60 undivided share
in 19.47 Ares of land made up of 14.26 Ares in Sy No.839/1, 2.54 Ares in Sy No.
839/4 and 2.67 Ares in Sy No.842/1 of Nadama Village along with a residential
apartment No.A having a super built up area of 148.64 Square meters in the 6 t h
floor of the Multi-storied Apartment Complex called ‘Royal Palace’ by virtue of
sale deed dated 14-12-2010 registered as document No. 281 of 2011 on pages
19 to 24 of Volume 1597 of Book No.1 of Tripunithura Sub Registry Office which
they together purchased from M D Unnikrishnan and M Nandakumar for a sale
consideration of Rs.17,25,000/- and later the apartment was numbered as
15/277/N1 by Tripunithura Municipality and the Sellers are in ownership and
possession of the said undivided share in the land and the residential apartment

and car park as absolute owners and paying property tax and other taxes,
electricity charges and other dues to the concerned authorities.

The properties have been Re-surveyed and the said land is now seen in Re-
Survey No.12 of Block No.204 of Nadama Village.

AND WHEREAS the Sellers herein are desirous to sell the said undivided share
in the land together with residential apartment and a car park, all
improvements, common facilities, Easements and all other similar rights
appurtenant thereto, more particularly and specifically described in the
schedule hereunder, to the Purchasers herein.

AND WHEREAS the Sellers have agreed to sell the property more particularly
described in the schedule hereunder to the Purchasers herein and the
Purchasers herein have agreed to purchase the same for a mutually agreed total
sale consideration of Rs.61,00,000/- [Rupees Sixty One Lakhs], out of which
Rs.6,00,000/- [Rupees Six Lakhs] being the value of 1/60 undivided share in
19.47 Ares of land and the balance sum of Rs.55,00,000/- [Rupees Fifty Five
Lakhs] being the value of the Residential apartment, car park and other
improvements and common facilities and amenities more particularly described
in the schedule hereunder.

NOW THIS DEED OF SALE WITNESSETH THAT:


In pursuance of the said assurances and in consideration of a sum of
Rs.61,00,000/- [Rupees Sixty One Lakhs], paid by the Purchaser to the Sellers,
out of which an amount of Rs…,00,000/- [Rupees …………… Lakhs] by way of
Cheque No……………. dated …..-09-2022 in favour of the Sellers, drawn on HDFC
Bank, the payment being made through H D F C Ltd which had sanctioned a loan
to the Purchasers and Rs.61,000/- [Rupees Sixty One Thousand] as per Challan
No…………… dated …..-09-2022 being Tax Deducted at Source [TDS] and remitted
to the Income Tax Department on behalf of the Sellers and balance amount of
Rs….,000/- [Rupees …………… Lakhs] by way of Fund Transfer in to the account of
the Sellers, the payment and receipt whereof the Sellers hereby admit and
acknowledge, the entire sale consideration thus FULLY SATISFIED, the Sellers
hereby transfer, convey, assign and deliver possession of the said properties
unto and to the Purchasers by way of absolute sale of all estates, rights, title
and interests, claims and privileges in the said properties, all easements and
other similar rights appurtenance thereto and together with the benefits of all
covenants to which the Sellers are entitled to in respect thereof and to have and

to hold the same with title, possession and enjoyment unto and to the use of the
Purchasers absolutely forever free from all encumbrances, attachments, suits,
claims and other impediments and the Purchasers shall henceforth enter into
and upon the said properties and receive the rents and profits there from
without any let, hindrance or interruption from the Sellers or any person or
persons claiming under or in trust for the Sellers.

THE SELLERS ASSURE THE PURCHASERS AND COVENANT THAT


1. The property described in the schedule hereunder is completely free from
encumbrances such as mortgages, charge, lease, lien, court attachments, suits,
arrears of taxes and other dues, claims of workers and other persons,
proceedings under the Kerala Land reforms Act, Land Acquisition Act and free
from any freezing or acquisition on the part of any authority, Housing Board,
Co-operative Banks, Banks, Government and Semi Government Institutions,
other departments like Local Self Government and free from all other
encumbrances and legal impediments whatsoever.

2. That the schedule property is not a subject in matter of excess land,


Puramboke Government property, dispute with Government, Forest land,
Environmentally Weak Area and area under Costal Regulations and the
properties hereby conveyed have never been land assigned to Scheduled Castes
or Scheduled Tribes.

3. That no person with any of the disabilities mentioned under the National
Trust Act has any legal right over the property being transacted and by this
transaction the rights of such individuals are not being deprived nor infringed
upon.

4. That at present no agreements are existing with respect to the property


described in schedule hereunder.

5. That the Sellers are the absolute owners of the said undivided share in the
land and the residential apartment and car park and are having every right of
ownership over the same and no other person or persons are having any manner
of right, claims or interest over the same other than the Sellers and they alone
are having the right to sell the same and to receive the sale consideration.

6. That the Sellers will not make or have any further claim of title in respect of
the property described in the schedule hereunder and assure the Purchasers

that the Sellers are the absolute and undisputed owners in possession and
enjoyment of the said properties with absolute right of alienation and to receive
the consideration for the same. No other person has any right, interest or claim
whatsoever in the said properties.

7. That the Purchasers shall be at full liberty to apply for mutation of name in
the Registers and Records of Land Revenue and other concerned authorities and
can obtain separate and other confirmation of title in the name of the
Purchasers and the Purchasers can get the name changed in respect of the said
residential apartment more particularly and specifically described in the
schedule hereunder in the Building Assessment Registers and Records of
Tripunithura Municipality on the basis of this deed and can change the
electricity connection in their name.

8. That the Purchasers can hereafter pay all future taxes both for the undivided
share in the land and building more particularly described in the schedule
hereunder into their name to the respective authorities.

9. That the Sellers have never owned or possessed any land in excess and
beyond the ceiling limit prescribed under the Kerala Land Reforms Act or under
any other statute and the property hereby assigned to the Purchasers have
never been treated as excess land and further assures that there is no land
ceiling cases pending against property described in the schedule.

10. That the Purchasers can own and possess the property more particularly and
specifically described in the schedule hereunder as absolute owners with all
rights of ownership and liberties including the right of alienation for which the
Sellers will not make or have any sorts of obstructions or objections.

11. That the Sellers shall at all times hereafter at the costs and request of the
Purchasers execute, do or cause to be done or executed all such further acts,
deeds, assurances and things as may be necessary or expedient for the further
and better assurances of the property hereby assigned and more particularly
described in the schedule hereunder and vest the same with the Purchasers.

12. That the Purchasers can own, possess, enjoy and use the property more
particularly described in the schedule to hereunder in any manner subject to
the common interest and possession of other apartment owners or occupiers
and by sharing all the common expenses and expenditure for the upkeep and
proper maintenance of the said multi storied apartment at proportionate rate

along with other apartment owners and the Purchasers can use and enjoy
common areas, facilities and amenities provided to the said multi storied
residential apartment without causing any obstruction or hindrances to the
other apartment owners or occupants of the said multi storied residential
apartment. All the restrictions, rights acknowledged and covenants contained in
the prior deeds with regard to the usage of common facilities and their
maintenance are equally applicable to the Purchasers herein.

13. Original of Sale deed No.281 of 2011 of Tripunithura Sub Registry Office and
connected documents are handed over to the Purchasers.

14. As per Fair value Register, the properties in Re.Sy No.12 of Block No.204
[old Sy Nos.839/1, 839/4 & 842/1] of Nadama Village with Municipal Road
frontage is Rs.8,25,000/-.

As per the Order dated 9-8-2016 in G. O. [P] No.80/2016/TD of Government of


Kerala, Engineers not below the rank of Assistant Engineer of the Public Works
Department, Irrigation Department, the Kerala Water Authority, Chartered
Engineers, Approved Valuers, Registered Valuers and Registered Architects
Engineers have been authorised to issue the Valuation Certificate for
Flat/Apartment for the purpose of registration. Accordingly for this Sale deed,
the Valuation as per Certificate issued by Jyothi Lekshmi C, Registered Engineer
& Registered Valuer [Regn No.G6-159/15/1865/EA] is attached herewith.

the Sellers by virtue of sale deed No.281 of 2011 of Tripunithura Sub Registry
Office and later the apartment was numbered 15/277/N1 by Tripunithura
Municipality, all improvements, easements and all other similar rights
appurtenants there to, and together with proportionate right in the common
areas and facilities including right to use lift, stair case, water tanks, roof
