MEMORANDUM OF UNDERSTANDING

BETWEEN

HYPEDIN and UMEED FOUNDATION

This Memorandum of Understanding (“MOU” or “Memorandum”), entered into by and between located
at Delhi, Delhi 110017, IN
("HYPEDIN” )
and Umeed Foundation (“Umeed Foundation")located at D-333, Shakurpur,delhi -110034 on ____ July ,
2023 at Delhi for the purpose of establishing and achieving objective and mission set out in this MOU.

1. RECITALS

1.1 HYPEDIN is a cutting-edge platform that connects businesses with college students and young adults
in a targeted and strategic way. They provide a one-stop solution for promoting products, services, and
brand values to this valuable demographic through a network of college societies and non-profit
organizations.

1.2 Umeed Foundation is a non-profit and non-governmental organization dedicated towards the
upliftment of
weaker sections of the society together with specially abled, providing assistance to widows, patients,
poor
and needy/neglected, tribal people by empowering them through education & health-care.

1.3 HYPEDIN and Umeed Foundation(collectively "Parties") are collaborating to raise fund for Umeed
Foundation and Umeed Foundation will give them reviews on their application.

2. PURPOSE AND SCOPE

The Parties intend for this Memorandum of Understanding to provide the cornerstone and structure for
any
binding contract if formed between the Parties and to set out the responsibilities of the party in this
collaboration to achieve the mission of Ummeed Foundation.
3. OBJECTIVE AND MISSION

Umeed Foundation has a mission to uplift weaker sections of the society together with specially abled,
provide assistance to widows, patients, poor and needy/neglected, tribal people by empowering them
through education & health-care. To contribute to the mission, Hypedin will help in raising the fund for
the NGO by paying Umeed Foundation for their reviews on HYPEDIN's official application.

4. RESPONSIBILITY AND OBLIGATION OF THE PARTIES

It is the desire and the wish of the aforementioned Parties to this MOU Agreement that this document
should not and thus shall not establish nor create any form or manner of a formal agreement or
indenture,
but rather an agreement between the Parties to work together in such a manner that would promote a
genuine atmosphere of collaboration and alliance in the support of an effective and efficient partnership
meant to maintain, safeguard and sustain sound and optimal managerial and administrative
commitment
with regards to all matters related to the collaboration.

The Parties agree to the following:

Deliverables offered by Hypedin :

1. We will provide the payment for attending MBA seminar by the volunteers of Umeed Foundation on
our application.

2. We will be providing Rs 25 per attendee .

3. Screenshot of the attendance by the foundation should be uploaded on drive.

Deliverables required from Umeed Foundation:

1. To attend the webinar.

2. At least 50 attendees will be provided for the webinar on 15th July 2023.
5. TERM AND TERMINATION

The term of this MOU shall be for a period of 12 months effective from the date ___
July , 2023 and
maybe extended upon written mutual agreement of Parties. The Parties have the right to individually or
jointly terminate their participation in this Agreement provided that advance 7 (seven) written notice is
delivered to the other party.

6. NON-EXCLUSIVE

It is not the intent of this MOU to restrict the Parties to this Agreement from their involvement or
participation with any other public or private individuals, agencies or organizations.

7. CONFIDENTIALITY

7.1 For the purposes of this Agreement, the term "Confidential Information" mean all non-public
written,
electronic, oral, visual or intangible information disclosed to Hypedin or as may be voluntarily learnt or
observed by Hypedin or its employees or representatives. Each Party will maintain the confidentiality of
any information it receives from the other Party which is marked confidential or proprietary or which
would, under the circumstances, appear to a reasonable person to be confidential or proprietary.

7.2 Each Party will maintain a strict confidentiality and refrain from disclosure thereof, of all or any part
of the
information and data exchanged/generated from the Project/ Startup under this MoU for any purpose
other
than in accordance with this MoU in pursuance to the objective and mission mentioned in clause 3.

7.3 The confidentiality does not apply to information:

(i) that is in the public domain through no fault of a Party;

(ii) is required to be disclosed by law;

(iii) is disclosed with the consent of the disclosing Party;


(iv) is independently developed by the receiving Party without use of any Confidential Information of the

disclosing Party or,

(v) was previously in the receiving Party’s possession, as shown by its pre-existing records, without
violation of any responsibility of confidentiality.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 The Parties permit each other to use their trademark for fair use and representational purpose to
fulfill the

responsibilities as mentioned in this MOU.

8.2 In pursuance to achieve the objective and mission, Hypedin may use trademarks, logos, service
marks
(collectively “Trademarks”) of Umeed Foundation, be used under Fair use policy and for promotional
purpose with approval of the authorized representative of the NGO.

8.3 Umeed Foundation is permitted to use Hypedin logo/name for giving credits/shoutout/recognition in
form

approved by Hypedin.

9. AMENDMENT OR CANCELLATION OF THIS MEMORANDUM

This MOU may be amended or modified at any time in writing by mutual consent of both parties. In
addition, the MOU may be cancelled by either party with 15 days advance written notice, with the
exception where cause for cancellation may include, but is not limited to, a material and significant
breach
of any of the provisions contained herein, when it may be cancelled upon delivery of written notice to
the
other party.

10. GENERAL PROVISIONS


10.1 The Parties acknowledge and understand that they must be able to fulfill their responsibilities
under this
MoU in accordance with the provisions of the law and regulations that govern their activities. The
Parties
assume full responsibility for their performance under the terms of this Memorandum.

10.2 If at any time either party is unable to perform their responsibilities under this MOU and is in
violation of
governing laws, the affected party will immediately provide written notice to the other party to establish
a
date for resolution of the matter.

10.3 Parties will work in good faith and co-operate with each other to bring about the achievement and
fulfillment of the goals and objectives of this collaboration.

10.4 Parties permit each other to mention website links, logos/names of the other Party to fulfill their
roles in
pursuance of the objective and mission mentioned in the MOU.

11. LIMITATION OF LIABILITY

None of the Parties will be liable for any losses or eventualities consequent to the availing of Services in
this collaboration except for gross -negligence of Parties to take reasonable efforts to perform their

responsibilities.

12. FORCE MAJEURE

Neither Party will be held responsible for non-fulfillment of their respective responsibilities under this
MoU due to the exigency of one or more of the force majeure events i.e., events which are beyond the
control of the Parties such as but not limited to Government restriction on internet connection, issues in
the server of the social media platforms etc. provided on the occurrence and cessation of any such even
the Party affected thereby shall give a notice in writing to the other within seven (7) days of such

occurrence or cessation. If the issue persists for fifteen (15) days, the Parties will jointly decide about the
future course of action.
13. DISPUTE RESOLUTION MECHANISM

The Parties to this Memorandum of Understanding agree that should any dispute arise through any
aspect

of this relationship, including, but not limited to, any matters, disputes or claims, the parties shall confer
in
good faith to promptly resolve any dispute through video-conferencing or at the office of Hypedin.

14. GOVERNING LAW AND COMPLIANCE

This MOU will be governed by and construed in accordance with the laws of India and each party is
obliged to follow the laws that govern the responsibilities required under MOU.

15. SEVERABILITY CLAUSE

In the event that any provision of this Memorandum of Understanding shall be deemed to be severable
or
invalid, and if any term, condition, phrase or portion of this Memorandum shall be determined to be
unlawful or otherwise unenforceable, the remainder of the Memorandum shall remain in full force and
effect, so long as the clause severed does not affect the intent of the parties. If a court should find that
any
provision of this Memorandum to be invalid or unenforceable, but that by limiting said provision it
would
become valid and enforceable, then said provision shall be deemed to be written, construed and
enforced
as so limited.

16. ENTIRE UNDERSTANDING

The MOU constitutes the entire understanding of the Parties pertaining to all matters contemplated
hereunder at this time. The Parties signing this MOU desire or intend that any implementing contract,
license, or other agreement entered into between the Parties subsequent hereto shall supersede and
preempt any conflicting provision of this MOU whether written or oral.

17. AUTHORIZATION AND EXECUTION


The signing of this Memorandum of Understanding does not constitute a formal undertaking, and as
such

it simply intends that the signatories shall strive to reach, to the best of their abilities, the goals and
objectives stated in this MOU.
This Agreement shall be signed by CEO of Hypedin and Founder of Umeed Foundation shall be effective
as of the date first written above.
