which is part of, represented by its authorized signatory hereinafter referred to as "First
Party" (which expression shall mean successors and permitted assigns) of the other
part :

Definition: The following terms when used in this MoU shall have the respective
meaning set forth in this clause unless the context in which the term is used expressly
provides otherwise.
1. Term
This MoU will be valid for one year, from the date of signing, subject to earlier
termination because of non-adherence of specific clauses mentioned in this MoU. The
contract may be extended for a further period on mutual consent by a separate written
contract at the discretion of both parties.
2. Responsibility of Freshersworld
Organize a "Job Fair" event in the premises of " " as per the date agreed
mutually by "FW" and " ".
Invite companies to participate in this event.
Intimate and invite "Job seekers" from across and nearby areas through
digital and print medium.
Propagate this event to all colleges in and to colleges in nearby areas.
Create a microsite to act as a digital information platform related to the Job fair.
Design emailer template to forward email invite to companies and candidates
Design a e-banner of the event and display it in Allot the slots or classrooms to
the interviewing companies.
Allow the "Logo" of " "to be branded as "Venue partner"in all digital and
print media promotions of the event.
The cost is to be borne on sharing basis i.e. 50% of the organizing cost is to be
borne by FW and 50% by . (Generally, the organizing cost of organizing a
Job Fair is Rs.3,00,000/-)
4. Mutual Obligations
This collaboration shall not be exclusive to both parties and shall not disallow
each party from having similar collaborations with others.
Each party shall respect the other's intellectual property and shall not use any
trade name, trade mark, symbol or designation belonging to the other without
prior written permission of the other.
5. General
Both parties agree that "FW" is not obliged on account of this MoU to offer
employment to candidates of " ".
Any changes in implementation procedures which are not as per the present
MoU, will be discussed and will be incorporated in agreement with the two
parties.
Any other amendments, waivers, or agreements effecting the terms of this MoU
must be agreed to by both parties and specified as writtenaddendum to the MoU.
It is understood that any such amendments, waivers, or agreements shall be
effective only in the specific instance and for the specified purpose given.
6. Non - disclosure
The second party shall not, either during the term or after expiration of this MoU,
disclose any proprietary or confidential information related to the services,
contract or the First Party's business or operations without the prior written
consent of the First party unless it is required to disclose under any law in this
country.
7. Termination
Either party may terminate any statement of work and/ or the entire contract upon
written notice (of one week notice period) to the other in the event that : (a) the
other party commits a material breach of the contract or statement of work and
fails to cure such default to the non-defaulting party's reasonable satisfaction
within thirty days after receipt of notice
First party can unconditionally terminate the MoU if it finds that the Second party
is involved in
(a) Any activity, which could be illegal or otherwise harmful to first party or the
reputation ofthe organization.
(b) Infringe upon the rights of the products and services of First Party.
In the event of termination by the second party thenany advance provided for
organizing this event is not refundable by First party. If terminated by First party
then, first party will refund the advance provided by second party.
8. Applicable Law
It is specifically agreed by the parties that the contract and the general conditions
set forth herein shall be governed by, and construed according to the laws of
India, without giving effect to the principles of conflict of laws thereof and the
parties hereby consent to the arbitration of the courts of Bangalore.
The second Party shall not, without the First Party's prior written consent,
disclose the contract or any provision thereof, or any specification, plan, drawing,
pattern, sample or information furnished by or on behalf of the First party in
connection thereby to any person other than a person employed by the Second
Party or by its member organization whose services the First Party may employ
in the performance of the contract. Disclosure to any such employed person shall
be made in confidence and shall extend only as far as may be necessary for
purposes of such performance.
The Second party shall not without the First Party's prior written consent, make
use of any document or information.
This clause will survive termination of the agreement.

11. Jurisdiction
Any dispute arising under this MoU between two parties and others in this regard
will be settled in through arbitration having jurisdiction in Bangalore.
Payment can be made as per the details in appendix 'A' to this MOU.
This memorandum of Understanding is prepared in two identical copies, each party will
