Sub: Work order for providing & L/c for Shuttering, de-shuttering, L/c for Reinforcement, Concreting, and
Brickwork & internal and External Plastering works at Supadha-Geethika villas Project at Kollur

Ref: With oral discussion held at our office.

M/s Supadha Infra Pvt. Ltd. pleased to inform you that your company has been appointed to carry out the
above said works based upon the following Rate.

Contractor Has Agreed to Execute the Said Works Subject to the Terms & Conditions Mentioned below

1) SCOPEOFWOK:
Contractor Scope:

a) Required Tools and tackles arranged by contractor


b) Brief scope of construction activities – Put the manpower for Dressing, Anti-termite treatment and PCC
laying where required, Shuttering (i.e., Aluminum shuttering for Columns & Plywood for all other shuttering
works) and respective supports with MS pipe material (cup lock staging in slab bottom), Bar-bending.
Concreting (incl vibrators), Hacking. DPC, Brickwork, Lintels & Chajjas Fixing. Self-Supporting Scaffolding to be
done at building outside. Plastering for internal & external all walls. Joinery - Doors & Window Fixing,
Compound Wall, building all around works, Plinth beam and plinth slab decking, material shifting from floor to
floor, Housekeeping and miscellaneous works.
c) Sufficient Manpower to be deployed as per milestones against completion period and when required
d) The shuttering material sets to be maintained of minimum 06 to 08 sets required of columns, slabs &
beams, as per site condition if the work front is available more than minimum required sets the contractor
shall be increased 04 to 05 sets of shuttering material within two days.
e) Materials supply other than mentioned in Supadha Infra scope are to be arranged by contractor itself
to complete the project in all respects as per allotted scope.

f) The materials used in the construction should be free from any defects (take prior approval from supadha
infra which material is used for construction). If any found by Supadha Infra, the material will not be
allowed to use at site and the contractor should replace the material required within two days.
g) The contractor is responsible for Curing (Curing bonds over slabs and laid gunny bags on any RCC
structure, Curing pipes) and Housekeeping
h) All lead and lift of materials (i.e., Cement, Robo Sand, Sand & Coarse Aggregate) from store yard
(i.e., We maintain one stack points in every row for Sand, Bricks & Aggregates but only tractor
will be provided for cement shifting) to work area including all manpower required for the shifting.
i) Qualified Technical Staff to be maintained at site are Engineers - 2 Nos & Foreman - 3 Nos.
j) If the contractor utilizes the Supadha Infra manpower for Misc Works. The wages will be paid as
mentioned: Mason/ Carpenter/ Fitter (Skilled) - Rs. 900/-, Unskilled (Male) - Rs. 600/- & Unskilled (Female) -
Rs. 500/-. The same will be debited in Running Account Bills.
k) The contractor is responsible for providing safety PPE to labour

Supadha Infra Scope:

a) The supply of materials i.e., Cement, Concrete (RMC), Reinforcement, Binding Wire (only for reinforcement
works), Coarse & Fine aggregate, Blocks, Bricks & Chicken Mesh.
b) Provision of Marking (outer corner points given through total station). Water point for every 5 villas &
Electricity point for every road junction at site premises.
c) Machinery provision for material shifting & Back Filling i.e., JCB, Tractor.
d) If Supadha Infra utilize the contractor manpower for Misc Works. The wages will be paid as mentioned:
Mason/ Carpenter/ Fitter (Skilled) - Rs. 900/-, Unskilled (Male) - Rs. 600/- & Unskilled (Female) - Rs. 500/-.
e) Handling Charges will be collected including 10% extra of basic cost including taxes. This will be collected on
any material/ machinery /manpower provided by Supadha Infra which are included in the contactor's scope.
f) Labour camp facility provided by Supadha Infra

2) TIMELINES OF W0RK0RDER:
The work order issued shall come into force upon execution by both parties and shall continue to remain in force
till completion of work assigned by Supadha Infra or unless terminated by Supadha Infra.

3) PAYMENT TERMS:
a) No mobilization advance will be paid. _
b) RA Bills will be raised on last day of every month after joint inspection done along with respective contractor
as per Annexure - II milestones.
c) The earlier work done to be notified to contractor with a joint inspection and the same deducted from
contractor RA Bills.
d) The manpower utilization bills will be raised & certified along with monthly RA Bills.
e) The payment will be made on certification of quantity made by a supadha infra-Engineer - In- Charge.
f) Any wastage or misusage of material issued by Supadha Infra beyond the permissible limit (i.e.,
Reinforcement -3%, Binding Wire - 10kg / MT, Concrete - 2.5%, Cement- 2%, Bricks - 3%, CC Blocks - 3%,
Chicken mesh - 3%, Robo Sand - 5% & River Sand - 5%), the quantity of material is
calculated and subsequently recovered from RA Bills.
g) Retention Money - Retention Money @ 5% shall be deducted from contractors each RA Bill and the same
shall be released after successful completion of defects liability period.

4) TIME FOR COMPLETION:


The work front will be made available progressively.
a) The allotted scope of work should be executed by contractor within 18 months with a grace period of three
month to complete the work in all respects as per the instructions from Engineer In-charge time to time. Based
on the performance further work fronts shall be allotted.

b) The scope of work must be completed and closed as per agreed schedule failing which necessary action will
be initiated.
c) All the requirements (i.e., Material Supply as per Supadha Infra Scope, Drawings and other if any required)
will be monitored and provided.

5) NON-PERFORMANCE:
In case contractor does not mobilize adequately, or does not commence the work, or does not progress
satisfactorily, or suspends the work without intimation or without valid cause and abandoning the works or
does not maintain quality of work or neglect or does not comply with the instructions of Supadha Infra, or do
not make payments to their workmen Supadha Infra reserves the rights to take all or any of the following
remedial measures by serving 7 days' notice:
a) Reduce scope of work and get it done at the risk & cost of Contractor.
b) Take the possession of contractor's equipment available at site and carryout the work by Supadha Infra
themselves or through their other subcontractor.
c) Get the work done executed by Supadha Infra or through any other agency at contractor's risk and cost and
recover all loss or damage that may be sustained by Supadha Infra in such event The risk & cost execution of
contractor's balance work shall be 10% of the balance value of work to be done and the same will be
recovered.

6) DEFECT LIABILITY PERIOD:

The work done by contractor shall be guaranteed against any workmanship defects for a period of 12 months
(DLP) from the date of handing over the same to Engineer In-charge. If any defects are noticed during defect
liability period, contractor shall rectify the same at its cost as per the standards of Supadha Infra / IS codes and
it should stand guarantee for the same to the required period.

7) COMPLIANCE WITH LABOUR LAWS:


a) Labour Camp and Wages: Contractor should take care of the health of labour and maintain hygienic
conditions in labour camp. Contractor has to make payments to the labour engaged by Contractor regularly as
per the minimum wages act failing which Supadha Infra shall have the right to make such payment and
recover the double amount from contractor's Bills.
b) Statutory Compliance: Contractor has to comply with all statutory obligations as applicable as per the
prevailing law and rules and contractor has to adhere to the rules and regulations of Supadha Infra. Contractor
should strictly adhere to the Contract Labour (Regulation and Abolition) Act 1970, Provident Fund Act etc.,
Minimum Wages Act and all other laws etc., as applicable. --and shall maintain all records -as per the statutory
requirements for-submission for-any requisite P.F. challan to Supadha Infra on timely basis for Supadha Infra
records, failing which payment shall not be made to contractor.
c) Contractor shall observe rules and regulations, all statutory laws including labour laws & laws relating to
explosives & safety. Contractor shall also maintain adequate records towards observance of the laws. Supadha
Infra shall be indemnified in case of contractor default of nonobservance of any of the applicable statutory
laws. Contractor shall obtain all permission/clearances that may be required by statutory authorities for
operation of contractor proposed equipment

8) TAXES & DUTIES:


a) TDS: TDS Income Tax shall be deducted from your RA Bills as per TDS (Income Tax) rules in force from time
to time.
b) Goods & Service Tax Act: The GST shall be applicable as per prevailing rates. The contractor shall have valid
GST registration and shall submit the registration certificate copy. If turnover is below Rs.20 Lakhs, you must
provide the declaration. If registered, you must submit the Tax Invoice in GST format claiming the GST as per
applicable rates under GST law. Contractor shall submit the GST returns every month to avail the input credit
by Supadha Infra for GST paid to contractor through Tax Invoice. If Supadha Infra shall not get input credit,
because of non-complying the returns by contractor in time, Supadha Infra shall not release the next
payments to contractor.

9) QUALITY & SAFETY:


a) The contractor is fully responsible for the quality of work in all respects.
b) The contractor had confirmed that they are fully aware of procedures, specifications and technical
knowledge regarding quality standards of all allotted works.
c) The contractor shall be responsible for the quality checklist clearance for every activity from Supadha Infra.
In such case, the Supadha Infra is not responsible for any delay of work and will not be paid any ideal charges
(or) extra claims.
d) If the quality not as per Supadha Infra /agreed standards, the contractor is liable to rectify the complete
work without any extra claims.
e) The contractor shall carry out the works in a safest manner by arranging PPE kits such as helmets, Shoes,
Safety belts and all other needed safety equipment and also it should comply with all safety rules and
regulations of statutory authorities strictly and without any deviation.
f) Supadha Infra shall not be responsible for any incident or accident occur at site. If any incident or accident
occurs at work place the compensation will be paid by the contractor.
g) Supadha Infra engineer in charge can issue Non-Compliance Reports for works not performed as per
standard construction practice. The same NCR must be closed within a 15days. Supadha Infra has right to hold
amount against pending NCRs in respective RA Bills.

10) LIQUID DAMAGES:


a) Contractor is liable to pay liquidated damages for the delay in execution of the subject works and the same
shall be as levied by the Supadha Infra at the rates mentioned below whether the Department levies LD or
not. In addition to levy, Supadha Infra reserves its right to take action as per the other relevant provisions of
the WO.
b) LD shall be calculated for shortfall in quantities to be achieved in each milestone shall be@l % milestone
value per week and it shall be deducted from RA bills of contractor. Maximum value of LD shall be limited to
10% of the WO value.

11) MAINTENANCE OF RECORDS:


a) The contractor should maintain the material/ manpower details at site.
b) The required documents should be maintained for the work.

12) TERMINATION:
This Work Order may be terminated by Supadha Infra in the eventual
a) Supadha Infra is not satisfied with the services being provided by Contractor.
b) Contractor commits a breach of any of the obligations, roles and responsibilities, Specifications,
representations, and other terms of this Work Order.
c) Upon termination of this order, Contractor shall stop the works and make the site clean antidy, leave the
site peacefully within 7 days of termination.

13) DISPUTE AND GOVERNING LAW:


a) If a dispute or difference arises between the Parties hereto in connection with this WO, then any of the
Parties shall give to the other Party a notice of such dispute or difference and such dispute or difference shall if
possible be resolved amicably between the Parties within thirty (30) days of such notice or within such time as
extend mutually.
b) All disputes or differences which cannot be resolved amicably within the time stipulated as above, it shall be
referred to arbitration by a sole arbitrator (the "Arbitrator") to be mutually agreed between the Parties within
thirty (30) days after any of the Partners has given to the other Party a written request to concur in the
appointment of the Arbitrator.
c) In the event of failure of the Parties to appoint Sole Arbitrator within the said period, the appointing
authority of the sole Arbitrator shall be the President (Head), Institution of Engineers (India), Telangana state
center, Hyderabad.

d) The seat of the arbitration shall be at Hyderabad. The arbitration proceedings shall be carried out in English
language and the costs of Arbitration shall be as decided by the Arbitrator. The decision and award of the
arbitrator shall be final and binding upon the Partners.
e) This WO shall be governed and construed in accordance with the Laws of India and shall be subject to the
exclusive jurisdiction of the courts at Hyderabad.
