CONTRACT TO SELL Land Sample
This Contract to Sell (this “Contract”) is made and executed and entered into this 9 th day
of December, 2022, in Baguio City, by and between:
RHEZALIE EIRA V. GUILENG, of legal age, Filipino, single, with residence and
postal address at No.12 Km. 8 Asin Road, Tadiangan, Tuba, Benguet in the Philippines,
hereinafter referred to as the “SELLER”;
-AND-
JIEZLE C. CARVAJAL, of legal age, Filipino, single and with residence and postal
address at No. 25, Barangay Kias, Baguio City in the Phiippines, hereinafter referred to
as the “BUYER”;
Recitals:
(a) WHEREAS, the SELLER is the absolute and registered owner of a parcel of land
with improvements identified as Lot 26-B Poblacion, Tuba, Benguet in the
Philippines (the “LAND”) and covered by Transfer Certificate of Title No. 123456
containing a total area of EIGHT THOUSAND (8,000sqm) SQUARE METERS,
more or less, issued by the Registry of Deeds of Benguet. A copy of TCT No.
123456 is attached hereto as Annex “A” and made integral part of this Contract;
(b) WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell
the above-mentioned property under the terms and conditions herein below set
forth;
(c) The parties have agreed that the sale of the Land shall exclude any improvement
made thereon, which improvement shall be demolished and removed by the
SELLER prior to delivery of the Land to the BUYER.
NOW THEREFORE, for and in consideration of the foregoing premises and of the
mutual covenants herein contained, the Parties hereby agree as follows:
1.1. Fifty percent (50%) of the Purchase Price, which is equivalent to One Million
Seven Hundred Fifty Thousand Pesos (Php1,750,000.00) (the “Down Payment”),
shall be paid upon signing of this Contract and submission by the SELLER the
following:
1.2. The remaining balance of One Million Seven Hundred Fifty Thousand Pesos
(Php1,750,000.00), shall be payable upon the complete submission by the
SELLER of the following documents:
2. Al pending utility bills, if any, Real Estate Tax up to the time of sale, Documentary
Stamp Tax, shall be for the account of the SELLER.
The amount equivalent to the capital gains tax shall be deducted from the Purchase
Price due to the SELLER and remitted to the Bureau of Internal Revenue by the
BUYER. The SELLER shall be liable for any deficiency should the capital gains tax
turn out to be more than what was deducted from the purchase price by the
BUYER.
3. Notarization fees, Registration Fee, Transfer Fees and all miscellaneous fees and
expenses to transfer the certificate of title in the name of the new owner shall be for
the account of the BUYER.
4. The SELLER warrants that the Land is free from any and all encumbrances of
whatever nature as of date of this Contract, and guarantees the BUYER’S peaceful
use, possession and enjoyment of the Land.
5. On or before her delivery of the Land to the BUYER, the SELLER shall relocate any
informal settlers on the Land.
6. In case of dispute, the BUYER or the SELLER may bring action in the court where
the land is located.
IN WITNESS WHEREOF, the parties have hereunto affixed their signatures, this 9 th day
of DECEMBER year 2022.
