DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made and executed this


_________________ in QUEZON City by and between the registered owners
:

BASIC HOUSING SOLUTIONS, INC., a corporation duly organized and


existing under and by virtue of the laws of the Republic of the
Philippines, with principal address at Blk 31 Lot 3 Hillsview Royale,
Brgy. Timalan, Naic, Cavite, Philippines, represented in this DEED OF
ABSOLUTE SALE by its IN HOUSE LEGAL COUNSEL , RUSTICO P. DE
VERA II , herein referred to as the Seller

They are referred to as “The Sellers” in this Contract;

AXEIA DEVELOPMENT CORPORATION, a corporation duly organized


and existing under and by virtue of the laws of the Republic of the
Philippines, with principal address at Block 4, Lot 87 Phase 1-B, Alta
Tierra Homes, Bgy. A. Olaes, Gen. Mariano Alvarez, Cavite, with TIN
Number 000-436-566-000 represented in this act by its VICE
PRESIDENT FOR OPERATIONS, GEOFFREY T. QUIEC herein referred to
as the BUYER

RECITALS:

A. The Sellers are the absolute owners of a parcels of land


located at CALIBUYO, TANZA , CAVITE

Transfer Certificate of Title No. 057-2019038078


Register of Deeds for The Province of Cavite
Lot 1824-D
Area: 1.5780 hectares

Copy of title is hereto attached as Annex “A”;

B. The Buyer has offered to buy and the Sellers have agreed to
sell the lands subject to the terms and conditions set forth herein;

D. The parties have agreed that the sale of land excludes ay


improvement made thereon, and should there be any, the seller shall

demolish and remove such improvement prior to the delivery of the land
to the buyer;

NOW THEREFORE, for and in consideration of the foregoing


premises and of the mutual covenants herein contained, the parties
hereby agree as follows:

1. The total consideration for the sale of the lots for sale shall
be THREE THOUSAND FIVE HUNDRED PESOS (P 3,500.00) PER
SQUARE METER which the SELLER/s unconditionally sells and conveys
all their rights, titles, and interest in the subject properties with a total
area of ____________________ square meters to the BUYER for the sum of

successors, and assigns under the following terms and conditions:

(a) FULL PAYMENT which shall be paid upon signing of this


DEED OF ABSOLUTE SALE and submission of the following
documents:

(i) Owners Duplicate Original of the Title/s

2. The Buyer shall remit and pay the respective amounts of the
Documentary Stamp Tax and Transfer Tax to the Bureau of Internal
Revenue (BIR); The transaction is VAT FREE, in the event of VAT, the
same is exclusive to the SELLER and shall be liable for the same.

3. The Seller undertakes and agrees to execute and deliver to


the buyer all documents required for the registration of the sale and
transfer of title to the land in favor of the Buyer or his assigns upon full
payment of the purchase price. The SELLER further warrants that it
shall sign, execute and deliver all documents related thereto.

4. The SELLER warrants that there are no squatters in the


property herein and shall deliver the Possession of the property to the
BUYER , guaranty and warrant his peaceful possession of the land upon
the execution of this Deed; Seller likewise guarantees that the area is
correct and will compensate the buyer for any shortage in the land area.

5. The Seller warrants that the land subject matter of this


contract is free from all liens and encumbrances of whatever nature and
guarantees the buyer’s peaceful use, possession and enjoyment of the
land; Likewise, it is warranted that all documents are genuine.

6. The Seller warrants that it shall not alienate any rights


and/or title over the property or any part thereof, during the effectivity
of this DEED OF ABSOLUTE SALE in favor of third persons;

7. This DEED OF ABSOLUTE SALE herein shall be binding


upon the parties hereto and their respective heirs, successors and
assigns. Sellers shall execute all documents needed for the transfer of
the property and its conversion to residential use if required by law.

8. In the event that a material breach of the terms and conditions


herein would occur and cannot be cured within Sixty Days (60) upon
notice of the breach, the parties agree that they shall rescind this
contract and restitute each other. In the event that the SELLER is
responsible for the breach, he shall return all the monies received and
refund all taxes paid as a result of this transaction, plus the interest rate
of Fourteen Percent (14%) per annum until fully restituted. The Buyer is
likewise allowed to possess the property until the sums herein are fully
returned.

9. In the event that an heir or third party claimant on the property


would file a claim, the SELLERS hereby undertake that they would be
absolutely liable for the said claimant and render the BUYER free and
harmless from any liability herein. It will be the responsibility of the
SELLER to settle the claim of such person to the exclusion of any liability
on the party of the BUYER.

10. In case of breach of contract, the SELLERS and their heirs


and assigns shall be liable for Liquidated Damages equal to the sums
already paid by the Buyer and legal fees of not less than 25% of the Total
Contract Price. This liability is separate and distinct from Clause 8 on
restitution.

11. In the event of litigation, the parties expressly agree to submit


to the Jurisdiction and Venue of the Regional Trial Courts of Quezon City
to the exclusion of all other courts.

IN WITNESS WHEREOF, we have signed this DEED OF
