This Deed of Sale is made and executed on this the ____ day of ______________ 2014, at
Hyderabad, by:
M/s. Euroflex Transmissions (India) Pvt. Ltd., a Company incorporated under Companies
Act, 1956, represented by its Director Mr. K.Srinivasa Murthy, S/o. Sri K.Rama
Koteswara Rao, aged 54 years and having its registered office at Plot No.99, CIE Phase-II,
Gandhi Nagar, Balanagar, Hyderabad-500037 (PAN: AAACE5313K).
IN FAVOUR OF
M/s. Srikar Avenues Pvt. Ltd., a Company incorporated under Companies Act, 1956,
represented by its Director Mr. Mr. N.Shankar Shenoy, S/o. Sri Sunder Narahari Shenoy,
aged 55 years, and having its registered Office at # 6-3-788/36 & 37A, Durga Nagar, Ameerpet,
Hyderabad-500016 (PAN: AAMCS2524G).
The expressions “Vendor” and “Purchaser” shall mean and include their respective heirs, legal
representatives, executors, administrators, assignees, liquidators, successors-in-interest, etc.,
wherever the context permits.
WHEREAS the Vendor herein is the absolute owner and possessor of the Residential
Flat No. 504, with a total built-up area of 2100 Sq.ft. on Fifth floor, in the building known as
“Sai Sagar Heights”, together with an undivided share of land admeasuring 76.18 Sq.yds. out
of total land admeasuring 4800 Sq.yds. situated in Sy.Nos. 55/2, corresponding to TS records
Ward No.79 & 99, Block A & E, T.S.No. 1/1 & 2, 6/2 & 3, 4/2 & 5/1 & 2 respectively
(Municipal No. 1-8-506/A/B/4), Pattigadda, Prakash Nagar, Secunderabad, more particularly
described in the Schedule annexed hereto and hereinafter called “the Schedule Property”, from
its previous owners namely, Sri K.Premsagar Rao, Smt. K.Surekha, Sri S.Satyanarayana Rao &
Developer M/s. Sainath Estates Pvt. Ltd. through two different Sale Deeds dated 28.12.2006,
registered as Documents Nos.2730 & 2733 of 2006, on the file of the Sub Registrar,
Secunderabad.
WHEREAS the Vendor herein has offered to sell the Schedule Property and the
Purchaser has agreed to Purchase the same.
1. In consideration of a sum of Rs. 48,30,000/- (Rupees Forty eight lakhs thirty thousand
only) paid by the Purchaser to the Vendor through Cheque No.___________, dated
___________, drawn on _____________; which payment the Vendor does hereby admit and
acknowledge as full, proper and sufficient consideration and accordingly discharge the
Purchaser; the Vendor does hereby grant, convey, transfer and assign all its rights, title and
interest, whatsoever, in respect of the Schedule Property together with all easements and
appurtenances thereto, to the Purchaser herein, to have and hold the same forever.
2. The Vendor has today put the Purchaser in peaceful possession of the Schedule Property
and the Purchaser shall enjoy the same as absolute owner without any obstruction from the
Vendor or any one claiming through the Vendor subject to the conditions of the Development
scheme.

3. The Vendor hereby declares and assures that the Schedule Property is free from any
prior agreements, mortgages, encumbrances, adverse claims, charges, etc., and that the Vendor
has free and marketable title to sell the same and further covenants to indemnify and keep the
Purchaser fully indemnified against any or all losses or damages that may be caused to the
Purchaser due to any defect in the title of the Vendor or otherwise.
4. The Purchaser shall be entitled to obtain mutation or service connections in its name
from the competent authorities, including GHMC, TSSPDCL, HMWSSB, etc., in respect of the
Schedule Property without any reference to the Vendor and the Vendor further agrees to execute
such further document or deed for better conveyance, if required, at the cost and request of the
Purchaser.
5. The Purchaser along with other Purchasers/Owners of the other flats in the complex
shall join as member in the Welfare Association and shall be bound by the terms, Rules and
Regulations of the bye-laws of the Welfare Association and shall pay the Corpus fund and shall
also pay the maintenance charges as decided by the Association.
6. To avoid any future doubts, it is declared that the common areas and amenities are open
spaces, corridors, lifts, stair cases, terrace, generators, Club House/Party Halls, water tanks,
sumps, drainage and water pipes, common electricity and water service connections, the
structures including the pillars, beams, slabs and external walls, but not the land and parking
slots allotted to other owners/purchasers.
7. It shall be the duty of the Association to maintain the common areas and to keep them in
good and sound condition and all the members of the Association shall contribute the necessary
charges proportionately.
8. The Purchaser shall not, by any act or illegal omission cause any damage to the partition
walls, structure and slabs of the building or any other common or amenity in the building and
shall not try to convert or encroach any common area for its exclusive use or otherwise interfere
with the enjoyment of the common areas and facilities by other owners/occupants and shall not
commit any act or illegal omission which would case annoyance or nuisance to the other
owners/occupants.
9. The Vendor do hereby declares that the Land on which the building complex is
constructed is not an assigned land within the meaning of A.P. Act 9 of 1977 and not a vacant
land within the meaning of the Central Act 33 of 1976.

All that the Residential Flat bearing No. 504, with a total built-up area of 2100 Sq.ft. on Fifth
