CANCELLATION OF DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This CANCELLATION OF DEED OF CONDITIONAL SALE is entered into by


and between:

The surviving heirs of the decedents ROSENDO LOBIDICA QUINAIN and


EUSEBIA SUMALINOG-QUINAIN, all of legal ages, Filipinos and residing at
Caduawan, Tabogon, Cebu, hereinafter called as the “SELLERS”

- and -

Spouses LOUCELYN PANTALEON-LAO and REYGAN BUENO LAO, both of


legal ages, Filipinos and residing at Andalucia Crest, Gabi, Corodova, Lapu-Lapu
City, hereinafter called as the “PURCHASERS.”

WITNESSETH THAT:

WHEREAS, a Deed of Conditional Sale dated October 10, 2018 had been
entered and executed by the PARTIES over a parcel of land located at Canao-canao,
Tabogon, Cebu, with a total area of Thirteen Thousand Eight Hundred Eighty-Five
(13,885) square meters, more or less, known as Lot No. 4910 covered by Tax
Declaration No. 44-0006-02820, agreeing to a total purchase price of Nine Hundred
Twenty Thousand Pesos (P920,000.00) Philippine currency;

WHEREAS, the PURCHASERS paid the SELLERS the amount of Five


Hundred Twenty Thousand Pesos (P520,000.00) Philippine currency as partial
payment with an agreement to pay the balance of Four Hundred Thousand Pesos
(P 400,000.00) Philippine currency In August 2019;

WHEREAS, the PURCHASERS were unable to pay the balance of the


purchase price on the agreed date due to financial difficulties;

WHEREAS, the PARTIES appeared before the Barangay Captain of Canao-


canao, Tabogon, Juan E. Toliao, on January 11, 2020 and amicably settled their
dispute and agreed that the SELLERS return the downpayment of Five Hundred
Twenty Thousand Pesos (P 520,000.00) Philippine currency when said parcel of land
is sold to another buyer; the PARTIES have mutually agreed to CANCEL, RESCIND
and TERMINATE said Deed of Conditional Sale; the SELLERS have agreed to return
to the PURCHASERS all amounts paid by the latter; the PURCHASERS committed
not to make any more additional payments to the SELLERS and the SELLERS
likewise committed not to receive any more additional payments from the
PURCHASERS;

The PURCHASERS hereby acknowledge that they ceased possession of the


subject parcel of land in favor of the SELLERS upon failure to pay the balance of the
agreed price;

The purchase price paid by the new buyers, spouses Susan and Romel
Zanoria amounting to One Million Six Hundred Thousand (P1,600,000.00) Philippine
currency shall consist of the following:

First, Five Hundred Twenty Thousand Pesos (P520,000.00) Philippine
currency payable to the PURCHASERS made under the name of LOUCELYN
PANTALEON-LAO;
Second, One Million Eighty Thousand Pesos (P 1,080,000) Philippine currency
payable to the SELLERS made under the name of HAZIEL QUINAIN-PIANAR.

The payments shall be made upon the execution of the Extrajudicial


Settlement of Estate Among Heirs with Absolute Sale in favor of the new buyers
spouses Susan and Romel Zanoria.

The first buyers, PURCHASERS herein, hereby acknowledge to their entire


satisfaction the full refund of downpayment of Five Hundred Twenty Thousand Pesos
(P520,000.00) Philippine currency from the new buyers spouses SUSAN DEL
ROSARIO-ZANORIA and ROMEL MADRONA ZANORIA, which refund forms part of
the purchase price of the sale by the surviving heirs of Rosendo Lobidica Quinain and
Eusebia Sumalinog-Quinain of the subject property;

NOW, THEREFORE, for and in consideration of the foregoing premises, the


Deed of Conditional Sale dated October 10, 2018 between the SELLERS and the
PURCHASERS is hereby considered CANCELLED, RESCINDED and
TERMINATED upon full refund to the PURCHASERS amounting to Five Hundred
Twenty Thousand Pesos (P520,000) Philippine currency, receipt of which from the
new buyers spouses Susan and Romel Zanoria is hereby acknowledged by the
PURCHASERS to their entire satisfaction.

Both parties, SELLERS and PURCHASERS unconditionally waive and forever


release all rights, claims and interests in the property in favour of the said new buyers.

Herein SELLERS hereby acknowledge delivery of the possession of the


subject land to said new buyers spouses.

IN WITNESS WHEREOF, the PARTIES have hereunto set their names and
signatures this ______ day of February 2022 in Cebu City, Philippines.
