    2. The following is a true and correct copy of the resolution adopted and

    RESOLVED, That the Board of Directors of (name of PhilPaSS-


    participant bank), authorize, as it hereby authorizes, (name of authorized
    person), (position), as the true and lawful attorney-in-fact of (name of
    PhilPaSS-participant bank) in case of PhilPaSS smart card issuance, with
    full power and authority to:

    1. Claim/Pick-up the smart card kit/s (smart card, smart card


    reader, and smart card account envelope);
    2. Appoint a subordinate employee to claim/pick up the said
    smart card kit/s;
    3. Execute and sign the Release, Waiver and Quitclaim
    (substantially in the form prescribed by Bangko Sentral ng
    Pilipinas) upon receipt of the said smart card kit/s; and
    4. Execute and sign any and all documents, certifications or other
    instruments and to perform such powers and functions as may
    be necessary, proper or incidental in connection with the
    foregoing purposes.

    RESOLVED FINALLY, That Bangko Sentral ng Pilipinas be furnished


    with the specimen signature of (name of authorized person) and from
    time to time be informed in writing of any changes in the authorized
    representative of (name of PhilPaSS-participant bank).
