    PART 1. TRUE/ FALSE (6 MARKS)


    Are following clauses true or false? Give your explanations.
    1. Vietnamese enterprises have to comply with ethical issues in international business. (1 mark)
    2. Penalty and liquidated damages can be concurrently applied for breaching acts arising from
    International Sale of Goods contracts. (1 mark)
    3. Under Vietnam Commercial Law 2005, International Sale of Goods contracts can be established
    via emails. (1 mark)
    4. CISG 1980 is the compulsory governing law for International Sale of Goods contracts between
    Vietnamese and Singaporean traders. (1 mark)
    5. In some cases, Courts follow unpublicized principle in resolving commercial disputes to keep
    business secrets of involved parties. (1 mark)
    6. The arbitral award can be cancelled by a decision made by a competent Court. (1 mark)
    PART 2. CASE STUDY (4 MARKS)
    On 25/3/2021, Company A (Vietnam) sent Company B (Russia) a firm offer to sell 500 tons of
    coffee under many preferential conditions. Company B received the offer 3 days later and accepted
    it unconditionally. However, on 29/3/2021 Company B received a notice of revocation of the offer
    from Company A. Actually, after sending the notice of revocation on 26/3/2021, Company A sold
    coffee to another company in China. As a result, Company B claimed and asked compensation from
    Company A.
    1. Was a contract established between Company A and Company B? Explain your viewpoints. (2
    marks)
    2. What would you do to avoid the legal risks arising from the transaction if you were the legal
    representative of Company A? (2 marks)
