Assignment scenario.

You are working as an analyst for JP Morgan, a famous investment bank which aims to find out dynamic
companies around the world to make investment in. You are tasked with finding new investment
opportunities for your organization.

You are free to choose:

1. A local company that you can see a lot of potential for growth.
2. The geographic market where the company provides its products or services.

This will be presented as a company profile and should follow the recommended structure and satisfy all
the requirements. You are encouraged to present a professional company profile complete with logo and
other necessary images or slogans.

Structure of the Report (Company profile):

1. General introduction of the chosen company: the name, the head office, the address, the website
address and the structure of the ownerships/ shareholders.

2. An explanation of the type and purposes of the chosen company


Specifically, for the type of the chosen company, you must clear down to extent of non-profit or
profit organization; public or unpublicized company; private or state- owned enterprise; and give
evidences to justify your statements.
For the purpose of the chosen company, you must identify the vision, mission, corporate values
and objectives; and identify some specific activities of the company to prove the company is
following its set purposes.

3. An explanation of size and scope of the chosen company


For the size of the chosen company, you must demonstrate the capital with number of total assets,
owner equity and the total liabilities and the number of labor with the latest information.
For the scope of the chosen company, you must present the geographic locations/ markets and the
target customers.
In addition to identifying the size and scope of the chosen company, you should analyze whether
the size and the scope are compatible with the matter of achieving the set objectives and products
or services of the chosen company.
4. An explanation of the functions of the chosen company (using the chosen company’s structure
chart) to show the relationship between these functions and how these functions link to the
chosen company’s structure and objectives.
In detail, first, you must present the structure map of the chosen company. After that, you have to
explain the main functions of various key departments in this map and the relationships between
these departments as well. Lastly, you have to point out the type of the structure (functional
structure; divisional structure; matrix structure or project-based structure, and multinational or
transnational structure) and explain whether the structure serves for achieving the set objectives.

I. INTRODUCTION:

This is the researcher’s first report for the subject Business and Business Environment.It is to analyze
the internal environment of a business and to invest in the company chosen was
Vietcombank.assignmet for Busness Env course. The researcher need to analyze a business to
invest in. Nowadays, our country's economy has made great strides in the process of integration
with the world economy. This poses both opportunities and challenges for the financial market in
Vietnam, the need for banks to expand on a large scale is extremely necessary. It has a great impact
on the economic development process and benefits people such as borrowing money and sending
money. In particular, Vietcombank is one of the leading commercial banks in Vietnam. It has taken
advantage of opportunities from integration to develop its network system at home and abroad and
provide a full range of financial and banking services because it has brought great achievements in
recent years.

II. METHODOLOGY:

To collect data about BIDV, the researcher used the internet to get the background of the company.
The researcher is also using some of the services BIDV so some data were based on personal
experience.

2.The kind of Business and general information:
The business organization has five kinds of organization such as a sole trader,public limited
company, private limited company, partnership, and non-profit organization.

Firstly,the sole trader is a business owned by one individual who is self-employed and who may,in
some cases,employ other people on either a fulltime or a part-time basis.For example, a plumber, a
hairdresser.Secondly,the public limited company is a public company under the laws of the United
Kingdom and a number of Commonwealth countries, and the Republic of Ireland.The limited liability
company whose shares are free to sell and sell to the public.Thirdly, Limited Liability companies are
incorporated to take advantages of”limited liability” for their owners(shareholders).In addition,
Limited Liability means that Investors can only lose money that owned by several individuals or an
organization.Besides, partnership is an arrangements between individuals to carry on business in
common with a view to profit.Partnership is governed by a partnetship agreement.Finally, Non-
profit organization are legal or social entities created for the purpose of producing goods and
services whose status does not permit them to be a source of income, profit or other financial gain
for the units that establish, control or finance them .

3.Type of the company:


Firstly, Joint Stock Commercial Bank for Foreign Trade of Viet Nam(Vietcombank) is a profit
company. If a company is inefficient, low revenue will lead to bankruptcy, Vietcombank will bring
back huge revenue thanks to extremely smart strategies by lending and then taking profits from the
profit of an individual or an organization. From there, the company will gain more profits than
before. Vietcombank has recorded a spectacular growth in both profits, total assets and equity. It is
also one of the conditions for Vietcombank to become the leading commercial bank in Vietnam.
Look at the income Statement of Vietcombank year 2020, Operating profit before provision for
credit losses is 7,375,195 VND, Profit before tax is 5,222,747 VND, Net profit after tax is 4,182,655
VND and Profit after tax for shareholders of the parent company is 4,177,915 VND.

Secondly, Vietnam Joint Stock Commercial Bank for Foreign Trade of Vietnam (Vietcombank) is a
public company. This is a company whose stock is listed on the stock exchange, every person who
buys the company's stock will be called a shareholder and the number of recorded shareholders with
100 or more investors hold excluding professional investors who are financial institutions.
Vietcombank is always transparent with shareholder information and stock up or down numbers on
meetings and the web so everyone can see and decide whether to invest in Vietcombank stock or
not. Below is a table of data of Vietcombank shares on Vietnam stock exchange. It can be seen that
the share price on June 1, 2020 was VND 89,400 and the change in 1 year was 31.34%.

-Finally, the largest shareholder of Vietnam Foreign Trade Joint Stock Commercial Bank
(Vietcombank) is the State of Vietnam and holds 75% of charter capital, so Vietcombank can be
considered a state-owned company because it accounting for over 50% of charter capital owned by
the State. Next, strategic shareholder Mizuho Corporate Bank Ltd holds 15% of charter capital. Other
shareholders (including domestic organizations and individuals, foreign organizations and
individuals) hold 10.2% of Vietcombank's charter capital.

=> The State Bank plays a very important role, Vietcombank is strong in finance and does not put a
great pressure in generating profits for the bank. Instead, they must make every effort to develop
the bank comprehensively.

However, to do that, the company always has strategies and goals to develop. Vietcombank has a

scale, continue to innovate so that the company can become more and more perfect, keeping up

with the regional and world standards. , striving to become one of the 100 largest banks in Asia. In
addition, the company wants to become one of the 300 largest financial and banking groups in the
world, one of the 1000 largest listed companies globally, which has contributed greatly to the
development of Vietnam.

-Base on Vietcombank Balance sheet, we can see Vietcombank's activity growing in Q2 / 2019 to Q3
/ 2019, the company's total assets increased. It can be seen that the total assets of Q2 / 2019 is
1,122,970,494 VND, Q3 / 2019 is 1,157,490,007 VND, although growing slowly, the number of profits
for the company is also very large. From Q4 / 2019 (total assets: 1,223,981,046 VND) to 2020 (total
assets: 1,144,270,262 VND) is reduced, but not significantly, we can see that Vietnam has been
affected by the Covid-19 epidemic recently. That has affected the epidemic with the banking
industry is the largest because this is a general economic sector, so any negative impact on people
and businesses will directly affect the banking industry. As a result, the company's total assets in the
first quarter of 2020 decreased.

-Total liabilities had an uneven increase and decrease between quarters, total liabilities of
Vietcombank in the second quarter of 2019 was 1,045,633,626 VND, the third quarter of 2020 had
an increase of 1,076,099,113 , the fourth quarter of 2019 was 1,138,227,698 VND and Q1/ 2020 is
1,059,198,276 VND.

In order for the Joint Stock Commercial Bank for Foreign Trade of Vietnam (vietcombank) to lead
Vietnam and make achievements today, we cannot fail to mention that it is the human element.
Vietcombank has a stable human resource, they always focus on the quality of employees instead of
quantity. When banks such as BIDV, Vietinbank, VP bank are always looking for new human
resources, Vietcombank develops high quality human resources. They always motivate employees to
promote their creativity and in-depth training to search for talented people, contributing to create
more effective work. In addition, Vietcombank has many incentive regimes that help employees
complete their assigned tasks. Over the years, the number of employees is increasing because
Vietcombank opens many new branches around the globe. Vietnam in 2018 had 17.215 employees,
in 2019 had 19.203 employees.

b.Scope of the company:


After more than half a century of operating in the market, Vietcombank is one of the leading banks
in Vietnam. Therefore, the company always opens many branches around the world so that people
can easily use the service here with more than 500 branches/ transaction offices/ representative
offices / affiliates at home and abroad, including Headquartered in Hanoi, 101 branches and 395

transaction offices nationwide, 05 subsidiaries including: Vietcombank Financial Leasing Company,
Vietcombank Asset Management and Debt Management Company, Finance Company Vietnam
(Vinafico) in Hong Kong, VCB 198 Joint Venture Company, Vietcombank Securities Investment Fund
Management Company and 04 joint venture companies and associates. In addition, Vietcombank
has developed over 43,000 merchants nationwide and an Autobank system with more than 2. 407
ATMs. Banking activities are also supported by a network of more than 1. 726 correspondent banks
in 158 countries and territories around the world. With a long working history and professional staff,
Vietcombank is a leading choice of corporations, businesses and individual customers. Talking to

6.Explaination the functions of the company:

a.Functions of the company:

Each company will have its own structure.There are seven types of organizational structures:

+Organization structure: is defined as” a system used to define a hierarchy within an

organization.It identifies each job, its function and where it reports to within the

organization.” A structure is then developed to establish how the organization operates to

execute its goals.

+A functional structure: is a structure used to divide into a number of functions.Each

functions is performed by an expert.

+A divisional structure: is built up of separate divisions on the basis of products, services or

geographicạl areas.

+Matrix structure: is a kind of modern, effective governance structure. The matrix

organization provides great prospects for many organizations in terms of changing business

or social environments with many uncertain factors.This is a model that many

administrators are interested in designing the organizations’s governance structure.

+Project based structure: borrow from those based on hierarchies, fuctions and

Operations.They use a matrix organization where essential company fuctions are maintained

in a management structure, while the work is carried out in project-based groups that have a

hierarchical structure.

b.The structure map of Vietcombank:

We can see that each department has different tasks and functions and is divided clearly and
separately, so Vietcombank is a company with a functional structure.

c.The main of function of various key departments:


-Based on the structure chart of Vietcombank, we can see that the General Meeting of Shareholders
is the highest decision-making body of the company, including all shareholders with voting rights and
business direction through the meetings. and then vote electronically or send votes to the meeting
via fax, mail, or email. Next, the Supervisory Board will be the honest supervisor of the bank's
operations, approve the decisions of the board of directors, the board of directors and below are the
Internal Audit and Operation Supervisory. It is also an important part of the business structure of
the company, it helps the company identify the shortcomings of the business and guides the Board
of Directors and the board of directors so that they do not run the risk of making decisions. And
underneath the Shareholder’s General Meeting is the Board of Directors, its main function is to
manage the company and that will be the Risk Management Committee, Human Resource
Communittee. Finally, it will be the CEO and Board of Management: The CEO stands for Chief
Executive Officer who sets out the direction of the company, building and implementing plans with
the goal of adding value dividends, satisfied shareholders holding capital in the company. Here are
the last vertical lines, which are the parts to help run the company closely and are divided into
several groups such as: Wholesale Business Group,Treasury & Trading Group, Retail Business Group,
Risk Management, Operational Group, Financial Group and Supporting Departments.

+Wholesale Business Group: it harnesses capital to carry out activities such as marketing, direct
advertising and selling banking services for businesses.

+Retail Business Group: The mission of this department is to carry out credit activities, consumer
loans, payments, credit cards, debit cards and it is aimed at individual customers.

+Risk Manager: responsible for managing, preventing wasted money, handling bad debts,
overcoming the risks that the company faces. The ultimate goal is to minimize losses to the lowest
possible level.

+Operational Group: is the advisory section for the branch manager who plans the business plan,
summarizes, analyzes and assesses the business situation make annual branch performance reports.

+Supporting Departments: it is also called the service department to provide banking services
related to payment operations, settlement of transactions and responsible for managing cash funds
for each teller.

d.The relationship between these departments:


-Vietcombank is one of the leading banks in Vietnam. To get that, the company must have close links
between the parts together. Each department performs a different task and is clearly divided within
the company, but alignment is essential. In the case of Wholesale Business Group and Retail Business
Group will conduct business and revenue will be transferred to Treasury&Trading Group and when
having business risks will be Operational Group and Supporting Departments, then all profits will be
summarized by Financial Group.

e.Advantages and disadvatages of Vietcombank’s functional structure:


*Advantages :

-The company will be easy to run when there is a specific leadership organization, which makes it
easy for the company to manage and communicate with all the company's activities and projects.
The company can simplify the mechanisms for controlling multiple items .

- Having a large number of employees will help the company make a decision as quickly and
accurately as possible and clearly identify the company.

-There are clear goals and tasks that will attract professionals with the expertise the company is
aiming at such as management.

-The company has a complete apparatus so training personnel, trainees and employees will be easy
and do not waste time. In addition, the efficiency of work and personnel quality is higher and higher.

*Disadvantages of the funtional structure of Vietcombank:

-However, a large management company has a lot of workload so the head of the business leader is
difficult to manage the high load results on frequent issues so there will be many bad situations
occur.

-The number of employees is large, so when discussing a project of the company, there will be many
contrary and opposite ideas. Therefore, it is difficult for specialized agencies to coordinate with each
other when implementing plans, solving a problem or project now and in the future.

-Every decision is made by the head of the company so when a problem or a problem arises the
responsibility lies with the head.

-When the company owner has many specialized departments such as Wholesale Business Group,
Treasury&Trading Group, Retail Business Group, Risk Management, Operational Group, Financial
Group, Supporting Departments. Therefore, we cannot focus too much on the company's core
business.

-The company requires too high qualifications of trainees and new employees, so the number of
Vietcombank in one branch will be less than other banks.

IV-Discusion:
It can be seen that Vietcombank is not a comprehensive bank in all fields. The network of branches
and transaction offices is just more than a few private joint-stock banks and is far behind BIDV,
Vietinbank and Agribank. However, Vietcombank possesses many strong points. It is a very
prestigious and valuable brand in Vietnam's banking industry. Today, Vietcombank has a great
opportunity to compete with other banks such as BIDV and Vietinbank.

Total assets, market share of loans : BIDV is currently the bank with the largest total assets, reaching
over VND 1.26 million billion by the end of September 2018. Followed by VietinBank with 1.17
million billion dong, up 7.2% compared to the beginning of the year. While total assets continued to
increase in BIDV and VietinBank, Vietcombank suddenly slipped to 1 million billion mark from the
middle of the year, by the end of September it dropped to 995 trillion, down 3.9% compared to the
beginning of year.

BIDV is also the largest bank to attract deposits with more than VND 953 trillion, and is also

the place with the highest deposit growth among the three banks in the first nine months of
2018, at 10.9%. While VietinBank and Vietcombank respectively grew by 9.7% and 9.2%.

Regarding charter capital: VietinBank is currently leading with more than 37. 200 billion, not much
more than Vietcombank (35. 977 billion) and BIDV (34. 187 billion).

Moreover, VietinBank is currently the largest joint stock commercial bank with more than 1,100
branches and transaction offices. BIDV also closely followed with more than 190 branches and more
than 850 transaction offices. While Vietcombank's network of transaction points is much smaller
with only 106 branches and more than 390 transaction offices.

In terms of profit and capitalization: Despite having a smaller network, lower equity capital,

Vietcombank is having the highest profit and increasingly outstripping the other two banks. In
the first 9 months of 2018, Vietcombank had a pre-tax profit of 11,683 billion VND; while

VietinBank and BIDV are only 7.2 billion VND and 7.96 billion VND, respectively, even lower than
Techcombank, a private bank that has been growing rapidly in recent years.

Vietcombank's share price currently stands at around 57,000 VND/ share while CTG of VietinBank
is 24,000 VND, and BID's BID is 33,500 VND / share. In the market, Vietcombank's market
capitalization is currently reaching over 205.8 trillion VND, while BIDV is 115 trillion VND and
VietinBank is nearly 90 trillion VND.

Vietcombank set a vision and strategic goals by 2020 to become the No. 1 bank in Vietnam, and one

of the 300 largest financial and banking groups globally.

Meanwhile, VietinBank is striving to be among the top 10 largest commercial banks in ASEAN, one of

Vietcombank now has total debt but it is insignificant compared to the total profit that the company

customers, expanding the scale and brand, bringing the image abroad. Most importantly,
Vietcombank has tremendous achievements such as received important awards award by the
