Special Power of Attorney

That I, ____________________, of legal age, Filipino, married to ____________________, of legal age, Filipino, with
residence and postal address at ___________________________________________ do hereby name, appoint, and
constitute ___________________________ also of legal age, Filipino, with residence and postal address at
____________________________________________ as my true and lawful ATTORNEY-IN-FACT for and in our place,
stead and behalf, to do any and/or all of the following acts:
1. To do and perform any all acts necessary and/or desirable to effect purchase of real property/ies, with or
without improvements thereon from Vista Residences, Inc. (“Seller/Developer”) including, but not limited to
the following acts:
a) To negotiate and/or agree to the terms and conditions of the purchase and other
matters relating thereto, and choose as well decide on the details/particulars of the
property/ies to be purchased from the Seller/Developer;
b) To enter, execute, sign and deliver all contracts and agreements, including but not
limited to the Reservation Agreement, Contract To Sell, Deed of Absolute Sale, and other
documents, papers pertinent to the purchase;
c) To make payments relative to the purchase;
d) To change, replace the property/ies originally or previously chosen/reserved;
e) To withdraw from or cancel the agreements/contracts entered into by me or on my
behalf, and receive refunds or any other amount (s) due me, whether in the form of
cash or check issued in my name or in the name of my ATTORNEY-IN-FACT;
f) To receive originals or copies documents that relative to the purchase, such as, but not
limited to Reservation Agreement, Contract to Sell and Deed of Absolute Sale;
documents involving or affecting the property/ies purchased, such as, but not limited to
title, tax declaration and receipts or clearances; and all communications, notices,
memos, letters and demands from the Seller/Developer addressed to me or to my
ATTORNEY-IN-FACT in relation to my purchase of the property/ies from the
Seller/Developer;
g) To receive the key to the unit (if any) and sign the relevant documents acknowledging
receipt of the property/ies, in good and proper condition for the purpose of absolving
the Seller/Developer, as the case may be, from any liability with respect to the
property/ies;
h) To process applications for installation and connection of utilities, such as, electrical
utilities from Manila Electric Company (MERALCO), water, telephone, cable and other
utilities from pertinent service providers with the authority to sign, execute, deliver and
receive all documents and to do all acts necessary and in connection thereto, including
the right to receive refunds from MERALCO and/or other service providers, if any; and
i) To do all acts necessary for the accomplishment of the foregoing acts and authorities.
2. To sign and execute the Deed of Absolute Sale, Mortgage Contract and/or other documents in
connection with my application with any bank or financial institution (“Bank”) or with the Seller/Developer
for a loan to finance my purchase of the property/ies in such amount(s) that may be approved by the
Bank and/or the Seller/Developer and offering as security for the payments of the said loan, the property
(ies) known as _____________ Unit(s) ____________ of the Condominium Certificate/s of Title No/s.__________
under such terms and conditions as may said ATTORNEY-IN-FACT may deem beneficial and convenient;
3. To sign, execute, and deliver promissory note(s) and/or other documents in favor of the Bank and/or
Seller/Developer and its assignees in connection with the said loan;
4. To receive the proceeds of the promissory note(s) and/or other documents which my said ATTORNEY-IN-
FACT may execute in connection with the said loan;
5. To cash, endorse or negotiate the checks that may be issued by the Bank or Seller/Developer in
connection with the said loan;
6. To sell, mortgage, pledge, lease, agree, or in any manner dispose of the whole or part of the property/ies,
for which we am the registered buyer;
7. To compromise, settle, and agree judicially or extra judicially matters concerning the loan extended to me
by the Bank and/or the Seller/Developer and secured by the property/ies.
HEREBY GIVING AND GRANTING unto our said ATTORNEY-IN-FACT full powers and authority to do and perform all
or any act requisite and/or necessary to carry into effect the foregoing authorities, as fully to all intents and
purposes as we might or could lawfully do, if personally present and acting in person, and HEREBY RATIFYING AND
CONFIRMING all that our said ATTORNEY-IN-FACT may also do or cause to be done under and by virtue of these
presents.
