In consideration of your purchase of the PR1MA Home and for signing the Sale and
Purchase Agreement (“SPA”) with us, as a gesture of goodwill we are pleased to inform that
we shall bear the legal fees for preparation of the SPA from our appointed solicitor(s).
For clarity the said fee shall also include all other disbursement charges (land search,
bankruptcy search, printing, travelling, courier/ postage, telephone and fax), taxes and all
other miscellaneous charges except for stamp duty charges (if any) and registration charges
for transfer by the land office which shall be borne by the purchasers.
Kindly note that the said legal fees is strictly for preparation of the SPA and Memorandum
of Transfer (for landed property) / Deed of Assignment (for stratified property) and do not
include the legal fees in respect of the loan documentations for the above Property. In that
respect:
1. You must execute the SPA for the Property prepared by our appointed solicitor(s)
within the time stipulated in the Offer to Purchase;
2. You must pay the first 10% of the Purchase Price or any differential sum for the
Property, if applicable, within the time stipulated in the Offer to Purchase;
3. You must not be in breach of any of the terms and conditions of the SPA and you
must complete and fulfill all your obligations under the SPA;
4. Nothing herein shall in any way vary or amend the terms and conditions of the SPA;
and
5. In the event of any ambiguity, uncertainty or dispute that may arise in respect of any
of the provisions herein or in any matter in connection with the legal fees for the
SPA, we shall have the sole and absolute discretion to decide on all such ambiguity,
uncertainty or dispute and our decision shall prevail and be binding on all parties.
