RECITALS:
b) The Subject Share was registered in the name of the Assignor as a nominee
of the Principal who is the beneficial owner of the Subject Share and who
has provided the subscription payment therefor;
c) The Assignor and the Principal desire to terminate the aforesaid trust
arrangement by way of assignment of all the rights, title, and interest of
the new Assignor in and to the Subject Share in favor of the Assignee, as
the new nominee of the Principal;
For and in consideration of the foregoing premises, the parties hereby agree as
follows:
1. The Assignor hereby confirms that he holds all the rights, title, and
interest in and to the Subject Share in trust for, and for the benefit of, the
Principal, and that the beneficial ownership thereto pertains to the
Principal.

2. The Assignor, by way of terminating the trust arrangement, hereby
absolutely and irrevocably transfers, assigns, and conveys all of his rights,
title, and interests in and to the Subject Share in favour of the Assignee in
accordance with the instruction of the Principal, and the Assignee hereby
accepts this assignment.
4. The Assignee is hereby given full power to do any and all acts necessary
to effect the transfer of the legal title to the Subject Share to his name
including, but not limited to, the registration of this assignment in the
corporate books of the Principal.
