    TRUST AGREEMENT

    This Trust Agreement is made on _____ __, 20__, in Manila, by and between BCG PHILIPPINES
    INC., and TARARAT PHILIPPINES, represented by its President, HEIYA HASHIO (the
    “Trustor”) and SHIELA MAY SANTIAGO (the “Trustee”), whose respective office addresses are
    indicated below. The Trustors and Trustee shall herein be collectively known as the “Parties”;

    WHEREAS, the Trustors request SHIELA MAY SANTIAGO to be named as the Owner of TWO
    THOUSAND FOUR HUNDRED NINETY NINE (2,499) Common Shares of the Capital Stock
    with a par value of TWO HUNDRED FORTY NINE THOUSAND NINE HUNDRED PESOS
    (P249,900.00) (Trusted Shares) each of TARARAT PHILIPPINES as compliance for business
    registration with different government agencies such as Department of Labor and Employment
    (DOLE), Securities and Exchange Commission (SEC), Bureau of Internal Revenue (BIR), Local
    Government and other government agencies;

    WHEREAS, the appointment of the Trustee is ONLY for compliance purposes of the requirements
    with DOLE, SEC, BIR, Local government and others and any rights, privileges, incentives, liabilities
    and damages related to the above trusted shares is actually for and in behalf of the Trustors; and

    WHEREAS, it has been agreed between the Trustee and the Trustors that Trustee does not have any
    beneficial interest on the trusted shares which she holds under her name; that after securing the
    necessary requirements for registration with government agency, the Trustors has the option to assign
    anytime the name of the Trusted Shares even without the consent of the Trustee.

    NOW, THEREFORE, in consideration of these mutual covenants and conditions, the Parties hereto
    agree to the following provisions:

    1. DECLARATION OF TRUST: Trustee hereby acknowledges, declares and agrees that:


    a) Trustee will hold under her name the licenses and permits of the shares entrusted to her
    from this agreement until the Trustors decides to assign it to another; all right, title and
    interest and benefit derived therefrom during the said period, will be in behalf of the
    Trustors;

    b) Trustee does not have any legal nor beneficial interest in the said shares nor any interest
    or right thereon; and

    c) All other attributes of the beneficial ownership of the shares held by the Trustee under
    her name shall remain in name of Trustors.

    2. OBLIGATION AND PROHIBITION CLAUSE:
    a) Trustee covenants and agrees to sign and provide the necessary information and
    documents in compliance with different government agencies;

    b) Trustee agrees to inform the Owner timely either written or verbal about the necessary
    government compliance and requirements.

    3. PERIOD: Trustee herein shall hold the shares under her name until terminated by the
    Trustors either by verbal and written notification.

    4. COST AS RESULT OF THIS AGREEMENT: The Trustors shall be responsible for any
    fees, expenses, taxes and the like, that may arise directly or indirectly in execution of this
    Agreement.

    5. ENTIRE AGREEMENT: This is the entirety of the Agreement. No changes can be made
    except in writing and signed by both parties. This Agreement shall be construed in accordance
    with and governed by the laws of the Republic of the Philippines.

    IN WITNESS WHEREOF the parties hereto have executed this Agreement as of the date first
    written above.
