SECRETARY’S CERTIFICATE

KNOW ALL MEN BY THESE PRESENTS:

I, FR. DARIO D. PACHECO, C.M., of legal age, Filipino citizen, single


with postal address at De Paul College, E. Lopez St., Jaro, Iloilo Cty and the
duly elected Corporate Secretary of ST. VINCENT’S SEMINARY INC., a
corporation duly organized and existing under the laws of the Philippines,
with principal office at St. Vincent’s Seminary, Inc., 18 St. Martin St.,
Tandang Sora Quezon City do hereby certify:

That a Special Meeting of the Board of Trustees of the corporation held


at its principal office on February 2, 2020, at which meeting a quorum was
present, the following resolutions were unanimously approved and
adopted:

“RESOLVED, That FR. HERMY C. COLINA and/or ATTY.


STEWART PAUL T. TORRE, be, as they are hereby authorized to file
a cadastral case for the Issuance of Co-Owner’s Duplicate of Title
covering Transfer Certificate of Title No. T-14294 and to appear
during trial in Cadastral Case No. 20-2106 entitled “IN RE: PETITION
FOR ISSUANCE OF NEW CO-OWNER’S DUPLICATE COPY OF
TRANSFER CERTIFICATE OF TITLE NO. T-14294 IN LIEU OF THE
LOST ONE.”, before Branch 23 of the Regional Trial Court, Sixth
Judicial Region at Iloilo City, with full power and authority to enter
into any of the following:

1. To consider simplification of the issues; the necessity or


desirability of amendments to the pleadings; the possibility
of obtaining stipulations or admissions of facts and of
documents to avoid unnecessary proof; the limitation of the
number of witnesses; the advisability of a preliminary
reference of issues to a commissioner; the propriety of
rendering judgment on the pleadings, or summary judgment,
or of dismissing the action should a valid ground therefore
be found to exist; the advisability or necessity of suspending
the proceedings; and such other matters as may aid in the
prompt disposition of the action;

2. To represent the corporation, for and in its behalf, in all


transactions, negotiations and other related activities
pursuant the registration, subdivision or partition,
acquisition, possession and ownership of the above-
described property;

3. To make sign, seal, execute, and deliver contracts,
documents, agreements and other writings of whatsoever
nature, kind, and description, with any and all third persons,
concerns and entities, upon such terms and conditions
acceptable to said attorney-in-fact;

RESOLVED, FURTHER, That FR. HERMY C. COLINA and/or ATTY.


STEWART PAUL T. TORRE, be as they are hereby given and granted full
power and authority to do whatsoever requisite or necessary or proper to
be done in or about the premises, thus, ratifying and confirming all that FR.
HERMY C. COLINA and/or ATTY. STEWART PAUL T. TORRE shall do or
cause to be done under and by virtue of this resolution.”
