CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Lease, executed and entered into this ____ day
of ______________ 2018 at __________________, Philippines, by and
between:

_, hereinafter referred to as the LESSOR.

hereinafter referred to as the LESSEE.

ACKNOWLEDGE: THAT -

The LESSOR holds legal title to the premises located at


__________________________________ consisting of _________ and _______
sq. meters (hereafter the "Leased Premises").

The LESSEE has offered to lease the Leased Premises and the
LESSOR has accepted the offer subject to the following terms and
conditions:

ACCORDINGLY, the parties agree as follows:

I. LEASED PREMISES.

The Leased Premises comprise a total area of approximately


________ sq. m., more particularly described as:

II. TERM.

This lease shall be for a term of _________ (__) years from and
after the date of execution of this Contract, subject to renewal at the

option of the LESSEE for another period of __________ (___) years
substantially under the terms and conditions agreed herein.
III. RENT.

The LESSEE shall pay to the LESSOR a monthly rental of


__________________ Pesos (=__________) inclusive of the expanded VAT,
payable within the first five (5) days of the month, beginning
________________ 2000. Upon signing of this Contract, the LESSEE shall
pay in advance rentals covering the first _______ (____) months of the
Lease.

IV. TENDER OF POSSESSION.

Upon execution of this Contract, the LESSOR shall deliver unto


the LESSEE complete and full possession of the Leased Premises. The
LESSEE or any of its agents or representatives may enter into Leased
Premises without further need of approval from the LESSOR to
introduce improvements or otherwise prepare the Leased Premises for
the LESSEE's purposes.

V. UTILITIES AND SERVICES.

During the term of the Lease, the LESSEE shall pay directly to
the utility companies or service providers all separately metered
charges for electricity, lighting, telephone bills, water bills, sewage
charges, and all other maintenance and repair services and utilities
furnished to the Leased Premises. If separate meters are not
provided, then the utilities shall be pro-rated as may be mutually
agreed upon by the parties.

VI. ACCESS

The LESSOR shall keep open passageways at all times in and


about the Leased Premises and shall not do or cause to be done any
act that will obstruct in any manner the accessibility and visibility of
the Leased Premises to the public.

VII. IMPROVEMENTS.

LESSEE shall erect, construct,install or cause to be made


erected, constructed and installed in or about the Leased Premises
such improvements, equipment, and facilities (including signage) as
may be required by the business to be conducted by LESSEE thereon
without further need of approval or consent from the LESSOR.

LESSEE shall be permitted within thirty (30) days after


expiration or sooner termination of this Lease to remove any
improvement erected or made by it, provided, however, that it shall

repair any damage to the Leased Premises caused by such removal.
All movables, apparatus, fixtures, equipment which are not otherwise
permanently attached to the Leased Premises including those which
may be removed without causing damage or destruction to the Leased
Premises shall remain the property of the LESSEE and shall be
removed by the LESSEE at its own cost within sixty (60) days from
expiration or termination of this Contract. Any improvement not
removed upon expiration of said period shall be deemed abandoned
by the LESSEE and shall thereupon become the absolute property of
LESSOR without compensation to the LESSEE.

VIII. RESCISSION.

It is expressly understood and agreed to by the LESSOR that the


LESSEE shall develop, use and devote the Leased Premises for purely
commercial purposes subject to obtaining the appropriate
authorizations therefor. Accordingly, should the Leased Space be not
suited for such use, or should the LESSEE be prevented, by law or
other factors, from using the Leased Premises as intended and
desired, the LESSEE may at its sole option, rescind this Contract.

It is also the essence of this Contract that telephone facilities


with national direct dial capabilities are or shall be made available in
the Leased Premises, such that if after six (6) months from execution
of this Contract no such facilities are available, this Contract may be
rescinded by the LESSEE at its option by mere notice.

IX. SALE OF LEASED PROPERTY.

In case the LESSOR, during the term of the Contract, sell,


transfer, or otherwise dispose of Premises or any part thereof, or of its
leasehold rights thereto if such be the case, the LESSOR shall ensure
that the transferor shall be bound by this Contract of Lease.

X. AUTHORIZATION TO EXECUTE THIS AGREEMENT.

The parties warrant that they have full power and authority to
enter into this Contract. Each party further warrants that the
signatory herein signing in its behalf is properly authorized to enter
into, execute and deliver this Contract and the same shall be binding
upon the party that such signatory represents.

XI. ENTIRE AGREEMENT.

The Lease sets forth all the promises, inducements, agreements,


conditions, and understandings between the LESSOR and the LESSEE
relative to the Leased Premises, and there are no promises,
agreements, conditions, or understandings, either oral or written,
express or implied, between them other than are herein set forth.

Except as herein otherwise provided, no subsequent alteration,
amendment, change, or addition to this Lease shall be binding upon
the LESSOR or the LESSEE unless reduced to writing and signed by
them.

XII. BENEFIT.

This agreement is binding upon and shall inure to the benefit of


the respective parties hereto, their respective successors, legal
representatives, and assigns.
