    In furtherance to our aforesaid communications in relation to the amalgamation of CG Power
    Solutions Limited ('CGPSOL'), a wholly owned subsidiary company with CG Power and
    Industrial Solutions Limited (the "Company") pursuant to Sections 230 to 232 and other
    applicable provisions of the Companies Act, 2013, we are enclosing herewith the copy of the
    Scheme of Amalgamation pursuant to Regulation 37(6) of the Listing Regulations for your
    records.

    13. Severability

    13.1. If any part and/or provision of this Scheme is found to be unworkable for any reason
    whatsoever, the same shall not, subject to the decision of the Transferor Company and the
    Transferee Company, affect the validity or implementation of the other parts and/or provisions
    of this Scheme.

    14. No cause of action

    14.1. No third party claiming to have acted or changed his position in anticipation of this Scheme
    taking effect, shall get any cause of action against the Transferor Company or the Transferee
    Company or their directors or officers, if the Scheme does not take effect or is withdrawn,
    amended or modified for any reason whatsoever.

    15. Costs

    15.1. The Transferee Company shall pay the fees and costs of any financial or technical advisors,
    lawyers or accountants engaged by it in relation to the negotiations leading up to the
    transactions contemplated hereunder and for the preparation, execution and carrying into effect
    of this Scheme, and expenses relating to stamp duty and registration in respect of the Scheme.
