Rule 1

The Name and Logo of the Company

1.1 the name of the company shall hereafter be called GOORAAN CONSTRUCTION
COMPANY

Company Headquarters

2.1 The company HQs shall be located at Burco and can establish branches offices at region and
district levels of the country;

2.2 Prior to the establishment of branch offices the company HQ shall have full authority to carry
out all company activities.

Rule 3

3.1 The company has limited shareholders status.

Shareholders

4.1 The number of shareholders is two members;

4.2 The monetary contribution of each shareholder is as following

5.1 losses and profits of the company shall be divided up according to the ratios of the
percentages of member shareholders stocks.

Board Directors

1. The board of directors shall consist of 3 member including the General Manager

Rule 8

Terms of office

The term of office of the Board of directors is one year, a member is eligible for resignation, and
however, no member should be elected for more than two consecutive terms.

Rule 9 General Manager

Powers and duties for the general manager shall include:-

A. To manage, protect and maintain the financial affairs and assets of the company
B. To coordinate the activities of the board of the organization
C. To issue notice and agenda of the conferences
D. To prepare and submit plants to the board and submit of approval
E. To handle company’s correspondence with other companies.

Rule 10: the vice-chairperson

The vice-chairperson shall have the following powers and duties:

a. To assume the powers and duties of the chairperson in his absence

b. To protect and maintain accurate accounts of the assets of the company
c. To prepare annual report on the organizations activities
d. To make overall supervision and monitoring of the company’s activities
e. To solicit feedback from members on performance of the board.

Rule 11 the Secretary

The secretary shall: -

2. Maintain minutes of the meeting of board discussions, compile ideas proposals and
suggestions posted on the organizations in general or privately to the board of individual
board members,
3. Periodically provide an update list of activities, proposals and suggestions for boards
discussion and ultimately for the company’s approval for action
4. Maintain records of accounting reports of the organizations activities.

Rule 12 The Treasurer

2. Supervise the management of finance and property and other resources.

3. Supervise the preparation of financial report.
4. Examine and submit audited statements of accounts for adoption.
5. Provide a quarterly report of the company’s financial status to the board

Rule 13: Auditor

1. The auditor shall be appointed by board. He must have an experience in auditor
2. The auditor:-
A. shall issue a report certifying that the financial statement issued by the treasurer
and board reflect the true financial position of the company.
B. shall submit his report within 60 (sixty) days after receiving financial
statements. Copies of the report should be provided to the board and members at
large
C. shall be accountable to the board.

Rule 14

Company Accounts

2. Company balance of accounts shall be drawn at the initial stage bi-semester(once every 6
months) according to normal company procedures .the accountant should approve of
accounts before presentation to the company are made

Rule 15: Members Salaries

15.1 members holding office shall have monthly stipends as agreed upon by all company
shareholders.

Rule 16 Additional Investment

Can only be sold to new members with the majority consent of the holding members or by
absolute majority votes

Rule 17 Withdrawals from Company

17.1 a share-holders member can withdrew from the company provided that:-

 The full period of the closing of the accounts has expired

 The member has made a written petition three months prior to the date of the closing of
the accounts for preparedly the evaluation of member’s assets.

Rule 18 Exemptions To The Withdrawal

18.1 withdrawal of money is prohibited before the closing of accounts and the putting-forth of
the withdrawal procedure as in article 16

Rule 19: Amendments To Agreements

18.1 any amendment to this agreement pertaining to alterations or additions shall be made by all
company members and decision approved by 50% plus one majority vote in accordance with the
tenets of democracy.

Rule 20 particular tasks involving payments

20.1 The foreman can carry out tests (contractually) where the contracting agent makes direct
payment to company workers. This operation will further advance the good name of Gooraan
Construction Company
