State Bank of Hyderabad (SBH) requests proposals in sealed cover for selection of
project management consultant (PMC) for construction of its new Head Office
complex at Knowledge city, Hyderabad. The proposals duly completed in the
prescribed format as per RFP document along with earnest money deposit of Rs. 1.00
(one) Lac in form of demand draft drawn in favor of DGM, Premises Department, State
Bank of Hyderabad payable at Hyderabad must reach the Office of the Dy .General
Manager, Premises Department , State Bank of Hyderabad, Head Office, IInd floor,
Methodist complex, Abids, Hyderabad-500001 on or before 1500 hrs on 30.09.2015.

1. INTRODUCTION

1.1 State Bank of Hyderabad (SBH), hereinafter called The Bank, now wishes to appoint
a Project Management Consultant (PMC) for the construction works at its
proposed new Head Office Complex at Knowledge city, Hyderabad. The proposed
building providing office space of 100000 sq.ft together with additional area for
parking and is a green building aimed at platinum certification from
IGBC/USGBC

1.2 The consultant responsible for Comprehensive Architectural Design hereinafter called,,
The Design Consultant, has already appointed. The Architectural Design and
preliminary cost estimate for the above works have already received .Municipal
Approvals for the construction is in place.

1.3 As a part of the process of selection of PMC, proposals are hereby invited from reputed
organizations or consortium of not more than two organizations, having proven
professional capabilities in project management of large campuses, that are
eligible as per the primary eligibility criteria contained in this document. Such
organization or consortium is hereinafter referred to as Applicant. (Please refer
Annexure 01 for the primary eligibility criteria.)

1.4 This Request For Proposal (RFP) is addressed to only those applicants that may be
eligible as per the primary eligibility criteria contained in this document. The
purpose of this RFP document is to provide information to the eligible applicants
for preparation of their proposals for the selection process

1.5 Information contained in this RFP document reflects various assumptions and
assessment based on current understanding of The Bank. Each applicant may
require to augment this information with their own experience to develop and
submit technical and financial proposals.

1.6 Applicants are expected to make their own assessment and satisfy themselves fully
with all aspects of the Banks structure, Project needs, site conditions, local
environment, functional and statutory requirements for construction of such
buildings and accordingly make proposals.

1.7 Applicants are required to submit their proposals strictly according to the terms and
conditions and in the form and manner specified by The Bank.
1.8 Applicants are required to submit the Earnest Money Deposit (EMD) of Rs.1 lac by
way of DD favouring Dy. General Manager, Premises Department, State Bank of
Hyderabad payable at Hyderabad.

The amount of EMD for all unsuccessful applicants shall be returned by the
Bank, without any interest, after the successful signing of agreement for PMC. In
case of the selected PMC, the EMD shall be adjusted as part of the performance
guarantee to be submitted by them as per the RFP.

2. THE BANK

2.1 State Bank of Hyderabad is a body corporate established through the State Bank of
Hyderabad Act 1956.

2.2 The Head Office of the Bank is at present in Gunfoundry, Hyderabad with over
2000 branch offices all over India

3. SCOPE OF SERVICES

3.1 The scope of services of PMC shall include all project management tasks that need to
be performed for construction buildings and their commissioning. It shall include
but not be limited to the services as listed hereunder para 3 including all its sub
paras.

3.1.1 Certain development works at site may envisage to be executed through the works
department of the Bank. For the works that are assigned to Department, PMC shall
not need to manage, inspect and ensure works execution. In order to expedite the
work, the Bank has floated/ intends to float a separate tender for excavation up to
cellar from level of the building. The PMC selected will be required to take over
the works from the department and coordinate final/ intermediate inspects and
work completion of these works as well, which are included in the estimate
indicated.

3.1.2 It shall however still be required to ensure routine coordination with each such
agency to conduct overall site security & access related functions, maintain domain
and work zone clarity on site.

3.2 GENERAL SERVICES:

3.2.1 The Project Management Consultant (PMC), acting as project manager for and
on behalf of The Bank, will monitor, coordinate, manage, evaluate and administer
all project processes including activities of various participants in the Project in
accordance with approved project requirements, Specifications, Schedules, Budgets,
Quality and Health, Safety & Environment (HSE) parameters. PMC shall ensure that
all necessary documentation is collected, checked, suitably communicated, filed and
submitted to The Bank for record.

3.2.2 PMC shall act as Engineer In Charge of all project works and supervise all the
works, check and certify all measurements and bills and recommend for their
payment. PMC shall keep the Bank informed through a well-designed Management
Information System (MIS) on the physical & financial progress of the Project at
regular intervals or as directed by the Bank. PMC shall use competent software for

PMC functions.

3.2.3 PMC shall ensure that all project activities are in accordance with the latest IS codes
and other relevant statutes.

3.2.4 To ensure implementation of all project processes, PMC shall liaise with and
provide all requisite information, support and assistance to the Bank, all appointed
consultants including their sub- consultants, and all other individuals, agencies and
organizations as may be deemed fit by the Bank during the entire period of contract.

3.2.5 PMC shall be duty-bound to act on the directions of the Bank in all project matters
and shall perform, or cause to be performed all the identified initiatives and
milestones strictly in accordance with such directions. Also, The Bank will in no
manner whatsoever be bound to act on the advice of PMC in any matter related to
the project.

3.2.6 The Bank will provide about 50 sqm of office space to PMC, free of cost at site , for
establishing a purely temporary project office to be used only for works related to
the Bank, during the entire period of contract or up to any date as decided by The
Bank.

3.2.7 PMC, within two months of issue of Letter of Intent by The Bank, shall open, a fully
functional, IT-enabled and equipped office with a team of fulltime personnel at the
project site. All staff appointed and/or stationed at the said office shall need to be to
the acceptance of and with the approval of the Bank. The required office furniture
only shall be provided by the Bank free of cost at the site office.

3.2.8 PMC shall deploy, for the entire period of contract, the following minimum no. of
competent, qualified and experienced technical staff with relevant field experience
on similar projects: (1) One graduate Civil Engineer preferably with a postgraduate
degree or equivalent in civil engineering / management; minimum fifteen years of
experience; maximum age limit 55 years for overall control, coordination and
liaison purposes. He may or may not be stationed at the site. He shall have a
minimum of 15 years field experience after graduation. (2) One full time Resident
Civil Engineer in charge. Age limit- 50 years. He shall have a minimum 10 years
field experience after graduation. He shall be stationed at site. (3) Two full time
Civil Engineers for supervision ,measurements, scrutiny of bills, testing and quality
control. Each of them shall have a minimum of 5 years field experience after
graduation. (2) One graduate Electrical Engineer; minimum ten years of
experience; maximum age limit 50 years for electrical/AC /MEP works. The Bank,
at its sole discretion, may relax the minimum age by an additional five (5) years in
the case of highly competent or highly qualified or highly suitable candidates, upon
specific request to this effect from the PMC. In addition to above minimum
technical staff, PMC shall appoint as many personnel at the project office, as may be
required for necessary due diligence on its part.

3.2.9 Besides regular site supervision by professionals posted at site, PMC shall depute, with
prior approval of the Bank, highly qualified and well experienced experts /

professionals from different disciplines for periodic monitoring, supervision and
evaluation, on routine basis during the entire period of contract. The Bank, at its sole
discretion, reserves the right to accept or reject any professional suggested for
deputation, if in the opinion of the Bank, such professional is not adequately
qualified/ competent / professionally disposed for the Banks works.

3.2.10 The status/designation/qualifications of the representative(s) of PMC who will be


allowed to deal/interact with The Bank and/or its representatives, The Design
Consultant, other consultants and designated committees/groups etc. shall be the
matter of discretion of The Bank; and the decision of The Bank in this regard shall
be final and binding on PMC.

3.2.11 PMC shall respond to the queries raised by The Bank within 7 days or lesser time as
soon as possible considering the nature of query and its impact on the project.

3.2.12 PMC shall not assign or subcontract any portion of these services without the prior
consent of The Bank in writing. However PMC, after the award of the contract, may
engage, at its own cost but with prior approval of The Bank, any number of sub-
consultants considered suitable for the part of services which may require specific
expertise subject to the condition that the overall responsibility of performance under
the contract shall always lie with PMC only.

3.2.13 PMC shall be required to work in close coordination, provide requisite


information, and be available for meetings with the Design Consultant and other
persons/ organizations associated with the construction, in all such matters as
directed by the Bank.

3.2.14 The decision of the Bank will remain final in all matters relating to the interpretation
of architectural design and related architectural details; and PMC shall be bound to
execute such decisions to the satisfaction of the Bank.

3.2.15 The ownership of all the schemes, proposals, documents, drawings, reports, data and
communications that shall be generated, processed and/or disseminated by PMC,
including their formats of collection, analysis, processing, documentation, and
reporting in fulfillment of the scope of services as PMC, shall rest with the Bank and
no claim whatsoever shall be admissible on the Bank in respect of any proprietary
rights or copyrights of the same on the part of PMC.

3.2.16 THE BANK, at its sole discretion and without assigning any reasons whatsoever,
reserves the right to appoint any individual and/or organization as it may deem fit to
render the whole or part of services covered in this RFP, for the present phase of
work and any subsequent phases thereafter, in the interest of timely and qualitative
completion of construction works.

3.3 PROCUREMENTS SERVICES:

3.3.1 Aid, advise and assist the Bank, as and when directed, in selection and
appointment of consultants, contractors and suppliers.

3.4 SUPPORT & COORDINATION SERVICES:
Facilitation of communications & information exchange:

3.4.1 PMC shall be required to organize, conduct, participate in and minute, all meetings
regarding the project at any date, time and place as directed by the Bank throughout
the project period.

3.4.2 The Bank expects PMC to conduct routine monitoring and coordination meetings on
daily and weekly basis.

3.4.3 The Bank expects PMC to conduct periodic coordination meetings at a minimum
interval of every two weeks at Hyderabad, to help all consultants, contractors,
vendors and other agencies in the process of demonstration, review, comments and
client inputs on the work progress and to ensure monitoring of project
implementation. (A Project Coordination Committee of Bank Officials, consultants
and PMC will be set up for interaction)

3.4.4 PMC shall set up and control its own documentation control system for the project. The
Bank and/or its authorized representatives shall have access to PMC server to the
extent as and when desired, without fail.

3.4.5 PMC shall, without question or fail, provide knowledge transfer and handover,
including transfer and/or cessation and/or conveyance of physical possession and/or
custody wherever applicable, of all material or de-materialized project constituents,
to the Bank and/or other agencies appointed by The Bank, as and when desired by
the Bank.

Full assistance in all project related legal matters and other mandatory
compliances:

3.4.6 PMC shall provide full coordination including required administrative / secretarial
support and full assistance to the Bank and / or other agencies appointed by the
Bank, in all project related legal matters and other mandatory compliances including
but not limited to preparation and processing of responses to all audit authorities /
vigilance authorities, CTE / RTI questions and any others, handling all related
communications and facilitating inspections by such authorities, to the extent as and
when desired by the Bank, throughout the entire duration of the contract and without
question or fail.
3.4.6.1 The project falls within the purview of the Chief Technical Examiner (CTE) of the
Central Vigilance Commission (CVC).PMC shall attend to the inspections carried
out by the CTE/CVO and any other statutory authorities involved in the project and
assist the Bank to reply to their queries as well as ensuring removal of deficiency
pointed out. The responsibility of the PMC for the project work shall not cease until
the replies to observations of the CTE/CVO are accepted by CTE/CVO as satisfactory
OR until final disposal and award of arbitration , if any, whichever is later.

3.4.7 PMC shall brief the Bank in a timely manner and keep it fully informed on the status of
various stages of statutory, legal and other project related matters and compliances;

and shall bring to the Banks notice, well in advance, all consequent necessary
actions required keeping in mind the project milestones.

3.5 WORK MANAGEMENT

Field Engineering, Supervision & Design Support:

3.5.1 Regularly interact with the Design Consultants, Contractors and the Bank to
resolve all issues related to project execution before the construction and during the
construction till completion of works.

3.5.2 Review of advance copies of good for construction (GFC) drawings submitted by
design consultants to the satisfaction of the Bank and to ensure that extra items are
minimized.

3.5.3 Arrange for clarifications and/or resolution of conflicts pertaining to contract drawings,
specifications and engineering problems.

3.5.4 Review or arrange for review by the consultants, of suppliers and contractors drawings
and documents for equipment and services installations, as required.

3.5.5 Review or arrange for review by the consultants, of material samples, test reports
and other certifications and submittals by suppliers and contractors for
conformance to drawings and specifications, as required.

3.5.6 Arrange for preparation of as-built drawings from the Design Consultant submit to the
Bank.

3.5.7 Maintain primary survey records and control records of surveys performed by others.

3.5.8 PMC shall assist The Bank for the identification of Lay-down areas, identification of
areas for plant & machinery required for the project.

3.5.9 PMC shall vet the accuracy of the layout demarcation as executed, in accordance
with the approved drawings by the Bank.

3.5.10 In case of any disparities, PMC shall bring the same to the notice of the Bank and the
Design Consultant.PMC shall coordinate the inclusion of the necessary design
and/or layout modifications including services etc. on design drawings as per site
requirements. PMC shall seek the Banks approval for any such changes before
implementation at site.

Measurements & Bill Checking:

3.5.11 Recording of measurements (as per laid down procedures / standards / practices) for all
items of work done including extra and declared sub items.

3.5.12 Checking and certification of all contractors bills and forwarding it to the Bank for
payment within the agreed timelines as specified in the tender/contract documents.

PMC should also recommend all statutory deductions as per prevalent law.

3.5.13 Checking and certification of the bills of consultants other than the Design Consultant,
appointed for the project as and when desired by the Bank.

3.5.14 PMC to coordinate with the Bank while verifying bills, invoices and payments.

3.5.15 Check and solicit rate analysis for extra items of work and forward the same for
approval by the Bank before execution of the same at site.

3.5.16 Prepare reconciliation statement of various materials received and consumed at work
such as steel, cement etc. consumed and brought to site. It should be submitted with
every bill.

3.5.17 Check the quantities exceeding the contract quantity and inform the cost implications
to the Bank.

Quality Assurance/Quality Control:

3.5.18 PMC shall perform all duties of quality assurance of works and carry out
comprehensive technical supervision of the works to ensure conformity with
approved designs, specifications for materials and workmanship, adopted QA/QC
and HSE procedures, applicable relevant standards and codes and sound engineering
practices.

3.5.19 PMC shall ensure suitable & sufficient tests of materials and equipment as required
including random checks for conformance with specific requirements of contract
documents, and document results of the tests. Besides, assessment and checking in
the laboratory and the scheduling, supervision and vetting of field tests carried out
by the contractors, PMC may also carry out independent tests as necessary, as and
when desired by the Bank, for quality assurance of the works at contractors own
cost. PMC shall maintain completed records of all test results including suppliers
material tests.

3.5.20 PMC shall review and approve the test results/certificates and wherever tests
indicate lack of conformance, it shall initiate action to secure conformance including
additional tests as considered necessary to establish quality of the work desired.

3.5.21 PMC shall note deficiencies in the contractors work, cause corrections to be made, and
check the remedial work and facilitate to rectify the deficiencies as per approved
methods / BIS provisions. Moreover, PMC will not be discharged of their
responsibility to get the defects rectified.

3.5.22 PMC shall check that various products guarantees are available for sufficient period.

3.5.23 PMC shall conduct monthly technical quality audit in co-ordination with the Bank.

3.5.24 For the purposes of independent testing, wherever required, all material / Equipment
shall be sent for testing / calibration to the Labs that are accredited by NABL

(National Accreditation Board for Testing & Calibration Laboratories).

3.5.25 PMC may be required to help establish, at the contractors cost, a testing laboratory at
the site of construction work equipped with prescribed machinery, tools, plants and
equipment as directed per the tender document.

Health, Safety and Environment Requirements:

3.5.26 PMC shall ensure that while carrying out the works under the assignment the
contractors, if any, shall place due importance and regard to the overall aesthetics,
ambience, topography and eco-system of the site.

3.5.27 PMC shall also take due precautions to ensure all necessary compliances for
Environmental and Health & Safety requirements at site as well as at Contractors
labour camps if any in the Bank Campus. PMC shall maintain all Labour and Labour
Payment records as per the Labour laws.
3.5.28 PMC shall ensure the highest standards of safety, security and health for all workers of
all contractors and other agencies and also all other persons entering the site in
conformance with legal provisions, codes, standards and good practices. PMC shall
also conduct training / orientation and briefing of all workers and visitors in this
regard.
Contract administration:

3.5.29 PMC shall maintain complete records for contracts orders from award to final
acceptance, payment, and close-out including:

3.5.29.1 Contracts and purchase orders along with record of all day to day correspondences
and meetings including contractual issues with all the Contractors.

3.5.29.2 Progress payment records.

3.5.29.3 Drawing and specification clarifications including all changes, deviations and
substitutions, which have been evaluated, estimated, negotiated, and/or accepted.

3.5.29.4 Maintain the logs for Bank Guarantees, Contracts, Contract Amendments, Change
Notices, incoming & outgoing correspondences, workmen compensation policies,
PF Challans, Labour license, Health and other Insurance policies, Contract
Schedules, Back charges, RFIs, Invoices, etc., for all contractors.

3.5.30 PMC shall prepare monthly progress payment estimates and facilitate and administer
systematic and reasonable progress payments.

3.5.31 PMC shall review, appraise and administer claims for items of extra work or change in
the terms of the contracts. PMC shall negotiate with contractors to resolve claims,
including documentation of the rationale for resolution, and submit relevant
justification notes for any eligible claims to The Bank for approval. PMC shall
develop change orders/amendments to incorporate the work covered by claims into
the appropriate contract or purchase order after the Banks approval.

3.5.32 PMC to manage all the Contractual issues with the Contractors in such a way that
there is no cost and time implication to the Bank.

3.5.33 PMC shall administer all requests for extension of time from the Contractors. PMC
shall negotiate an equitable adjustment in time and submit an approval note to the
Bank with detailed schedule analysis, cost impact, if any, for approval.

Project Cost Control:

3.5.34 Maintain the hindrances register package/contract wise which shall record any
hindrances caused to the progress of the works, duration of such hindrance, date of
clearance of such hindrances etc.

3.5.35 PMC shall inform the Bank about each such potential change in design and
construction from the approved drawings, plan of execution, and construction
quantities which may have cost or schedule impact, at least two (2) weeks in
advance for identification of change with detailed analysis for acceptance and
propose a plan to mitigate the same; and for emergency cases, PMC shall identify the
change with analysis to the Bank for approval within 2 days.

3.5.36 On acceptance of The Bank, PMC shall prepare and submit a deviation report of
identified change/ deviation in cost and schedule within 5 days of approval of
change. The report shall include but not be limited to the following: Reason for
change, cost and schedule impact, cost analysis report, recovery schedule and
recommendations to reduce time and cost impact.

3.5.37 Monitor, report and Maintain a log of identified and approved changes and
submit it to The Bank on regular basis and as and when needed by the Bank.

Project Completion:

3.5.38 PMC shall engage in verification of the physical construction and installation of the
various facilities and systems of the project towards or after completion in
coordination with the design consultants and the Bank.

3.5.39 PMC shall arrange for, coordinate and verify the contractors or suppliers
corrections, modifications and adjustments, if any, to equipment and systems prior
to final acceptance/handing over of each facility or system to the satisfaction of the
Bank and/or operating staff.

3.5.40 PMC shall recommend the Bank's acceptance of facilities or systems from the
contractors for operation and use after arranging for sufficient training to the end
users /operators at the Bank for each facility or system as per the respective
contracts.

3.5.41 PMC shall establish, effect and monitor a program for identifying and rectifying
defects during applicable Defects Liability Period including periodic monitoring and
reporting. At the expiry of the defect liability period, PMC shall make a final
inspection and list the defects to be rectified prior to issue of final completion
certificate.

3.5.42 PMC to solicit from the contractors to supply trade files, documents, test certificates,
performance warranties/guarantees, spare parts list, maintenance manuals, no claim
certificate and transmit the same to the Bank in both hard copy and electronic
formats.

3.5.43 PMC to solicit the AS BUILT drawings immediately on completion of each area.
Reviewing, verifying and approving the as-built corrections to all plans, drawings
and other documents in coordination with design consultants and to the satisfaction
of The Bank.

3.5.44 Prepare final project completion report(s), project expenses analysis, estimates and
final account of expenditure in the format as desired by the Bank.

3.5.45 Ensuring that the constructed works and sites are cleaned and prepared for occupancy
and use.

3.5.46 Recommend to The Bank to issue completion certificates after the contractors have
satisfactorily completed all work under the terms of their contracts and for final
payment of the contractors after adjusting any liquidated damages and security
Deposits.

3.6 BANKS RIGHT TO LIMIT THE SCOPE OF SERVICES

3.6.1 SBH reserves the right to restrict the scope of the services of PMC to the full or part or
parts of the project.

3.6.2 The Bank reserves the right to terminate the services of PMC with a three month notice
in writing if the Bank is not satisfied with the services of PMC.

3.6.3 In the event of termination of the services of PMC due to unsatisfactory services
rendered by PMC, PMC will not be entitled to claim any compensation for the
termination on account of the remaining work or the period of contract not
completed.

3.6.4 Further, in case of termination of services of PMC due to unsatisfactory


performance, the Bank reserves the right to levy appropriate compensation on PMC
for the losses incurred by the Bank on account of the unsatisfactory services of PMC
or due to the fact of disruption to the project due to the necessity of having to
terminate the services of PMC and having to make other arrangements for
completion of the works and entrusted to PMC.

3.7 STAGEWISE SCOPE OF WORK:

3.7.1 PRE CONSTRUCTION STAGE

i) Project Strategy: Prepare an overall strategic master programme setting out the
management approach for the project with basic project structure, role of project
participants and mechanism to plan, execute, monitor and review the project

development in accordance with the Client's brief, and overall project duration and
major milestones.

ii) Day to day site supervision, planning, quality control, coordination of work between
various agencies, measurement of quantities & bill checking etc.

iii) Phasing Studies: Analyse the impact on financial, design, procurement, construction
and commission requirement, of various phasing options.

iv) Conceptual Cost Estimate: Based on Preliminary Architectural Design and PAR
estimates of the Architect prepare an elemental conceptual cost estimate (Project
Cost Model).

v) Advise on the separation of the project into separate contracts. Advise on the method
to be used for selecting contractors and awarding contracts. If separate contracts are
to be awarded, advise on the co-ordination of the work and ensure that the total
scope of the project has been incorporated into the appropriate contract.

vi) Procurement Strategy: Develop a strategy of how the work will be procured
(contract packaging), taking into consideration specific project condition in terms of
time, design, local and international resources, long lead deliveries, local
requirement, site-wide purchasing opportunities and standard contract document.
Make recommendations for pre-qualification criteria for bidders, and develop
bidders, interest in the project.

vii) Project Organization: Prepare project organization plans and structure and define
responsibility and reporting relationships.

viii) Project Procedure Manual: With the consultants prepare the project procedure
manual, to cover project details, reporting, financial matters, meeting, drawings,
circulation of correspondence, bid packages, tenders, payments, defects liability
certification and insurance requirements.

ix) Master Planning: Review the project master plan to ensure that all aspects of the
development are covered.

x) Construction Strategy: Develop and monitor an overall construction strategy of the


site including phasing and sequencing, logistics, safety plan, security, Industrial
relations, quality control, environmental impact plan and handover sequencing.

xi) Master Scheduling: Prepare a master Schedule, which forms part of the trade
contractors' tender documents and is updated during the procurement and
construction period in accordance with the contractors' schedules.

xii) Design Process Co-ordination: Through regular monitoring and the provision of
advice, facilities on-going design within the framework of the Client's brief,
monitoring document control.

xiii) Design Process Management: With the Design Team, establish detailed design
programmes and identify design deliverables including drawings, design

calculations, specifications and quality control procedures. Monitor design progress,
identify programme divergence and recommend remedial action. Report on cost and
time effects of design changes. Prepare design analyses and advice the client and
design team. Set up regular Design Team meetings to resolve outstanding matters.

xiv) Investigate and recommend a schedule for the Owners purchase of materials and
equipment requiring long lead times and co-ordinate with the early preparation of
the design documents by the Design Consultants.

xv) Document Control System: Advice on document control system for all project
design and technical documents.

xvi) Document Control Implementation: Implement document issue, numbering, coding


and distribution system, and manage a project-wide document control system.

xvii) Cost Panning Advice: Advice on the project cost plan compilation into
appropriate project cost centres.

xviii) Project Cost Plan: When the design develops to the degree where the qualities and
specification are available, develop the elemental conceptual estimate into a detailed
elemental cost estimate which, when agreed with the Client, becomes the project
cost plan.

xix) Project External Relations: Advice on and if required establish procedure for
external relations with the public, trade unions, adjoining property owners and all
other interested parties.

xx) Pre-Construction Works: Advice and assist the design team and the Client in
obtaining all the requisite approval for pre-construction activities. Organise site
surveys; establishment of site grid/datums, soil investigation and demolitions.

xxi) Schedule Monitoring: Advise on reporting format and co-ordination of design and
construction schedules. Review contractor's detailed schedule report and advice the
Client.

xxii) Schedule Management: Establish schedule reporting formats and develop


construction programme, which integrates with the design programmes. Develop
detailed trade package schedule and award dates, and subsidiary schedule, which
integrate with the construction programme.
xxiii) Tender Documents Preparation of N.I.T., general and special conditions of contract
in consultation with the Architects. Co-ordianation with the Architect and his team
of consultants for preparing detailed schedule of quantities, detailed specifications of
all items of work.

xxiv) Advise the Owner and the Design Consultants regarding the assignment of
responsibilities for safety precautions, temporary project facilities, and the provision
of central equipment / materials / services for common use.

xxv) SOW pertaining to green rating


a. Co-ordinate with IGBC LEED consultant for approval and clearances on

behalf of SBH. Assist IGBC LEED Consultant in registration of the project
with rating authorities.

b. Take feedback on designs from IGBC LEED consultant at all major


submissions.

c. Review reports submitted by IGBC LEED consultant.

d. Conduct and participate in meetings with IGBC LEED consultant and IGBC
LEED authorities whenever required.

3.7.2 BID AND AWARD STAGE:

i.Procurement / Pre contract & Bidding: Implement strategies, plans and detailed
guidelines for the procurement of all project services. Solicit interest and assist in the
development of bid lists, pre- qualification of Contractors and tender schedules, and
attend bid clarification meetings.

ii.Contract Documentation: Determine scope of contracted elements, advice on the


detailed preparation of contractual terms and assemble construction contracts/ purchase
order.

iii.Buildability Review: Arrange and review buildability and method statement with a
view of optimising methods of construction in terms of cost, time, and quality.

iv.Buildability analyses: Undertake buildability analyses and review trade contractors


method statements with a view of optimising proposed methods of construction in term
of cost, time and quality.

v.Value Engineering: Commencing during design development and on tinning through


to completion of the project, undertake Value to completion of the project, undertake
Value Engineering studies with the objective of maximising the investment value of the
project and evaluate the impact.

vi.Conduct pre-bid conferences to familiarise the bidders with the bidding documents,
management techniques and with any special systems, materials and methods.

vii.Assist the Design Consultants with the receipt of question from bidders and with the
issuing of Addenda.

viii. Receive bids, prepare bid analysis and make recommendations for award of
contracts. Conduct pre-award conferences with successful bidders.

ix.Assist in the preparation of construction contracts. Advise on the acceptability of


subcontractors and suppliers proposed by the contractors.

3.7.3 CONSTRUCTION STAGE

i. Provide administrative, management and related technical services as required to co-


ordinate the work of the contractors with each other and with the activities and

responsibilities of the Project Manager, the Design Consultants and the Owner in
accordance with the Owners Cost, Schedule and Quality criteria.

ii. Schedule and conduct pre-construction, construction and progress meetings to discuss
such matters as procedures, progress, problems, cost and schedules. Prepare and
distribute minutes.

iii. Consistent with the Project Construction Schedule issued with the bidding documents,
and consistent with the Construction Contractors Schedule provided by each
contractor update the Project Construction Schedule. This will include activity
sequences and duration's allocation of resources, status of shop drawings and samples,
status of long lead procurement items, etc.

iv. Project Budget Control: Recommend and review cost reporting formats and cash flow
analyses, attend cost meeting and monitor the project budget. Advice the Client of any
variation to the Cost Plan, requirements for additional funding and contingency fund
control.

v. Cost Management: Assist the Client in preparing the Project Budget using the Project
Conceptual Cost Estimate a cost reporting and coding structure based on the CMIS
system. Administer the budget throughout the project life. Provide the Client with
information on the financial status of the Project, actual cost against cost plan, cash
flow analyses and forecasts, impact of change order and forecast anticipation cost to
complete the project. Organise regular cost meeting and establish a contra- change
tracking system. Review and advice on payments to trade contractors.

vi. Liaise with Agencies/Authorities: Assist the client to liaise with government authorities,
statutory agencies and utility companies i.e. planning permits, Building regulations,
roads, transportation, telecom and internet service provider, water, gas and power.
Monitor statutory approvals. Assist in getting approvals from the authorities that have
jurisdiction over the project. (GHMC, TSPIIC, DGSFS,TSPCB,MoEF etc.)

vii. Project External Relation: Advice on and establish procedure for external relations
with the public, trade unions, adjoining property owners and all other interested
parties.

viii. Risk Analysis and Management: Assist the Client in identifying all risk elements to
the project and advice on methods of managing those risks to minimise their impact
on the project by establishing and implementing a formal risk analyses and
management procedure of evaluating the cost, time and quality effects, of each risk
and establishing an appropriate contingency and then monitoring the effects on the
contingency. Receive copies all insurance documents, maintain log and ensure that
they re up to date.

ix. Site Organisation: On behalf of the Client, monitor progress and performance of the
trade Contractor on a daily basis. Manage the site with particular attention to site
layout, safety, logistics, material handling, and pollution control, site attendances and
temporary utilities and clean up. Organise Pre-construction orientation, weekly site
meetings, handle queries, arrange for site datums and manage trade Contractors
reporting process.

x. Administration of Project Construction: Following the Project Procedures Manual,
monitor the construction process, including document, records, meetings and system
management. Advice on safety, fire protection, security, transportation control,
pollution control, labour relations, temporary utilities and clean up. Conduct pre-
construction orientation conference(s), attend progress meetings, advice on queries,
work splits, and all other site matters.

xi. Management of Construction: Manage the work of the Trade Contractors and
suppliers, in accordance with Trade Contractor purchase agreements. Establish Trade
Contractors' procedure manual, monitor material, equipment and labour resources and
ensure the work complies with the term of the method statement policies agreed with
the Client. Provide administration of the distribution and storage of the appropriate
information.

xii. Site Logistics: Plan and manage site logistics including site operation not including in
contract scopes such as access, storage, site accommodation, welfare, utilities, fire
services, medical facilities, safety and emergency routes.

xiii. Safety and Security Management: Establish guidelines and manage the site safety and
Security Programme. Review the safety program developed by the contractors and co-
ordinate.

xiv. Quality Control: Assist in establishing and monitor the implementation of a Quality
Management System which foresees that construction works are carried out in
accordance with the specification and quality control procedures.
xv. Quality Management: Establish, Implement and manage a quality Management
System in accordance with specification and quality control procedure. Arrange for
and co-ordinate independent laboratory testing / inspection as require. Implement
remedial action as defects are noted.

xvi. Change Order Monitoring: Advice on the development of a change order reporting
system, monitor implementation and advice on settlement of change orders.

xvii. SOW Pertaining to Green rating


a) Co-ordinate between contractor and IGBC LEED consultant. Collect all documents
and monthly formats from contractors as specified by IGBC LEED Building
consultant. Collect technical data sheets for all materials used on the project from
contractors, suppliers, and all agencies.

b) Arrange periodic site visits from IGBC LEED Building consultant and IGBC
authorities.

c) Make available shop drawings from Contractors, suppliers to IGBC LEED


consultant.

xviii. Track and ensure achievement of desired rating level and communicate the same to
SBH on a monthly basis

xix. Change Order Management: Advice and implement at change Order reporting

system. Evaluate proposed changes in term of their impact on design, construction and
operation, proposing remedial action where appropriate. Make recommendations on
the settlement of Change Orders.

xx. Performance Monitoring and Measurement: Monitor and report on progress as the
project evolves, in terms of work performed and progress achieved tying together
physical progress and financial status. Monitor compliance and assess performance of
all project participants. Evaluate and make recommendations on Trade Contractors
requests for progress payments. Manage the contractors to achieve satisfactory
performance. Recommend courses of action when the contractual requirements are not
being met.

xxi. Variation Statements - Provide regular monitoring of the approved estimate of


construction costs, showing actual costs for activities in progress and estimates for
uncompleted tasks. Identify variances between budgets and actual.

xxii. Certification of Bills - Develop and implement procedures for the review and
processing of Applications for Payment by the Contractors for progress and final
payments.

xxiii. Assist the Owner in selecting and retaining the professional services of surveys,
special consultants and testing laboratories. Co-ordinate their services.

xxiv.Consult with the Owner and Design Consultant if any contractor requires
interpretations of the intent and meaning of the design documents, and assist in the
resolution of such questions.

xxv. Arrange for the delivery and storage, protection and security of all Owner-purchased
materials, systems and equipment, which are part of the project until they are finally
incorporated.

xxvi.Claims Management: Advice the Client on management of claims to minimise or


avoid disputes. Establish a Claims log; evaluate claims and advice at negotiations with
Trade Contractors.

xxvii. Reporting: Assemble Monthly report Which include progress photographs, status of
design, permits/ licence, agreements and negotiation with third parties and bid
packages, trade contractor performance, schedule reports, cost/ financial report, bonds,
problem areas and recommendations for action. Solicit Trade Contractors to keep
accurate written reports on labour, weather, progress, material / equipment, accident
and other pertinent matters.

xxviii. Submittal Process: Monitor and review Contractors' material procurement


schedule logs for completeness, accuracy and compliance.

xxix.Commissioning Management: With the appropriate Consultants, establish procedure


for and manage the commissioning of all services.

xxx. Final Acceptance Implementation: Establish Standards for Final Acceptance.


Implement remedial action should defects be noted. Advice the Client on acceptance

of particular completion, manage hand over to the Clients' operator and maintenance
staff and advice on payment of the trade contractors' final accounts.

xxxi. SOW pertaining to Green Rating


a) Collect technical data for all equipments (MEP) installed on the project -Co-
ordinate with IGBC LEED consultant. and IGBC authorities for Final Leed
Certification.

b) Track and ensure achievement of IGBC LEED Platinum rating level and
communicate the same to SBH on a monthly basis.

3.7.4. POST CONSTRUCTION STAGE:

i.Assist in the preparation of the punch list / snag lists as the contractors work, or
designated portion, is completed and a schedule for their completion.

ii.Completion Certificate - Assist in the determination of when a project is substantially


complete, and the necessary steps that are required before the certificate can be issued.
iii.Handing Over - Assist in the final inspection, secure all guarantees deliver all keys and
manuals and records etc. at completion.

iv.0 & M Manuals & "As-Built" Dwgs Monitoring: Monitor the Preparation of all
necessary operating and maintenance manual and As Built Drawings and their supply
to the Client.

v.O & M Manuals & "As-Built" Drawings Collation: Assemble and collate all operating
and maintenance manual, drawing, instruction and procedures provided by the Trade
Contractors and suppliers.

vi.Training of Operational Personnel: Organise the training of the Clients operations


and maintenance personnel.

vii.Facilities/Building Management: Assist facility management services of owners.

viii.Technology Transfer: Design and implement programmes needed to enhance and


transfer skills and technologies to host organisation.

ix.Release of Retention Amounts / Bank Guarantee: After the successful completion of


defects liability period, certify payments of retention amounts and close contracts.

3.7.5 PROOF CHECKING MEP SERVICES

A. Proof Checking of MEP Services include the following:-


a) HVAC i.e., Heating, Ventilation and Air conditioning system.

b) Electrical works i.e. HT substation, DG power back-up, UPS system, medium voltage
distribution, Internal Electrification, External lighting, Lighting Protection and
Earthing, Low voltage systems, Fire Detection and Alarm systems, Security Systems,
Telecom Systems, Data Networking Systems, PA Systems.

c) Water Supply and Distribution, Public Health and Fire Fighting System i.e.. source of
water, Water quality and quantity, Systems and major components of water supply,
Sanitary drainage system, Sewage disposal system and Sewage treatment, Storm
drainage system, Gas supply, Sanitary fixtures. Sub metering, Fuel system, Use of Solar
system for hot water, Fire Fighting systems.

B.The Consultant will be responsible for the following:


a) Scrutiny of Concept design (Design Basis Report) submitted by the Sub consultant of
the Architects and offer comments for improvement of the design;

b) Discussion with consultant / Architect / Employer for most economical concept design
for MEP Services using Value Engineering Concepts;

c) Finalization of space requirements and structural provision for MEP Services in


consultation with the Sub consultants of the Architects.

d) Ensuring the finalization of designs I details of MEP Services by the Sub consultants
of the Architects on the basis of Proof Check Consultants' recommendations;

e) Scrutiny of the preliminary estimate, detailed estimate as per finalized design to be


prepared by the Sub consultant of the Architects;

f) Scrutiny of the tender documents in respect of tenders for MEP Services or MEP
component of tenders in respect of composite tender for the works, in consultation
with the Sub consultant of the Architects.

C. UTILITIES & SERVICES:-

The utilities & services shall include and not limited to:
a) HVAC Works
b) Electrical Works
c) Plumbing, Water and Sewage Treatment Plant
d) Fire Detection & Fire Fighting Works
e) Security System
f) Audio Visual System
g) Solar Water Heating System & Solar Energy Utilization
h) Computer System including Networking
i) Acoustics
j) IBMS (Integrated Building Management System)
k) Telephone System
l) Voice & Data communication system
m) Rain Water Harvesting
n) Landscape Work
o) Swimming Pool, Water Bodies etc.
p) UPS, Back-up Power Source and Intelligent Lighting System, etc.

4. SCHEDULE OF FEES:

4.1 The total fees payable to PMC in accordance with the scope of services as enunciated
in this RFP shall be a Fixed percentage of tendered cost of the works in stages as per
para 4.13 below

4.2 The percentage fees as agreed under Contract shall remain fixed and valid for both
present and upcoming construction projects, with no condition for escalation
whatsoever excluding service tax and cess thereon, if any (refer para 6.8.12 under
disqualifications).

4.3 The fees shall be inclusive of all expenses (both direct and indirect) relating to the
performance of the Contract for the entire period of Contract except the fees/charges
referred to in the following para 4.5 and also excluding service tax and cess thereon,
if any, which shall be payable extra as applicable.

4.4 PMC shall not be entitled to any payment or remuneration, over and above the fees
hereinbefore stipulated, on account of any delay caused by any reason, whatsoever.

4.5 All fees/charges relating to statutory approvals, payable to local bodies and other
authorities, shall be separately borne by the Bank/others as applicable.

4.6 Deductions on account of Income tax and other statutory provisions shall be
made by The Bank, upon payment of fees or any other payments whatsoever to
PMC, as per prevalent rules / provisions.

4.7 The stage wise fees as prescribed in para 4.13 shall be payable only after 30 days of
completion of the specified component of the work to the entire satisfaction of The
Bank and in accordance with the terms of Contract and the Scope of Services as
enunciated in this document.

4.8 The entire amount of advance payable as per para 4.13.1 shall be adjusted against
payment of fees at the next stage as per para 4.13.2.

4.9 The Bank Guarantee required as per para 4.13.1 shall be obtained from any scheduled
bank, other than SBH and shall be valid upto one year from date of issue. In case the
next stage milestone is extended by The Bank, PMC shall get the validity of Bank
Guarantee extended to cover such enlarged time for completion of work upto the
next stage of payment. After the payment of next stage of fees (as per para 4.13.2.)
with adjustment for advance by The Bank, the bank guarantee shall be returned to
PMC, without any interest.

4.10 All payments made by The Bank towards PMC for any purpose whatsoever shall be in
Indian Rupees only.

4.11 Compliance with the foreign exchange regulation of India or any other country at the
time of receipt of fees, if and when selected as PMC, shall remain to be the sole
responsibility of the applicant; and The Bank shall in no way be involved.

4.13 Stage of Payment (%) of Total Fees Payable

4.14 The fees payable in stage 1 as per para 3.13.1 will be computed on the basis of
tendered value as approved by the Bank.

4.15 The selected PMC shall provide a performance guarantee of 10% of the total fees
payable for the entire envisaged period of construction and subsequent time
extensions if any within 30 days from the date of the letter to this effect by the Bank.
On completion of the entire job, the Bank Guarantee against security deposit will be
converted into a Performance Bond to be valid for 36 months from the date of virtual
completion of different works.
4.16 In case of any doubt regarding the applicable cost estimate or extent of completion of
works at any stage for calculation of due payment or otherwise, the decision of Bank
shall be final and binding.

5. THE SELECTION PROCESS: The process of selection of PMC shall be conducted


in 4 (four) stages as chronologically described, hereafter, in para 5.1, para 5.2, para
5.3 and para 5.4.

5.1 PRE-QUALIFICATION (STAGE-1):


5.1.1 The purpose of pre-qualification is only for preparing a list of all eligible Applicants.

5.1.2 The pre-qualification shall be decided on the basis of evaluation of documentary


evidence provided by the applicants in support of their eligibility according to the
Primary Eligibility Criteria as listed in Annexure 01.

5.2 EVALUATION OF TECHNICAL CAPABILITY (STAGE-2):


5.2.1 All applicants pre-qualified after Stage-1 shall be subjected to evaluation of
their technical capability according to the prescribed Evaluation Criteria listed at
Annexure 02.
5.2.2 The purpose of evaluation of technical capability at Stage-2 is to shortlist maximum of
five (5) applicants for the next stage of technical evaluation.
5.2.3 The Bank will constitute an Expert Committee to objectively award marks i.e.
Technical Score 1 (TS1) out of maximum 100 marks to the pre-qualified applicants
SOLELY on the basis of the documents and details submitted in support of the
prescribed Evaluation Criteria.
5.2.4 A proposal will be considered unsuitable and shall be rejected if it does not respond to
the RFP document.
5.2.5 The Expert Committee shall prepare a shortlist of maximum of five (5) top scorers
from the merit list prepared on the basis of marks awarded as per the prescribed
Evaluation Criteria.
5.2.6 In case of a tie in marks between any number of applicants at any marks amongst the
maximum of five (5) top scorers, preference shall be applied in the following
order:
5.2.6.1 Preference to the applicant with highest marks in section B of Evaluation criteria;
5.2.6.2 Preference to the applicant with highest marks in section A of Evaluation criteria;
5.2.6.3 Preference to the applicant with highest marks in section C of evaluation criteria;
5.2.6.4 In case a merit list of minimum of three (3) applicants is not achieved at
the completion of this Stage-2, then the Expert Committee may recommend
to relax the evaluation criteria in suitable measure.
5.2.6.5 The suggested relaxation shall be applicable subject to the approval of the
Bank.

5.3 EVALUATION OF TECHNICAL PROPOSALS (STAGE-3):


5.3.1 The expert committee to review and evaluate the technical proposals of applicants
shortlisted after Stage-2.
5.3.2 The purpose of evaluation of technical proposals at Stage-3 is to finalize the TOP
THREE applicants for opening of financial bids.
5.3.3 The broad parameters for evaluation of Technical proposals shall be as follows:

5.3.4 Based on the broad evaluation parameters as given in the previous para 5.3.3, the
expert committee shall decide the detailed parameters for award of marks for this
Stage-3.
5.3.5 Each such applicant shall be evaluated by the expert committee and awarded marks i.e.
Technical Score (TS) out of maximum 100 marks.
5.3.6 The expert committee shall select THREE proposals from the shortlist applicants. Only
these three applicants may be called for opening of their financial bids.
5.3.7 The discretion and decision of the expert committee in respect of the award of marks
for the Technical Proposals shall be final and binding on all applicants without any
right of appeal.
5.3.8 The Technical score (TS) of all three applicants shall be announced before opening of
the financial bids.
5.3.9 Financial proposals shall be opened in the presence of applicants or their
representatives who choose to attend.
5.3.10 After opening of the financial proposals, the Lowest Financial proposal
amongst all opened Financial proposals shall be given a financial score of 100
marks. The financial score of other proposals will be determined using the
following formula:
FS = 100 x FL/ F
Here FS is the financial score, FL is the Lowest Financial proposal among all, and
F is the Financial proposal of the particular applicant.
5.3.11 For the purpose of calculation of composite score (S) for each proposal, the
weightage shall be 70% for Technical Score (TS) and 30% for Financial Score (FS)
of the respective applicants. The Composite Score shall be calculated using the
following formula:
S = TS x 0.7 + FS x 0.3
5.3.12 Proposals will be ranked according to their composite scores and will be listed in the
order of merit as H1, H2, and H3.
5.3.13 The top scorer H1 may be eligible for award of work or part thereof, at the discretion of
The Bank.
5.3.14 In case of a tie at the top position between two or more applicants, preference shall be
given to the applicant who has a higher Technical Score (TS), and this applicant
will be required to match the lowest price bid amongst those in the tie.

5.3.15 In case the applicant selected in a tie, as referred above, refuses to accept the lowest
price bide, the next applicant (in the order of merit list for technical
proposals) shall be invited for the acceptance of the lowest price bid; and so on, till
the lowest price bid is matched and a PMC gets selected.

5.4 AWARD OF CONTRACT:


5.4.1 The selection as per para 5.3.15 above, does not, in any way, automatically confer
any right, whatsoever, on any applicant for award of whole of the work as
described in the scope of services, or part thereof.
5.4.2 The Bank reserves the right to award whole of the work or part thereof to any
other shortlisted applicant(s) or its constituents or any individual or agency other
than those shortlisted, as it may deem fit.
5.4.3 PMC selected as per para 5.3.15, may be called for negotiations, if any, by The
Bank, regarding all aspects of the financial as well as technical proposals
submitted by it in response to the RFP, before the award of work or part thereof.
5.4.4. In case of successful conclusion of the negotiations, The Bank will inform PMC
through a Letter of Intent by email/letter that it has been selected to be PMC for
the Bank, to the extent and at the price agreed upon at the time of negotiations.
5.4.5. PMC shall, thereafter, sign the Contract agreement within 15 days of the issue of such
letter.
5.4.6. In case the selected PMC fails to sign the agreement within 15 days from the date of
issue of the Letter of Intent by The Bank, his EMD shall be forfeited in full and
shall be absolutely at the disposal of the Bank. The format of the Agreement is
attached at Annexure 13.
5.4.7. As PMC, they shall have to comply with the Scope of Services as outlined in para
3 (including all sub-paragraphs) and develop and arrive at proposals for all
contracted components of the Scope of Works, to the satisfaction of the Bank and
its approval thereof.
5.4.8 The ownership of the proposals of all the applicants shall lie with the Bank.

6 REQUIREMENTS FOR PROPOSALS FOR THE SELECTION PROCESS


6.1 Applicants may submit their proposals in response to the RFP, so as to reach the
Dy.General Manager, Premises Department SBH, on or before 3.00 PM of
30.09.2015 at the following address:

6.2 All participants shall be required to submit proposals in four parts viz. EMD,
Prequalification Statement, Technical Proposal and Financial Proposal.
6.3 One (1) copies of the Prequalification Statement and Technical Proposal and
One (1) copy of the Financial Proposal shall be submitted by the applicants.
6.4 The EMD, Prequalification Statement, Technical and Financial proposals shall
be placed in four (4) separate sealed envelopes, and clearly marked EMD,
Prequalification Statement, Technical Proposal and Financial Proposal,
respectively. The four envelopes shall thereafter be placed in one single sealed
cover clearly marked as Request for Proposal for SBH HO construction project
with name of the applicant and contact details written thereon.

6.5 PREQUALIFICATION STATEMENT:

6.5.1 Prequalification statement is solicited from all applicants to prepare a short


list of applicants that may be evaluated further during the selection process.
6.5.2. Only those applicants that are found to have submitted the EMD and to be meeting the
PRIMARY ELIGIBILITY CRITERIA (refer Annexure 01) to the satisfaction and
acceptance of the Bank, after a detailed scrutiny of all documents and details
submitted as proof of eligibility shall be shortlisted for the next evaluation.

6.5.3. As a part of prequalification statement, applicants are required to enclose the following

6.6 TECHNICAL PROPOSAL:


6.6.1 Project Approach:
6.6.1.1 Each applicant shall submit a preliminary project report on A4 size paper (maximum of
10 pages) explaining the suggested approach to the management of the project.
6.6.1.2 The report shall be accompanied by:
(a) Project Management and scheduling/GANTT charts for timelines etc. in 2 or 3
A1 size sheets.
(b) A highly detailed Organizational Chart showcasing the details of overall
organizational hierarchy comprising of departmental structure of the
individual applicant or each constituent member of the consortium. This
organizational chart should also outline a clear-cut command flow and
information flow network including data-sharing, processing, feedback,
assimilation and delivery. All information should be presented as flow-chart
in an A1 size sheet.
(c) Other management related details, features and explanatory sketches,
diagrams, charts, graphs etc., if any, at suitable clearly legible scales.
(d) Broad contents of the Preliminary project report in 2 to 4 A1 size sheets for
display/presentation purposes.

6.6.1.3 The applicant shall also submit a PowerPoint presentation, including the entire contents
of the Technical Proposal, in a DVD-R along with the submission package within
the envelope for the Technical Proposal. All drawings, designs and layouts must be
submitted in (.dwg) and (.pdf) file format in the DVD-R. All other documents must
be submitted in their respective file formats along with (.pdf) file format in the
DVD-R

6.6.2 Presentation:
6.6.2.1 Each invited applicant shall be required to make a live presentation on the subject
matter before the Expert committee. The presentation should include:
(a) The proposal in detail supported with visual explanations.
(b) A brief Introduction about the firm, and similar projects undertaken (5 Slides
Maximum)
(c) Qualification and competence of the key personnel for the assignment
(d) Proposed work plan and time schedule
(e) Quality Assurance aspects and Special Project Management Techniques that
may be used to execute the projects speedily and within cost.
(f) Proposed project management structure.
6.6.2.2 It shall be mandatory upon the applicants to make themselves available for the
presentation and viva-voice before the expert committee at the time and date given
by The Bank.
6.6.2.3. Each invited applicant will be allowed maximum 30 minutes for the presentation
followed by up to 25 minutes for questions/ viva-voice by the expert committee.

6.7 FINANCIAL PROPOSAL:


6.7.1 The financial proposal Payment made in and free from any computational errors.
6.7.3. The total fees for PMC works as enunciated in this RFP, construction of buildings of
SBH, shall be quoted as PERCENTAGE fees payable in Indian Rupees only.

6.7.4. The quoted fees shall remain fixed for the entire period of Contract with no condition
for change whatsoever, excluding service tax and cess thereon, if any (refer para
6.8.12 under disqualifications).
6.7.5. The quoted fees shall be inclusive of all expenses (both direct and indirect) relating to
the performance of the Contract for the entire period of Contract
except the fees/charges referred to in the following para 6.7.7 and 6.7.8 and also
excluding service tax and cess thereon, if any, which shall be payable extra as
applicable.
6.7.6. Omissions if any, shall not entitle PMC to be compensated. The liability to fulfill
obligations as per scope of work within the total quoted fees shall rest solely with
PMC.
6.7.7. All fees/charges relating to statutory approvals, payable to local bodies and other
authorities, shall be paid by PMC and subsequently the same shall be reimbursed by
The Bank upon production of original official receipts of payment as issued by the
concerned authorities.
6.7.8. All fees / charges payable as per the terms of appointment of the agency approved and
appointed by SBH for vetting of structural designs and related calculations
and drawings etc. shall be paid directly by The Bank.
6.7.9 Compliance with the foreign exchange regulation of India or any other country while
making this proposal shall remain to be the sole responsibility of the applicant; and
SBH shall in no way be involved.

6.8 GENERAL CONDITIONS AND IMPORTANT INSTRUCTIONS:


6.8.1 Each proposal must be duly supported by clearly referenced data presented in a logical
and quantifiable format.
6.8.2 All proposals must be based on clearly referenced global best-practices and
technologies, and must respect clearly identified and listed local constraints,
resources and skills.
6.8.3 The Bank reserves the right to seek more details regarding the proof of qualifications,
experience and capabilities of the key personnel.
6.8.4 The Bank reserves the right to issue corrigenda and addenda to this RFP document
which shall be binding on all applicants.
6.8.5 The Bank reserves the right to amend, alter, modify, add and/or delete in part or
full any requirements or terms and conditions contained in the RFP document at
any other time during the selection process, which shall be binding on all
applicants.
6.8.6 All dates, places and time mentioned in this document are subject to change. All latest
information and clarifications regarding the RFP and selection of PMC
shall be updated on the Banks website. Applicants are advised to visit the Banks
website www.sbhyd.com regularly.
6.8.7 The documents, and other information provided by SBH or submitted by the applicants
to SBH, shall remain or become the property of The Bank.
6.8.8 All Intellectual Property Rights of the proposals submitted during the process of
selection shall rest with SBH.
6.8.9 No explanation and/or justification in any aspect relating to the selection process shall
be given, and the decision of The Bank shall be final and binding on all without any
right of appeal.
6.8.10 The Bank reserves the right to debar the applicant / terminate the agreement with the
final applicant selected for award of work, at any point of time, should any of the
document / certificates as submitted be found to be fabricated or false, or a material
misrepresentation is made or discovered, or the applicant does not provide the
requisite information as required by The Bank within the stipulated period.

6.8.11 All provisions in this document are supplementary and complementary to each other
and are not to be read in isolation.
6.8.12 Disqualifications: SBH may, at its sole discretion and at any time during the
process of selection, disqualify any applicant, if:
6.8.12.1 The applicant has made misleading statements and/or has submitted false
documents as part of RFP submission at any stage of the selection process.
6.8.12.2 The applicant submits a proposal that is incomplete and/or not accompanied by
such documents as are required by The Bank.
6.8.12.3 The applicant fails to provide clarifications related thereto, when sought;
6.8.12.4 The applicant fails to submit document(s) that are sought as a part of this RFP,
strictly in the form and manner specified byThe Bank.
6.8.12.5 The applicant has been declared ineligible by the Government of India/State/UT
Government for corrupt and fraudulent practices, or blacklisted;
6.8.12.6 The applicant submits a proposal with price adjustment/variation provision.
6.8.12.7 The applicant is found to be indulging in activities that may directly or indirectly
attempt to influence the process of selection either in their own favour or
against any other participants.
6.8.12.8 The constitution of the consortium invited to submit proposals according to this
RFP, and is selected to be PMC, is changed in any manner whatsoever.
6.8.13. In the case where the constitution of the consortium, that has entered into contract with
The Bank, is changed in any manner whatsoever at any stage, The Bank reserves
the right to take appropriate decision regarding the termination of contract or
modification in the scope of services, in full or part thereof.
6.8.14 The conditions of contract provided at Annexure 13 along with this document, are
indicative. SBH reserves the right to amend, alter, modify, add and/or delete, in part
or full, any contents of these conditions of contract at any time on or before the date
of agreement with PMC.
6.8.15 The PRE-BID MEETING shall be held in the forenoon of 22.09.2015 at 11.00 AM
at Hyderabad. Applicants are advised to make themselves available
accordingly.
6.8.16 Applicants are also advised to send their queries and clarifications regarding the
RFP and its contents to The Bank latest by 5.00 PM on 18.09.2015.

PRIMARY ELIGIBILITY CRITERIA:

1. Applicant or the lead member of the Consortium if Consortium is the applicant with
an annual turnover of more than Rs. Sixty Lakhs and with a net profit every year in
the last three years shall only be eligible. Turnover means consultancy fee received
during the year. (The year means F.Y. from 1st April to 31st March)

2. Applicant or the lead organization in case of a consortium must be registered in India


as required by law with minimum five years of continuous operation up to the date
of publication of this RFP.

3. Applicant or one of the members of the consortium if consortium is the applicant,


must have managed the development and/or construction supervision of at least one
Office building (Green building) campus with total built up area of 10000 sq.m. or
more, or two such(Green building)campuses of built up area of 7500 sq.m. each or
more, in the past five years.

4. Applicant or one of the members of the consortium if consortium is the applicant,


shall be ineligible to submit a proposal if it or any of its constituents has ever been
barred or blacklisted by any Central and/or State Govt. in India.

(A) The Bank has requested the Project Management Consultant to provide the services as per
scope of work attached with this Contract (hereinafter called the Services); as Appendix
C thereto.

(B) The Project Management Consultant, having represented to the Bank that they have the
required professional skills, personnel, and technical resources, have agreed to provide the
Services as aforesaid on the terms and conditions set forth in this Contract;

1.0 NOW THEREFORE the parties here to hereby agree as follows:

The mutual rights and obligations of the Bank and the Project Management Consultant
shall be as set forth in the Contract; in particular:

(a) The Project Management Consultant shall carry out the Services in accordance with
the provisions of the Contract; and

(b) The Bank shall make payments to the Project Management Consultant in according
with the provisions of the Contract.
1.1 NOW THIS AGREEMENT WITNESSTH as follows.

(a) In consideration of the payments to be made by the Bank to the Project Management
Consultant as here in after mentioned, the Project Management Consultant hereby
covenants with the Bank to execute and complete the works and remedy any defects
therein in conformity in all respects within the provisions of the Contract.

(b) The Bank hereby covenants to pay the Project Management Consultant in
consideration of the execution and completion of the works as per the scope of work to
the satisfaction of the Bank and upon remedying of any defects if any therein, the
Contract Price or such other sum as may become payable under the provisions of the
Contract at the times and in the manner prescribed by the Contract.

1.2 The Parties agree specifically that the following documents attached hereto shall be
deemed to form an integral part of this Contract and the expression Contract shall be
construed and applied accordingly:

Project Management Consultant.

Appendix-B Letter of Intent dated dd.mm.yyyy issued by the Bank and

2.0 Definitions and Interpretations.

2.1 Definitions

Unless the context otherwise requires, the following terms whenever used in this contract
have the following meaning:
(a) Applicable Law: means all the laws, by-laws, rules, regulations, orders, ordinances,
protocols, codes, guidelines, policies, notices, directions, judgments, decrees and any
other instruments having the force of law in the country as they may be issued and in
force from time to time.

(b) Affiliate: means, with respect to any Party, any other entity that, directly or indirectly:
(i) Controls such party; (ii) is Controlled by such party; (iii) is Controlled by the same
person who, directly or indirectly, Controls such party ; and Control with respect to
any person, shall mean: (a) the possession, directly or indirectly, of the power to direct
or cause the direction of the management and policies of such persons
whether through the ownership of voting share capital, by agreement or otherwise or
the power to elect more than one-half of the directors, partners or other individuals
exercising similar authority with respect to such person; (b) the possession, directly or
indirectly, of a voting interest of more than 50% (Percentage); and the terms
Controlling and Controlled by shall be construed accordingly.

(c) Bank: means the Party named in the Contract, who employs the Project Management
Consultant.

(d) Confidential Information: shall mean all Documentation and other technical or
commercial information in any form obtained directly or indirectly from the Bank by
the Project Management Consultant, or from the Project Management Consultant by
the Bank, or which is generated by the Project Management Consultant in connection
with the Contract, other than the information;

i) which is or becomes publicly available other than by any unauthorized actions


of either of the Parties to the Contract;

ii) which is or comes into possession of one Party other than in breach of a duty of
confidence to the other Party; or

iii) which is expressly approved for disclosure by the Party to whom the
information relates.

(e) Project Management Consultant: means the party named in the Contract, who is
employed as an independent professional firm by the Bank to perform the Services.

(f) Project Management Consultant in Default: means non-performance of the work


assigned to the Project Management Consultant as per scope of work within time limit
prescribed for or failure to carry out the instructions of the Bank in compliance of the
work assigned.

(g) Contract: means this Contract signed by the Parties, together with all other documents
listed in Clause 1.2 of this Contract.

(h) Contract Price: means the fee to be paid for the performance of the Services, in
accordance with Clause 6 of this Contract.

(i) Corrupt Practices: means the offering, giving, receiving, soliciting of anything of
value or in kind to influence the action of a public official in the selection process or in
contract execution.
(j) Development Cost: means the actual cost of construction of buildings and all related
works/ infrastructure for which consultancy services have been rendered.
The following shall not be included in calculating the above cost.
1. The cost of land;
2. Statutory payments such as fees, development charges, service connection
deposits / charges, premiums etc. with any local authority / statutory body /
Government;

3. Cost of brought out items i.e. Loose Furniture and furnishings, Window / Split
ACs, Kitchen equipment, Laboratory equipment, Diesel Generator Sets.
4. Payment on account of arbitration award, if any, Banks administrative expenses.
5. Fees paid/payable by the Bank in terms of this Contract.

(k) Documentation: shall include any document in paper or electronic form, including
drawings, technical software, images, designs, manuals, reports, or records.

(l) Fraudulent Practice: means a misrepresentation of facts in order to influence a


selection process or the execution of a contract to the detriment of the Bank, and
includes collusive practice among Project Management Consultant (prior to or after
submission of proposals) designed to establish prices at artificial non-competitive
levels and to deprive the Bank of the benefits of free open competition.

(m)Government: means the Government of India including Central Government, State


Government and Local Authorities.

(n) Local Authorities: means Municipal Corporation, Panchayats, and District


Administration and all other statutory bodies.

(o) Local Currency: means the currency of the Government of India in Indian Rupees.

(p) Member: means any persons working directly or indirectly for Project Management
Consultant or sub-consultant appointed by the Project Management Consultant.

(q) Material Adverse Effect: means material adverse effect on (i) the ability of the
Project Management Consultant to observe and perform any of its rights and
obligations under and in accordance with the provisions of this Agreement and / or (ii)
the legality, validity, binding nature or enforceability of this Agreement.

(r) Month: means an English calendar month.

(s) Notice of Demand: means written communication by email or by India Post or by any
other mode of service by the Bank to the Project Management Consultant demanding
compliance of work, assignment, instructions or to cure and remedy any defect.
(t) Party: means the Bank or the Project Management Consultant, as the case may be, and
Parties means both of them.

(u) Project Engineer: means the Engineer of the Bank or in his absence any other
person(s) so appointed or authorized by the DGM, Premises Department, SBH.

(v) Project Management Consultant (PMC): means any agency / organization


appointed by the DGM, Premises Department, SBH for rendering project management
services timely and qualitative completion of the Project.

(w) Schedule of Payment: means the Payment Schedule as appended with this Contract
including Forms forming part of this contract and subject to changes / amendments /
Re-scheduling / modifications as approved by the Project Engineer from time to time.

(x) Performance Guarantee: The performance guarantee shall mean the bank guarantee
for the performance of its obligations in respect of consultancy.

(y) Personnel: means persons hired by the Project Management Consultant or by any
Sub-consultants as employees and assigned to the performance of the Services or any
part thereof.

(z) Project: means development of < description of the building / developmental works>
including but not limited to infrastructure, services, utilities, landscape and buildings
and allied services and making the same fully functional for use of the Bank.

(aa) Scope of Work/ Services: means the work to be performed by the Project
Management Consultant pursuant to this Contract as described in the Schedule of
Scope of Work/Services at Appendix C to this Contract and specific subsequent
additions/modifications as required for successful and timely completion of the project.

(bb) Sub-consultant(s): means any entity appointed by the Project Management


Consultant for any part of service(s) which are to be provided by the Project
Management Consultant to the Bank in terms of this Contract.

(cc)Time Schedule: means the Time Schedule for completion of the each activity of the
scope of work, subject to changes/amendments/re-scheduling/modification as
approved by the Bank from time to time

(dd) Week: means a period of seven days commencing from Monday and ending on
succeeding Sunday.

2.2. Interpretation.

In the Contract, unless the context otherwise requires:


(a) The singular includes the plural and vice-versa and any word or expression defined in
the singular shall have a corresponding meaning if used in the plural and vice-versa. A
reference to any gender includes the other gender.

(b) A reference to any document, agreement, deed or other instrument (including, without
limitation, references to the Contract), includes a reference to any document,
agreement, deed or other instrument as may vary, amended, supplemented, restated or
replaced, from time to time.

(c) A reference to any document, agreement, deed or other instrument (including, without
limitation, references to the Contract), means a reference to such document, agreement,
deed, or other instrument and to all appendices, annexes, schedules, and parts of such
document, agreement, deed or other instrument, as the case may be.

(d) A reference to any Applicable Law includes any amendment, modification, re-
enactment, or change in interpretation or applicability of such Law and a reference to
any statutory body or authority includes a reference to any successor as to such of its
functions as are relevant in the context in which the statutory body or authority
referred to.

(e) Where a word or phrase has a defined meaning, any other part of speech or
grammatical form in respect of the word or phrase has a corresponding meaning.

(f) The words include and including are to be construed without limitation. The term
herein, hereof, hereto, hereunder, and words similar purport refer to the
Contract as a whole. Where a wider construction is possible, the words other and
otherwise shall not be construed ejusdem generis with any foregoing words.

(g) In the Contract, headings are for the convenience of reference only and are not
intended as complete or accurate descriptions of the content thereof and shall not be
used to interpret the provisions of the Contract.

(h) Any obligation not to something shall be deemed to include an obligation not to suffer,
permit or cause that thing to be done. An obligation to do something shall be deemed
to include an obligation to cause that thing to be done.

(i) The rule of interpretation which requires that a Contract be interpreted against the
person or Party drafting it shall have no application in the case of this Contract.

(j) Reference to any clause number or numbers shall include reference to sub-clause.

(k) The Parties expressly agree that in the event of any conflict, inconsistency or
contradiction between any clauses of this contract and in documents forming part of
the contract, the documents shall be interpreted in the following order of precedence:
i) The provisions of this Contract will override all provisions of other documents and
Appendices comprising the Contract; and
ii) Any decision of the Bank in relation to the priority of documents shall be final and
binding upon the Project Management Consultant.

(I) References to a person (or to a word importing a person) shall be construed so as to


include:
i) Individual, firm, partnership, trust, joint venture, company, corporation,
body corporate, unincorporated, body, association, organization, any
government, or state or any agency of a government or state, or any local or
municipal authority or other Governmental Authority (whether or not in
each case having separate legal personality);
ii) That persons successors in title and assigns or transferees permitted in
accordance with the terms of the Contract.
(m) References to a persons representatives shall be to its officers, Personnel, legal or
other professional advisors, sub-contractors, agents, attorneys, and other duly
authorized representatives.

3.0. Effective Date of Contract

This Contract shall come into effect on the date of signing of the Contract Agreement.

4.0. Scope of Work / Services

The Project Management Consultant shall be responsible for appointment of contractor in


consultation with the Bank, day to day supervision of works, quality control, recording of
measurements and certification of payments to the contractor, monitoring the progress and
preparation of replies for labour, financial & technical audit.

The Scope of Work / Services for the Project Management Consultant to this contract as described
with schedule of scope of services appended at Appendix C to this contract.

5.0. Completion and Modification of the Contract;


5.1 Unless terminated earlier pursuant to Clause 8 hereof, this Contract shall expire when
Services have been completed as per the Time Schedule given including extension /
modification, if any, done by the Bank.

5.2 Modification of the terms and conditions of this Contract, including any modification
of the scope of work will only be made by written communication by the Bank. The
Project Management Consultant shall have no additional claim whatsoever due to the
reduction in scope of work.

6.0. Contract Price

6.1 The Contract price which means, the rates of professional fees payable to Project
Management Consultant for their entire services shall be ___% (__point____percent) of
the tendered cost of the works designed by the Project Management Consultant excluding
the cost of works as mentioned in 2.1(j). The Contract Price shall become
payable to the Project Management Consultant as per the various stages of completion of
work as given in the schedule of payment attached with this Contract (Appendix D).

6.2 The Project Management Consultants fee shall be firm and fixed during the period of
contract and no escalation or increase in fees of whatsoever degree or nature shall be
allowed.

6.3 The Bank at its sole discretion reserves the right to reduce the scope of services and / or
appoint any other Project Management Consultant / sub-consultant / agency / advisor
without ascribing any reasons whatsoever for any part of the work required for completion
of the project. The Project Management Consultant in such cases shall have no claim over
any fee or the profits that may have accrued to him in the event of such work being done
by him.

6.4 The Bank shall deduct taxes at source as applicable.

6.5 The Contract Price shall include:

(i) All direct and indirect engineering and administrative costs including profit
inclusive of salaries, etc. of their office and site staff. The percentage fee as agreed
under contract shall remain fixed and valid for both present and upcoming
construction project, with no condition for escalation whatsoever excluding service
tax & cess thereon, if any.

(ii) The Project Management Consultant shall not be entitled to any payment or
remuneration, over and above the fee herein before stipulated, on account of any
delay cause by any reason whatsoever.

(iii) All consumables, papers, print media, printing / plotting, floppy disks, CD,
computer use, etc.

(iv) Any travel expenses. TA/ DA etc..

(v) Expenses on charges of telephone, faxes, email, couriers, stationery etc.

(vi) All other out-of-pocket expenses.

(vii) Applicable stamp duty of the contract agreement.

6.6 The Project Management Consultant shall fulfill and comply with its entire obligation for
payment of taxes both direct and indirect taxes including income tax, service tax, value
added tax, if any, and shall deduct and deposit tax deducted at source, withholding tax
from any payment made to employees, Project Management Consultant and other service
providers. No reimbursements of any tax liability of the Project Management Consultant
(except service tax as per bill of the Project Management Consultant as per prevailing and
applicable rates) shall be made.

6.7 The Project Management Consultant shall obtain and provide to the Bank all necessary
registrations from the Government and shall obtain and provide Service Tax Registration,
Permanent Account Number before commencement of work.

6.8 All fee/charges relating to statuary approval/payable to local bodies and other authorities
shall be separately borne by the Bank/others as applicable

7.0. Payment to the Project Management Consultant

7.1. The Contract Price shall become payable to the Project Management Consultant on the
basis of financial offer accepted by the Bank after negotiation if any and award of contract
to the Project Management Consultant at the fee specified in Clause 6 of the Contract
subject to the completion of works to the entire satisfaction of the Bank and fulfilling all
conditions of the contract.

7.2. Payment of work done shall be made in stages after approval of the competent authority of
the Bank, against the submission of bill duly certified by the Project Engineer, as per the
schedule of payment attached at Appendix D to the Contract subject to the completion of
works to the complete satisfaction of the Bank / Project Engineer and fulfilling all
conditions of the contract.

7.3. The Payment of Fees shall be made in Indian Rupees.

7.4. Payment will be made to the account of the architect through banking channel only.

8.0. Termination of Contract

8.1 The Bank may terminate this Contract by not less than thirty (30) days written notice of
termination to the Project Management Consultant, to be given after the occurrence of any
of the events as mentioned below or the Project Management Consultant remains as
Project Management Consultant in default for continued period of sixty (60) days from
the date of first notice of demand by the Bank. Upon completion of the notice period of
thirty (30) days, the Contract shall come to an end without further reference to the Project
Management Consultant and be deemed to be terminated from that date.

If the Project Management Consultant:

a. Becomes bankrupt or insolvent, or,

b. Makes arrangements with or assignment in favor of his creditor, or agrees to carry out
the contract under a committee of inspection of his creditors;
c. Being a company or corporation goes into liquidation by a resolution passed by the
Board of Directors / General Body of the shareholders or as a result of court order
(other than liquidation for the purpose of amalgamation or reconstruction);

d. Has execution levied on his goods or property or the works;

e. Assigns or sublets the contract or any part thereof otherwise than as provided for
under the terms and conditions of this contract;

f. Abandons the contract;

g. Persistently disregards instructions of the Project Engineer or contravenes any


provisions of the Contract;

h. Fails to adhere to the agreed program of work or fails to complete the works or parts
of the works within the stipulated or extended period of completion, or is unlikely to
complete the whole work or part thereof within time because of poor record of
progress;

i. Fails to take steps to employ competent and / or additional staff and personnel;

j. Fails to remedy any defect, discrepancy, lacuna, mistake, error whether advertent or
inadvertent and fails in the performance of their obligations under the Contract;

k. Fails to comply with any final decision reached as a result of settlement of dispute in
pursuant to Clause 10 thereof;

l. Submits to the Bank a false statement which has a material effect on the rights,
obligations or interests of the Bank, or if the Project Management Consultant places
itself in position of conflict of interest or fails to disclose promptly any conflict of
interest to a Bank;

m. If the Project Management Consultant, in the judgment of the Bank has engaged in
Corrupt or Fraudulent Practices in competing for or in executing the Contract;

n. If the Bank, in its sole discretion and for any reason whatsoever, decides to terminate
this Contract;

o. Suppresses or gives wrong information while submitting the reports, drawings, and
designs. In any such case the Project Engineer, may serve the Project Management
Consultant with a notice in writing to that effect and if the Project Management
Consultant does not, within seven (7) days after the delivery of such notice, proceed
to make good his default in so far as the same is capable of being made good, and
carry on the work or comply with such instructions as aforesaid to the entire
satisfaction of the Project Engineer.
p. The Project Management Consultant shall not in the event of such termination being
due to their breach, be entitled to any compensation or damage against the Bank, but
shall be entitled to their fees earned up to that date after deduction of liquidated
damages, if any;

q. The Project Engineer, shall be entitled to take any action to terminate the Contract
with the Project Management Consultant upon happening of any of the events herein
above, at any time, should, in the opinion of the Project Engineer, the cessation of
works becomes necessary.

8.2. Notice in writing from the Project Engineer, of such termination and reasons therefore,
shall be conclusive evidence thereof.

8.3. In case of termination, the Project Engineer may carry out the whole or part of the work
from which the Project Management Consultant has been removed by engaging another
Project Management Consultant and/ or deployment of technical staff at site at the risk
and cost of the Project Management Consultant

8.3.1. In case of termination of contract The Dy General Manager(P&ES), State Bank of


Hyderabad, Head Office. shall be entitled and empowered as under:
(a) Forfeit the whole or such portion of the Performance Guarantee available in the
form of irrevocable Bank Guarantee, as he may deem fit; and

(b) Recover from the Project Management Consultant the cost of carrying out the
balance work in excess of the sum, which he would have been paid, according to the
certificate of the Bank/ Project Engineer/ DGM (P&ES), if the works had been
carried out and completed by the Project Management Consultant under the terms of
the contract. Such certificate shall be final and binding upon the Project
Management Consultant. The amount to be recovered may be deducted by the
Project Engineer, from any other moneys due and payable to the Project
Management Consultant alone or jointly under this or any other contract.

8.4. The Project Management Consultant shall have no claim to any payment of compensation
or otherwise, on account of any profit or advantage which he might have derived from the
execution of the work in full but which he could not in consequence of the termination of
contract under this clause. Upon termination of the Contract by the Project Management
Consultant, the Project Management Consultant shall be entitled only to claim unpaid fees
for the work(s) assigned to him and which have been completed to the satisfaction of the
Bank.

8.5. Cessation of Rights and Obligations

Upon termination of this Contract pursuant to Clause 8.1 hereof, or upon expiration of this
Contract, all rights and obligations of the Parties hereunder shall cease, except (i) such
rights and obligations as may have accrued on the date of termination or expiration, (ii) the
obligation of confidentiality set forth in this contract, (iii) the Project Management
Consultants obligation to permit inspection, copying, and auditing of their accounts and
records and to provide copy of all reports, drawings, designs made for the Bank up to the
date of termination or expiration of contract, (iv) the rights of the Bank to get indemnified
from the Project Management Consultant in terms of this contract, and (v) any right which
a Party may have under the Applicable Law.

8.6. Cessation of Services

Upon termination of this Contract pursuant to Clause 8.1. hereof, the Project Management
Consultant shall, immediately upon dispatch or receipt of such notice, take all necessary
steps to bring the Services to a close in a prompt and orderly manner and shall make every
reasonable effort to keep expenditures for this purpose to a minimum. With respect to
documents prepared by the Project Management Consultant shall proceed as provided,
respectively, by Clause 8.6. hereof. Upon termination, the Project Management
Consultants shall vacate office premises and site of the Bank within a period of seven (7)
days and hand over the same to the Project Engineer and shall obtain acknowledgement
thereof.

8.7. Payment upon Termination

Upon termination of this Contract pursuant to Clause 8.1, the Bank shall make the
following payments to the Project Management Consultant:

(a) Remuneration pursuant to Clause 6 for Services satisfactorily performed prior to the
effective date of termination;

(b) If the Contract is terminated pursuant to Clause 8.1 (a), (b), (d), (e), or (f) the Project
Management Consultant shall not be entitled to receive any agreed payments upon
termination of the Contract. However, the Bank may consider paying for the part
satisfactorily performed on the basis of the quantum merit as assessed by it, in its sole
discretion, if such part is of economic utility to the Bank. Under such circumstances,
upon termination, the Bank may also impose liquidated damages as per the provisions
of Clause 13 of this Contract. The Project Management Consultant will be required to
pay any such liquidated damages to Bank within thirty (30) days from the date of such
demand.

9.0. Obligation and Liabilities of the Project Management Consultant

9.1. General

The Project Management Consultant shall perform the Services and carry out their
obligations hereunder with all due diligence, efficiency and economy, in accordance with
all applicable statutory provisions, codes, standards, well established good practices and
professional techniques, and shall observe sound management practices, and employ
appropriate advanced technology and safe methods. The Project Management Consultant
shall always act, in respect of any matter relating to this Contract or to the Services, as
faithful advisers to the Bank, and shall at all times support and safeguard the Banks
legitimate interests in any dealing with Sub-consultants or third parties.
9.2. The Project Management Consultant shall maintain professionally qualified and
experienced staff, employees and sub-consultants for the assignment of the Bank. The
Project Management Consultant shall also submit a list of competent professional(s) and
other professionals with minimum ten years of experience in building projects for day to
day interaction with the Project Engineer or his authorized representative to provide timely
services as per the scope of work. Such person(s) shall work under the Principal Project
Management Consultant / Team Leader and shall be available for the entire period of
operation of this Contract. In addition engineers and experts from specialized fields will be
available. The principal team leader shall participate in the meetings and visit the
construction site periodically during the course of work at least once a month or when
required by the Project Engineer. The Project Management Consultant shall submit in
advance details with resume of key personnel to be deployed for the assignment.

9.3. Conflict of Interest

(a) Project Management Consultant Not to Benefit from Commissions, Discount,


etc.
The remuneration of the Project Management Consultant pursuant to Clause 6 shall
constitute the Project Management Consultants sole remuneration in connection with this
Contract or the Services, and the Project Management Consultant shall not accept for their
own benefit any trade commission, discount or similar payment in connection with
activities pursuant to this Contract or the Services or in the discharge of their obligations
under the Contract, and the Project Management Consultant shall use their best efforts to
ensure that the Personnel, any Sub-consultant and agents or either of them, similarly shall
not receive any such additional remuneration.

(b) Project Management Consultant and Affiliates Not to Engage in Certain Activities

The Project Management Consultant agree that, during the term of this Contract and after
its termination, the Project Management Consultant and their affiliates, as well as any Sub-
consultant, shall be disqualified from providing goods, works, or services (other than the
Services and any continuation thereof) for any project resulting from or closely related to
the Services for the period of two years.

9.4. The Right to use the material


(a) The Project Management Consultant has the right to use material proved by the Bank
only to provide the Services. The Project Management Consultants may make this
right available to a Sub-consultant. On completion of the whole of the services, the
Project Management Consultant shall return the material provided by the Bank to him.

(b) The Project Management Consultant may publicize the services only with the Banks
written agreement.

(c) Neither the Project Management Consultant, nor any of his Sub-consultant, nor any of
their related parties of any tier, use any material prepared specifically for this Project
for any other work except with the prior written consent of the Bank.

(d) Upon termination of this Contract, if so directed by the Bank the Project Management
Consultant provides to the Bank forthwith, organized and indexed to a reasonable
professional standard all such documents, reports, statements, drawing, designs, and
any other material in any form and substance.

(e) Clearly legible copies of all designs, documents, and records produced by, delivered to
or served upon the Project Management Consultant and / or his Sub-consultant of any
tier in relation to this Contract and/or the services, on paper as the Bank elects shall be
the property of the Bank.

(f) All editable digital copies, CD-ROM or in other format soft copies as instructed by the
Project Engineer of all of the foregoing for which the Project Management Consultant
and/or his Sub-consultant of any tier had soft copies prior to termination shall be
property of the Bank.

9.5. Confidentiality: The Project Management Consultant undertake that:

(a) The Project Management Consultant or Sub-consultant shall not, without the previous
written consent of the Bank, use, publish, or disclose to any person, not cause nor
permit any of his affiliates, employees, agents or Sub-consultant or the employees or
agents of those Sub-consultant to use, publish, or disclose any Confidential
Information obtained from the Bank otherwise than for the performance of his duties
under the Contract. If required by the Bank, the Project Management Consultant shall
cause any person to whom Confidential Information has been or intended to be
disclosed to enter into an individual written obligation to the Bank to comply with this
Sub-clause.

(b) The Project Management Consultant shall not, other than for the purposes of
performing the Works, take or permit to take any photograph or other image of the
whole or any part of the Work(s) or any other property of the Bank, or any physical or
virtual model of it, without the prior written permission or consent of the Bank. Any
such photograph or other image shall be regarded as Confidential Information within
the terms of Sub-Clause 9.4. (a) No photograph or other image so taken shall be used
for the purposes of publicity without the prior written consent of the Bank.

(c) The Project Management Consultant, their Sub-consultant(s), and the Personnel of
either of them shall at no point of time disclose any information relating to the Project,
the Services, this Contract or the Banks business or operations without the prior
written consent of the Bank.

9.6. Project Management Consultants Actions Requiring Banks Prior Approval /


Consent

The Project Management Consultant shall obtain the Banks prior approval in writing
before taking any of the following actions:
i. Entering into a sub-contract for the performance of any part of the Services, it
being understood:
(a) That the selection of the Sub-consultant and the terms and conditions of the
sub-contract have been approved in writing by the Bank prior to the execution
of the subcontract; and
(b) That the Project Management Consultant shall remain fully liable for the
performance of the Services by the Sub-consultant and its Personnel pursuant
to this Contract.

ii. Changing of approved key personnel to be deployed for this Project.

9.7. Reporting Obligations


The Project Management Consultant shall submit to the Bank the reports and documents
specified in this Contract as sought for by the Project Engineer, and within the period of
time set forth.

9.8. Documents Prepared by the Project Management Consultant to be the Property of


the Bank

9.9. Liability of the Project Management Consultant

Subject to the provisions of this contract, the Project Management Consultants liability
under this Contract shall be as provided by the Applicable Law.

9.10. Insurance responsibility by the Project Management Consultant

(a) The Project Management Consultant shall obtain necessary insurance coverage for its
property, intellectual property, completed documents, equipment, employees, workers,
or any other person engaged by him for any injury, loss, damage, or death and -
indemnifies the Bank in case of any loss or damage caused to the Bank. The Bank does
not take any responsibility for any loss or damage or injury caused to any property or
assets or manpower of the Project Management Consultant.

9.11. Removal and/or Replacement of Personnel

(a) Except as the Bank may otherwise agree, no changes shall be made in the Key
Personnel who are committed to the project. If, for any reason beyond the reasonable
control of the Project Management Consultant, it becomes necessary to replace any of
the Key Personnel, the Project Management Consultant shall forthwith depute as a
replacement a person of equivalent or better qualifications and competence to the
satisfaction of the project Engineer.

(b) If the Bank finds that any of the Personnel have, i) committed serious misconduct or
has been charged with having committed a criminal action, or ii) have reasonable cause
to be dissatisfied with the performance of any of the personnel, then the Project
Management Consultant shall, at the Banks written request specifying the grounds
thereof, forthwith provide as a replacement a person with qualifications and experience
acceptable to the Bank.

9.12. Other Liabilities

i. The liability of the Project Management Consultant and the penalty thereof towards
faulty design, drawings, calculations and specifications. The Project Management
Consultant shall be responsible for any discrepancies, errors, or omissions in the
drawings, prepared and supplied by them whether the same shall have been
approved by the Bank or not. Upon the Banks request, Project Management
Consultant shall promptly rectify the deficiencies by amending / replacing /
supplementing the deficient drawing / documents as appropriate at their own
expenses.

ii. The Project Management Consultant shall complete its entire obligation in respect
of the project contained in the Scope of Work/Services and Time Schedule. The
Project Management Consultant shall take all the reasonable steps to ensure that
the activities shall be carried out with diligence.

iii. The Services of the Project Management Consultant have been engaged by the
Bank not merely to act as a Project Management Consultant in respect of the
project but also act as an advisor to the Bank and assume overall responsibility to
the Bank for the successful completion of the project. The services to be provided
by the Project Management Consultant shall comprise in relation to bill of
quantities and estimates for Engineering services as required for completion of the
building Project and allied services, utilities and infrastructure.

iv. The Project Management Consultant shall assume full responsibility for statutory
and certification requirements, building codes etc. the designs, drawings, details
and specifications for items described in the scope of work. The Bank will have full
access to the details of the calculations and the design basis for all architectural,
structural, mechanical, electrical, plumbing, and all other services and utilities for
the purpose of the scrutiny for satisfying themselves as to their correctness. The
Project Management Consultant and his sub-consultants will render all possible
help for the above scrutiny and be available for meetings as required by the Bank.
Standards and codes as prescribed by BIS and best practices as applicable for
similar works shall be followed by the Project Management Consultants. For all
estimates, specifications, bill of quantities, tenders etc practice as followed by
Central Public Works Department (CPWD) for similar work shall be followed by
the Project Management Consultant.

v. The Project Management Consultant shall not make any deviation, alteration or
omission from the approved drawings having financial implications without the
prior written consent of the Bank and shall make necessary revisions as may be
required by the Bank in the drawings and other documents submitted by them at
draft stage.

vi. The Project Management Consultant shall be responsible for the direction and the
integration of the work of their consultants / Engineer and other professionals shall
indemnify the Bank against all losses and damage that are caused by any acts or
omissions.

9.13. Limitation of the Project Management Consultants Liability towards the Bank

(a) Except in case of negligence or willful misconduct on the part of the Project
Management Consultant or on the part of any person or firm acting on behalf of the
Project Management Consultant in carrying out the Services, the Project Management
Consultant, with respect to damage caused by the Project Management Consultant to
the Banks property, shall not be liable to the Bank:
i. For any indirect or consequential loss or damage; and

ii. For any direct loss or damage that exceeds the higher of following:
a. The total payments for Professional Fees and Reimbursable Expenditure
made or expected to be made to the Project Management Consultant
hereunder; or

b. The proceeds the Project Management Consultant may be entitled to


receive from any insurance maintained by the Project Management
Consultant to cover such a liability.

(b) This limitation of liability shall not affect the Project Management Consultants
liability, if any, for damage to Third Parties caused by the Project Management
Consultant or any person or firm acting on behalf of the Project Management
Consultant in carrying out the Services.

10.0. Settlement of Disputes


ARBITRATION CLAUSE

Except where otherwise provided in the contract all questions and disputes relating to the
meaning of the specifications, design, drawings and instructions herein before mentioned and
as to the quality of workmanship or materials used on the work or as to any other question,
claim, right, matter or thing whatsoever in any way arising out of or relating to the contract,
designs, drawings, specifications, estimates, instructions orders or these conditions or
otherwise concerning the work or the execution or failure to execute the same whether arising
during the progress of the work or after the cancellation, termination, completion or
abandonment thereof shall be dealt with as mentioned hereinafter:

ARBITRATION CLAUSE:
(i) All disputes or differences of any kind whatsoever which shall at any time arise between
the parties hereto-touching or concerning the works or the execution of maintenance
thereof of this contract or the rights touching or concerning the works or the execution or
maintenance thereof of this contract or the construction remaining operation or effect
thereof or to the rights or liabilities of the parties arising out of or in relation thereto
whether during or after determination, foreclosure or breach of the contract (other than
those in respect of which the decision of any person is by the contract expressed to be
final and binding) shall after written notice by either party to the contract to the other of
them and to the Appointing Authority i.e. the Chief General Manager or on his behalf the
Dy. General Manager (Premises), Head Office of the Bank who shall be appointed for
This purpose by the- Employer (SBH) be referred for adjudication to a 'based sole'
arbitrator to be appointed as hereinafter provided.

(ii) For the purpose of appointing the based sole arbitrator referred to above, the Appointing
Authority will send within thirty days of receipt by him of the written notice aforesaid
to the PMC a panel of three names of persons who shall be presently unconnected with
the organization for which the work is executed.
(iii) The PMC shall on receipt by them of the names of aforesaid, select anyone of the
persons named to be appointed as a sole arbitrator and communicate his name to the
Appointing Authority who shall thereupon without any delay appoint the said persons
as the sole arbitrator. If the PMC fails to communicate such selection as provided above
within the period specified the appointing authority shall make the selection and appoint
the selected person as the sole arbitrator.
(iv) If the Appointing Authority fails to send to the PMC the panel of three names as
aforesaid within the period specified, the PMC shall send to the Appointing Authority or
panel of three names of based persons. Appointing Authority shall on receipt of the
names of the aforesaid select anyone of the persons and appoint him as the sole
arbitrator within 30 days of receipt by him of the panel and inform the PMC
accordingly. If the Bank (Employer) fails to do so, the PMC shall be entitled to select
for appointment of one of three persons from the panel as the sole arbitrator and
communicate his name to the Appointing Authority.
(v) If the Arbitrator so appointed is unable or unwilling to act or resigns his appointment or
vacates his office due to any reason whatsoever another sole arbitrator shall be
appointed as aforesaid.
(vi) The work under the contract shall, however, continue during the arbitration proceedings,
no payment due or payable to the PMC shall be withheld on account of such
proceedings except the disputed payment of fees, if any, on account of other provisions
in this agreement.

(vii) The arbitrator shall be deemed to have entered on the reference on the date he issues
notice to both the parties fixing the date of the first hearing.
(viii) The arbitrator may from time to time, with the consent of the parties, enlarge the time
for making and publishing the award .

(ix) The arbitrator shall give a separate award in respect of each dispute or difference referred
to him. The arbitrator shall decide each dispute in accordance with the terms of the
contract and give a reasoned award. The venue of arbitration shall be such place in as
may be fixed by the arbitrator in his sole discretion.
(x) The fees, if any, of the Arbitrator, if require to be paid before the award is made and
published by paid half by each of the parties. The cost of the reference and of the award
including the fees, if any of the Arbitrator who may direct to and by whom and in what
manner, such costs or any part thereof shall be paid may fix or settle the amount of cost
to be so paid.
(xi) The award of the Arbitrator shall be final and binding on both the parties.

(xii) Subject to aforesaid, the provisions of the Arbitration Act 1940 or any statutory,
modification of- r-eenactn=rent thereof and the rules made there under, and for- the time
being in force shall apply to the arbitration proceedings under this clause.

10.2. No Suspension of Work


The obligations of the Bank and the Project Management Consultant shall not be altered
by reasons of arbitration being conducted during the progress of works. Neither Party shall
be entitled to suspend the work on account of arbitration.

11.0. Responsibility for Accuracy of Project Documents


(a) The Project Management Consultant shall be fully responsible for the accuracy and
adequacy of all the designs, drawings, documents, estimates and all other details
prepared by him as part of these services. He shall indemnify the Bank against any
inaccuracy/ deficiency in the design, drawings and work, which may surface during
implementation of the project. The Project Management Consultant will also be
responsible for correcting, at his own cost and risk, the drawings including any
resurvey / investigation of the Services. The Bank shall bear no responsibility for the
accuracy of the designs and drawings submitted by the Project Management
Consultant.
(b) The inaccuracy, omission, mistake, error having material effect in drawing, design,
work execution, construction shall be deemed to be gross professional negligence on
the part of the Project Management Consultants and shall put the Project Management
Consultant in default.

12.0. Performance Guarantee and refund of performance guarantee


(a) The performance guarantee equal to the 10% of the payable fees as a guarantee for
performance of its obligation in respect of the contract.
(b) The PMC may deposit performance guarantee in the form of FDR/bank guarantee
issued by a nationalized schedule bank other than SBH.
(c) Bank guarantee submitted against performance guarantee shall initially be valid upto
the stipulated date of completion of the works plus guarantee period of 6 months
which shall be extended further time to time depending upon extension of contract
granted.
(d) If the PMC breaches any of its obligation in relation with the time schedule or not
completing any of its obligations here to the satisfaction of the Bank, the Bank shall
without prejudice to its rights remedies pursuant to this agreement have the right to
forfeit and cash check the guarantee;
(e) The whole of the performance guarantee deposit shall be liable to be confiscated by the
Bank at the discretion of the Bank in the event the PMC is deemed to be in default or
the event of any breach of contract on the part of the PMC or if the PMC fails to
perform or observe any of the conditions of the contract;
(f) On completion of the entire job, the Bank Guarantee against the security deposit will
be converted to a Performance Bond to be valid for 36monthe from the date of virtual
completion of different works..

13.0. Liquidated Damages


i. The time allowed for the works or part of the works as specified in the contract,
shall be of the essence of the contract on the part of the PMC. In case, the PMC
fails to adhere to time schedule or fails to provide drawings and design with the
time stipulated in the work order/requisition issued to him from time to time by the
Project Engineer or the competent authority of the Bank or the PMC fails to
provide reports and other information to the Bank within a period of twenty one
(21) days from the stipulated date or from the date of such demand, the PMC shall
be deemed to be in default. In case the PMC is deemed to be in default, a liquidated
damage of Rs.50,000/- (Rupees Fifty Thousand) per week or part thereof shall be
recovered from the Contract price payable to the PMC till the default is cured
subject to maximum Rs.2,00,000/- (Rs. Two Lacs) for each default.

ii. The PMCs total liability towards liquidated damages to the Bank for all matters
and all the default arising under or in connection with this contract, other than the
excluded matters, is limited to the amount equivalent to 10% (Ten Percentage) of
total fees payable.

iii. The decision of the Bank regarding imposition of the liquidated damages, if any,
shall be final and binding on the PMC.

14.0. The Banks endeavor is to select a reputed PMC for infrastructure development of the
campus as detailed in the scope of work. The Bank expect from the PMC to deliver their
best in both quality, innovation and uniqueness observing high standards at all the time. In
case of loss or damage if any caused to the Bank due to any reason attributable to the
negligence, design, drawing or deficiencies in services by the PMC in such case the PMC
shall be liable for civil and criminal liabilities under the prevailing laws of India.

15.0. Representations, Warranties, and Disclaimer

15.1. The PMC represents and warrants to the Bank that:

(a) It has duly organized, validly existing and in good standing under the applicable laws
of India;

(b) It has full power and authority to execute, deliver, and perform its obligations under
this Contract and to carry out the transactions contemplated hereby;

(c) It has taken all necessary corporate and other actions under Applicable Laws and its
constitutional documents to authorize the execution, delivery, and performance of this
Contract;

(d) It has the financial standing and capacity to undertake the Project;

(e) This Contract constitutes its legal, valid and binding obligation enforceable against it
in accordance with the terms hereof;

(f) It is subject to laws of India with respect to this Contract and it hereby expressly and
irrevocably waives any immunity in any jurisdiction in respect thereof;

(g) There are no actions, suits, proceedings, or investigations pending to the PMCs
knowledge, threatened against it at law or in equity before any court or any other
judicial, quasi judicial or other authority, the outcome of which may result in the
breach of or constitute a default of the PMC of its obligation under the contract.

(h) No representation or warranty by the PMC contained herein or in any other document
furnished by it to the Bank contains or will contain any untrue statement of material
fact or omits or will omit to state a material fact necessary to make such representation
or warranty not misleading; and

(i) No sums, in cash or in kind, have been paid or will be paid, by or on behalf of the
PMC, to any person by way of fees, commission, or otherwise for securing the
Contract or for influencing or attempting to influence any officer or employee of the
Bank in connection therewith.

16.0 Miscellaneous

16.1. Additions and Alterations

(a) The Bank shall have the right to request in writing for changes, additions,
modifications or deletions in the design and drawings or any part of the work and to
request in writing additional work in connection and the PMC shall comply with such
request.

(b) The PMC shall not make any deviations, alterations, additions, or omissions from the
work shown/described and awarded to the Contractor except through and with proper
approval of the Bank.

16.2. Assignment and Charges

(a) The Contract shall not be assigned by the PMC, save and except with prior consent in
writing of the Bank, which consent the Bank shall be entitled to decline without
assigning any reason whatsoever.

(b) The Bank is entitled to assign any rights, interests, and obligations under this Contract
to third parties.

16.3. Entire Document

This document embodies the entire terms and conditions agreed upon by the Parties to be
read in conjunction with the RFP Document and the Financial Proposal of the PMC.
16.4. Amendments

This document may be modified or amended only by another written agreement executed
by the Parties.

16.5. Time is Essence

Any time or period mentioned in any provision of this Agreement may be extended by
mutual agreement between the Parties but as regards any time, date or period originally
fixed or any time, date or Period so extended, as mutually agreed upon, aforesaid time
shall be of the essence.

16.6. Severability

If for any reason whatever any provision of the Contract is or becomes invalid, illegal or
unenforceable or is declared by any court of competent jurisdiction or any other
instrumentality to be invalid, illegal, or unenforceable the validity, legality or
enforceability of the remaining provisions shall not be affected in any manner, and the
Parties will negotiate in good faith with a view to agreeing upon one or more provisions
which may be substituted for such invalid, unenforceable or illegal provisions, as nearly as
is practicable. Provided failure to agree upon any such provision shall not be subject to
dispute resolution under the Contract or otherwise.

16.7. No Partnership

Nothing contained in the Contract shall be construed or interpreted as constituting a


partnership between the Parties. Neither Party shall have any authority to bind the other in
any manner whatsoever.

16.8. Language

All notices required to be given under the Contract and all communications,
documentation and proceedings which are in any way relevant to the contract shall be in
the English language.

16.9. Exclusion of Implied Warranties etc.


The Contract expressly excludes any warranty, condition, or other undertaking implied at
law or by custom or otherwise arising out of any other agreement between the Parties or
any representation by any Party not contained in the Contract.

16.10. Counter parts

The Contract shall be executed in two counterparts, each of which when executed and
delivered shall constitute an original of the Contract.

16.11. Survival

Termination of the Contract, i) shall not relieve the PMC or the Bank of any obligations
hereunder which expressly or by implication survive Termination hereof, and
ii) except as otherwise provided in any provision of the Contract expressly limiting the
liability of either Party, shall not relieve either Party of any obligations or liabilities for loss
or damage to the other Party prior to the effectiveness of such Termination or arising out of
such Termination.

16.12. Location

The Services shall be performed at such locations as are specified in the Request for
Proposal document and where the location of a particular task is not so specified, at such
locations, as the Bank may approve.

16.13. Others

(a) Responsibility in the correctness and accuracy of all the planning, designing, drawings
and documents shall be of the Architect. However, before finalizing of architectural,
structural, engineering, and service drawings and design, its technical aspects be
discussed by the PMC with the Architect, to minimize the changes for whatsoever
reasons at a later day from time to time.

(b) Bank shall have the liberty to postpone or not to execute any work and the PMC shall
not be entitled to any compensation for non-execution of the work except the fees
payable to the PMC up to the stage or services then in progress.

(c) The Bank at its sole discretion reserves the right to appoint at any time, any person/
architect/ organization to render service including those covered under this contract in
the interest of their timely and qualitative completion of various works of the Project.

(d) The PMC shall carry out all modifications / alterations as and when necessary to get
the works approved from the Bank / Project Engineer, local/statutory bodies at no extra
cost. All documents and drawings prepared by the Architect pertaining to this project
shall be the sole property of Bank.

(e) The PMC shall promptly notify the Bank of any changes in the constitution of their
firm. It shall be open to the Bank to terminate this agreement on the death, retirement,
insanity or insolvency of any person being partner in the said firm, or on the addition
or introduction of a new partner without the previous approval in writing of the Bank.
But in the absence of and until its termination by the Bank as aforesaid, this agreement
shall continue to be in full form and effect notwithstanding any changes in the
constitution of the firm by death, retirement, insanity or insolvency of any of its
partners or the addition or introduction of new partner. In case of death or retirement
the surviving or remaining partners of the firm shall be jointly and severally liable for
the due and satisfactory performance of all the terms and conditions of the agreement.
17.0. Authorized Representative

Any action required or permitted to be, and any document required or permitted to be
executed, under this Contract by the Bank or the PMC may be taken or executed by the
officials mentioned hereunder or amended by written communication to each other from
time to time.

18.0. Indemnity

(a) The PMC agrees to indemnify and hold harmless the Bank from and against any and
all claims, actions proceedings, lawsuits, demand, losses, liabilities, damages, fines, or
expenses (including interest, penalties, attorneys fees, and other costs of defense of
investigation

i. Related to or arising out of, whether directly or indirectly;


ii. The breach by PMC of any obligations;
iii. The alleged negligent, reckless, or otherwise wrongful act or omission of the PMC
including professional negligence or misconduct or any nature whatsoever in
relation to Services rendered to the Bank;
(b) As soon as reasonably practicable after the receipt by the Bank of a notice of the
commencement of any action by a third party, the Bank will notify the PMC of the
commencement thereof; provided, however, that the omission so to notify shall not
relieve the PMC from any liability which it may have to be Bank or the third party. The
obligations to indemnify and hold harmless, or to contribute, with respect to losses,
claims, actions, damages and liability relating to the Indemnify Matter shall survive till
all claims for indemnification and/or contribution asserted shall survive and until their
final resolution thereof.
(c) The foregoing provisions are in addition to any rights which the Bank may have at
common law, in equity or otherwise.
19.0. Governing Law and Jurisdiction

(a) The Contract shall be construed and interpreted in accordance with and governed by
the applicable laws of India; and

(b) The exclusive Jurisdiction under this contract for all matters arising out of or relating
to the Contract shall be Courts and Tribunal at Hyderabad, Telangana, India only.

20.0. Waiver

(a) Waiver by either Party of any default by the other Party in the observance and
performance of any provision of or obligation or under the Contract:

i. That it shall not operate or be construed as a waiver of any other or subsequent


default hereof or of other provisions or obligations under the Contract;

ii. That it shall not be effective unless it is in writing and executed by a duly
authorized representative of such Party; and

iii. That it shall not affect the validity or enforceability of the Contract in any manner.

(b) Neither the failure by either Party to insist on any occasion upon the performance of
the terms, conditions and provisions of the Contract or any obligation hereunder nor
time or other indulgence granted by a Party to the other Party shall be treated or
deemed as waiver of such breach or acceptance or any variation or the relinquishment
of any such right hereunder.

21. Notices

21.1. Unless otherwise stated, notices to be given under the Contract including but not
limited to a notice of waiver of any term, breach of any term of the Contract and
termination of the Contract, shall be in writing and shall be given by hand delivery,
recognized courier, mail telex or facsimile transmission and delivered or
transmitted to the Parties at their respective addresses specified in this Contract.

21.2. Any notice, request, or consent made pursuant to the Contract shall be in writing
and shall be deemed to have been made when delivered in person to an authorized
representative of the Party to whom the communication is addressed, or when sent
by registered mail, telex, telegram or facsimile to such Party at the address
specified in this contract or notified to each other from time to time.

21.3. The notices shall be deemed to have been made or delivered:


(a) In case of any communication made by letter, when delivered by hand, by
recognized courier or by mail (registered, return receipt requested) at that
address upon the Authorized Representative as mentioned in Clause 17
herein; and
(b) In case of any communication made by telex or facsimile, when transmitted
properly addressed to such telex number or facsimile number, however a
copy of such communication be sent by registered post in case it is related to
waiver, breach and termination of contract by either party.

Schedule of Scope of Work/Services

1. SCOPE OF SERVICES

1.1 The scope of services of PMC shall include all project management tasks that need to
be performed for construction buildings and their commissioning. It shall include but
not be limited to the services as listed hereunder para 3 & 4 including all its sub paras.

1.2 Certain development works at site may envisage to be executed through the works
department of the Bank. For the works that are assigned to Works Department, PMC
shall not need to manage, inspect and ensure works execution.

1.3 It shall however still be required to ensure routine coordination with each such agency
to conduct overall site security & access related functions, maintain domain and work
zone clarity on site.

2. GENERAL SERVICES:

2.1 The Project Management Consultant (PMC), acting as project manager for and
on behalf of The Bank, will monitor, coordinate, manage, evaluate and
administer all project processes including activities of various participants in the
Project in accordance with approved project requirements, Specifications,
Schedules, Budgets, Quality and Health, Safety & Environment (HSE) parameters.
PMC shall ensure that all necessary documentation is collected, checked, suitably
communicated, filed and submitted to The Bank for record.

2.2 PMC shall act as Engineer In Charge of all project works and supervise all the
works, check and certify all measurements and bills and recommend for their payment.
PMC shall keep the Bank informed through a well-designed Management Information
System (MIS) on the physical & financial progress of the Project at regular intervals or
as directed by the Bank. PMC shall use competent software for PMC functions.

2.3 PMC shall ensure that all project activities are in accordance with the latest IS codes
and other relevant statutes.

2.4 To ensure implementation of all project processes, PMC shall liaise with and provide
all requisite information, support and assistance to the Bank, all appointed consultants
including their sub- consultants, and all other individuals, agencies and organizations as
may be deemed fit by the Bank during the entire period of contract include project co-
ordination committee as 2.4.1.
2.5 PMC shall be duty-bound to act on the directions of the Bank in all project matters and
shall perform, or cause to be performed all the identified initiatives and milestones
strictly in accordance with such directions. Also, The Bank will in no manner
whatsoever be bound to act on the advice of PMC in any matter related to the project.

2.6 The Bank will allow about 50 sqm of office space in the project site to PMC, free of
cost, for setting up and establishing a purely temporary project office to be used only
for works related to the Bank, during the entire period of contract or up to any date as
decided by The Bank.

2.7 PMC, within two months of issue of Letter of Intent by The Bank, shall
open, a fully functional, IT-enabled and equipped office with a team of fulltime
personnel at SBH / the project site. All staff appointed and/or stationed at the said office
shall need to be to the acceptance of and with the approval of the Bank. The required
office furniture only shall be provided by the Bank free of cost at the site office.

2.8 For the purpose of supervision, the PMC agrees that they will set up a site office under
the charge of competent Resident Civil Engineer - In - Charge who will be in a constant
charge of the direction and control of the said works (as may be entrusted to PMC).The
PMC agrees to engage and retain at their cost adequate competent supervising staff
(minimum as prescribed herein this agreement).These supervising staff should always
be in charge of the works and be available on the site until the construction of the said
work as entrusted to the firm is completed. These supervising staff shall be employed
and paid by the firm. Their appointment, dismissal, retrenchment, the condition of
services and the rate of remuneration will be determined by the PMC and shall be at the
PMC's entire discretion and the said staff at all times work under the orders and control
solely of the PMC .SBH shall, however, have the right to direct the PMC without
assigning any reasons to remove any staff who is considered by SBH as undesirable.
The site engineers of the PMC will work in cooperation with SBH staff at site, if any
and at Head Office, Hyderabad and carry out the instructions.

2.9 Besides regular site supervision by professionals posted at site, PMC shall depute,
with prior approval of the Bank, highly qualified and well experienced experts /
professionals from different disciplines for periodic monitoring, supervision and
evaluation, on routine basis during the entire period of contract. The Bank, at its sole
discretion, reserves the right to accept or reject any professional suggested for
deputation, if in the opinion of the Bank, such professional is not adequately qualified /
competent / professionally disposed for the Banks works.

2.10 The status/designation/qualifications of the representative(s) of PMC who will be


allowed to deal/interact with The Bank and/or its representatives, The Design
Consultant, other consultants and designated committees/groups etc. shall be the matter
of discretion of The Bank; and the decision of The Bank in this regard shall be final and
binding on PMC.
2.11 PMC shall respond to the queries raised by The Bank within 7 days or lesser time as
soon as possible considering the nature of query and its impact on the project.

2.12 PMC shall not assign or subcontract any portion of these services without the prior
consent of The Bank in writing. However PMC, after the award of the contract,
may engage, at its own cost but with prior approval of The Bank, any number of sub-
consultants considered suitable for the part of services which may require specific
expertise subject to the condition that the overall responsibility of performance under
the contract shall always lie with PMC only.

2.13 PMC shall be required to work in close coordination, provide requisite information, and
be available for meetings with the Design Consultant and other persons/ organizations
associated with the construction, in all such matters as directed by the Bank.

2.14 The decision of the Bank will remain final in all matters relating to the interpretation of
architectural design and related architectural details; and PMC shall be bound to
execute such decisions to the satisfaction of the Bank.

2.15 The ownership of all the schemes, proposals, documents, drawings, reports, data and
communications that shall be generated, processed and/or disseminated by PMC,
including their formats of collection, analysis, processing, documentation, and
reporting in fulfillment of the scope of services as PMC, shall rest with the Bank and no
claim whatsoever shall be admissible on the Bank in respect of any proprietary rights or
copyrights of the same on the part of PMC.

2.16 THE BANK, at its sole discretion and without assigning any reasons whatsoever,
reserves the right to appoint any individual and/or organization as it may deem fit to
render the whole or part of services covered in this RFP, for the present phase of work
and any subsequent phases thereafter, in the interest of timely and qualitative
completion of construction works.

3.1 PROCUREMENTS SERVICES:

3.3.1 Aid, advise and assist the Bank, as and when directed, in selection and
appointment of consultants, contractors and suppliers.

3.2 SUPPORT & COORDINATION SERVICES:


Facilitation of communications & information exchange:

3.2.1 PMC shall be required to organize, conduct, participate in and minute, all meetings
regarding the project at any date, time and place as directed by the Bank throughout
the project period.

3.2.2 The Bank expects PMC to conduct routine monitoring and coordination meetings on
daily and weekly basis.

3.2.3 The Bank expects PMC to conduct periodic coordination meetings at a minimum
interval of every two weeks at Hyderabad, to help all consultants, contractors,
vendors and other agencies in the process of demonstration, review, comments and
client inputs on the work progress and to ensure monitoring of project
implementation. ( A Project Coordination Committee of Bank Officials, Main
consultant and PMC will be constituted for the interaction)

3.2.4 PMC shall set up and control its own documentation control system for the project. The
Bank and/or its authorized representatives shall have access to PMC server to the
extent as and when desired, without fail.

3.2.5 PMC shall, without question or fail, provide knowledge transfer and handover,
including transfer and/or cessation and/or conveyance of physical possession and/or
custody wherever applicable, of all material or de-materialized project constituents,
to the Bank and/or other agencies appointed by The Bank, as and when desired by
the Bank.

Full assistance in all project related legal matters and other mandatory
compliances:

3.2.6 PMC shall provide full coordination including required administrative / secretarial
support and full assistance to the Bank and / or other agencies appointed by the
Bank, in all project related legal matters and other
mandatory compliances including but not limited to preparation and
processing of responses to all audit authorities / vigilance / RTI
Questions/CTE queries and any others, handling all related communications and
facilitating inspections by such authorities, to the extent as and when desired by the
Bank, throughout the entire duration of the contract and without question or fail.

3.2.6.1 The project falls within the purview of the Chief Technical Examiner (CTE) of the
Central Vigilance Commission (CVC).PMC shall attend to the inspections carried
out by the CTE/CVO and any other statutory authorities involved in the project and
assist the Bank to reply to their queries as well as ensuring removal of deficiency
pointed out. The responsibility of the PMC for the project work shall not cease until
the replies to observations of the CTE/CVO are accepted by CTE/CVO as satisfactory
OR until final disposal and award of arbitration , if any, whichever is later.

3.2.7 PMC shall brief the Bank in a timely manner and keep it fully informed on the status of
various stages of statutory, legal and other project related matters and compliances;
and shall bring to the Banks notice, well in advance, all consequent necessary
actions required keeping in mind the project milestones.

3.3 WORK MANAGEMENT

Field Engineering, Supervision & Design Support:

3.3.1 Regularly interact with the Design Consultants, Contractors and the Bank to
resolve all issues related to project execution before the construction and during the
construction till completion of works.
3.3.2 Review of advance copies of good for construction (GFC) drawings submitted by
design consultants to the satisfaction of the Bank and to ensure that extra items are
minimized.

3.3.3 Arrange for clarifications and/or resolution of conflicts pertaining to contract drawings,
specifications and engineering problems.

3.3.4 Review or arrange for review by the consultants, of suppliers and contractors drawings
and documents for equipment and services installations, as required.

3.3.5 Review or arrange for review by the consultants, of material samples, test
reports and other certifications and submittals by suppliers and contractors for
conformance to drawings and specifications, as required.

3.3.6 Arrange for preparation of as-built drawings from the Design Consultant submit to the
Bank.

3.3.7 Maintain primary survey records and control records of surveys performed by others.

3.3.8 PMC shall assist The Bank for the identification of Lay-down areas, identification of
areas for plant & machinery required for the project.

3.3.9 PMC shall vet the accuracy of the layout demarcation as executed, in accordance with
the approved drawings by the Bank.

3.3.10 In case of any disparities, PMC shall bring the same to the notice of the Bank and the
Design Consultant.PMC shall coordinate the inclusion of the necessary design
and/or layout modifications including services etc. on design drawings as per site
requirements. PMC shall seek the Banks approval for any such changes before
implementation at site.

Measurements & Bill Checking:

3.3.11 Recording of measurements (as per laid down procedures / standards / practices) for all
items of work done including extra and declared sub items.

3.3.12 Checking and certification of all contractors bills and forwarding it to the Bank /Main
Consultant for payment within the agreed timelines as specified in the
tender/contract documents. PMC should also recommend all statutory deductions as
per prevalent law. PMC should facilitate check measurements by Bank/ Main
consultant.

3.3.13 Checking and certification of the bills of consultants other than the Design Consultant,
appointed for the project as and when desired by the Bank.

3.3.14 PMC to coordinate with the Bank /Architects while verifying bills, invoices and
payments.

3.3.15 Check and solicit rate analysis for extra items of work and forward the same for
approval by the Bank before execution of the same at site.

3.3.16 Prepare reconciliation statement of various materials received and consumed at work
such as steel, cement etc. consumed and brought to site. It should be submitted with
every bill.

3.3.17 Check the quantities exceeding the contract quantity and inform the cost implications
to the Bank.

Quality Assurance/Quality Control:


3.3.18 PMC shall perform all duties of quality assurance of works and carry out
comprehensive technical supervision of the works to ensure conformity with
approved designs, specifications for materials and workmanship, adopted QA/QC
and HSE procedures, applicable relevant standards and codes and sound engineering
practices.

3.3.19 PMC shall ensure suitable & sufficient tests of materials and equipment as required
including random checks for conformance with specific requirements of contract
documents, and document results of the tests. Besides, assessment and checking in
the laboratory and the scheduling, supervision and vetting of field tests carried out
by the contractors, PMC may also carry out independent tests as necessary, as and
when desired by the Bank, for quality assurance of the works at contractors own
cost. PMC shall maintain completed records of all test results including suppliers
material tests.

3.3.20 PMC shall review and approve the test results/certificates and wherever tests
indicate lack of conformance, it shall initiate action to secure conformance including
additional tests as considered necessary to establish quality of the work desired.

3.3.21 PMC shall note deficiencies in the contractors work, cause corrections to be made, and
check the remedial work and facilitate to rectify the deficiencies as per approved
methods / BIS provisions. Moreover, PMC will not be discharged of their
responsibility to get the defects rectified.

3.3.22 PMC shall check that various products guarantees are available for sufficient period.

3.3.23 PMC shall conduct monthly technical quality audit in co-ordination with the Bank.

3.3.24 For the purposes of independent testing, wherever required, all material / Equipment
shall be sent for testing / calibration to the Labs that are accredited by NABL
(National Accreditation Board for Testing & Calibration Laboratories).

3.3.25 PMC may be required to help establish, at the contractors cost, a testing laboratory at
the site of construction work equipped with prescribed machinery, tools, plants and
equipment as directed per the tender document.

Health, Safety and Environment Requirements:

3.3.26 PMC shall ensure that while carrying out the works under the assignment the
contractors, if any, shall place due importance and regard to the overall aesthetics,
ambience, topography and eco-system of the site.

3.3.27 PMC shall also take due precautions to ensure all necessary compliances for
Environmental and Health & Safety requirements at site as well as at Contractors
labour camps if any in the Bank Campus. PMC shall maintain all Labour and Labour
Payment records as per Labour laws
3.3.28 PMC shall ensure the highest standards of safety, security and health for all workers of
all contractors and other agencies and also all other persons entering the site in
conformance with legal provisions, codes, standards and good practices. PMC shall
also conduct training / orientation and briefing of all workers and visitors in this
regard.

Contract administration:

3.3.29 PMC shall maintain complete records for contracts orders from award to final
acceptance, payment, and close-out including:
3.3.29.1 Contracts and purchase orders along with record of all day to day correspondences
and meetings including contractual issues with all the Contractors.
3.3.29.2 Progress payment records.
3.3.29.3 Drawing and specification clarifications including all changes, deviations and
substitutions, which have been evaluated, estimated, negotiated, and/or accepted.
3.3.29.4 Maintain the logs for Bank Guarantees, Contracts, Contract Amendments, Change
Notices, incoming & outgoing correspondences, workmen compensation policies,
PF Challans, Labour license, Health and other Insurance policies, Contract
Schedules, Back charges, RFIs, Invoices, etc., for all contractors.

3.3.30 PMC shall prepare monthly progress payment estimates and facilitate and administer
systematic and reasonable progress payments.

3.3.31 PMC shall review, appraise and administer claims for items of extra work or change in
the terms of the contracts. PMC shall negotiate with contractors to resolve claims,
including documentation of the rationale for resolution, and submit relevant
justification notes for any eligible claims to The Bank for approval. PMC shall
develop change orders/amendments to incorporate the work covered by claims into
the appropriate contract or purchase order after the Banks approval.

3.3.32 PMC to manage all the Contractual issues with the Contractors in such a way that
there is no cost and time implication to the Bank.

3.3.33 PMC shall administer all requests for extension of time from the Contractors. PMC
shall negotiate an equitable adjustment in time and submit an approval note to the
Bank with detailed schedule analysis, cost impact, if any, for approval.

Project Cost Control:

3.3.34 Maintain the hindrances register package/contract wise which shall record any
hindrances caused to the progress of the works, duration of such hindrance, date of
clearance of such hindrances etc.

3.3.35 PMC shall inform the Bank about each such potential change in design and
construction from the approved drawings, plan of execution, and construction
quantities which may have cost or schedule impact, at least two (2) weeks in
advance for identification of change with detailed analysis for acceptance and
propose a plan to mitigate the same; and for emergency cases, PMC shall identify the
change with analysis to the Bank for approval within 2 days.

3.3.36 On acceptance of The Bank, PMC shall prepare and submit a deviation report of
identified change/ deviation in cost and schedule within 5 days of approval of
change. The report shall include but not be limited to the following: Reason for
change, cost and schedule impact, cost analysis report, recovery schedule and
recommendations to reduce time and cost impact.

3.3.37 Monitor, report and Maintain a log of identified and approved changes and
submit it to The Bank on regular basis and as and when needed by the Bank.

Project Completion:

3.3.38 PMC shall engage in verification of the physical construction and installation of the
various facilities and systems of the project towards or after completion in
coordination with the design consultants and the Bank.

3.3.39 PMC shall arrange for, coordinate and verify the contractors or suppliers
corrections, modifications and adjustments, if any, to equipment and systems
prior to final acceptance/handing over of each facility or system to the satisfaction of
the Bank and/or operating staff.

3.3.40 PMC shall recommend the Bank's acceptance of facilities or systems from
the contractors for operation and use after arranging for sufficient training to the end
users /operators at the Bank for each facility or system as per the respective
contracts.

3.3.41 PMC shall establish, effect and monitor a program for identifying and rectifying
defects during applicable Defects Liability Period including periodic monitoring and
reporting. At the expiry of the defect liability period, PMC shall make a final
inspection and list the defects to be rectified prior to issue of final completion
certificate.

3.3.42 PMC to solicit from the contractors to supply trade files, documents, test certificates,
performance warranties/guarantees, spare parts list, maintenance manuals, no claim
certificate and transmit the same to the Bank in both hard copy and electronic
formats.

3.3.43 PMC to solicit the AS BUILT drawings immediately on completion of each area.
Reviewing, verifying and approving the as-built corrections to all plans, drawings
and other documents in coordination with design consultants and to the satisfaction
of The Bank.

3.3.44 Prepare final project completion report(s), project expenses analysis, estimates and
final account of expenditure in the format as desired by the Bank.

3.3.45 Ensuring that the constructed works and sites are cleaned and prepared for occupancy
and use.

3.3.46 Recommend to The Bank to issue completion certificates after the contractors have
satisfactorily completed all work under the terms of their contracts and for final
payment of the contractors after adjusting any liquidated damages and security
Deposits.

3.4 BANKS RIGHT TO LIMIT THE SCOPE OF SERVICES

3.4.1 SBH reserves the right to restrict the scope of the services of PMC to the full or part or
parts of the project.

3.4.2 The Bank reserves the right to terminate the services of PMC with a three month notice
in writing if the Bank is not satisfied with the services of PMC.

3.4.4 In the event of termination of the services of PMC due to unsatisfactory


services rendered by PMC, PMC will not be entitled to claim any compensation for
the termination on account of the remaining work or the period of contract
not completed.

Further, in case of termination of services of PMC due to unsatisfactory performance, the


Bank reserves the right to levy appropriate compensation on PMC for the losses incurred by
the Bank on account of the unsatisfactory services of PMC or due to the fact of disruption to
the project due to the necessity of having to terminate the services of PMC and having to
make other arrangements for completion of the works and entrusted to PMC.

3.5 STAGEWISE SCOPE OF WORK:

3.5.1 PRE CONSTRUCTION STAGE

i) Project Strategy: Prepare an overall strategic master programme setting out the
management approach for the project with basic project structure, role of
project participants and mechanism to plan, execute, monitor and review the
project development in accordance with the Client's brief, and overall project
duration and major milestones.
ii) Day to day site supervision, planning, quality control, coordination of work
between various agencies, measurement of quantities & bill checking etc.
iii) Phasing Studies: Analyse the impact on financial, design, procurement,
construction and commission requirement, of various phasing options.
iv) Conceptual Cost Estimate: Based on Preliminary Architectural Design and PAR
estimates of the Architect prepare an elemental conceptual cost estimate
(Project Cost Model).
v) Advise on the separation of the project into separate contracts. Advise on the
method to be used for selecting contractors and awarding contracts. If separate
contracts are to be awarded, advise on the co-ordination of the work and ensure
that the total scope of the project has been incorporated into the appropriate
contract.
vi) Procurement Strategy: Develop a strategy of how the work will be procured
(contract packaging), taking into consideration specific project condition in
terms of time, design, local and international resources, long lead deliveries,
local requirement, site-wide purchasing opportunities and standard contract
document. Make recommendations for pre-qualification criteria for bidders, and
develop bidders, interest in the project.
vii) Project Organization: Prepare project organization plans and structure and
define responsibility and reporting relationships.
viii) Project Procedure Manual: With the consultants prepare the project
procedure manual, to cover project details, reporting, financial matters,
meeting, drawings, circulation of correspondence, bid packages, tenders,
payments, defects liability certification and insurance requirements.
ix) Master Planning: Review the project master plan to ensure that all aspects of
the development are covered.
x) Construction Strategy: Develop and monitor an overall construction strategy
of the site including phasing and sequencing, logistics, safety plan, security,
Industrial relations, quality control, environmental impact plan and handover
sequencing.
xi) Master Scheduling: Prepare a master Schedule, which forms part of the trade
contractors' tender documents and is updated during the procurement and
construction period in accordance with the contractors' schedules.
xii) Design Process Co-ordination: Through regular monitoring and the
provision of advice, facilities on-going design within the framework of the
Client's brief, monitoring document control.
xiii) Design Process Management: With the Design Team, establish
detailed design programmes and identify design deliverables including
drawings, design calculations, specifications and quality control procedures.
Monitor design progress, identify programme divergence and recommend
remedial action. Report on cost and time effects of design changes. Prepare
design analyses and advice the client and design team. Set up regular Design
Team meetings to resolve outstanding matters.
xiv) Investigate and recommend a schedule for the Owners purchase of
materials and equipment requiring long lead times and co-ordinate with the
early preparation of the design documents by the Design Consultants.
xv) Document Control System: Advice on document control system for all
project design and technical documents.
xvi) Document Control Implementation: Implement document issue,
numbering, coding and distribution system, and manage a project-wide
document control system.
xvii) Cost Panning Advice: Advice on the project cost plan compilation
into appropriate project cost centres.
xviii) Project Cost Plan: When the design develops to the degree where the
qualities and specification are available, develop the elemental conceptual
estimate into a detailed elemental cost estimate which, when agreed with the
Client, becomes the project cost plan.
xix) Project External Relations: Advice on and if required establish
procedure for external relations with the public, trade unions, adjoining
property owners and all other interested parties.
xx) Pre-Construction Works: Advice and assist the design team and the Client in
obtaining all the requisite approval for pre-construction activities. Organise site
surveys; establishment of site grid/datums, soil investigation and demolitions.
xxi) Schedule Monitoring: Advise on reporting format and co-ordination
of design and construction schedules. Review contractor's detailed schedule
report and advice the Client.
xxii) Schedule Management: Establish schedule reporting formats and
develop construction programme, which integrates with the design
programmes. Develop detailed trade package schedule and award dates, and
subsidiary schedule, which integrate with the construction programme.
xxiii) Tender Documents Preparation of N.I.T., general and special conditions
of contract in consultation with the Architects. Co-ordianation with the
Architect and his team of consultants for preparing detailed schedule of
quantities, detailed specifications of all items of work.
xxiv) Advise the Owner and the Design Consultants regarding the assignment
of responsibilities for safety precautions, temporary project facilities, and the
provision of central equipment / materials / services for common use.
xxv) SOW pertaining to green rating
a. Co-ordinate with IGBC LEED consultant for approval and clearances on behalf
of SBH. Assist IGBC LEED Consultant in registration of the project with rating
authorities.
b. Take feedback on designs from IGBC LEED consultant at all major
submissions.
c. Review reports submitted by IGBC LEED consultant.
d. Conduct and participate in meetings with IGBC LEED consultant and IGBC
LEED authorities whenever required.

3.5.2 BID AND AWARD STAGE:


i. Procurement / Pre contract & Bidding: Implement strategies, plans and
detailed guidelines for the procurement of all project services. Solicit
interest and assist in the development of bid lists, pre- qualification of
Contractors and tender schedules, and attend bid clarification meetings.
ii. Contract Documentation: Determine scope of contracted elements,
advice on the detailed preparation of contractual terms and assemble
construction contracts/ purchase order.
iii. Buildability Review: Arrange and review buildability and method
statement with a view of optimising methods of construction in terms of
cost, time, and quality.
iv. Buildability analyses: Undertake buildability analyses and review
trade contractors method statements with a view of optimising proposed
methods of construction in term of cost, time and quality.
v. Value Engineering: Commencing during design development and on
tinning through to completion of the project, undertake Value to
completion of the project, undertake Value Engineering studies with the
objective of maximising the investment value of the project and evaluate
the impact.
vi. Conduct pre-bid conferences to familiarise the bidders with the bidding
documents, management techniques and with any special systems,
materials and methods.
vii. Assist the Design Consultants with the receipt of question from bidders
and with the issuing of Addenda.
viii. Receive bids, prepare bid analysis and make recommendations
for award of contracts. Conduct pre-award conferences with successful
bidders.
ix. Assist in the preparation of construction contracts. Advise on the
acceptability of subcontractors and suppliers proposed by the
contractors.

3.5.3 CONSTRUCTION STAGE

i. Provide administrative, management and related technical services as


required to co-ordinate the work of the contractors with each other and
with the activities and responsibilities of the Project Manager, the
Design Consultants and the Owner in accordance with the Owners Cost,
Schedule and Quality criteria.
ii. Schedule and conduct pre-construction, construction and progress
meetings to discuss such matters as procedures, progress, problems, cost
and schedules. Prepare and distribute minutes.
iii. Consistent with the Project Construction Schedule issued with the
bidding documents, and consistent with the Construction Contractors
Schedule provided by each contractor update the Project Construction
Schedule. This will include activity sequences and duration's allocation
of resources, status of shop drawings and samples, status of long lead
procurement items, etc.
iv. Project Budget Control: Recommend and review cost reporting
formats and cash flow analyses, attend cost meeting and monitor the
project budget. Advice the Client of any variation to the Cost Plan,
requirements for additional funding and contingency fund control.
v. Cost Management: Assist the Client in preparing the Project Budget
using the Project Conceptual Cost Estimate a cost reporting and coding
structure based on the CMIS system. Administer the budget throughout
the project life. Provide the Client with information on the financial
status of the Project, actual cost against cost plan, cash flow analyses
and forecasts, impact of change order and forecast anticipation cost to
complete the project. Organise regular cost meeting and establish a
contra- change tracking system. Review and advice on payments to
trade contractors.
vi. Liaise with Agencies/Authorities: Assist the client to liaise with
government authorities, statutory agencies and utility companies i.e.
planning permits, Building regulations, roads, transportation, telecom
and internet service provider, water, gas and power. Monitor statutory
approvals. Assist in getting approvals from the authorities that have
jurisdiction over the project. (GHMC, TSPIIC, DGSFS,TSPCB,MoEF
etc.)
vii. Project External Relation: Advice on and establish procedure for
external relations with the public, trade unions, adjoining property
owners and all other interested parties.
viii. Risk Analysis and Management: Assist the Client in
identifying all risk elements to the project and advice on methods of
managing those risks to minimise their impact on the project by
establishing and implementing a formal risk analyses and management
procedure of evaluating the cost, time and quality effects, of each risk
and establishing an appropriate contingency and then monitoring the
effects on the contingency. Receive copies all insurance documents,
maintain log and ensure that they re up to date.
ix. Site Organisation: On behalf of the Client, monitor progress and
performance of the trade Contractor on a daily basis. Manage the site
with particular attention to site layout, safety, logistics, material
handling, and pollution control, site attendances and temporary utilities
and clean up. Organise Pre-construction orientation, weekly site
meetings, handle queries, arrange for site datums and manage trade
Contractors reporting process.
x. Administration of Project Construction: Following the Project
Procedures Manual, monitor the construction process, including
document, records, meetings and system management. Advice on safety,
fire protection, security, transportation control, pollution control, labour
relations, temporary utilities and clean up. Conduct pre- construction
orientation conference(s), attend progress meetings, advice on queries,
work splits, and all other site matters.
xi. Management of Construction: Manage the work of the Trade
Contractors and suppliers, in accordance with Trade Contractor
purchase agreements. Establish Trade Contractors' procedure manual,
monitor material, equipment and labour resources and ensure the work
complies with the term of the method statement policies agreed with the
Client. Provide administration of the distribution and storage of the
appropriate information.
xii. Site Logistics: Plan and manage site logistics including site operation
not including in contract scopes such as access, storage, site
accommodation, welfare, utilities, fire services, medical facilities, safety
and emergency routes.
xiii. Safety and Security Management: Establish guidelines and
manage the site safety and Security Programme. Review the safety
program developed by the contractors and co-ordinate.
xiv. Quality Control: Assist in establishing and monitor the implementation
of a Quality Management System which foresees that construction
works are carried out in accordance with the specification and quality
control procedures.
xv. Quality Management: Establish, Implement and manage a quality
Management System in accordance with specification and quality
control procedure. Arrange for and co-ordinate independent laboratory
testing / inspection as require. Implement remedial action as defects are
noted.
xvi. Change Order Monitoring: Advice on the development of a change
order reporting system, monitor implementation and advice on
settlement of change orders.
xvii. SOW Pertaining to Green rating
a) Co-ordinate between contractor and IGBC LEED consultant. Collect
all documents and monthly formats from contractors as specified by
IGBC LEED Building consultant. Collect technical data sheets for all
materials used on the project from contractors, suppliers, and all
agencies.
b) Arrange periodic site visits from IGBC LEED Building consultant and
IGBC authorities.
c) Make available shop drawings from Contractors, suppliers to IGBC
LEED consultant.
d) Track and ensure achievement of desired rating level and
communicate the same to SBH on a monthly basis
xviii. Change Order Management: Advice and implement at
change Order reporting system. Evaluate proposed changes in term of
their impact on design, construction and operation, proposing remedial
action where appropriate. Make recommendations on the settlement of
Change Orders.
xix. Performance Monitoring and Measurement: Monitor and report on
progress as the project evolves, in terms of work performed and
progress achieved tying together physical progress and financial status.
Monitor compliance and assess performance of all project participants.
Evaluate and make recommendations on Trade Contractors requests for
progress payments. Manage the contractors to achieve satisfactory
performance. Recommend courses of action when the contractual
requirements are not being met.
xx. Variation Statements - Provide regular monitoring of the approved
estimate of construction costs, showing actual costs for activities in
progress and estimates for uncompleted tasks. Identify variances
between budgets and actual.
xxi. Certification of Bills - Develop and implement procedures for the
review and processing of Applications for Payment by the Contractors
for progress and final payments.
xxii. Assist the Owner in selecting and retaining the professional
services of surveys, special consultants and testing laboratories. Co-
ordinate their services.
xxiii. Consult with the Owner and Design Consultant if any contractor
requires interpretations of the intent and meaning of the design
documents, and assist in the resolution of such questions.
xxiv. Arrange for the delivery and storage, protection and security of
all Owner-purchased materials, systems and equipment, which are part
of the project until they are finally incorporated.
xxv. Claims Management: Advice the Client on management of
claims to minimise or avoid disputes. Establish a Claims log; evaluate
claims and advice at negotiations with Trade Contractors.
xxvi. Reporting: Assemble Monthly report Which include progress
photographs, status of design, permits/ licence, agreements and
negotiation with third parties and bid packages, trade contractor
performance, schedule reports, cost/ financial report, bonds, problem
areas and recommendations for action. Solicit Trade Contractors to keep
accurate written reports on labour, weather, progress, material /
equipment, accident and other pertinent matters.
xxvii. Submittal Process: Monitor and review Contractors' material
procurement schedule logs for completeness, accuracy and compliance.
xxviii. Commissioning Management: With the appropriate
Consultants, establish procedure for and manage the commissioning of
all services.
xxix. Final Acceptance Implementation: Establish Standards for
Final Acceptance. Implement remedial action should defects be noted.
Advice the Client on acceptance of particular completion, manage hand
over to the Clients' operator and maintenance staff and advice on
payment of the trade contractors' final accounts.
xxx. SOW pertaining to Green Rating
a. Collect technical data for all equipments (MEP) installed on the project -Co-
ordinate with IGBC LEED consultant. and IGBC authorities for Final Leed
Certification.
b. Track and ensure achievement of IGBC LEED Platinum rating level and
communicate the same to SBH on a monthly basis.

3.5.4. POST CONSTRUCTION STAGE:

a. Assist in the preparation of the punch list / snag lists as the contractors work, or
designated portion, is completed and a schedule for their completion.
b. Completion Certificate - Assist in the determination of when a project is
substantially complete, and the necessary steps that are required before the
certificate can be issued.
c. Handing Over - Assist in the final inspection, secure all guarantees deliver all
keys and manuals and records etc. at completion.
d. 0 & M Manuals & "As-Built" Dwgs Monitoring: Monitor the Preparation of all
necessary operating and maintenance manual and As Built Drawings and their
supply to the Client.
e. O & M Manuals & "As-Built" Drawings Collation: Assemble and collate all
operating and maintenance manual, drawing, instruction and procedures provided
by the Trade Contractors and suppliers.
f. Training of Operational Personnel: Organise the training of the Clients
operations and maintenance personnel.
g. Facilities/Building Management: Assist facility management services of
owners.
h. Technology Transfer: Design and implement programmes needed to enhance
and transfer skills and technologies to host organisation.
i. Release of Retention Amounts / Bank Guarantee: After the successful completion
of defects liability period, certify payments of retention amounts and close
contracts.

3.5.4 PROOF CHECKING MEP SERVICES

a) Proof Checking of MEP Services include the following:-


1. HVAC i.e., Heating, Ventilation and Air conditioning system.
2. Electrical works i.e. HT substation, DG power back-up, UPS system, medium
voltage distribution, Internal Electrification, External lighting, Lighting
Protection and Earthing, Low voltage systems, Fire Detection and Alarm
systems, Security Systems, Telecom Systems, Data Networking Systems, PA
Systems.
3. Water Supply and Distribution, Public Health and Fire Fighting System i.e.. source
of water, Water quality and quantity, Systems and major components of water
supply, Sanitary drainage system, Sewage disposal system and Sewage treatment,
Storm drainage system, Gas supply, Sanitary fixtures. Sub metering, Fuel system,
Use of Solar system for hot water, Fire Fighting systems.

b) The Consultant will be responsible for the following:


a. Scrutiny of Concept design (Design Basis Report) submitted by the Sub consultant of
the Architects and offer comments for improvement of the design;
b. Discussion with consultant / Architect / Employer for most economical concept design
for MEP Services using Value Engineering Concepts;
c. Finalization of space requirements and structural provision for MEP Services in
consultation with the Sub consultants of the Architects.
d. Ensuring the finalization of designs I details of MEP Services by the Sub consultants
of the Architects on the basis of Proof Check Consultants' recommendations;
e. Scrutiny of the preliminary estimate, detailed estimate as per finalized design to be
prepared by the Sub consultant of the Architects;
f. Scrutiny of the tender documents in respect of tenders for MEP Services or MEP
component of tenders in respect of composite tender for the works, in consultation
with the Sub consultant of the Architects.

c)UTILITIES & SERVICES:-

The utilities & services shall include and not limited to:
