MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:


This Memorandum of Agreement made and entered into by and
between:
The LAGUNA UNIVERSITY (LU), with address at Laguna Sports
Complex, Brgy. Bubukal, Santa Cruz, Laguna, Philippines represented
herein by its President, HON. RAMIL L. HERNANDEZ, hereinafter
called UNIVERSITY.
-andTOYOTA, At National Highway 1, Brgy. Turbina, Calamba City, Laguna,
Philippines, represented in this act by Human Resource Manager,
MS. MA. SALVE B. TORNEO.
-WITNESSETHWHEREAS,the UNIVERSITY is requiring its students to undergo
internship prior to graduation as part of the LAGUNA
UNIVERSITYS In Partial Fulfillment of the Course
Requirements in the Degree of Bachelor of Science
in Accountancy
WHEREAS,the UNIVERSITY requested TOYOTA, to allow its students
to internship in ACCOUNTING/FINANCE DEPARTMENT
for a minimum of 400 hours;
WHEREAS, TOYOTA , in the exercise of corporate social responsibility,
promotes and supports technical education and is willing to
support the UNIVERSITYS Internship Program in line with
such objective;
WHEREAS,among the avenues open to TOYOTA, in realization of the
above objective is developing strong industry-academe
linkages with the UNIVERSITY;
WHEREAS,

TOYOTA agrees to accommodate students from the


UNIVERSITY, subject to certain terms and conditions;

NOW, THEREFORE, for and in consideration of the foregoing


premises, and of the terms herein after provided, the
parties hereby agree as follows:
A. The UNIVERSITY shall:
1. Recommend qualified STUDENTS WHO WILL UNDERGO THE
Internship Program taking into consideration the requirements of
TOYOTA, in terms of qualification of trainees.
2. Designate a School Coordinator who will be assigned with the
following responsibilities:
a. Orient the students/interns about proper attitude and
behavior;

b. Meet regularly with the representative/s of TOYOTA, to


monitor and evaluate the performance of students/interns
in TOYOTA,
3.

Submit to TOYOTA, the documents required for this


Internship, such as Letter of Recommendation of the student,
etc. prior to the commencement of the Internship Program.

4. Subscribe to the guidelines set forth in the Internship.


B. TOYOTA shall:
1. Decide the proper number of students/interns according to the
suitability and availability of training venues and training
opportunities.
a. Deploy the students/interns to the appropriate operating units
of TOYOTA for a minimum of 400 hours or as agreed by
TOYOTA And the UNIVERSITY, and the following the working
schedule TOYOTA provided they are able to accomplish all the
requirements deemed necessary by TOYOTA Pass the entire
test required by the Accounting/Finance Department.
b. Submit all the necessary documents.
2. Support the Internship through the following:
a. Assign personnel who will orient, monitor, evaluate and
supervise the students/interns in acquiring competencies and
in developing the proper behavior especially those that
pertain to safety.
b. Provide the students/interns
necessary for training.

3. Enforce rules and regulations that will govern the conduct of the
Internship while in TOYOTAs premises. Said rules shall be made
known to the students/interns before the start of the Internship.
Non-compliance of said rules and regulations shall be grounds for
exclusion of the students/interns from further participation.
4. Issue Certificate of Internship to the students/interns only upon
fulfillment of all internship requirements.
C. Under this Memorandum of Agreement, the following
1. It is clearly understood that during the period of the
students/interns internship and presence in, TOYOT , there shall
be no employer-employee relationship that exist between the
students/interns and
TOYOTA nor shall in any manner be
deemed to exist, between the students/interns and TOYOTA
2. The internship hours will not and should not be interpreted as
working hours. The Internship is regarded as non-compensable.
However,
TOYOTA
may, as a unilateral act of liberty or
generosity on its part, provide some form of allowance
3. The UNIVERSITY, jointly and solidarity with the students/interns
concerned, renounce and waive any right/claim against TOYOTA
for any injuries or accidents that the students/interns may suffer

in the course of participating the Internship, and the


students/interns shall hold TOYOTA harmless and free from any
liability for damage or injury to third parties which may be
occasioned by the intentional or negligent acts of the
students/interns including time spend in traveling to and from all
premises and locations where the students/interns may be
required to go to part of the Internship, and further waives any
rights or claims against TOYOTA that may arise there from

4. It is agreed and understood that all records and documents of


TOYOTA and all information pertaining to its business or affairs
are strictly confidential. Students/Interns shall not disclose
information at all times given after the Internship has ended.
Students/Interns shall be held liable for the damage that the said
disclosure to other person/s or entity/ies might cause to TOYOTA
5. TOYOTA after a written notice, may be discontinue the Internship
at any time, for any just or authorized cause, including condition
of TOYOTA that will constrain itself to continue the Internship.
6.

TOYOTA reserves the right to discontinue the internship of any


student/interns on reasonable grounds upon written notice to the
UNIVERSITY.

7. The UNIVERSITY may pull-out any students/interns from TOYOTA


on reasonable grounds after a written notice to TOYOTA
This Memorandum of Agreement shall take effect on August 10, 2015
and shall remain in full force and effect between both parties. It shall
be reviewed on a year-to-year basis unless either party gives notice of
its intention to terminate this Agreement at least fifty (50) days before
the intended termination date.

IN WITNESS WHEREOF, the parties have signed these presents on
