REFERRING NEGOTIATION BETWEEN XXXXXXX AND XXXXXXXXXXX

Whereas, the undersigned parties are mutually desirous of doing business

with respect to the arranging, selling and buying and in cooperation with
one another and with third parties for their mutual benefit in the
development of trading business.
The documents which are going to follow this agreement like letters of
intent, full corporate offers, bank comfort letters, contract terms and
conditions, banking details or pre-advised payment instruments and/or
any information contained in such documents will not be passed, under
any circumstance, onto another intermediary or broker or trader or
whatever company or private persons who are not end buyers or end
suppliers without prior specific written consent of the party(s) providing
such information.

con respeto y entendimientos previos, vendiendo y comprando en cooperacin
conjunta y con terceros, para beneficio mutuo en el desarrollo del negocio de
compraventa.
Los documentos que seguirn a este acuerdo, como Cartas de Intencin, Ofertas
Corporativas, Avales Bancarios, Trminos y Condiciones de Contrato, Detalles
Bancarios o Instrumentos de Preaviso de Pago, as como toda y cualquier
informacin contenida en tales documentos, no ser pasada, bajo ninguna
circunstancia, a otro intermediario, agente o trader, o cualquier empresa o persona
fsica que no sean los compradores finales o proveedores finales, sin el especfico
consentimiento por escrito de las partes que suministraron dichas informaciones.
This agreement is made and entered into on this date, shall obligate the
undersigned parties and their partners, associates, employers, employees,
affiliates, subsidiaries, parent companies, any nominees, representatives,
successors, clients and assigns hereinafter referred to as The Parties
jointly severally, mutually and reciprocally for the terms and conditions
expressly state and agree to below, and that this agreement may be
referenced from time to time in any document(s), or written agreements,
the terms and conditions of this agreement shall apply to any exchange of
information written or oral involving financial information, personal or
corporate names, contracts initiate by or involving the parties and any
addition, renewal, extension, rollover amendment, renegotiations or new
agreement

y a sus socios, asociados, empleados, afiliados, subsidiarios, matrices, as como a
cualquiera sucesores nombrados, clientes y firmantes, aqu referenciados como las
partes, aceptando mutua y recprocamente los trminos y condiciones
expresamente declarados y acordados abajo, y, por tanto este documento puede
ser refrendado por perodos de tiempo en cualquier otro documento(s) o acuerdo(s)
escrito(s); los trminos de este documento se deben aplicar a cualquier
intercambio de informacin, personal o corporativa, contratos que envuelvan a las
partes por cualquier adicin, renovacin, extensin, enmiendas, renegociaciones o

un nuevo acuerdo, aqu referido como La Transaccin (Proyecto/Transaccin)

The intending parties hereby legally, and irrevocably bind themselves into
guarantee to each other that they shall not directly or indirectly interfere
with, circumvent or attempt to circumvent, avoid, by-pass or obviate each
others interest or the interest or relationship between The Parties with
procedures, seller, buyers, brokers, dealers, distributors, refiners,
shippers, financial instructions, technology owners or manufacturers, to
change, increase or avoid directly or indirectly payments of established or
to be established fees, commissions, or continuance of pre-established
relationship
or
intervene
in
un-contracted
relationships
with
manufacturers or technology owners with intermediaries entrepreneurs,
legal council or initiate buy/sell relationship or transactional relationship
that by-passes one of The Parties, in the development of trading
business.
Las partes abajo firmantes declaran, a travs de este documento, legal e
irrevocablemente, garantizar entre todos que no interferirn, divulgarn o
intentarn divulgar, directa o indirectamente, evitar, perjudicar u olvidar los
intereses unos de otros o relaciones entre las partes con procedimientos,
compradores, vendedores, agentes, contratantes, distribuidores, refineras,
agencias martimas, instituciones financieras, propietarios de tecnologa o
fabricantes, para alterar, aumentar o evitar directa o indirectamente el pago de
importes, comisiones y tasas preestablecidas, o continuidad de relaciones
preestablecidas, o intervenir en relaciones no contratadas con fabricantes o
propietarios de tecnologa con empresarios intermediarios, consejos legales o
iniciar relaciones de compra/venta que interfieran entre las partes abajo
firmantes para el desarrollo del negocio de compraventa.

The Parties irrevocably agree that they shall not disclose or otherwise
reveal directly or indirectly to a third party any confidential information
provided by one party to the other or otherwise acquired, particularly
contract terms, product information or manufacturing processes, prices,
fees, financial agreement, schedules and information concerning the
identity of the sellers, producers, buyers, lenders, borrowers, brokers,
distributors, refiners, manufacturers, technology owners, or their
representative and specifically individuals names, addresses, principals, or
telex/fax/telephone
numbers,
references
product
or
technology
information and/or other information advised by one party(s) to be one
another as being confidential or privileged without prior specific written
consent of the party(s) providing such information.

Las Partes acuerdan irrevocablemente que no deben divulgar o de cualquier

forma revelar directa o indirectamente a un tercero, cualquier informacin
confidencial suministrada de una parte a la otra, as como adquirir, particularmente
los trminos del contrato, informacin de productos o procesos de produccin,
precios, tasas, acuerdos financieros, itinerarios e informaciones concernientes a La
identidad de compradores, vendedores, agentes, contratantes, distribuidores,
refineras, agencias martimas, instituciones financieras, propietarios de tecnologa
o fabricantes o sus representantes y especficamente nombres individuales,
direcciones, directores o nmeros de telfono/tlex/fax, nmeros de referencia de
productos, informaciones tecnolgicas y/u otras informaciones entregadas de una
parte a otra, siendo tales informaciones tratadas como confidenciales y/o
privilegiadas, sin la especfica autorizacin por escrito de la parte que proporcion
tales informaciones.
AGREMENT TO HONOR COMMISSIONS
ACUERDO PARA HONRAR LAS COMISIONES
Commissions, fees, compensation or remuneration to be paid as part of
transaction covering The Parties to this agreement, shall be agreed upon
by separate written agreement by The Parties concerned and shall be
paid at the time such contract designated, concluded or monies changing
hands between buyers and sellers, unless otherwise agreed among The
Parties.
The Parties hereby irrevocably and unconditionally agree and guarantee
to honor and respect all such fees and remuneration, arrangements made
as part of a commission transaction even in the event that The Parties
are not an integral member to a specific commission and fee, remuneration
agreement.
Comisiones, tasas, compensaciones o remuneraciones que deban ser pagadas
como parte de La transaccin envolviendo a Las Partes de este acuerdo, deben se
acordados en un documento por escrito separadamente y deben ser pagadas y
concluidas en el tiempo asignado por tal instrumento, con el debido intercambio de
manos de los valores entre compradores y vendedores, a menos que sea acordado
de otra forma entre Las Partes concernientes.
Las Partes abajo firmantes acuerdan, irrevocable e incondicionalmente, y
garantizan honrar las tales tasas y remuneraciones, acuerdos de comisin hechos
como parte de la transaccin, aunque Las Partes no sean elegibles para una
comisin o tasa, o acuerdo de remuneracin.

In specific deals where one of The Parties acting as an agent allows the
buyers or buyers mandate, and the seller to deal directly with one
another, the agent shall be informed of the development of the
transactions by receiving copies of the correspondence made between the
buyer or buyers mandate and the seller.
En casos especficos donde Las Partes actuando como agente permiten al
comprador o a su representante, el trato directo con el/los proveedor(es) y estos
tratan directamente uno con el otro, el agente debe ser informado Del desarrollo de
las negociaciones, a travs de una copia de la correspondencia hecha entre el
comprador y/o su representante con el proveedor.

TERM
VALIDEZ
This agreement shall be valid for five (5) years commencing from the date
of this agreement.
This agreement has an option to renew for a further period of five (5)
years subject to and upon the terms and conditions agreed between both
parties.
This agreement shall apply to:

All transactions originated during the term of this agreement.

All subsequent transactions that are follow up, repeat, extended or
renegotiated transactions of transactions originated during the term
of this agreement.

firma colocada en el mismo.
Este acuerdo tiene una opcin de renovacin por iguales perodos de cinco (5)

ARBITRATION
MEDIACIN
All disputes arising out of or in connection with the present contract shall
be finally settled under the rules of arbitration of the International
Chamber of Commerce ICC PARIS by one or more Arbitrators appointed
in accordance with the said rules.
Every award shall be binding on The Parties and enforceable at law.
By submitting the dispute to arbitration under these rules, The Parties
undertake to carry out any award without delay and shall be deemed to
have waived their right to any form of recourse insofar as such waiver can
validly be made.
Each of The Parties subject to the declared breach shall be responsible
for their own legal expenses until an award is given or settlement is
reached, provided however, That Party found in default by The
Arbitrator(s) shall compensate in full the aggrieved party its heirs,
assignees and/or designs for the total remuneration received as a result of
business conducted with The Parties covered by this agreement, plus all
its arbitration costs, legal expenses and other charges and damages
deemed fair by The Arbitrator(s) for bank, lending institutions,

corporations, organizations, individuals, lenders, or borrowers, buyers or

sellers that were introduced by the named party, notwithstanding any
other provisions of the award.
Todas las disputas originadas de o en conexin con el presente contrato deben ser
finalmente resueltas bajo las reglas de mediacin de La Cmara de Comercio
Internacional ICC PARIS por uno o ms Mediadores escogidos de acuerdo a
dichas reglas. La decisin obligar a Las Partes a tener fuerza de ley.
Sometiendo la disputa a La mediacin de estas reglas, Las Partes se obligan a
cumplir las decisiones sin demora y reconocen su renuncia a cualquier tipo de
recurso en la medida que tal renuncia pueda ser hecha.
Cada una de Las Partes sujeta al cumplimiento del contrato debe ser responsable
de los propios gastos legales hasta que La decisin sea pronunciada por La
mediacin; Sin embargo, La Parte punida por el Mediador debe compensar
plenamente a la parte ofendida, sus herederos, asociados y/o designados por el
total de la remuneracin recibida como resultado de La negociacin conducida con
Las Partes envueltas en este acuerdo, acrecentada de todos los gastos de
mediacin, gastos legales y otras costas y perjuicios juzgados como debidos por el
Mediador, aplicables a bancos, instituciones financieras, corporaciones,
organizaciones, individuales, tomadores o dadores de prestamos, compradores o
proveedores que sean presentados por la parte indicada, sin perjuicio de otras
indicaciones del Mediador en su decisin.
FORCE MAJOR
FUERZA MAYOR
A party shall not be considered or adjudged to be in violation of this
agreement when the violation is due to circumstances beyond its control,
including but not limited to act of God, civil disturbances and theft or
appropriation of the privileged information or contract(s) without the
intervention or assistance of one or more of The Parties.
Ninguna de Las Partes debe ser considerada culpable de violacin de este acuerdo
cuando dicha violacin se de por circunstancias ajenas a su control, incluyendo
pero no limitado a actos de la naturaleza, disturbios civiles y robo de informaciones
privilegiadas del contrato sin asistencia o intervencin de una o ms Partes.
ENTITIES OWNED OR CONTROLLED
EMPRESAS PROPIAS O CONTROLADAS
This agreement shall be binding upon all entities owned or controlled by a
party and upon the principal(s), employee(s), assignee(s), family and
heirs of each party.
Neither party shall have the right to assign this agreement without the
express written consent of the other.

Las Partes, as como sus directores, empleados, representantes, familia y sus
herederos.

Ninguna parte tendr el derecho de firmar este acuerdo sin el expreso

consentimiento escrito de la otra parte.

The Parties agree not to circumvent or attempt to circumvent this
agreement in an effort to gain fees, commissions, remunerations or
considerations to the benefit of the one or more if The parties while
excluding other or agree to benefit to any other party.
Las Partes acuerdan no divulgar o intentar divulgar este acuerdo con la intencin
de recibir cualquier importe, Sean tasas, comisiones, remuneraciones o
consideraciones que beneficien a una o ms Partes, excluyendo a cualquiera de
los envueltos o en beneficio de terceros.
NOT PARTINERSHIP AGREEMENT

This agreement in no way shall be construed as being an agreement of
partnership and none of The Parties shall have any claim against any
separate dealing, venture or assets of any other party or shall any party be
liable for any other.
Este acuerdo de ninguna manera deber ser considerado como constituyente de
una sociedad entre Las Partes, y ninguna de Las Partes tendr el derecho a
ninguna compensacin por negocios separados, empresas relacionadas a Las
Partes o beneficios de cualquier naturaleza que no formen parte del presente
contrato.

EDT (Transmisin Electrnica de Documentos)
EDT (Electronic document transmissions) shall be deemed valid and
enforceable in respect of any provisions of this Contract. As applicable,
this agreement shall be:1. Incorporate U.S. Public Law 106-229, Electronic Signatures in Global
and National Commerce Act or such other applicable law
conforming to the UNCITRAL Model Law on Electronic Signatures
(2001) and
2. ELECTRONIC COMMERCE AGREEMENT (ECE/TRADE/257, Geneva, May
2000) adopted by the United Nations Centre for Trade Facilitation
and Electronic Business (UN/CEFACT).
3. EDT documents shall be subject to European Community Directive No.
95/46/EEC, as applicable. Either Party may request hard copy of
any document that has been previously transmitted by electronic
means provided however, that any such request shall in no manner
delay the parties from performing their respective obligations and
duties under EDT instruments.

Las Partes, con respeto al contenido de este Contrato. Como aplicable, este
acuerdo debe:
1. Incorporar la Ley Pblica de los EEUU nr. 106-229, Firmas Electrnicas en el
Comercio Nacional y Global o cualquier otra Ley aplicable conforme al
modelo de Firmas Electrnicas UNCITRAL (2001) E
2. ACUERDO DE COMERCIO ELECTRNICO (ECE/TRADE/257, Ginebra, Mayo 2000)
adoptado por el Centro de Comercio Exterior y Negocios Electrnicos de las
Naciones Unidas (UN/CEFACT).
3. Transmisin Electrnica de Documentos est sujeta a las Directivas de la
Comunidad Europea Nr. 95/46/EEC, conforme aplicable. Cada parte puede
solicitar fotocopias de cualquier documento que haya sido previamente
transmitido electrnicamente, contando que tal peticin no provoque atrasos
en las obligaciones y deberes especificados en el instrumento transmitido
electrnicamente.
