WHEREAS The Contractor is engaged in the business of providing transport services to companies, factories, offices and other establishments. And WHEREAS The Company proposes to engage the services of the Contractor for transporting its employees from various locations in Ahmedabad to Plant at Gandhinagar & vice versa. And WHEREAS The Contractor has agreed to provide such services on the following terms and conditions. Now, it is agreed by and between the parties here to as follows: 01. This Contract will come into effect and operation from -------, 2008 for the period of 12 months and shall remain in operation upto ------, 2009. The Contractor shall carry out the job of transporting employees of company to various locations in Ahmedabad to companys plant located at Gandhinagar and vice versa. The scope of service is as under: a) The Contractor shall provide --------. b) The Contractor shall provide all the vehicles of which are not of earlier than 2006 Model - Within Three Months from the date of commencement. The contractor shall provide the following facilities / services : 1. A clock should be available in the Drivers Cabin. 2. Seat Covers should be of White cotton cloth. 3. All the Vehicles shall contain Modular seats, ergonomically designed with lumber support and with half push back.

The Contractor shall strictly follow the routes for running the vehicles and the time-schedule as fixed by the company from

time to time. In the case of late reporting or late arrival at company and / or at any other pick up and /or drop points for . i) The Contractor shall provide appropriate uniform to the pAR at its own cost including washing charges and shall ensure that the drivers remain in uniform during the duty hours. The drivers shall be deployed in the vehicles after consulting the company and their credentials shall be provided to the company. The Contractor shall ensure that all the interiors, seat covers, curtains, Audio System and upholsteries of the vehicles should be tidy, clean, maintained and well placed all the time. However, for any repairs and maintenance, an alternate car arrangement should be made available with prior intimation. The Contractor shall run their vehicles as per the route(s) and schedule(s) provided by the company and any changes made by the company shall be accepted by the contractor with immediate effect. Contractor will not permit any person other than the companys eligible employees. Contractor shall also permit to travel the guest of the company subject to approval of the authorized officers of the company.

insurance premium, bonus leave salary, service charges, uniform, etc. both statutory and non-statutory in nature, to be paid to the drivers, conductors, cleaners, etc. employed by the Contractor engaged for running the Vehicles. 05. It is expected that the contractor and the employees should maintain a decent relationship with staff. Misbehavior of any sort will be dealt seriously and will not be tolerated. All Vehicles shall run for full month up to minimum 3200 kms. The minimum kilometers run are based on calculation of average kms of three Vehicles per month However, the extra kms. may be charged at Rs 7.00 per km for Scorpio and Rs 4.50 per km for Indica.

The contractor shall provide the vehicles at concessional / nominal rates, than the market rates, during any events / occasions, to the company only on the requests made by any authorized officials of the company. The contractor shall depute one supervisor to visit plant every week to ensure smooth functioning. The contractor will also submit all the documents as per the companys checklist along with the monthly bill. The contractor shall make the payments of salary, wages and all other statutory payments to its employees drivers and conductors assigned for this purpose. The contractor shall submit the bill to the company for the monthly fixed charges as above on the last day of every month and the company will make the payment by 10th of the next month, after deducting necessary tax, levies etc., if applicable, provided that the contractor has performed to the satisfaction of the company. The Contractor shall fully bear the charges for the fuel, insurance, RTO Tax, road tax, other governmental and municipal levies of any

kind, repairs and penalties, both present and future, if any, and the company will not be responsible any way for such expenses and taxes. 12. The Contractor shall provide to the company all the original receipts for the payment made towards Toll Tax and Service Tax to the competent authorities for reimbursement of the same amount. It will be at a sole discretion of the company to Alter, Add, Reschedule or withdraw the routes or number of vehicles, with 15 days intimation to the contractor. The charges effecting to this shall be as per the contracted rate. The Contractor shall fully insure all the four vehicles and its employees engaged for running the vehicles, including third party insurance and shall also cover the employees under the Workmen Compensation Act, 1923 and submit a copy of the insurance policy/ certificate to the company for its record. The Contractor shall not appoint any of his staff below the age of 18 years as driver or conductor for running the vehicles. The Contractor shall be fully responsible for the compliance of the provisions of all applicable laws, present and future, including but not limited to the Employees State Insurance Act, 1946, The Payment of Wages Act, 1936, The Minimum Wages Act, 1948, The Industrial Dispute Act, 1947, The Payment of Bonus Act, 1965, The Employees Provident Funds and Miscellaneous Provisions Act, 1923, The Contract Labors (Regulation & Abolition) Act, 1970 etc. The Contractor shall keep and maintain all register (s), form (s), record (s), etc. required to be maintained by and under all the laws mentioned in clause No. 16 above, or under any other law for the time being in force, and it shall be the responsibility of the contractor to produce the same for inspection as and when required by the company and/or any authorities.

The Company shall not be responsible for any damages to the vehicles, injuries, deaths etc. occurred due to the contractors vehicles to the employees and/or any other person during the contract period. The Company reserves the right to inspect the vehicles and carry out surprise checks on the routes. The Contractor shall procure the license for their employee under the contract Labors (Abolition and Regulation) Act, 1970 if need be. The Contractor will make full compensation to the company for any loss or damage to the person/property caused due to negligence or carelessness or as a result of disobedience of orders or instruction and/or due to the non-cooperation or for other such reasons on the part of the employees of the Contractor. The Contractor shall ensure that its employees to maintain discipline and morale while discharging their duties. The Contractor undertakes the liability to pay all legal dues including the retrenchment compensation on termination of this contract to its employees. The company shall in no way be held responsible in respect of the employees of the contractor. The contractor shall not sub-let or assign this contract to any other party.

This Contract shall be valid up to 30th June 2008 and shall be considered for further renewal as per mutual consent of both the parties. 25. This Contract can be terminated by the contractor before the expiry of the contract by giving three months notice in writing to the company. under such circumstances, contractor has to necessarily provide the regular services till the company makes the alternate arrangements and relieves the contractor of its obligations under this contract. Notwithstanding anything contained in any clause of this contract, the company can terminate this contract by giving one month notice in writing to the contractor during the period of this contract without assigning any reason. Such termination will be communicated to the

contractor in writing and any work performed beyond the date of termination of the Contract shall not be considered and paid for. 27. Should there be any dispute or difference of opinion regarding this contract, both the parties will make all efforts to amicably settle such disputes. Efforts at reaching an amicable settlement will be deemed to have failed as soon as one of the contractual parties informs the other in writing about such a deadlock. If efforts at amicable settlement fail, all disputes arising out of this contract or its validity will be finally decided in accordance with the provisions of the Indian Arbitration and Conciliation Act 1996, as amended from time to time. The arbitration proceedings shall be headed by three arbitrators, one each to be appointed by the parties and the third arbitrator to be appointed by the two arbitrators already appointed. The decision of the arbitrators shall be binding upon the parties. The arbitration proceedings shall be held at Ahmedabad, Gujarat and conducted in English language. If during the transportation of the employees, any accident occurs to the car or any employee or any third party, the contractor shall be fully responsible and liable for such accident irrespective of any reason for the accident. The Contractor should ensure that the driver of the car is holding a valid driving license issued by the RTO which is renewed prior to expiry and the same are kept in physical possession of the driver while driving the car and it should be available for verification at any time by the representative of the company. The Contractor shall train and inform the employees to follow strictly the companys code of conduct. Any breach of the same would result in deduction of an amount of 10% from the monthly Bill.

The Contractor shall comply with all the rules, regulations and any other statutory requirement specified under The Motor Vehicles Act, 1988. The word Contractors employees appearing in the Contract means Driver and Conductor. In case of dispute, Ahmedabad will be considered as the place where cause of action shall be deemed to have arisen. in witness whereof the parties hereto have executed these presents on the 22nd day of June, 2007
