Corporate Identity

 NISL was incorporated in 1979 and was issued a Stock broking licence
in 1980 by the Nigerian Stock Exchange (“NSE”).
 NISL was formerly a subsidiary of the defunct Continental Merchant
Bank.
 NISL is registered by Nigeria’s Securities & Exchange Commission
(“SEC”) as a Broker/Dealer and Corporate Investment Adviser.
 NISL is a participating Institution of the NASD OTC Securities
Exchange and a Dealing Member (Specialist) of the FMDQ OTC
Securities Exchange.
 NISL is an NSE Alternative Securities Market (ASeM) Designated
Adviser.
 In 2008, the Ownership and Management of NISL changed; the
Company was recapitalised, reorganised and refocused.

transparent manner. Contract notes/transaction advices will be sent to clients and
custodians latest 1 hour after each trading session on The Floor of the NSE.

NISL Management Fees will be based on the Net Asset Value of
the portfolio and the Incentive Fees will be based on the
benchmark rate as follows:

a) TREASURY BILLS
Overview
This is a segment of the financial market in which financial instruments with high liquidity and very short
maturities are traded. The minimum investment is any amount more than ₦50m. However, NISL offers an
“investors’ pool” structure which allows investors to invest a minimum of ₦5m. The brokerage charge to
invest in this pool is 0.50% on the face value.

Treasury Bills investment are regarded as the safest and most secure short-term money market instrument
because investors are essentially lending money to the Federal Government of Nigeria.
I.Primary Market: This is the issuers market where the short-term debt obligations are sold directly by the
Government. The maximum issue tenor is one year. An auction is held twice a month where successful
bidders can invest directly. The marginal rate results of the last auction on 27-Oct-2021 are:

b) BONDS
Overview
These are debt securities where investors essentially lend money to an issuer (e.g. a corporation or
government) in exchange for coupon (interest) payments (mostly paid every 6 months) and future
repayment of the bond’s face value.
I.FGN Savings Bond: The FGN savings bond is a bond issued by the Debt Management Office (DMO) on
behalf of the Nigerian government. The bond is tailored and targeted at retail investors and includes a
guaranteed quarterly interest payment and repayment of the principal at maturity. The bonds have a tenors
of two (2) and three (3) years respectively and the range of investment fund required to buy into it is
₦5,000 to ₦50,000,000. Coupons for the November-2021 PMA are 7.376% (2-Yr Tenor) and 8.376% (3-
Yr Tenor).
N.B: Though there is ample availability for the purchase of the FGNSB at the primary market, the
secondary market for this bond is not liquid as most buyers tend to hold to maturity.

III. FGN Eurobonds: These are dollar denominated bonds primarily issued by the FGN at offshore
markets to foreign and local institutional investors to raise funds to meet specific needs such as
financing a budget deficit. Like the normal FGN Bonds, it is backed by the full faith of the FGN and
the Primary Market Auction is not done often. Also, the minimum amount for investing through the
secondary market ranges from $200,000 to $250,000 per tranche.
N.B: Just as the FGN Bonds, when the FGN Eurobonds are disposed off before the maturity date, the
value will depend on the prevailing interest rate in the market. As such, the principal is not guaranteed,
and loss of capital may occur. However, where the investor holds to maturity, the principal is
guaranteed.

IV. Corporate Eurobonds: A corporate bond is a bond issued by a corporation in order to raise financing
for a variety of reasons such as to ongoing operations, M&A, or to expand business. The term is
usually applied to longer-term debt instruments, with maturity of at least one year.
N.B: Currently in Nigeria there are Euro bonds and naira bonds issued by different firms, mostly banks.

 Here, NISL Ventures Ltd which is the “Alternative Asset Class” investment
sister-company of NISL, provides a vehicle whereby investors can pool
resources together through the NVL High Yield Fixed Income Product (NVL
HYFIP). This is a product aimed at delivering higher returns (compared to that
obtainable from Banks or Government Securities) to investors without a
corresponding increase in risk.
 Advantages:
 The product guarantees the principal and interest agreed on with the investor.
 The yield is much higher than what is obtainable in the Banks (without a
corresponding increase in risk).
 The duration can easily be structured to enable you plan for future cash outflows.
 Disadvantages:
 The risk is slightly higher than that associated with a traditional bank deposit.
However, this is compensated for by a considerable higher yield on the investment.
