SALES CONTRACT AND

DOCUMENTATION
Common Contract Types

Sales Contracts
A sales contract is an agreement between the parties regarding the
details of the transfer of ownership of an asset.
Purchase Order
Bill of Sale
Warranty
Lease Agreements
A lease is an agreement between two parties for the use of property.
Licensing Agreements
A licensing agreement, or licensing contract, is an agreement where
an owner of intellectual property such as a copyright or patent, grants
another party to use the intellectual property.
Employment Agreements
Employment agreements, or employment contracts are those that specify the terms of employment. This type of
agreement can be oral or written, although it is easier to enforce if the agreement is written.
An employment agreement may contain the following terms:
Term of employment
Compensation including wages, salary, or equity
Benefits
Non-Compete Clause
Non-Disclosure Agreements (NDAs)
A non-disclosure agreement, also called a confidentiality agreement, is often entered by an employer and employee.
The NDA prohibits the parties from disclosing certain information. Often, the protected information includes
intellectual property such as trade secrets
Government Contracts
In general, there are three types of federal government contracts used to acquire services or property from private
parties, non-profits, or state and local governments:
Procurement contracts
Federal Grants
Cooperative Agreements
Additionally, qualifying small businesses as well as women and minority owned businesses have special opportunities
to bid on government contracts. Find out more at the U.S. Small Business Administration.
Option Contract
An option contract is an agreement between parties that one party has the right to purchase certain rights at a future
date for a set amount of money. Option contracts may accompany a lease agreement (option to purchase property),
may function to keep an offer open for an extended period of time, or may accompany a contract giving the party the
option to renew it.
RULES
Booking Note

A Booking Note is a contract

for the reservation of space on
board a carrier’s vessel. The
Note provides the prospective
shipper with the carrier’s terms
and conditions of carriage.
What is a delivery note?
A delivery note is a document that lists all the goods included in a
delivery, and is often referred to as a dispatch note, or goods receipt.
The note is included in the shipment and lists the quantity of products
included in the delivery, it doesn’t list any values like price of goods.
What’s it’s purpose?
When a customer places an order with you, you should aim to send
the goods as soon as you can. If a delivery note is created to send with
the shipment, it can be used as a checklist and, as previously
mentioned, it can serve as proof of delivery.
If you choose to manually create a delivery note, you must ensure that
the goods contained in the shipment are included on the note – you
may also want to send the invoice with it too.
When sending a delivery note think about including your logo, and
make it appealing. Consider your colours and design elements wisely,
as you can strengthen your company’s branding and recognition
value.
