    Dear Sir:

    We would like to extend our sincere appreciation for your kind request from our office to provide
    you this retainer engagement service for your review and approval.

    Scope of Services:

    This is to inform you of the nature of the services we can provide:

    1. Reconcile checking account with the bank statement each month for proper account balance
    and to identify any errors. We will make correcting entries directly to and identify the source
    of each adjustment. We will tell you of these adjustments and make you aware of any
    corrections.

    2. Review, analyze and reconcile general ledger accounts for accuracy and confer with you
    regarding any items not fully understood.

    3. Prepare and record all necessary journal entries to reflect correct accounting records.

    4. Prepare and present Annual Financial Statements.

    5. Prepare Annual Income Tax Returns.

    6. Process and file monthly / quarterly withholding tax, Value Added Tax and Income tax.

    7. File Quarterly Alpha list of Payees (QAP) and Summary List of Sales and Purchases (SLSP).

    8. Prepare and file annual alpha list of employees (1604 C).

    and file
    annual information return of Creditable Income taxes withheld (1604E).

    10. Prepare and File inventory List

    11. Process annual renewal of books of accounts.

    12. Prepare and file General Information Sheet with SEC.

    13. Process renewal of business permit.

    Service Commitments, Limitations, and Expectations:


    1. We shall ensure all service objectives are met as detailed in this service proposal

    2. We commit to be professionally ethical all throughout our service engagements

    3. All information obtained throughout the service engagement shall be kept confidential and we
    thereby commit to abide to the rules and provisions of the Data Privacy Act Law

    4. Our services shall be limited to the scope of work mentioned in this service proposal. Any
    services requested that are beyond the scope of this proposal shall be provided with a separated
    service engagement proposal

    5. The effectiveness and efficiency of our service delivery shall be highly dependent on the level
    of cooperation of your staff and provision of information and documents necessary to complete
    the service engagement

    6. We shall be respectful to all your officers and staff and we expect the same from your team
    throughout the service delivery

    7. Should this proposal be acceptable and approve, such will be for a period of one year, subject
    to renewal. Should we not receive any feedback from you prior to or on the date of end of year,
    we shall assume that this service engagement shall continue and assumed to be renewed.

    Engagement Terms and Conditions:

    Based on the service mentioned above, our monthly retainer fees shall be PHP 20,000.00
    (Subject for negotiations depending on Authorized Capital). We shall send you monthly
    statement of account every 20th of the month and shall be due for collection every 25th of the
    month.

    Preparation for annual income tax return (ITR) with audited financial statement will have a
    separate fee of Twenty Thousand pesos (PHP 20,000) exclusive of VAT and withholding tax.

    Should you have any other concerns regarding our proposed fees and other related matters,
    please do not hesitate to let us know. If you do accept this proposal, please print and sign the
    acknowledged portion below to signify your acceptance and understanding of the provisions of
    this engagement proposal.
