Terms & Conditions – Bank of Baroda Virtual Relationship Manager (Chatbot)

Thank you for your interest in using our automated and interactive Virtual Relationship
Manager/Chatbot.

Any person using this feature, whether as a customer of the Bank or otherwise, is referred to as
“User(s)”.

Kindly read these terms and conditions carefully before you continue to use this feature. By accessing
and using this feature, you indicate that you accept the below terms and conditions. If you do not
agree to or cannot comply with these terms and conditions, do not use this feature and exit
immediately. Further, these terms and conditions are in addition to and not in derogation of other
terms and conditions relating to any account of the User (as defined below) and/or the respective
product or the service provided by Bank of Baroda to the User, each of which are deemed to be
forming part hereof and applicable hereto.

This interactive and automated BOT service is based on data available on the Bank of Baroda’s official
website and is intended only for providing general information. In addition, this feature is intended to
provide some limited services only to some Users who have valid login credentials for internet/ online
banking facilities.

The information and materials contained herein - and the terms, conditions, and descriptions that
appear - are subject to change. If the said content contains any mistakes, omissions, inaccuracies and
typographical errors, etc. then Bank of Baroda assumes no responsibility thereof. Those who would
like to have additional information may contact the Bank directly. The information and materials
contained herein, including text, graphics, links or other items - are provided "as is," and "as available".

Bank of Baroda does not warrant the totality and absolute accuracy, adequacy or completeness of this
information and materials and expressly disclaims any liability for errors or omissions in this
information and materials herein. The Bank does not accept any legal liability whatsoever based on
any information contained herein or communications made hereby.

The User agrees that use of this feature is conditional upon the required information otherwise being
available on the Bank’s website or the User’s relevant particulars being registered with Bank of Baroda.
Bank of Baroda shall be at liberty to reject the Users’ rights to access this feature without assigning
any reason.

The extent of services to be provided under this feature will be determined solely by Bank of Baroda
and it may vary for different categories of Users.

A User may fail to avail the services under this feature due to force majeure conditions, technical or
technological reasons/ lapses, legal restraints or any other reasons beyond the actual control of Bank
of Baroda, in each of such case, the Bank shall not be liable or accountable in any manner.

Bank of Baroda will solely rely on the information as provided by the User or may access and operate
the account details and related information as available (in its records) of the User, for effecting the
instructions for rendering the services through this feature, without any obligation to verify the
completeness or accuracy of such information or details. The User irrevocably and unconditionally
authorizes Bank of Baroda to rely on and access this information and the personal details registered
with it, while effecting the service requests through this feature.

The User expressly authorizes Bank of Baroda to disclose to the service provider or any other third
party and under applicable Laws, all their personal information or any other necessary information in
its possession, as may be required by them to provide the services offered or execute/accept the
requests under this feature to the User.

All access to this feature shall at all times be deemed to have been originated by the User and shall
always be at the sole risk of the User (such risks including, but not limited to, risks arising on account
of any technical or technological or network errors/ failures/ glitches, wrong or inaccurate
information, delayed or incomplete or erroneous transmission of online/ electronic instructions,
deficiencies by any third party service provider or vendor), with no liability of any nature of Bank of
Baroda, unless expressly stated otherwise. Without prejudice to the generality of the above, Bank
does not warrant or claim any responsibility for these services and shall not liable for any deficient
services in any manner whatsoever and for any loss, whatsoever that User may suffer. The risk in this
regard is entirely on the User.

The technology for enabling services offered by Bank of Baroda under this feature could be affected
by virus or other malicious, destructive or corrupting code, cyber-attacks, data theft, program or
macros. It may be possible that the said feature may require maintenance and during such time it may
not be possible to process the request/transaction of the Users. Use of this feature remains at all
times, subject to such risks and disruptions, and all liabilities in this regard are fully disclaimed by Bank
of Baroda.

Bank of Baroda may collect and use all personal information regarding the User as disclosed and all
technical information about the equipment and related software, hardware and peripherals and any
data and information stored in the equipment, whether internet-based or wireless, to improve our
products and to provide services to our Users and other persons. By using the feature, the User
consents to us to share this information to any of our agents, Service providers, affiliates or any other
third party as we may deem fit. You are also authorizing our affiliates, agents, service providers to
transmit, collect, retain, maintain, process and use all aforementioned data to maintain or improve
our service and product terms and standards, or for submission to statutory and regulatory
authorities.

The User agrees to indemnify, defend and hold harmless Bank of Baroda and its directors, employees,
affiliates, agents, co-branders or other partners, employees, vendors, consultants, contractors and
other applicable third parties (collectively "Indemnified Parties") from and against any and all claims,
demands, proceedings, losses, damages, costs, charges and expenses, liabilities, including reasonable
attorney's fees, and costs incurred by the Indemnified Parties arising out of, related to, or which may
arise from:

(i) any breach or non-compliance by User of any term of these terms or any other additional
terms & conditions and policies of Bank of Baroda;
(ii) any error/mistake/misconduct/negligence by the User or violation or alleged violation of
any law or rights of a third party in the course of use of this feature; or
(iii) Bank of Baroda taking or refusing, in good faith, to take action on any instruction given by
the User.

The privacy policy, governing law and jurisdiction, terms and conditions, grievances, limitation of
liabilities, as generally applicable to all online transactions or interactions of Bank of Baroda will be
an integral part and term of the User’s use of this feature.
