subsequently provided to Bidder(s), whether verbally or in documentary or any other form by or on behalf
of the Managing Director, Gujarat Urban Development Company Ltd. (hereinafter referred to as “GUDC”),
(the “Authority” or the “Client”) or any of their employees or advisors, is provided to Bidder(s) on the
terms and conditions set out in this RFP and such other terms and conditions subject to which such
information is provided.

The purpose of this RFP is to provide interested parties with information that may be useful to them in
making their financial offers pursuant to this RFP (the “Bid”). This RFP includes statements, which reflect
various assumptions and assessments arrived at by GUDC in relation to the Project. Such assumptions,
assessments and statements do not purport to contain all the information that each Bidder may require.
This RFP may not be appropriate for all persons, and it is not possible for GUDC, its employees or advisors
to consider the investment objectives, financial situation and particular needs of each party who reads or
uses this RFP. The assumptions, assessments, statements and information contained in this RFP, may not
be complete, accurate, adequate or correct. Each Bidder should, therefore, conduct its own investigations
and analysis and should check the accuracy, adequacy, correctness, reliability and completeness of the
assumptions, assessments, statements and information contained in this RFP and obtain independent
advice from appropriate sources.

Information provided in this RFP to the Bidder(s) is on a wide range of matters, some of which depends
upon interpretation of law. The information given is not an exhaustive account of statutory requirements
and should not be regarded as a complete or authoritative statement of law. GUDC accepts no
responsibility for the accuracy or otherwise for any interpretation or opinion on law expressed herein.
GUDC, its employees and advisors make no representation or warranty and shall have no liability to any
person, including any Applicant or Bidder under any law, statute, rules or regulations or tort, principles of
restitution or unjust enrichment or otherwise for any loss, damages, cost or expense which may arise from
or be incurred or suffered on account of anything contained in this RFP or otherwise, including the
accuracy, adequacy, correctness, completeness or reliability of the RFP and any assessment, assumption,
statement or information contained therein or deemed to form part of this RFP or arising in any way in this
Bid Stage.

GUDC also accepts no liability of any nature whether resulting from negligence or otherwise howsoever
caused arising from reliance of any Bidder upon the statements contained in this RFP.

The Bidder shall bear all its costs associated with or relating to the preparation and submission of its Bid
including but not limited to preparation, copying, postage, delivery fees, expenses associated with any
demonstrations or presentations which may be required by the GUDC or any other costs incurred in
connection with or relating to its Bid. All such costs and expenses will remain with the Bidder and GUDC
shall not be liable in any manner whatsoever for the same or for any other costs or other expenses
incurred by a Bidder in preparation or submission of the Bid, regardless of the conduct or outcome of the
bidding process.

1. Definitions
In this document, unless the context specifies otherwise, the following words and phrases shall mean and
include:
1. “Authority” or “Client” shall mean Gujarat Urban Development Company Ltd
2. “Agreement” or “Contract” means the document signed by the Gujarat Urban Development Company
Ltd. and the bidder that incorporates any final corrections or modifications to the Tender and is the
Legal document binding both the parties and conditions of the Contract.
3. “Applicant” refers to a single entity or the group of entities coming together to execute the assignment
4. “Bid” or “Proposal” means the complete bidding document submitted by the bidder to the Client and
shall include any corrections, addenda and modifications made therein.
5. “Bidder” shall mean an Applicant which is either a sole proprietorship firm/ a partnership firm/ a
limited liability partnership/ a company incorporated under the Companies Act 1956 or a body
corporate incorporated under the applicable laws of its origin eligible to participate in the Tender in the
stages of Pre-qualification, Bidding process and shall include the successful Bidder during the currency
of the Contract.
6. “Contract Period” shall mean entire term of the contract, i.e., 36 months and any extension thereof
7. “Corrupt Practice” means the offering, giving, receiving, or soliciting of anything of value, pressurizing
to influence the action of a public official in the process of Bidder selection and Contract execution.
8. “Government” shall mean the Government of Gujarat.
9. “Local Language” means the language declared by the concerned State Government as their official
language.
10. “Financial Proposal” means the total value of services and supplies as covered under this Tender and
agreed upon by the Tendered and the Bidder.
11. “Preferred Bidder” means the Bidder scoring the highest marks based on the total of technical and
financial score

2. Introduction
 Electricity consumption in municipal sector is increasing steadily over the last few years.
There is need to address energy issues on priority through integrated and comprehensive
approach and by adopting latest techniques and technologies with active participation of all
stakeholders.
 The objective of the proposed project is to improve the power factor of the municipalities of
the state of Gujarat and reduce unnecessary financial loss to the municipalities by system up
gradation and time management. Additionally, system up gradation and improvement in
power factor can reduce the emission of carbon dioxide into the atmosphere. So the
environment can also benefit.
 GUDC has already executed pilot project in 41 ULBs of Gujarat, focusing on improving power
factor and time management of pumping stations. GUDC, as the implementing agency, has
effectively eliminated penalties associated with poor power factor in ULBs and afterwards
ULB gained rebates for maintaining an optimal power factor in energy bills. Now, GUDC will
implement the project in remaining 118 ULBs of Gujarat. The list of ULB is as per Annexure -
10.
 For this purpose, it is necessary to first establish a base line of energy consumption, which
would act as a reference point.
 Thus, as a first step it would be necessary to undertake the energy audit of the ULBs. The
energy audit would involve studying configuration of the existing systems and its operations
and the consumption and cost of electricity. Based on the energy audit, appropriate projects
can be recommended that would lead to reduction in energy consumption. A cost benefit
analysis would also be presented, which would enable the ULBs to decide whether or not to
implement the recommended energy efficiency solution.
 As the name implies, an Energy Audit is the process of conducting a detailed energy audit to
quantify the savings potential, and translating the technical findings into financial terms. The
report would contain comprehensive information related to energy use by the municipality
and provide clarity on the baseline and assessment of savings once the project is
implemented.
 GUDC, intends to empanel consultant for Providing Consultancy Services such as preparation
of Detailed Energy Audit report, Thermal Image for electrical connections and
recommendation for energy savings and improvement of power factor in Municipalities of
Gujarat as a solution to improve financial condition of respective ULBs.

4. Instructions to the bidder


● Tender Documents may be downloaded from web site https://tender.nprocure.com/ (For view, down
load and on-line submission) and GUDC website https://www.gudcltd.com (For view & down load).
Tender fee & EMD shall be paid along with submission of Tender Documents. All the relevant
documents as per requirement of the Tender shall also be submitted online only and only EMD and
Tender Fees shall be submitted physically to this office on or before the due date and it should be
strictly submitted by Registered Post A.D. or Speed Post addressed to: Vice President (P), Gujarat
Urban Development Company Limited (GUDC), Block No.1, Ground Floor, Karmayogi Bhavan,
Behind Nirman Bhavan, Sector 10/A, Gandhinagar: 382010, Gujarat, India superscribing the
envelope with Tender No. and Description. Notwithstanding with any clause, no hard copy submission
except EMD & Tender Fee shall be allowed Otherwise the offer will not be considered and no any
further communication in the matter will be entertained. Please note that no other documents
including Price Bid to be submitted in physical form.
● No Tender shall be accepted in any case after due date and time of receipt of the Tender, irrespective
of delay due to postal services or any other reasons and GUDC does not assume any responsibility for
late receipt of the Tender.
● All interested parties are requested to understand this Tender in detail in order to comply with
GUDC’s requirements including but not limited to the fees and deadlines, selection criteria, selection
methodology, scope of work, and minimum technical standards. They shall strictly abide by all terms
prescribed in this Tender and provide accurate information to the best of their knowledge without
misleading the Company to be considered for participation in this Project.
● It is mandatory for all the Bidders to submit their Financial Bid (Price Bid) and Technical Bid (Techno-
commercial Bid) ONLINE only via e-tendering portal.
● Envelopes for EMD and tender fees shall be wrapped in an outer envelope addressed to: Vice
President (P); Gujarat Urban Development Company Limited (GUDC), Block No.1, Ground Floor,
Karmayogi Bhavan, Behind Nirman Bhavan, Sector 10/A, Gandhinagar: 382010. Complete postal
address of the Bidder shall appear on all the envelopes so that it is possible to find out whose Bid it is
without opening the envelope.
● Tender Fee and EMD shall be submitted through RPAD/ Speed Post only in two separate envelopes.

● Tender fee (non-refundable) will be accepted by DD drawn in favour of the “Gujarat Urban
Development Company Limited (GUDC Ltd.)” payable at Gandhinagar. Tenders submitted without

Tender Fee shall not be accepted. The envelope for Tender Fee should be super scribed as “Tender
Fee”. Cheques are not acceptable.
● It is mandatory for all Bidders to submit their Price Bid only through online (e-tendering) mode. Price
Bid submitted in physical form shall not be considered for its opening and shall lead to non-
responsiveness to the bidder. On-line submitted price bid will be considered for evaluation. Bidders to
note that Price Bid of only those Bidders shall be opened (On-line-tendering) who are found
technically qualified and are found reasonably responsive to GUDC’s Tender terms and conditions and
Scope of Work.
● Before online bid submission as per schedule, Bidder is required to recheck that the uploaded
scanned copies of documents by bidder are opened properly as during bid opening, any documents
not openable shall not be considered for evaluation.
● GUDC reserves the rights to accept/reject any or all Tenders without assigning any reasons thereof.
Bidders are requested to be in touch with above-mentioned website till opening of the Price Bid to
know the latest status.
● Bidders who wish to participate in this tender will have to procure or should have legally valid Digital
Certificate (Class III) as per Information Technology Act-2000, using which they can sign their
electronic bids. Bidders can procure the same from any of the license certifying Authority of India or
can contact (n)code solutions-a division of GNFC Limited, who are licensed Certifying Authority by
Government of India at address mentioned below.
● Bidder may go through the e-tendering instruction for online Bid participation through nprocure
platform for further details and guidance for participation in the tendering process through e-
tendering.
● The Applicant shall submit the Proposal in the form and manner specified in this RFP. The Proposal
shall be submitted as per the Annexure given in relevant sections herewith. Upon selection, the
Applicant shall be required to enter into a contract with the Client in the form specified in this RFP (the
“Contract”).
● Applicants shall familiarize themselves with local conditions and take them into account in preparing
their Proposals.
● The Client will provide, the inputs and possible support required to carry out the services. The
Applicants are hereby advised to undertake their own due diligence (to their complete satisfaction)
before placing reliance on data/ information furnished or to be provided later by the Client and/ or
any of his TPI agency.
● The Client requires that the Bidder provides professional, objective, and impartial advice and at all
times hold Client’s interests’ paramount, avoid conflicts with other assignments or its own interests,
and act without any consideration for future work. The Bidder shall not accept or engage in any
assignment that may place it in a position of not being able to carry out the assignment in the best
interests of the Client and the Project.
● It is the Client’s policy to require that the Bidder observe the highest standard of ethics during the
Selection Process and during the performance of services pursuant to the Contract. In pursuance of
this policy, the Client:

 will reject any Applicant or a Proposal for award if it determines that such Applicant (whether
recommended for award or not) has any “Conflict of Interest” as defined in the RFP and, without
prejudice to the generality of the foregoing, if the Bidder is engaged in “Prohibited Practices”

 will declare an Applicant ineligible, either indefinitely or for a stated period of time, to be awarded
a contract if it at any time it determines that the Applicant has any conflict of Interest as defined in
the RFP, without prejudice to the generality of the foregoing, if the Bidder is engaged in
“Prohibited Practices” defined in the RFP
 In the event any entity has been barred by the Central Government, any State Government, a
statutory authority or a public sector undertaking, as the case may be, from participating in any
project or bid, and the bar subsists during last three financial years and as on bid due date, it
would not be eligible to submit a Proposal

5. Clarification
● Bidder may seek clarification on this RFP document. Request for clarification must be sent by standard
electronic means to:

● The Client shall conduct a pre-bid meeting on the date as specified in the Data sheet at the address
mentioned above.
● GUDC reserves the right not to respond to any queries or provide any clarifications, in its sole
discretion, and nothing in this Clause shall be construed as obliging GUDC to respond to any question
or to provide any clarification.
● At any time before the last date for submission of Proposals (‘Proposal Due Date” or “PDD”), the client
may, for any reason, whether at its own initiative or in response to a clarification requested by an
applicant, modify the RFP documents by issuing an addendum/amendment. Any addendum/
amendment issued hereunder will be posted on the www.tender.nrpcure.com and the Applicants will
not be given any individual notice. The Client may at its discretion extend the PDD.

6. Scope of services
● The Scope of Services expected from this assignment is described in this RFP and should be read in
conjunction with the Special Conditions of the Contract.

7. Liability: as per GCC and SCC

8. Payment Terms
The empaneled consultants shall receive payment in accordance with the provisions of the Standard Form
of Contract as specified in this RFP. All payments to the empaneled consultants shall be made in Indian
Rupees (INR) in accordance with the provisions of this RFP.

9. Performance Security
● Performance Security equivalent to 5% of the approved fees shall be furnished, on issue of Letter of
Award (LOA) / Letter of Intent (LOI), before signing of the contract agreement, in form of a Bank
Guarantee/FDR substantially in the form specified in the RFP/ contract. Failure to do so, will lead the
bid rejected, forfeiture of EMD and banning to bid in GUDC for one year.
● Payment will only be paid to the empaneled consultants once the PBG is received and accepted by the
Client.
● For the empaneled consultants the Performance Security shall be retained by the Client until the
completion of empanelment. It will be released 180 (one hundred and eighty) days after the
completion of the assignment.

10. Ownership of Documents


All the study outputs including primary data shall be compiled, classified and submitted by the bidder to
the Client in hard and soft copies as per the Scope of work. The study outputs shall remain the property of
the Client and shall not be used for any purpose other than that intended under these terms of reference
without the permission of the Client.

11. Tender Fee/EMD


• Tender fee
The Bid shall be accompanied by a tender fee of INR 7,080 in the form of a demand draft from any
nationalized bank or as per latest FD GR. Proposals unaccompanied with the aforesaid RFP Processing fee
shall be rejected by the client. Tender fee is non-refundable
• EMD/ Bid Security
The Bid shall be accompanied by EMD of INR 3,00,000 in the form of a Bank Guarantee/FDR/DD from any
nationalized bank or as per latest FD GR. Proposals unaccompanied with the aforesaid EMD shall be
rejected by the client.

12. Test of Responsiveness


Prior to evaluation of proposal, GUDC shall determine whether each proposal is responsive to the
requirements of the RFP as below:
● Proposal must be submitted online only through https://tender.nprocure.com/ using the digital
signature of authorized representative of the Bidder
● Tender fee and EMD should be submitted in hard copy on or before the due date of submission as per
the Data Sheet
● Financial proposal and Technical proposal should be submitted online on or before the due date of
submission as per the Data Sheet
● Technical Proposal should have the following documents in addition to the requirements of the
“Minimum Eligibility Criteria” and “Technical Qualification Criteria” in the formats of this RFP
o Power of Attorney/ Board Resolution
● Financial proposal will be submitted in online portal only.

13. Conflict of interest: to be read in conjunction with GCC
The bidder shall not have a conflict of interest (the “Conflict of Interest”) that affects the bidding Process.
Any bidder found to have a Conflict of Interest shall be disqualified. The bidder shall be deemed to have a
Conflict of Interest affecting the bidding Process, if:
● the consulting firm or its Member or Associate (or any constituent thereof) and any other consulting
firm or its Member or any Associate thereof (or any constituent thereof) have common controlling
shareholders or other ownership interest; provided that this disqualification shall not apply in cases
where the direct or indirect shareholding of consulting firm or its Member or an Associate thereof (or
any shareholder thereof having a shareholding of more than 5% (five per cent) of the paid up and
subscribed share capital of such consulting firm or its Member or Associate, as the case may be), in the
other consulting firm or its Member or Associate is less than 5% (five per cent) of the subscribed and
paid up equity share capital thereof; provided further that this disqualification shall not apply to any
ownership by a bank, insurance company, pension fund or a public financial institution referred to in
section 4A of the Companies Act, 1956. For the purposes of this Clause, indirect shareholding held
through one or more intermediate persons shall be computed as follows: (aa) where any intermediary
is controlled by a person through management control or otherwise, the entire shareholding held by
such controlled intermediary in any other person (the “Subject Person”) shall be taken into account for
computing the shareholding of such controlling person in the Subject Person; and (bb) subject always
to sub-clause (aa) above, where a person does not exercise control over an intermediary, which has
shareholding in the Subject Person, the computation of indirect shareholding of such person in the
Subject Person shall be undertaken on a proportionate basis; provided, however, that no such
shareholding shall be reckoned under this sub-clause (bb) if the shareholding of such person in the
intermediary is less than 26% (twenty six per cent) of the subscribed and paid up equity shareholding
of such intermediary; or
● a constituent of such consulting firm is also a constituent of another consulting firm or
● such consulting firm, or any Associate thereof receives or has received any direct or indirect subsidy,
grant, concessional loan or subordinated debt from any other consulting firm or any Associate thereof
or has provided any such subsidy, grant, concessional loan or subordinated debt to any other Bidder,
its Member or any Associate thereof; or
● such consulting firm has the same legal representative for purposes of this bid as any other consulting
firm; or
● such consulting firm or any Associate thereof has a relationship with another consulting firm or any
Associate thereof, directly or through common third party/ parties, that puts either or both of them in
a position to have access to each other’s information about, or to influence the bid of either or each
other.

14. Eligibility of Applicants


● The Applicant for participation in the Selection Process, will be a single entity which will execute the
Assignment.
● A Bidder shall be a registered in India under Company’s Act 1956 or 2013 as Limited or Private Limited,
Trust and Societies, proprietary and partnership firm.
● An Applicant shall not have a conflict of interest that may affect the Selection Process or the
Consultancy (the “Conflict of Interest”). Any Applicant found to have a Conflict of Interest shall be

disqualified. In the event of disqualification, the Client will forfeit and appropriate the Bid Security as
mutually agreed genuine pre-estimated compensation and damages payable to the Client for, inter
alia, the time, cost and effort of the Client including consideration of such Applicant’s Proposal,
without prejudice to any other right or remedy that may be available to the Client hereunder or
otherwise
● Any entity which has been barred by the Central Government, any State Government, a statutory
authority or a public sector undertaking, as the case may be, from participating in any project, and the
bar subsists as on the date of the Proposal, would not be eligible to submit a Proposal either by itself
or through its Associate.

17. Preparation of Proposals


 Technical Proposal
● Bidders are requested to submit their proposal in English Language only. Any document such as work
order, agreement if available in local vernacular should be substantiated by its English Translation duly
attested by the Authorized Signatory. For the purpose of evaluation, the English version will be
referred to
● In preparing their proposal, Bidder are expected to thoroughly examine the RFP Document, Material
deficiencies in providing the information requested may result in rejection of a proposal.
● Applicants should note the Proposal Due Date, as specified in Data Sheet, for submission of Proposals.
Except as specifically provided in this RFP, no supplementary material will be entertained by the Client,
and that evaluation will be carried out only on the basis of Documents received by the closing time of
Proposal Due Date as specified in Data Sheet. Applicants will ordinarily not be asked to provide
additional material information or documents subsequent to the date of submission, and unsolicited
material if submitted will be summarily rejected. For the avoidance of doubt, the Client reserves the
right to seek clarifications in case the proposal is non- responsive on any aspects.
● Experience of sub-consultant will not be considered while evaluating the bid.

 Financial Proposal
● While preparing the Financial Proposal, Bidder are expected to take into account the various
requirements and conditions stipulated in this RFP document. The Financial Proposal should be a lump
sum proposal inclusive of all the costs including all taxes excluding GST associated with the
assignment. While submitting the Financial Proposal, the Bidder shall ensure the following:
● All the costs associated with the assignment shall be included in the Financial Proposal. These shall
normally cover remuneration for all the personnel (in the field, office, etc.), accommodation, air fare,
lodging, boarding, transportation, equipment, printing of documents, etc. The total amount indicated
in the Financial Proposal shall be without any condition attached or subject to any assumption and
shall be final and binding. In case any assumption or condition is indicated in the Financial Proposal, it
shall be considered non-responsive and liable to be rejected.
● The Financial Proposal shall take into account all the expenses and tax liabilities and cost of insurance
specified in the draft contract, levies and other impositions applicable under the prevailing law on the
Consultant, sub-Consultant and their staff. For the avoidance of doubt, it is clarified that all taxes,
excluding GST, shall be deemed to be included in the cost shown under different items of Financial
Proposal. The Bidder shall be paid only GST over and above the cost of Financial Proposal. Further, all
payments shall be subjected to deduction of taxes at source as per Applicable Laws.
● All the testing charges including various laboratory testing during detailed investigation with prior
approval of client shall be borne by consultant initially which shall be reimbursable as per actual on
submission of documentary evidence.
● Bidder shall express the price of their services (including break down of their costs) in Indian Rupees,
online only in commercial bid stage.
● The Bidder may be subjected to local taxes (such as service tax, social charges or income taxes on non-
resident foreign personnel, duties, fees, levies etc.) on amounts payable by the Client under the
Contract. Bidder must do their due diligence about the tax implications and Client will not be liable for
any incident.
● The Proposals must remain valid for a period as specified in the NIT. During this period, the Bidder is
expected to keep available the professional staff proposed for the assignment. The Client will make its
best effort to complete contract signing within this period. If the Client wishes to extend the validity
period of the proposals, it may ask the Bidder to extend the validity of their proposals for a stated
period. Bidder, who do not agree, have the right not to extend the validity of their proposals.

18. Submission, Receipt and Opening of Proposals
 Bidding process
● It is mandatory for all applicants to have Class-III digital signature certificate (with both Signing and
Encryption Certificate) from any of the licensed certifying agency (“CAs”) {Applicants can see the list of
licensed CAs from the link for the link www.cca.gov.in} to participate in e-tendering.
● To participate in the submission of Bids against the RFP, it is mandatory for the Bidders to get
themselves registered with https://tender.nprocure.com and to have user ID & password which has to
be obtained by submitting an annual registration charge.
● If the Applicant has already registered with the www.tender.nprocure.com and validity of registration
has not expired, then such Applicant does not require fresh registration
 Format and Signing of bid
● The Bidder shall provide all the information sought under this RFP. GUDC will evaluate only those Bids
those are received in the required formats and complete in all respects
 Opening of bids
● This will be two stage process. Online Technical proposal would be opened on the date specified in the
Data Sheet. Further the client will open the financial proposal of the Applicants who are qualified in
technical evaluation (those fulfilling the eligibility criteria) on the date advised to all qualified bidders.
● The Financial Proposals will be opened publicly in the presence of Applicants’ representatives who
choose to attend. The name of the Applicants, their technical scores and the proposed prices will be
read aloud and recorded when the Financial Proposals are opened.
● Evaluation Committee will determine whether the Financial Proposals are complete in all respects,
unqualified and unconditional, and submitted in accordance with the terms hereof.
● The cost indicated in the Financial Proposal shall be deemed as final and reflecting the total cost of
services and should be stated in INR only.
● No proposal shall be accepted after the closing time for submission of Proposals

19. Proposal Evaluation


● The Bids of all Bidders shall be evaluated based on the Eligibility criteria to arrive at a Technical Score
for Each Bidder. Only bids satisfying Preliminary Screening Criteria and a Technical Score greater than
80 marks and minimum of 70% marks in Technical presentation shall be qualified for the next stage i.e.
opening of the Financial Bid. The bidder attaining a Technical Score lower than 80 marks shall be
disqualified and their respective Financial Proposal shall not be opened.
● The Financial Bids of only those Bidders that have qualified as per the criteria mentioned above shall
be opened.
● The consultant @ lowest position of Annexure – 5 (Price – Bid) shall be invited for negotiation and the
consultant matching the lowest negotiated price of Annexure – 5 shall be empaneled for 3 (Three)
years.
● GUDC can empanel more than one consultant for a period of three years. However, the decision for
awarding the work among the empaneled consultant shall be of GUDC’s.

20. Empanelment of Successful Bidder
Bidders passing preliminary screening criteria and 80 marks or more technical score, minimum of 70% marks
in Technical presentation and matching the lowest negotiated price of Annexure – 5 (Financial Bid) shall be
eligible for empanelment. GUDC will allot the work to empanelled consultant as and when required.

21. Confidentiality
Information relating to the examination, clarification, evaluation and recommendation for the Bidders shall
not be disclosed to any person who is not officially concerned with the process or is not a retained
professional advisor advising the Authority in relation to, or matters arising out of, or concerning the Bidding
Process. The Authority will treat all information, submitted as part of the Bid, in confidence and will require
all those who have access to such material to treat the same in confidence. The Authority may not divulge
any such information unless it is directed to do so by any statutory entity that has the power under law to
require its disclosure or is to enforce or assert any right or privilege of the statutory entity and/ or the
Authority.

22. Proprietary Data


● All documents and other information provided by GUDC or submitted by an Applicant to GUDC shall
remain or become the property of the GUDC. Applicants and the Consultant, as the case may be, are
to treat all information as strictly confidential.
● GUDC will not return any Proposal or any information related thereto.
● All information collected, analyzed, processed or in whatever manner provided by the Bidder to the
GUDC in relation to the Consultancy shall be the property of the GUDC.

23. Terms of Reference

 Stage – I: Preparation of Energy Audit report


a. Data Collection
 Consultant shall visit ULB for identification of the locations (Pumping station, WTP, STP, Bore etc.) for
Energy Audit & Performance Evaluation of Operating System in Municipalities of Gujarat state.
 Consultant shall be collecting details of water pump/Electrical Motors (Number, Type, make, age,
etc.).
 Consultant shall be collecting the details of MCC/PCC panels, Incomer Panel board, Safety devices,
existing APFC panel, Transformer, Earthing system, Lightning system etc.
 Consultant shall be collecting operation hours of the individual pumps on a daily basis for the past 12
months and operational details including flow, head, power and power parameters
 Consultant shall be collecting Electricity bills of the individual locations of municipalities for the past
12 months.
 Consultant shall verify the data collected for each ULB duly certified by ULB and GUDC authorities.
 Consultant shall seek inputs from ULB, RCM & GUDC during the entire course of this work whenever
required.
 Consultant shall prepare MOM of activities done at respective ULB and brief about project to concern
GUDC/ULB engineer.

b. Data Analysis and measurement


 Consultant shall analyze and measure the data of Pumps/Motors with all parameter such as Head &
Flow, Power consumption in kWh, Active Power, Apparent Power, Reactive Power, frequency, speed,
current, Voltage, overall efficiency, Power factor and complete details of MCC/PCC panels, Incomer
Panel board, Safety devices, APFC panel, Capacitor bank, Transformer etc.
 Consultant shall analyze the details of Power supply pattern and power consumption pattern.
 Consultant shall identify major causes of low operating efficiency and recommended
improvements / better operating practices.
 Consultant shall carry out physical inspection of Electrical operating system including Electrical
panels, Switchgears, Thermograph of Electrical Panels and possibility will be seen for system up
gradation.
 Consultant shall analyze the design parameters and actual operational parameters with a view to
identify problems and distribution network with a view to identify system resistance and whether
pipes and cables are the correct size.
 Consultant shall Pump study, Motor study, Parallel pump study, Demand profile, Transformer, Power
Factor and Capacitor (APFC Panel), Electrical Distribution Network along with all panels, Illumination
study, Harmonic Study, Auxiliary load, energy consumption and penalty study of individual locations
of Municipalities of Gujarat under energy audit.
 Consultant shall recommend on the proposed Energy Efficient pump set with energy saving
potential for each pump set, latest operating system of pumping station, power factor

improvement plan, time management, existing electric system upgradation, necessary cables,
Operation Optimization through Automation and in all other possible areas with energy saving and
cost-benefit.
 Consultant shall electrical bill Optimization (12 Month) including electricity bill analysis related to
demand management, power factor rebate, time management etc.
 Consultant shall carried out Electrical Safety Audit as per necessary stranded.
 Consultant to provide Financial analysis of the energy saving and proposed systems of up gradation
for energy efficiency.
 Consultant shall analyze and give recommendation for any other conventional appliances
/technologies which can be replaced or retrofitted in the premises of municipalities for improving
the overall energy savings.
 Consultant shall analyze, measure and recommendation for Earthing and Lightning system in the
premises.
 Consultant shall analyze the Maintenance expenses of the individual pumping stations for the past
24 months and give the recommendation for minimize the maintenance expenses of the operating
system.
 Consultant Provide a detailed estimate of the costs associated with the implementation of each of
the proposed energy conservation measure (ECM).
 Consultant Carryout a techno-economic analysis and financial modeling, including best- and worst
case scenarios for ROI on the project.
 The energy efficiency measures (EEMs) should be done for entire pumping systems within pump
house / pumping station as related to energy consumption, capacity utilization of machineries,
leakages and pressure losses in valves piping’s within pumping station should be examined to assess
the effectiveness and optimum utilization by avoiding losses.
 Other measurements as needed to characterize the system.
Deliverable 1: Submission of Detailed Energy Audit Report for proposed savings and System up
gradation.

Stage – II: Preparation Of Detailed Project Report For Upgradation Of Operating System &
Energy Saving With Option.
 Consultant shall prepare detailed project report for upgradtion of operating system & energy
saving by studying various options available for Technology Selection and suggest the best
technology available for correcting power factor as per electrical authorities and adding safety
features.
 Consultant shall prepare permission flowchart and the timeline for operating system upgradation
at sites.
 Financial analysis of the energy saving and proposed systems of up gradation.
a. Consultant shall develop project specification and on the basis of Energy Audit Report.
b. Provide a detailed estimate of the costs associated with the implementation of each of the
proposed energy conservation measure (ECM).
c. Carryout a techno-economic analysis and financial modeling, including best- and worst case
scenarios for ROI on the project.

Stage – III: Bid Process Management (Assistance in Procurement)


a. Consultant shall develop Bid documents for Supply, Installation, Testing and Commissioning
work of Automatic Power factor Correction Panels & Up-gradation of Operating System for
Pumping Stations of Municipalities including Electrical, Mechanical & Civil work & Also Supply &
Installation of Fire & Electrical Safety Equipment, Energy Monitoring System-(EMS) at
Municipalities of Gujarat which shall include the techno-commercial scope of work, detailed
specifications request for proposal (RFP), Float the Tender and any other documents necessary
to select the Successful Contractor and implement to execution of proposed recommendation in
the Project.
b. Consultant shall recommend the critical parameters for evaluation of the Bids to GUDC including
but not limited to technical and financial qualification criteria and Bid evaluation parameters.
Upon finalization of these parameters by GUDC, Consultant shall include the same in the Bid
documents.
c. Consultant shall assist process the Bids, for selection of the successful bidder through
appropriately scrutinizing and evaluating the Bids and submit Consultant’s recommendation to
GUDC for Successful Bidder.
Deliverable: Submission of draft Tender paper.

contract to Successful Bidder

 Stage – IV: Assistance, Proof Checking & Certification of all GTP, QAP, Drawings & Designs during

a. Consultant shall submit conceptual plan detail in DPR & provide assistance proof checking &
approval of design & drawings & diagrams submitted by successful bidder for each location
b. Consultant shall review and approve all GTP, QAP, Specification, Planning, Drawings/Designs and
ensure that the same are as per Technical specification of tender and recommend the same for
approval through their certification and consultant shall also ask for appropriate compliances if
any.

 Stage – V: During SITC service


• The consultant shall work as TPI during SITC service.
• The consultant shall discuss with contractor about methodology and work
plan.
• Consultant shall ensure that materials used is as per relevant IS
standards/Bid specification/Design/Drawings. Get the work done as per
approved QAP / design & Drawings. Check the quality of work, factory
inspection, site testing etc.
• Consultant will visit the facilities of the suppliers of the Contractor(s) in order

to ensure quality and timely supply of material for the Project during each
milestone and wherever necessary.
• Consultant shall carryout inspection of all equipment’s at the manufacturer’s
work as per applicable standard with all valid Test Certificates and clearly
certify for compliance of all the Technical Specifications of Work Order &
recommend for acceptance of the make / Brand for giving dispatch
clearance by GUDC. The witnessing factory inspection shall be in consultant’s
scope which includes travel, stay and misc. expenses.
• Consultant shall visit the site, examine the works executed / ongoing / to be
executed as per tender specifications and as per best engineering practice,
survey data and opine and submit report to GUDC with suggestion and
comment for the visit.
• Consultant shall attend project review meeting and submit the progress
report.
• Consultant shall opine regarding excess work, extra items, time limit and
other contractual matter to the Engineer in charge.
• TPI agency shall monitor a training program provided by Contractor to
Operator for easy operation and safety purpose
• Record measurements in measurement books at various stages of works till
successful completion of defect liability period, carry out check
measurement, Certification of bills and certify payments based on recorded
measurements jointly with the Departmental Officers during each stage.

Various recommendation on cost, time limit extension etc., Factory Inspection and Bill

profile of candidate and one to one interview by GUDC.

25. Validity of Quoted Rate


Validity of quoted rate discovered shall be 36 months from the date of issue of Letter of
Empanelment to successful Bidder.

If negotiations are held during the period of validity of the Proposal, we undertake to negotiate in
accordance with the RFP. Our Proposal is binding upon us, subject only to the modifications resulting from
technical discussions in accordance with the RFP.
We understand you are not bound to accept any Proposal you receive. Further:
1. We acknowledge that GUDC will be relying on the information provided in the Proposal and the
documents accompanying the Proposal for empanelment of consultant, and we certify that all information
provided in the Proposal and in the supporting documents is true and correct, nothing has been omitted
which renders such information misleading; and all documents accompanying such Proposal are true
copies of their respective originals.
2. This statement is made for the express purpose of empanelment of consultant for the aforesaid Project.
3. We shall make available to GUDC any additional information it may deem necessary or require for
supplementing or authenticating the Proposal.
4. We acknowledge the right of GUDC to reject our application without assigning any reason or otherwise
and hereby waive our right to challenge the same on any account whatsoever.
5. We certify that in the last 3 (three) years, we have neither failed to perform on any contract, as
evidenced by imposition of a penalty by an arbitral or judicial authority or a judicial pronouncement or
arbitration award against the Applicant, nor been expelled from any project or contract by any public
authority nor have had any contract terminated by any public authority for breach on our part.
6. We declare that:
a) We have examined and have no reservations to the RFP, including any Addendum issued by the
Authority;
b) We do not have any conflict of interest in accordance with the terms of the RFP;
c) We have not directly or indirectly or through an agent engaged or indulged in any corrupt practice,
fraudulent practice, coercive practice, undesirable practice or restrictive practice, as defined in the RFP
document, in respect of any tender or request for proposal issued by or any agreement entered into with
GUDC or any other public sector enterprise or any government, Central or State; and
d) We hereby certify that we have taken steps to ensure that no person acting for us or on our behalf will

engage in any corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive
practice.
7. We understand that you may cancel the selection process at any time and that you are neither bound to
accept any Proposal that you may receive nor for empanelment of consultant, without incurring any
liability to the Applicants
8. We certify that in regard to matters other than security and integrity of the country, we or any of our
affiliates have not been convicted by a court of law or indicted or adverse orders passed by a regulatory
authority which would cast a doubt on our ability to undertake the Consultancy for the Project or which
relates to a grave offence that outrages the moral sense of the community.
9. We further certify that in regard to matters relating to security and integrity of the country, we have
not been charge-sheeted by any agency of the Government or convicted by a court of law for any offence
committed by us or by any of our affiliates. We further certify that we have not been barred by the central
government, any state government, a statutory body or any public sector undertaking, as the case may be,
from participating in any project or bid, and that any such bar, if any, does not subsist as on the date of
this RFP
10. We further certify that no investigation by a regulatory authority is pending either against us or against
our affiliates or against our MD or any of our Directors/ Managers/ employees.
11. We hereby irrevocably waive any right or remedy which we may have at any stage at law or
howsoever otherwise arising to challenge or question any decision taken by GUDC in connection with the
empanelment of consultant or in connection with the selection process itself in respect of the
abovementioned Project.
12. We agree and understand that the proposal is subject to the provisions of the RFP document. In no
case, shall we have any claim or right of whatsoever nature if the consultancy for the Project is not
awarded to us or our proposal is not opened or rejected.
13. In the event of our being selected as empaneled consultant, we agree to enter into a Contract in
accordance with the contract prescribed in the RFP. We agree not to seek any changes in the aforesaid
form and agree to abide by the same.
14. We have studied RFP and all other documents carefully. We understand that except to the extent as
expressly set forth in the Contract, we shall have no claim, right or title arising out of any documents or
information provided to us by GUDC or in respect of any matter arising out of or concerning or relating to
the selection process including the award of consultancy.
15. This Technical Proposal read with the Financial Proposal shall be binding on us.

 The Earnest Money submitted in the form of Deposit-At-call receipt shall need minimum validity of six
months from the last date of online submission of tender. Tender not supported with tender fee, Earnest
Money &documents and not submitted in electronic format (by scanning) while uploading the bid shall be
rejected as NON Responsive. If the tenderer modifies or withdraws his tender, the Earnest Money (in case of
EMD exemption certificate, proportionate amount equivalent to EMD of a particular tender) shall be
