RO PLANT Maintenance Contract

This agreement, is for the annual Maintenance of 500 LPH RO plant, BETWEEN ASC
CENTRE (NORTH) – 1 - ATC – BANGALORE (here after referred to as “Client”) and
ASTRO AQUA (hereafter referred to as “Contractor”) is made and entered into on the 2nd of
January 2023 for a period of 12 months.
The RO Plants stated in this agreement is found at the following addresses of ASC
Centre (North) Bangalore:

Bangalore – 560007

The Client would like to have the above-mentioned RO Plant maintained on a regular basis and
repaired, when necessary, in a comprehensive contract. The Client and Contractor hereby
agree to the following terms:

1. The Client shall, during regular business hours Monday to Saturday, allow the Contractor
access to the RO Plant and the surrounding grounds mutually agreed upon times.

2. Client will pay contractor annual maintenance charges of ₹82,600/- including GST as
per the quotation ref: (AAQ102022 - 0045) after submission of invoice, before
31/Jan/2023, for an uninterrupted regular maintenance and services

3. Client shall not pay any maintenance or repair charges required for normal operation of
the RO plant, the contractor shall maintain the RO plant in proper working condition
and shall replace all the parts required for the normal operation of the RO plant

4. The consumables and spare parts covered in the contract are as follows. Anything
between the inlet and the outlet of the RO plant shall be covered under this contract,
membranes, anti-scaling chemical used for dosing, dosing pump, media, carbon,20-inch
sediment, 20-inch wound jumbo filter, multi-port valves, high pressure pump, feed
pump & water testing. Anything beyond the mentioned scope of work, a quotation shall
be raised for additional parts or spares required that might be considered reasonable to
achieve normal operation

5. The problem with power source of the plant, consumable or spares before the inlet and
after the out let that can affect the normal operation of the RO plant shall not be
covered under this contract.

6. Natural occurrence of fluctuation of electrical line and rat bites will not be covered in
the contract, hence the same will be charged accordingly.

7. Anything mentioned in the scope of work shall be performed by the contractor after
receiving the client’s consent through written or electronic modes. However, work that
is to be estimated or quoted must receive authorization or purchase order by the client
before the additional maintenance is provided by the contractor

8. Regular maintenance will include the following: visit every 30 days, testing of water,
replacing the consumables, spare parts and filters as and when required, close
inspection of the overall condition of the RO Plant and additional inspection if there is a
breakdown call, the call shall be physically attended to within 48 hours.

9. Contractor will initiate regular maintenance as in this contract from the date:
31/Jan/2023 Thereafter, regular RO Plant maintenance will be performed on a mutually
agreed upon schedule, subject to receipt of contract amount.
10. Either party may terminate this contract at any time by supplying a written notice of
termination on a specified date to the other party, with at least two-month notice prior
to the stated date of termination and return of balance amount, which have been paid
at the beginning of this AMC contract.

11. Refund amount will be calculated on balance period of the agreed tenure of 12 months.

Payment Terms:

1. The contract amount being ₹82,600 (₹70,000 plus GST of ₹12,600) inclusive of taxes to
be settled before 31/Jan/2023.
