Freelance Designer Agreement

This Freelance Designer Agreement (the “Agreement”) is made and entered into as of 9 September
2024, by and between:

SevenSloth, having its principal place of business at [New Delhi] (hereinafter referred to as the
"Client"), and

[Vedansh Danot], residing at [Dungarpur, Rajasthan] (hereinafter referred to as the "Designer").

1. Services

The Designer agrees to provide the following services (the “Services”): [Detailed description of
services to be provided, e.g., graphic design, branding, UI/UX design, etc.].

2. Scope of Work

The Designer agrees to complete the following tasks: [List of specific tasks, deliverables, and
milestones with deadlines, if applicable].

3. Compensation

The Client agrees to pay the Designer a total fee of [Amount Agreed before commencement of
project] for the Services. Payment terms are as follows:

● [50%] as an initial deposit upon signing of this Agreement.

● Rest upon final delivery of all deliverables.

Invoices should be submitted by the Designer to [Himesh Kumar] and payments will be made within
7 days of receipt of the invoice.

4. Timeline

The Designer agrees to complete the Services by 7-10 days. Any delays must be communicated
promptly to the Client.

5. Revisions

The Client is entitled to 7 revisions of the deliverables.

6. Ownership and Rights

Upon full payment, the Client will own all rights, titles, and interests in and to the final deliverables.
The Designer agrees that the work produced under this agreement shall not be used in any form for
their portfolio, self-promotion, or any other purpose outside the scope of the project specified in this
agreement.

7. Confidentiality

The Designer agrees to keep all information received from the Client confidential and will not
disclose any such information to any third party without the Client’s prior written consent.

8. Termination

Either party may terminate this Agreement with [30] days' written notice. In the event of
termination, the Client will pay the Designer for all work completed up to the date of termination.
9. Independent Contractor

The Designer will work as an independent contractor and not as an employee of the Client. The
Designer will not be entitled to any employee benefits or entitlements.

10. Governing Law

This Agreement will be governed by and construed in accordance with the laws of [Your Jurisdiction].

11. Dispute Resolution

Any disputes arising from this Agreement will be resolved through [Method of Dispute Resolution,
e.g., mediation, arbitration].

12. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior
agreements and understandings, whether written or oral.

13. Refund Terms

In the event that the Client is dissatisfied with the final deliverables and such dissatisfaction is not
resolved through the revision process as outlined in Section 5, the Client may request a refund. The
refund terms are as follows:

● Assessment: Upon receiving the refund request, the Designer will assess the issues and
provide a resolution plan. The Client and Designer will attempt to resolve the dissatisfaction
through additional revisions or adjustments as per the revision terms outlined in Section 5.

● Partial Refund: If, after following the resolution plan, the Client remains unsatisfied and the
issues are deemed valid, the Designer will issue a partial refund of [50%] of the total fee,
excluding the non-refundable deposit.

● Final Decision: The Designer's decision regarding the refund will be final and binding. No
additional refunds will be issued beyond the agreed partial refund.

This clause does not apply if the Client fails to provide timely feedback or if the dissatisfaction is due
to changes requested by the Client that deviate from the original scope of work.

14. Copyright Infringement and Refund Policy


The Designer warrants that all designs provided, including logos, are original and do not
infringe upon the copyrights or intellectual property rights of any third party. If a third
party claims that the design infringes upon their rights, the Designer agrees to indemnify
the Client for any resulting claims, damages, or losses. If the Client discovers and
provides written notice of such an infringement within thirty (30) days, the Designer will
issue a full refund of any payments made for the infringing design and consider the
agreement terminated with no further obligations regarding the infringing design.
