AGREEMENT FOR SALE

THIS AGREEMENT made at Dombivli on the 26th day of March, 2024.

BETWEEN

SMT. BHAGWATI PRAKASH KHANT ....TRANSFEROR/SELLER

AND

1) MRS. LILAWANTI DEVCHAND KARANI


2) MR. DHARMIK DEVCHAND KARANI
3) MR. CHIRAG DEVCHAND KARANI

SMT. BHAGAVATI PRAKASH KHANT , aged -66 years, Occupation – H.W.,


PAN ACDPK7977P. Indian Inhabitant Residing at Flat no. 510, 5 th floor, C
wing, Surya Kirti CHS Ltd, Tilknagar, Chembbur, Mumbai 400089 hereinafter
called the “TRANSFEROR/SELLER” (which expression shall unless it be
repugnant to the context meaning thereof mean and include her heirs,
executors, administrators and assigns) of the ONE PART:

AFIPK7169K Occupation – Housewife, 2) MR. DHARMIK DEVCHAND
KARANI, aged 26 years, PAN – EBUPK7810R, Occupation – Service, and 3)
MR. CHIRAG DEVCHAND KARANI, aged 24 years, PAN – FVNPK0051G
Occupation – Service, all Residing at – Navneet Nagar CHS., D wing 704, Lodha
Heritage, Desle Pada, Dombivali (East), Tal.Kalyan, Dist. Thane 421201,
hereinafter called the “TRANSFEREES/ PURCHASERS” (which expression
shall unless it be repugnant to the context or meaning thereof mean and
include their heirs, executors, administrators and assigns) of the OTHER
PART :
WHEREAS the TRANSFEROR is the owner of Flat no. A/2, admeasuring
area 525 sq.ft. built up, Ground floor, (Old name Shree Kunj)Pranav Omkar
Co-operative Housing Society Ltd., Manpada Road, Tata Line, Dombivali
(East), Taluka- Kalyan, Dist. Thane 421201 (hereinafter referred to as “SAID
FLAT ” ).

The Transferor is an absolute owner of Flat no. A/2, admeasuring area 525
sq.ft. built up, Ground floor, (Old name Shree Kunj) Pranav Omkar Co-
operative Housing Society Ltd., Manpada Road, Tata Line, Dombivali (East),
Taluka- Kalyan, Dist. Thane 421201 situated at Survey No. 78-A, Hissa no. 2
and 3 (part), of Village- Gajbandhan Patharli, Taluka – Kalyan, District Thane
and share holders of said Pranav Omkar CHS Ltd., which is registered as per
the Co-operative Societies Act 1960 bearing registration no.
TNA/KLN/HSG/(TC)/11018 dated 20/08/1999 (hereinafter referred to as
“SAID SOCIETY”).

The TRANSFEOR herein has purchased Flat no. A/2, Ground floor, (Old name
Shree Kunj) Pranav Omkar Co-operative Housing Society Ltd., Manpada Road,
Tata Line, Dombivali (East), Taluka- Kalyan, Dist. Thane 421201 from
Smt.Aruna Athalye vide Agreement for Sale dated 13/09/1994. Due to some
unavoidable condition she was not able to register the said agreement for
sale, therefore she has submitted the said document with the Collector of
Stamps Thane to pay the Deficit Stamp Duty and Penalty. On payment of the
stamp duty and penalty amount the stamp office of thane regularized the said
document on 24/04/1996. The transferor later on executed the Declaration
and registered the Agreement which is register with Sub Registrar Kalyan 3
under Registration No. KLN3-1889/1996.

The Transferees approached the Transferor for purchase of a Flat no. A/2,
Ground floor, (Old name Shree Kunj) Pranav Omkar Co-operative Housing
Society Ltd., Manpada Road, Tata Line, Dombivali (East), Taluka- Kalyan, Dist.
Thane 421201. As the Transferor agreed to transfer his rights to occupy the
said Flat and all his rights, title and interest herein as well as to transfer his
shares in the said society to the Transferee and Transferee has decided to
purchase the said Flat on the following terms and conditions agreed to
between the parties hereto.

NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED BY AND


BETWEEN THE PARTIES HERETO AS UNDER:-

1. The Transferor agrees to transfer and the Transferees agree to


purchase the rights to occupy of the Transferor and all his rights, title
and interest to and in the said Flat together with all its fixtures and
fittings at and for the total consideration of Rs.44,11,000/-(Rupees
Forty Four Lakhs Eleven Thousand only).

2. The Transferees have paid Rs.9,11,000/-(Rupees Nine Lakh Eleven


Thousand only) out of total purchase consideration to the Transferor
as a part payment :

party whereof admits and acknowledge to received by the Transferor


at the foot of this Agreement for Sale.
3. The transferees have agreed to pay the balance amount of Rs.
35,00,000/- (Rupees Thirty Five Lkhs Only) within 45 days from the
date of registration of this agreement after obtaining loan.

4. The Transferor has agreed to hand over possession of the said Flat to
the Transferees on receipt of full and final payment of purchase
consideration and will hand over all the documents including chain of
agreements, share certificate, transfer forms, receipts and papers
concerning the said Flat to the Transferees on the date of registration
of this agreement.

5. The Transferor covenant and assures the Transferees that his


Membership of the said Society is subsisting and is in full force and
have not been terminated.

6. The Transferor hereby declares that he has paid all the society’s dues
up to date when he has decided to sale the Flat and accordingly, he has
obtained consent from society for transfer of the said Flat in the name
of the Transferees under the law. The Transferor shall pay and
discharge all such dues up to the date of handing over vacant and
peaceful possession of the said Flat to the transferees and immediately
thereafter the transferees shall be liable & responsible to pay and
discharges all such dues.

7. The Transferor declares that the Property Tax of the society is paid and
there are no dues of the same. The Tax amount is collected on monthly
basis and the same is incorporated in the monthly bill of the
maintenance.

8. The parties hereto shall execute transfer forms appended to the bye-
laws of the society along with transfer fee and contribution towards
the welfare fund that might have been prescribed by the society.

9. The parties hereto shall execute a transfer form which is appended to


the bye-laws of the society with share certificate no. 2 bearing no. 6
to10 for Rs.50/- each issued by the Pranav Omkar CHS Ltd to
Transferor along with transfer fee and contribution towards the
welfare fund that might has been prescribed by the society.

10.The Transferor has represented to the Transferees that the total


transfer fee/transfer premium/donation payable to the said Society for
transfer of the said Flat /said shares of the said society in the name of
the Transferees will be paid by the Transferees.

11.The Transferees doth hereby covenant with the Transferor that they
will always abide by the Rules, Regulations, and By-laws of the said
Society and will pay the municipal taxes and maintenance charges in
respect of the said Flat up to date. The Transferees have agreed that
after getting the possession of the said Flat he will pay the society
charges regularly.

12.The Transferor has represented to the Transferees that the said Flat
belongs to the Transferor absolutely and that no other person or
persons have any right, title or interest whatsoever therein by way of
sale, gift, exchange, inheritance, lease, lien or otherwise in the said
shares/ said Flat.

13.The Transferor has represented to the Transferees that


notwithstanding anything herein contained, any act, deed, matter or
thing of whatsoever nature done by the Transferor or any person or
persons lawfully or equitably claiming by from, through or in trust for
them, the Transferor has full right, power and absolute authority to
sell or transfer to the Transferees the said Flat and his right, title and
interest in the said society and that the Transferor has not done or
committed or omitted to do any act, deed, matter or thing whereby the
ownership, possession and/or occupation of the said Flat by the
Transferor may be rendered illegal and/or unauthorized for any
reason or on any account.

14.The Transferor has represented to the Transferees that on taking


possession of the said Flat , the Transferees will be entitled to occupy
the same without any claim or interruption from the Transferor or
anybody claiming under them. Further Transferor declares that he has
paid all dues of society up to date, he will indemnify, and keep
indemnify the Transferees against, any claim made for any period prior
to the completion of sale in respect of the said Flat.

15.The Transferor declares that he has not obtained loan against the said
Flat from any financial institution and the title of the said Flat is clear
and marketable. The Transferor further declares that he has not done
anything caused to be or allowed to be done anything that might lead
or tantamount to create any charges, lien, encumbrances or any defect
in the title in upon and over the said shares standing in the name of the
Transferor for the said Flat and there is nothing that has prevented
them to effectively and completely transferring his rights, title and
interest in the said Flat in the name of the Transferees or their
Nominee/s.

16.The Transferor undertakes to give the Transferees such papers and


documents that may be necessary for effectively and completely
transferring the deposits made by the Transferor with the various
authorities, if any, including the M S E D Co. Ltd., in respect of the said
Flat for fully and completely enjoying the same as member. The
Transferor shall also execute such papers and documents that may be
necessary for effectively and completely transferring his rights, title,
and interest in the said Flat to the name of the Transferees in the books
and records of building known as Pranav Omkar Co-operative Housing
Society Ltd., Manpada Road, Tata Line, Dombivali (East), Taluka-
Kalyan, Dist. Thane 421201.

17. The Electric Meter No. 06504814528 and Consumer


no.020012190558 is affixed to the said Flat and the Transferor agrees
to transfer the said Flat along with the said Electric connection of
MSEDCL to the Transferees and further agrees to sign all the necessary
papers for transfer of said electric meter with deposited amount to the
name of the Transferees herein . The Transferor has no objection for
obtaining new connection by Transferees in their name.

18.The Transferor declares that there is no court case, suits pending in


any court of India regarding this property. If it is found, the Transferor
will be responsible for the same.

19.The Transferor hereby agrees and declares that he will produce the
original Agreement for sale, receipt and electricity bill and other
relevant documents to the Transferees at the time of execution of this
agreement or on the date of the full and final payment as the case may
be for enabling the Transferees to secure the title to the said Flat.

20.All costs and incidental expenses to this agreement will be borne by the
Transferees. The Transferees shall bear and meet the expenses of the
stamp duty, registration charges, legal fees, incidental expenses etc.

21.The Transferor doth hereby agrees to sign and execute any deed or
writing as well as all other papers and documents as may be required
by the Transferees for transferring the said Flat and the said shares to
the name of the Transferees in pursuance of this Agreement.

22.The original of the “AGREEMENT” signed by both the parties shall be


with the TRANSFEREES and copy of the same similarly signed shall be
with the TRANSFEROR.

23.This agreement is made subject to Flat/Flat Ownership Act, 1963 and


rules framed there under and subject to Co –operative Societies Act,
1960 and rules framed thereunder.

Road, Tata Line, Dombivali (East), Taluka- Kalyan, Dist. Thane 421201
situated at Survey No. 78-A, Hissa no. 2 and 3 (part), of Village- Gajbandhan
Patharli, Taluka – Kalyan, District Thane with ground plus 4 floors without lift
and bounded as follows:-
