TERMS AND CONDITIONS OF PURCHASE
1 ACCEPTANCE: The acceptance of this Purchase Order (“Order”) shall be communicated in writing on receipt hereof. In the absence of
a written acceptance by the Seller, the delivery of any material, equipment or goods (collectively referred to as “Material”) and/or
service ordered hereunder by SIBI Engineering (hereinafter referred to as “Buyer”) shall constitute a full acceptance by the Seller of
this Order.
2 PRICE: Prices quoted by the Seller and accepted by Buyer are final and will remain firm, till the execution of the Order. No
modifications therefrom will be accepted without a specific agreement in writing signed by Buyer.
3 DELIVERY: Time is the essence and in case the ordered Materials are not received within the stipulated delivery date, the Buyer
reserves the right to cancel the Order wholly or partially and procure the Materials from any alternative sources on Seller’s account
and risk, and the Seller shall be liable for the difference of prices and other incidental expenses arising there from. When a date of
delivery is stipulated in the Order or where an Order is placed for the supply of Material in accordance with a program, such
stipulation shall be the essence of the Contract.
4 MATERIAL: Buyer reserves the right of accepting the whole or part of the supply if not found suitable for use due to discrepancies in
quality, specifications, weight, dimensions etc., or due to delay or irregular delivery. The rejected Material shall have to be lifted by
the Seller from the site within 2 days from the date of rejection at the Seller’s risk and expenses and the Buyer shall not be
responsible for any loss / or damages to the same.
5 CONFORMITY OF TECHNICAL SPECIFICATION: The Material is to be supplied strictly as per the specifications indicated in the Order.
Material with any deviations, whatsoever, from the said specifications are liable to be rejected wholly or in part.
6 INSPECTION: Buyer shall have the right to inspect Material at any time before dispatch and / OR alternatively all Material supplied
shall be subject to joint inspection by Buyer and Client at site. Material not approved by the Buyer/Client on inspection, either with
regard to the quality or quantity, shall be rejected. The seller shall collect the Material so rejected at its own cost, within 2 days of
notification of rejection by Buyer/Client.
7 PACKING: The Material supplied must be sufficiently and properly packed so as to ensure absence of loss or damage on arrival at the
point delivery specified in the Order. Unless otherwise specifically stated, all packing cases containers and other packing material shall
be supplied free of cost. Any loss arising due to improper packing will be on Seller’s account and Buyer will not be liable for any
damage or loss in transit.
8 PAYMENT: If not otherwise stated under terms of payment, the payment will be made as per the actual weight or quantity received
by Buyer. The Buyer’s records shall be considered final and conclusive on these points. Buyer shall make the payment against the bills
on receipt of Material in good condition.
9 CONFIDENTIALITY: All Orders placed by Buyer and drawings, documents, specifications, know how etc., given in pursuance of the
Order are strictly confidential. The Seller shall not dispose off any part of the Order or publish or cause to be published, any details of
this Order without the Buyer’s previous consent in writing.
10 GUARANTEE / WARRANTY: All warranties shall survive any intermediate or final inspections, delivery, acceptance, or payment by
purchase and shall continue in effect through a period of two year commencing from the date of commissioning / handover to the
Buyer.
11 LIABILITY FOR INJURY: If the Seller is required by the terms of this Order to perform any work on the Buyer's/Client's premises, the
Seller agrees that the Seller shall be responsible for any damages or injuries to persons or property, including Buyer’s /Client's
employees and agent, servants or employees, in connection with the performance of such work, and that the employees, shall save
harmless and indemnify the Buyer/Client from and against any liability for such damages or injuries. Before commencing such work
the Seller shall furnish to the Buyer/Client a certificate of insurance showing that Seller carries adequate Public Liability and Property
Damage Insurance and Workman's Compensation Insurance (or evidence of authority to Self insure).
12 MODIFICATION OF PURCHASE ORDER AND NONASSIGNMENT: This order is complete and final agreement between the Buyer and
Seller and no agreement or the course of dealings between the Buyer and Seller or other understanding in any way purporting to
modify the terms and conditions hereof shall be binding upon both parties only if made in writing and signed by both parties.
13 TERMINATION: The Buyer reserves the right to cancel this Order or any part thereof if in breach.
