LEASE AGREEMENT

This Agreement is made on ---th ----- 2014 at Gurgaon

BETWEEN

M/s Skycity Hotels Private Limited a company incorporated under the Companies Act, 1956 and having its
Corporate Office at Plot 1, Old Judicial Complex, Sec-15, Jharsa Road, Gurgaon-, through its authorized sig -
natory Mr. Ravinder Chhikara (hereinafter referred to as the “LESSOR” which expression shall, whenever the
context so requires or admits, mean and include its successors and permitted assigns), of the ONE PART.

AND

M/s Toyoda Micromatic Machinery India Limited, a company incorporated under the Companies Act, 1956
and having its Business Office at 506/507,5th Floor, Suncity Business Tower, Golf Course Road, Sector-54,
Gurgaon-122002, through its authorized signatory Mr. S.K.Yadav (hereinafter referred to as the “LESSEE”
which expression shall, whenever the context so requires or admits, mean and include its successors and per-
mitted assigns), of the OTHER PART.

WHEREAS:

(1)Lessor is in lawful possession of Flat no.-A902 ,Bestech Park View Spa,Sector-47, GURGAON-122002,
HARYANA (hereinafter referred to as the demised premises)and is legally entitled to lease the apartment,
consisting of three bedrooms with attached bathrooms with dedicated parking space for one car, drawing and
dining area and kitchen and is as such entitled to lease out the said to the Lessee.

(2)The Lessee has requested the Lessor to lease the Demised Premises to him.
The Lessor has considered the request made by the Lessee and has agreed to lease out the Demised Premises
on the terms and conditions recorded hereunder.

(3) The Lessee has inspected the said demised premises and confirm that the said demised premises are in
good order & condition & suits for their above purpose.

NOW THEREFORE THIS AGREEMENT WITNESSETH AS FOLLOWS:

1. The Parties agree and confirm that the period of this Lease Agreement is commencing from 20th August
2014 to 19th July 2015 with a lock-in period of 11 month on below payment terms:-

A) Monthly Rent would be Rs. 1, 10,000/- (Rupees One Lac Ten Thousand Only) per month including
maintenance charges and service tax.

B) All above payments will be inclusive of all taxes, and paid in advance, subject to deduction of Tax at
source, on or before the 7 th day of each concerned month. Lessor will bear all charges of all Goods
and Services, viz. maintenance of the apartment..
Lessor will provide Gas connection (as gas is supplied by pipeline), telephone & internet connection,
water supply but charges will be borne by Lessee as per actual usage as per annexure-1 attached.

C) Both lessor and lessee have the option to extend the lease agreement for another tenure after 11
months only on the mutually accepted terms & conditions.

2. The Lessee shall pay one month’s advance rent of Rs. 1,10,000/- to be adjusted in the first month of the
lease period (i.e. 20th August 2014 to 19th July 2014)

3. The Lessee shall pay an amount of Rs 2,20,000/- (Rupees Two Lac Twenty Thousand Only) equivalent to
two months’ rent as interest free security deposit. Upon expiry or earlier termination, the said security
deposit shall be returned by the Lessor to Lessee. In case the Lessor fails to refund the full security de-
posit to the Lessee within 15 days on expiry or early termination of th is Agreement then the lessee shall
be entitled to receive an interest on the security deposit from the lessor at the rate of 24% per annum
from the date on which such security deposit becomes due till such time that security deposit along with
accrued interest, if any, is actually refundable by the lessor to the lessee.

4. The Lessee confirms and agrees as follows:-


a) To pay the monthly rent as aforesaid in respect of the said Services within the agreed time.
b) To keep the said premises clean and usable (fair wear and tear is accepted). Upon expiry of this
Agreement, the Lessee shall hand over peaceful possession of the premises as per Annexure I, in
the condition they were, at the time of hiring subject to normal wear and tear arising from day to
day use or from such cause as are beyond the control of the Lessee viz. Act of God, fire, earth -
quake, floods etc.
c) To use the said premises exclusively at or in the Demised Premises and not to remove the same
from there without the written consent of the Lessor.
d) Not to part with possession of the said Demised Premises or any portion thereof.
e) Since the utility charges i.e Electricity, and telephone are to be reimbursed; they should be paid
within 15 days from the date of submission of the bills to avoid any embarrassment to either party. In
case of any delay in making the payment, interest @ 2% per month may be charged at the discretion of
the Lessor.
f) The premises and goods shall be used only and solely for the residential purposes of Mr. Mamoru
Nagasawa and his immediate family, and for the guests they might have from time to time.

5. The Lessor confirms and agrees as follows:

(i)That the Lessor shall furnish the Demised Premises in accordance as per (Annexure I) attached here-
with along with photographs of the apartments, walls, appliances, loose inventory.

(ii) That the Lessor is the absolute owner of the said Demised Premises and has the absolute right to sub
lease the premises and unencumbered right and power to hire the said Goods to the Lessee upon the
terms and conditions agreed between the Parties and herein recorded.

(iii) That the Lessee upon paying the rent and performing and observing the terms and conditions on its
part to be performed, may peaceably hold and enjoy the said Goods during the terms of hire without
any interruption by or from the Lessor or any person claiming under, through or in trust for the Lessor.

(iv)That upon expiry or Termination of the Original Agreement, of the Demised Premises and conse-
quently this Lease Agreement, the Lessor shall forthwith refund the security deposit paid by the Lessee
after making adjustments, if any, or balance thereof remaining with the Lessor, at the time of handing
over peaceful vacant possession of the Demised Premises.

(v) To keep the said premises and goods free from any charges or other encumbrances whatsoever dur-
ing the hire period.

(vi) To provide and/or replace and/or repair, within 24 hours of receiving a notice from the Lessee, any
item that is not in working condition (time of possession), before or after taking on Lease and in the
event the Lessor fails to provide, repair/ replace such defective item, then the Lessee shall be within its
right to procure such item and deduct the charges paid thereon by it from the rent/hire Charges payable
to the Lessor.

6. That the House Tax, Ground rent and other local taxes payable either now or in future of the Demised
Premises shall be paid by the Lessor.

7. That the House Keeping shall not include cleaning and maintenance of the LESSEE’s personal items and
hence, the LESSOR is absolved of all liability of damage/loss of such items.

8. That the LESSOR shall not be held liable for the loss or theft of any valuables (jewellery, cash etc.) of the
LESSEE that have not been locked in the electronic safe provided by the LESSOR for this purpose. In case
of any theft from the electronic safe, the LESSEE shall inform the LESSOR immediately,

9. This Lease Deed shall terminate at the expiry of the Term, unless terminated either by either party in ac -
cordance with this Clause 1 or extended at the mutual option of both parties if continued for the next pe -
riod of 11 months on same conditions and mutually agreed Rent. Either party shall be at liberty to termi-
nate the lease upon giving one month advance notice in writing to the other party any time after expiry
of the lock in period of 10 month. If Lessee terminates the lease before the expiry of lock in period, the
Lessee shall pay full rent for the remaining lock in period. At the time of termination of lease, the entire
amount of security deposit made by the lessee under this Lease Deed shall be refundable by the lessor to
the lessee and the Lessee shall not be required to pay any rent for the remainder of the lease subject to
the clearance of all dues and handover the apartments as was taken over by the Lessee.
10. That before any planned absence of the LESSEE from the Leased Premises for an extended period of time;
the LESSEE shall provide written instructions (in the form of sticky notes etc.) for electrical appliances that
need to be left running by the Housekeeping staff.

11. That in the case of any dispute or differences of any type or nature arising between the Lessee and the
Lessor, the same shall be subject to the exclusive jurisdiction of Courts of Gurgaon only.

12. This Lease Deed contains all the agreed terms and conditions between the parties and supersedes any
prior communications, agreements correspondence etc.

13. If any provision of this LEASE DEED or part thereof is rendered void, illegal or un-enforceable in any re -
spect under any law, the validity, legality and enforceability of the remaining provisions shall not in any
way be affected or impaired thereby.

14. Termination of this Lease Agreement for any cause shall not release either of the parties hereto from
any liability which at the time of termination has already accrued to another Party hereto or which
thereafter may accrue in respect of any act or omission prior to such termination.

15. The Lessee shall be liable for day to day repairs and maintenance to the Premises and minor repairs, the
Lessor shall be liable for all major repairs like repairs to sanitary, water and electricity connections and
structural repairs at its own cost. Minor damages shall be affected by the Lessor and major damages of
furniture and electronics due to fault of the Lessee shall be affected by the Lessee as per its own cost.
However, if the furniture/electronics or any item in the leased premises is damaged due to fault from
Lessor side, the same shall be paid/replaced by the Lessor.
If there is damage to the property/belongings due to act of god and no negligence on the part of the
Lessee, then Lessee will not be responsible for any damages to the property.

16. Handing over possession: On termination of Lease by efflux of time or otherwise, the lessee shall deliver
back the vacant possession of the Leased premises subject to normal wear and tear to the lessor imme -
diately subject to the refund of security deposit.

IN WITNESS WHEREOF, the Parties hereto have caused this Agreement to be executed at Gurgaon on the day
and year first above written
