1) Briefly restate your situation from Module 1 and your role.

The situation at hand is the forming of our corporation. My co-founder and Principal filed us as

a corporation without seeking my advice or opinion. Which isn’t the biggest deal in the world but

he doesn’t have as much of a financial and business background as I do. On top of that filed for

us in California, CA has some of the worse tax codes and requires the most documentation to

stay compliant with the state. We don’t want to be filed in CA as we will be taxed at a much

higher rate. I am now left with having to go about fixing this. I need to move our corp to my

preferred home state DE and seek legal advice to see if a C-Corp is even right for us. In my

current position at Vently, I am a Co-Founder and serve as the CFO. My responsibilities include

creating business models, identifying target markets, pursuing funding opportunities,

establishing the corporate structure, and leading a team of developers to produce a Minimum

Viable Product (MVP).

2) Describe how the ethics of the organization influenced the situation.

The ethical aspect of an organization or the absence of it grossly impacted the formation of

Vently. Primarily, the unilateral decisions which were made without taking into consideration the

views of the other stakeholders, particularly the CFO, red flags the ethical issue of transparency,

fairness, and accountability. The choice to incorporate and the consequences were grave as it

was made not considering how it could affect other team members and not in the interest of the

organization's values of collaboration and inclusivity. The ethical consequences of such

decisions are that they will destroy trust among the team members and overtime cause the

leadership to lose its integrity. As well as that, aiming at the corporate filing in the California

state, a jurisdiction renowned for tough tax standards and legal procedures, raises doubts about

the ethical responsibility of the firm to avoid financial risks and find the optimal resource

allocation for sustainable performance. Generally, the ethical shortcomings in decision-making


structures at Vently have led to the establishment of a situation of possible conflicts, imbalances

in power, and compromised organizational values.

3) Recommend how you would apply one of the ethical communities for an alternative

course of action regarding your case.

To handle the ethical issues uncovered by the event at Vently, the principle-based ethical

approach can be used as an alternative. In this approach universal ethical principles such as

honesty, fairness, and respect for others’ dignity are emphasized. Through anchoring the

organization’s decision-making processes to these basic concepts, the directors can provide

assurance that actions are taken from ethics-based considerations and with solidarity with the

overall moral values.

In the actual application of the principle-based ethical community, the framework for taking

decisions will be created to consider the ethical guidelines as well as standards. This framework

will require the Co-Founders and the other key decision-makers to assess the likely ethical

consequences of their decisions, particularly when it comes to organizational issues which

might be of a large scale. Moreover, the management would encourage open conversations and

reflective thinking later on among team members, thus creating a culture of transparency and

accountability that integrates ethics in everyday decision making. Through underlining the

criticality of ethical conduct and accountability within the organization, Vently can meet its

principle of ethical excellence and strengthen the trust among concerned parties.

4) Reflect on what you would do or not do differently given what you have learned

about ethics.

Acknowledging the ethical issues in my role at Vently, I understand the significance of including

ethics in all areas of organizational decision-making process. In the future, I will give a particular

preference to the establishment of an ethical framework and guidelines providing directions for
decision-making and value alignment. This system is the creation of an atmosphere where

ethical conduct is not only encouraged but also obligatory for all team members from top to the

lowest level.

In addition, I would underscore the necessity of ethical leadership and responsibility that helps

in creating the right mood in the company. At Vently, I as a leader would attempt to lead by

example, displaying how I take into consideration ethical principles in all my actions and

decisions I have to make. Furthermore, I am going to be carrying out ethical reflections and

dialog within the company, which will not only provide spaces for team members to be

discussing and solving ethical dilemmas, but also create a holistic ethical culture. I would

advocate for getting external ethics consultation or ethical guidance in addition to personal

priorities in case of complex moral dilemmas or situations with very serious implications. Talking

with ethics experts and legal advice can give an idea on how they will make decisions and

ensure that they will be based on ethical standards and legal requirements. In the long run, we

try to build a more ethical, responsible, and sustainable organization by integrating ethics into

the company's culture and fabric.
