M E M O R A N D U M OF A G R E E M E N T
ON

STUDENT- TRAINEE PROGRAM

This Agreement is entered into this _______ day of _________________ 2023, in


Angeles City, Philippines by and between:

Delivery Hero Philippines Inc., ecommerce company, duly organized and


existing under the Philippine laws, with principal office address at 16/17F
Milestone at Fifth Avenue, 5th Avenue, Bonifacio Global City, Taguig City,
represented herein by its DIRECTOR OF PEOPLE & CULTURE, MS.
JUDITH TUBIL, hereinafter referred to as the “COMPANY”;

- and -

HOLY ANGEL UNIVERSITY, a nonstock and nonprofit educational


foundation duly recognized by the Commission on Higher Education
(CHED) and existing under the Philippine laws with principal office address
at #1 Holy Angel Avenue cor. Sto. Rosario Street, Angeles City, represented
herein by its VICE PRESIDENT FOR ACADEMIC AFFAIRS, DR. AL D.
BIAG, hereinafter referred to as the “UNIVERSITY”;

W I T N E S S E T H: T h a t –

WHEREAS, the UNIVERSITY acknowledges that one of the means of achieving its
Mission is to develop the moral and academic growth of its students, and to expose them
to commerce best-practices and realities in various fields;

WHEREAS, the UNIVERSITY, in the quest of its objectives, aims to mold


responsible, efficient and flexible individuals through intellectual trainings in diversified
lines of work;

WHEREAS, the COMPANY concedes the expressed need of the UNIVERSITY to


assign its students to actual office work and or field work settings for the purpose of
supplementing their acquired higher learning and is prepared to help the students in this
undertaking;

WHEREAS, the COMPANY shall hold the UNIVERSITY’s Mission and ideals in
providing the students with learning experiences, in preparation for the actual application
of the students’ knowledge based on their chosen courses after graduation;

WHEREAS, no employer-employee relationship is created by this Agreement;

NOW THEREFORE, in view of the above mentioned premises, the parties hereto
mutually agree as follows:

I. ROLES AND RESPONSIBILITIES

A. FOR THE COMPANY:


1. Accept students for OJT (on-the-job-training), subject to proper endorsement
made by the UNIVERSITY in its offices/ departments as it may deem necessary
and/or appropriate based on the student’s qualification and field of
specialization.
2. Observe due care and diligence to student-trainee in work situations and
activities where a higher degree of risks are involved, and shall ensure that the
students are not assigned to dangerous or hazardous work.
3. Protect students against unacceptable conduct of sexual nature and cruel or
inhuman treatment by COMPANY’s personnel/ staff.
4. Designate the COMPANY’s Human Resource Department(HRD) to make
constant coordination with the UNIVERSITY, for proper implementation of this
Agreement.
5. Provide students with variety of work assignments suitable to their chosen
courses to be supervised by an experienced staff and as indicated in the
LEARNING OBJECTIVES AGREEMENT signed by the Practicum
Coordinator-Student concerned-Department Head in the COMPANY.
6. Render a periodic evaluation of job progress based on the rating/criteria form
provided by the UNIVERSITY.
7. Award the student-trainee an OJT (on-the-job training) Completion Certificate
at the end of the specified training period.

B. FOR THE UNIVERSITY:


1. Designate a Practicum Coordinator who will coordinate with the HRD of the
COMPANY, for the proper implementation of this Agreement.
2. Endorse qualified students for OJT program for which a list shall be submitted
to the COMPANY.
3. Consider the COMPANY’s offer of necessary guidance and/or assistance
to both student-trainees and HRD.
4. Provide for the coverage of accident and death insurance of student-trainees
during this training period within the COMPANY’s premises or during work
done in relation to the OJT Training Program.
5. Monitor the progress and assist in the evaluation of student trainees.
6. Establish high standards and expectations for the student trainees.
7. Arrange the signing by the student any document required by the COMPANY.

C. STUDENT- TRAINEE:

1. Inform his/her parents or guardian and the UNIVERSITY authorities of his/her


intention to undergo On-the-job training as certified by the Parental Waiver and
Practicum Coordinator’s endorsement.
2. Agree to perform the assigned duties and other lawful directions given by
his/her supervisor.

3. Maintain regular attendance on the job and notify his/her supervisor prior to any
absence.
4. Show punctuality, honesty, a cooperative attitude, proper health and grooming
practice, appropriate dress (preferably the school uniform) and willingness to
learn.
5. Assume full responsibility and shall hold the COMPANY free and harmless from
any damage, loss or injury that he/she may suffer against any person and/or
property as a result of the said training.
6. Not divulge to any person, firm or entity any of the COMPANY’s information/s
concerning the affairs of the COMPANY which he/she may have acquired by
reason of this training.
7. Conduct himself/herself in a manner as not to bring disgrace or dishonor to
himself/herself and to the UNIVERSITY.
8. Consult his/her supervisor as well as his/her practicum coordinator about any
problem that may arise.

II. PROCEDURES

In the pursuit of the terms and conditions of this Agreement, the COMPANY and
the UNIVERSITY shall observe the following procedures:

1. The Practicum Coordinator shall endorse the qualified student trainee to the
COMPANY.
2. The Practicum Coordinator shall advise the student trainee to meet the
COMPANY’s HRD and submit the following:
a. Resumé
b. Endorsement/Waiver
c. Training Agreement
d. Reply form

3. After verifying the submitted documents, COMPANY’s HRD shall accept the
application for OJT of the student and conduct an orientation to the student on
rudiments of OJT (on-the-job training) Program.
4. COMPANY’s HRD shall introduce the student trainee to his/her supervisor after
such training.
5. The supervisor shall give specific instruction/s to the student trainee on work
norms and responsibilities.
6. The supervisor shall accomplish an evaluation of the student trainee at the end
of his/her training period and submit the form to the COMPANY’s HRD.
7. COMPANY’s HRD shall prepare the OJT (on-the-job training) Completion
Certificate of the student trainee for submission to the UNIVERSITY.

III. GROUNDS FOR WITHDRAWAL OF THE STUDENT OJT

Both parties agree that students can be withdrawn from the OJT (on-the-job
training) Program on the following grounds:
1. Willful disobedience or violation of the COMPANY’s policies, rules and
regulations, and those it shall issue from time-to-time.
2. Insubordination to lawful orders of the supervisor.

3. Violence or any other forms of gross misconduct by the student trainee while
inside the COMPANY premises.
4. Immoral, physical, sexual abuse or harassment of the student by the employer
or any of its employees.
5. Poor performance on the job for a prolonged period despite warnings duly
given to the student trainee.
6. Habitual neglect of his/her assigned duties/tasks.
7. Dishonesty or misconduct.
8. Poor physical condition, permanent disability or prolonged illness which
incapacitates the student-trainee.
9. Theft or malicious destruction of COMPANY’s property and/or equipment.
10. Substandard or hazardous working conditions.
11. Repeated violations by both parties of the terms of the OJT (on-the-job training)
agreement.
12. Cruel or inhuman treatment by the COMPANY or its subordinates.
13. Personal problems which in the opinion of the student- trainee shall prevent
him/her a satisfactory performance of his/her job.
14. Non-enrollment or dropping out from the UNIVERSITY

IV. TERM AND EFFECTIVITY

This Agreement shall be effective for a period of three (3) school years, beginning
with the semester covering the date of signing and shall be renewed upon mutual
agreement of both parties expressed in writing.
Termination or withdrawal from this Agreement by one party can be done upon
written notice to the other party of the former’s intention to do so within thirty (30) days
preceding the academic year in which it plans to cease participation.

IN WITNESS WHEREOF, the parties have set their hand on the date and at the
place first indicated above.
