Terms and Conditions

(1) Any approval of the credit application made herein shall not be assigned and/or transferred to any other individual and/or entity, and
shall only lie in favour of the individual and/or entity named in the Credit Application Form.

(2) In situations where the applicant is a company, any change in the company's articles and/or memorandum of association,
directorship, shareholding, address of business, paid-up capital, bank authorized signatories, and/or any other company secretarial
information shall be notified in writing to the entity granting the credit application, within seven (7) calendar days from the date of
such change.

(3) The granted credit facility is subject to revision from time to time and could be withdrawn or suspended at anytime, without any
reason or prior notice. If such a withdrawal or suspension occurs:-

(i) Invoices which were due and owing, becomes immediately due and owing, as of the date of such withdrawal or suspension;

(ii) Invoices which have a balance credit term, becomes due and owing, seven (7) calendar days from the date of such withdrawal or
suspension, irrespective of the actual number of balance credit term that such invoices have.

The failure to make full payment of such outstanding invoices shall entitle the entity granting the credit application to charge late
payment charges / interests on such outstanding invoices which remain due and owing. Such late payment charges / interest shall be
at the rate of 1.5% per month or equivalent to 18% per annum of any/all invoices due. The late payment charges / interest shall be
computed from the date when invoices become due and shall continuously be computed at the rate of 1.5% per month until the full
settlement of the invoice(s)."

(4) Any disputes and/or discrepancy raised on invoices issued and/or on the statements of account generated shall be notified in writing
to the Finance Department of the entity granting the credit application, within fourteen (14) calendar days from the document's issue
date. If no dispute is raised within the stipulated timeframe, you / your company shall be deemed to have unconditionally agreed to
and accepted the contents of all invoices issued and/or statements of account generated. All figures contained in such documents
shall be deemed accurate, correct, and final.

(5) Should legal proceedings be commenced or should the engagement of debt collector(s) be necessary, for the recovery of the any
amount due to the entity granted the credit application, all legal fees, associated expenses, and incidental costs incurred thereon
shall be fully borne by the individual and/or entity named in the Credit Application.

(6) The entity granting the credit application reserves the rights to apply, on a first-in-first-out basis, any sums received, against invoice
which remains due and outstanding.

(7) Without limiting the rights of the Company as provided for in the Credit Application Form herein, the Company may, at its absolute
discretion, repossess all goods and/or products delivered, in the event of any breach by the applicant, of any terms of this Credit
Application Form.

(8) In accordance with the statutory provisions of the Personal Data Protection Act 2010, the applicant, having executed the Credit
Application Form hereby acknowledges, approves, and confirms that, the entity granting the credit application, its agents, employees,
representatives, and/or subsidiaries shall be allowed to collect, process, use, and disclose such information or document(s)
pertaining to the applicant and/or its affiliated individuals and/or entities, to any credit bureau or agency, or to any body or authority
(governmental or otherwise) as may be deemed fit under any applicable law, regulations, guidelines, and/or any regulatory
requirements whatsoever. The information collected may further be used for purposes of making inquiries and/or securing further
information from relevant third parties, with the view of entering into prospective transactions and/or business engagements with the
entity granting the credit application.

(9) The entity granting the credit application shall, at its absolute discretion, to cancel, withdraw, and/or suspend any credit application
granted, in whole or in part, without incurring any penalty and without prior notice, if the applicant becomes insolvent, is at risk of
being wound up (in situations where the applicant is a company), is at risk of being adjudged a bankrupt (in situations where the
applicant is an individual, sole proprietor, and/or partnership), or otherwise takes action to dissolve as a legal entity and makes an
assignment for the benefits of creditors (whichever is applicable).

(10) If the entity granting the credit application shall be prevented from or rendered wholly or partially unable to carry out its obligations by
reason of an event of force majeure or causes beyond their reasonable control (including but not limited to fire, flood, explosion,
lockout, strike, labour disputes, national epidemics, national calamity or riot, pandemics, Act of God, the enactment of any Act of
Parliament or the act of any Government or other legally constituted authority, any cause or event arising out of or attributable to war)
then the performance of the obligations by the entity granting the credit application, as they are effected by such causes shall be
excused during the continuance of any inability so caused. Notwithstanding the provisions of this clause, the obligations of the
applicant to make payment of any sums due and owing to the entity granting the credit application shall continue to survive and any
breach of such obligations may give rise to the rights of the entity granting the credit application to terminate the same, and enforce
its relevant rights thereon.

(11) This agreement shall be governed by construed in accordance with the laws of Malaysia.

(12) In situations where there is a discrepancy and/or inconsistency, the English version of any document communicated and/or executed
between the applicant and the entity granting the credit application shall always prevail.
